章 程

第一章 总 则

第一条 依据《中华人民共和国公司法》(以下简称《公司法》)及有关法律、法规的规定，设立泸州周世才食品有限公司(以下简称公司)，特制定本章程。

第二条 本章程中的各项条款与法律、法规、规章不符的，以法律、法规、规章的规定为准。

第六条 公司注册资本实行认缴制，公司认缴注册资本叁万元，股东按期足额缴纳本章程中规定的各自所认缴的出资额。公司成立后，向股东签发出资证明书。出资证明书载明公司名称、公司成立时间、公司注册资本、股东姓名或者名称、认缴出资额和出资日期、出资证明书编号及核发日期并由公司盖章。出自证明书遗失的，应立即向公司申报注销，经公司法定代表人审核后予以补发。公司应设置股东名册，记载股东的姓名、住所、出资额及出资证明书编号等内容。

第七条 股东姓名(名称)、身份证号、缴纳出资期限、认缴注册资本金额、出资方式一览表：

(一)股东以其认缴的出资额为限对公司承担责任。

(二)股东应当按期足额缴纳各自所认缴的出资额，股东不按照规定缴纳出资的，除应当向公司足额缴纳外，还应当向已按期足额缴纳出资的股东承担违约责任。

(三)股东滥用股东权利给公司或者其他股东造成损失的，应当依法承担赔偿责任。股东滥用公司法人独立地位和股东有限责任，逃避债务，严重损害公司债权人利益的，应当对公司债务承担连带责任。

第五章 公司的机构及其产生办法、职权、议事规则

第八条 股东会由全体股东组成，是公司的权力机构，行使下列职权：

(一) 决定公司的经营方针和投资计划;

(二) 选举和更换执行董事，决定有关执行董事的报酬事项;

(三) 选举和更换由股东代表出任的监事，决定监事的报酬事项;

(四) 审议批准执行董事的报告;

(五) 审议批准监事的报告;

(六) 审议批准公司的年度财务预算方案、决算方案;

(七) 审议批准公司的利润分配方案和弥补亏损的方案;

(八) 对公司增加或者减少注册资本作出决议;

(九) 对股东向股东以外的人转让出资作出决议;

(十) 对公司合并、分立、解散、清算或者变更公司形式等事项作出决议; (十一) 修改公司章程;

(十二) 聘任或解聘公司经理。

(十三) 公司章程规定的其他职权。

第九条 股东会的首次会议由出资最多的股东召集和主持。

第十条 股东会会议由股东按照出资比例行使表决权。

第十一条 股东会会议分为定期会议和临时会议。

召开股东会会议，应当于会议召开十五日以前通知全体股东。

定期会议按季度定时召开一次。代表十分之一以上表决权的股东，监事提议召开临时会议的，应当召开临时会议。

股东出席股东会议也可书面委托他人参加股东会议，行使委托书中载明的权利。 第十二条 股东会会议由执行董事召集并主持;执行董事不能履行或者不履行召集股东会会议职责的，有监事召集和主持;监事不召集合主持的，代表十分之一以上表决权的股东

可以自行召集和主持。

第十三条 股东会会议作出修改公司章程、增加或者减少注册资本决议，以及公司合并、分立、解散或者变更公司形式的决议，必须经代表三分之二以上表决权的股东通过。

第十四条 公司不设董事会，设执行董事一人，由股东选举产生。执行董事任期3年，任期届满，可连选连任。执行董事在任期届满前，股东会不得无故解除其职务。

第十五条 执行董事对股东会负责，行使下列职权：

(一) 负责召集股东会，并向股东会议报告工作;

(二) 执行股东会的决议;

(三) 审定公司的经营计划和投资方案;

(四) 制订公司的年度财务预算方案、决算方案;

(五) 制订公司的利润分配方案和弥补亏损方案;

(六) 制订公司增加或者减少注册资本以及发行公司债券的方案;

(七) 制订公司合并、分立、变更公司形式、解散的方案;

(八) 决定公司内部管理机构的设置;

(九) 决定聘任或者解聘公司经理及其报酬事项，并根据经理的提名决定聘任或者解聘公司副经理、财务负责人及其报酬事项。

(十) 制定公司的基本管理制度;

(十一) 在发生战争、特大自然灾害等紧急情况下，对公司事务行使特别裁决权和处置权，但这类裁决权和处置权须符合公司利益，并在事后向股东会报告。

第十六条 公司可设经理，由股东会聘任或解聘。经理对股东会负责，行使下列职权：

(一) 主持公司的生产经营管理工作;

(二) 组织实施公司年度经营计划和投资方案;

(三) 拟定公司内部管理机构设置方案;

(四) 拟定公司的基本管理制度;

(五) 制定公司的具体规章;

(六) 提请聘任或者解聘公司副经理，财务负责人;

(七) 聘任或者解聘除应由股东会决定聘任或者解聘以外的负责管理人员;经理列席股东会会议。

(八) 股东会授予的其他职权。

第十七条 公司不设监事会，设监事一人，由公司股东会选举产生。监事对股东会负责，

监事任期每届三年，任期届满，可连选连任。

第十八条 监事行使下列职权：

(一)检查公司财务;

(二)对执行董事、高级管理人员执行公司职务的行为进行监督，对违反法律、行政法规、公司章程或者股东会决议的执行董事、高级管理人员提出罢免的建议;

(三)当执行董事、高级管理人员的行为损害公司的利益时，要求执行董事、高级管理人员予以纠正;

(四)提议召开临时股东会会议，在执行董事不履行《公司法》规定的召集和主持股东会会议职责时召集和主持股东会会议;

(五)向股东会会议提出提案;

(六)依照《公司法》第一百五十二条的规定，对执行董事、高级管理人员提起诉讼。

(七)公司章程规定的其他职权。

第六章 公司的法定代表人

第十九条 执行董事为公司的法定代表人，任期三年，由股东会选举产生，任期届满，可连选连任。

第二十条 法定代表人行使以下职权：

(一) 召集和主持股东会议;

(二) 检查股东会议的落实情况，并向股东会报告;

(三) 代表公司签署有关文件;

(四) 在发生战争、特大自然灾害等紧急情况下，对公司事务行使特别裁决权和处置权，但这类裁决权和处置权须符合公司利益，并在事后向股东会报告;

(五) 公司章程规定的其他职权。

第七章 股东会会议认为需要规定的其他事项

第二十一条 股东之间可以相互转让其部分或全部出资。

第二十二条 股东向股东以外的人转让股权，应当经其他股东过半数同意。股东应就其股权转让事项书面通知其他股东征求同意，其他股东自接到书面通知之日起满三十日未答复的，视为同意转让。其他股东半数以上不同意转让的，不同意的股东应当购买该转让的股权;不购买的，视为同意转让。

经股东同意转让的股权，在同等条件下，其他股东有优先购买权。两个以上股东主张行使优先购买权的，协商确定各自的购买比例;协商不成的，按照转让时各自的出资比例行使

优先购买权。

第二十三条 公司的营业期限30年，自公司营业执照签发之日起计算。

第二十四条 有下列情形之一的，公司清算组应当自公司清算结束之日起30日内向原公司登记机关申请注销登记：

(一) 公司被依法宣告破产;

(二) 公司章程规定的营业期限届满或者公司章程规定的其他解散事由出现，但公司通过修改公司章程而存续的除外;

(三) 股东会决议解散;

(四) 依法被吊销营业执照、责令关闭或者被撤销;

(五) 人民法院依法予以解散;

(六) 法律、行政法规规定的其他解散情形。

第八章 附 则

第二十五条 公司登记事项以公司登记机关核定的为准。

第二十六条 公司章程经股东签字后生效。

第二十七条 本章程一式叁份，并报公司登记机关一份。

立合同者：_________________*百货商店(以下简称甲方)，向*纺厂(以下简称乙方)。

为了繁荣市场，保证*的供应，经双方协商，签订本合同，以资共同遵守。

一、由甲方向乙方订购一等品毛华达呢20__米，每米单价45元。

二、职责

1.考勤专员负责每月员工考评及员工动态资料的编制。

2.财务部出纳员负责员工工资计算和《工资发放表》的编制。

3.副总经理负责《工资发放表》的审核。

4.总经理负责《工资发放表》的审批。

三、工作程序要点

1.员工每月工资的计算

a)财务部负责每月25日发放上月工资,遇节假日顺延

b)公司考勤专员在每月4日前将员工考勤表送出纳。

c)出纳员每月5日前根据考勤表、员工工资的计算系数计算员工上月工资,并编制《员工工资发放表》。

d)员工工资的计算工式:

员工月工资=*当月出勤天数/当月全勤天数。

e)出纳员必须在编制完毕的《员工工资发放表》的制表人栏签署姓名及日期并于每月10日前总经理审核。

3.离职员工工资的计算与发放

a)离职员工凭审批手续完整的到财务部结算工资。

b)出纳员根据《员工离职表》、依照员工工资计算公式在一个工作日内计算该员工离职工资。

c)员工离职工资经总经理审批后生效。

d)职人员需提前1个月上交书面辞职申请书，并交由总经理，经总经理批准后方可办理离职手续。

e)未办理离职手续,擅自离职的员工将扣发其未领工资。

4.工资资料的查阅及保管

a)如员工对自己的工资存有疑问,原则上应在工资发放后的五日内持工资单到出纳员处查询。特殊原因不能及时查阅的,可在一个月内到财务部申请查阅。

b)员工只可以查阅自己的工资,不可以任何理由代他人查阅。

c)公司员工可在财务部门领取本月员工工资明细(工资条)

Performance Art explores the whole range of human emotion and can produce tremendous performances and visual experiences and with Drama, in particular, we can go further than flesh and blood and express ourselves as somebody else and take on this ‘mask’. The most profound thing I have found when studying Drama is that we can become any person in the entire world, and still be us

I have always had a love for the performing arts since I can remember; for there has never really been anything else I have ever wanted to do apart from act. But acting is not just a subject to study people, narratives or social issues – we can discover so many things about ourselves, why we perform a character this way: is it because this person is so much like us? There have been numerous qualities I have discovered about myself while participating in drama. In teaching, I have learn how to really connect with people and help them to explorer what their feelings produce and more notably, how we learn about others, about a single person just by the way they say a monologue

I am applying for admission to the Ph.D. program in Electrical and ComputerEngineering， at the University of California， Berkeley. I present my researchexperience and study objectives in this statement of purpose. I would like tobuild on my solid education and experience as an engineer for a Ph. D. degree incomputer science at a distinguished university. I wish in particular to betrained at an advanced level in software systems， database systems， applied-AIand knowledge-based systems. My ultimate goal is to become a professor teachingcomputer science at a Chinese university. I believe that advanced training in aquality graduate program will help me realize my goal.

My father is a chartered accountant and my mother is a banker. During mydays at Engineering College I used to go to my fathers office and help himmanage his portfolio of equities and other financial instruments. This was thetime I learnt the first lesson of finance from my father i.e. risk and returnare proportionate. In 1998 when I was in the second year the China stock marketcrashed. But fortunately， my father had a well-diversified portfolio because ofwhich our returns were protected from the downside risk. This was when I learntthe second principle of finance from my father i.e. diversification reducesrisk. While I understood these two principles intuitively， it produced in me astrong urge to learn and understand the complex theory behind the working ofFinance. This， I believe， was a turning point in my career. I made up my mind topursue a career in Finance and hence decided to do a Masters program in BusinessAdministration.

As I was finishing college， my mother had both of her hips replaced withartificial ones because all of the cartilage in her hip joints had worn away andit was very painful for her to walk. I found it fascinating that engineers，orthopedic surgeons， and biologists had all worked together to design theseartificial joints that completely transform. peoples lives by giving them backpain-free mobility， and I knew at that moment that this was an area about whichI wanted to learn more. In China these days， university graduates who have notbeen lucky enough to settle into their dream jobs often look to graduatedstudies as a way to kill the time that they cannot otherwise spend meaningfully.I am prepared to go against the social conventions by putting on hold asuccessful research career that promised to be even more successful. With eightyears of productive and highly valued practical research behind me， I now wouldlike to revert to a more intellectual life so that I can conduct moretheoretical discourses.

For the past three years， my undergraduate education has exposed me to thevarious sub-fields of Computer Science (CS). However， our syllabus has focusedmainly on "traditional" CS topics， such as Operating systems and single-CPUsystems. We have had barely a glimpse of the newer technologies that are likelyto change the way computing is done in not-so-distant future. The desire toexamine such subjects in greater detail is what has prompted me to opt forgraduate study. Due to the comprehensiveness of China’s“reform. andopen”policies， economics plays an increasingly important role in the developmentof its global position. As a senior at Beijing University majoring in Economics，I feel that my field is fundamental to the progress of my country. Yet， at thesame time， I realize only too well that what I have learned as an undergraduateis far from enough. Therefore， it is my desire to pursue a graduate degree IEconomics at your university. If accepted， my intended concentration would beEconomic Development and Public Economics.

As a child I often accompanied my father to his small coin shop and spenthours watching him work. When I was older, I sometimes set up displays, waitedon customers, and even balanced the books. This experience instilled in me thedesire to own and manage my own business someday, yet I understand that thebusiness world today is more complex. This complexity requires more education,and with that in mind, I am applying to the Master’s of Business Administrationprogram at Indiana University Bloomington (IUB).

In addition to my helping out in my father’s business, I have had numerousother work experiences that further enhance my qualifications for this program.My resume enumerates the various positions I have held at Kerasotes Theaters,Chili’s restaurants, and Indiana University’s new Student Recreational SportsCenter (SRSC), and what all of these positions have in common is an emphasis onserving the public effectively. Further, as an assistant manager at theShowplace 11 and a staff coordinator at the SRSC, I have gained valuableexpertise in managing employees and creating work schedules. Both of thesepositions have allowed me to develop my sales and people skills, which areextremely important in an increasingly service-driven marketplace.

Not all of my work experience has been as a paid employee. Part of myvolunteering experience at Middleway House, the local battered women’s shelter,involved extensive work on computers, including word processing, organizingdatabases and creating spreadsheets. Also, I recently participated in aninternship program for academic credit with the Eli Lilly corporation in thepersonnel division. As a management intern, I was able to watch the workings ofa major corporation up close and would like the opportunity to combine myexperiences with the theoretical background available in the MBA program at IUB,with its emphasis on computers, marketing and human resources.

My successful internship is one element of my overall academic success asan undergraduate here at IUB, yet I have also made time for a variety ofextracurricular activities, including working for my sorority and competing inintramural basketball. My positive experiences here have resulted in my desireto stay in Bloomington to continue my academic endeavors; furthermore,continuing my education here would allow me to make important business contacts,with the career goal of opening my own computer consulting firm in theMidwest.

The reason why I want to go Singapore is I like to learn some differentculture and I can meet a lot people from all around the world, that way I canmake more friends.
