一、承包项目：

6、以原材料仓库、模具材料仓库、半成品仓库、成品仓库(白铜、黄铜、磷铜、18NI、22NI、25NI、锰料、记忆、易耗品仓库材料等)各金额为资金保底周转资金(以各仓库、车间各类铜材盘点为准附清单;但铜材单价按照盘点当时年月单价为准，盘点的各类铜材重量不变)计人民币( 万元整)。(按银行利息为准，每月30日之前转入甲方帐户)

7、原公司应收未收、应付未付的老帐资金一律由甲方自行负责理清，但需乙方帮助甲方负责收款。

8、税务费、地方管理费、水电费、通讯费、员工计件工资、行政人员工资和其它社会等费用由乙方支付

六、承包权责：

1、乙方(承包人)受权后，有权针对企业生产管理，经营管理、行政管理、技术开发、质量管理等方面提出治理方案;并负责确定协调各部门主管、各车间工作，正确掌握企业发展的经营决策，指挥职能部门和领导广大职工全面完成各项生产、经济技术质量指标。并按季度向甲方提交企业实际财务会计报表，供甲方核实。

2、乙方对主管级以下员工有人事任免权，主管级以上管理人员有建议权。有权自主调动和使用现有的车间人员，在不违犯甲方制定的厂规厂纪的情况下，有权进行奖惩、辞退违纪员工。

3、全公司安全生产、人身安全、消防安全、环境保护，劳动保护由乙方负全责。不断改善劳动条件，关心职工生活，督促好职工福利工作。正确处理企业内部的分配关系，督促好职工福利工作。

4、在生产中发生的安全事故，和因交期或品质等原因产生的客户投诉索赔费用由甲、乙双方共同承担，在20xx元以下由乙方支付，20xx元以上甲方负责40%;乙方自行负责60%。在生产过程中因各种原因造成的补料费用由乙方全部承担，如因交期和品质等原因导致订单变更或取消的，双方根据实际情况确定承担责任。

1、厂房车间各建筑物不变，如需改变房间隔拆建构，需甲方同意，否则不能任意拆除、改变车间、隔拆及墙体的建筑建构。

2、扩大新设备或设备确作废需经甲方同意，否则乙方不能擅自改变

3、设备及低值易耗品，以清单进行交接;如在承包期间损失要按帐面折旧值赔偿。 应按承包合同规定，监督企业管理好资产，监督企业依法经营，照章纳税，履行合同;做好指导、协调、服务工作。

4、乙方流动资金和成品材料及现金由甲方主管人员当月审批。

5、乙方在签订合同日开始，生产出的一切废铜材料只能换原材料，不得买卖;其它废材料如需买卖必须由甲方主管批准。

6、承包期间以厂房、设备，人员不变为基础，需人员技术人员由乙方负责。

八、协议变更

1、本协议生效后即具有法律约束力，甲乙双方均不得随意变更或解除。本协议需要变更或解除时，须经双方协商一致达成新的书面协议，在新的书面协议未达成之前，本协议依然有效。

2、乙方因管理不善或决策严重失误，给甲方造成重大损失的，甲方有权解除协议，不负违约责任。

3、甲方如违反本协议规定，干扰乙方的生产管理活动，使乙方生产管理活动无法正常施行或使乙方的合法收入得不到保障时，乙方有权解除本协议，并要求甲方承担违约责任。

九、违约责任：

1、甲方违反协议规定的，应承担违约责任，给乙方造成经济损失的，赔偿直接损失，并从甲方利润中扣除 %作为违约金。

2、 乙方违反协议规定的，应承担违约责任，从乙的利润中扣除 %作为违约金赔偿给甲方。

3、协议期满，乙方不能按质量交还甲方提供的设备等财产，乙方应赔偿缺少或损坏数量价值的损失，并从乙方利润中扣除 %作为违约金。

十、附则

1、本协议期满后，如甲方仍须将承包时，乙方在履行本协议良好的情况下，甲方应优先考虑由乙方续约。

2、本协议期满后，甲、乙任何一方如需续约或终止协议，应于本协议期满前一个月向对方提出。协议期满后3个月内甲方应支付乙方在承包期间应享有的利润。

3、本协议由甲、乙双方代表签字后生效。

4、本协议正本一式二份，甲、乙双方各执一份。
