房屋买卖合同形式辨析

一、合同形式的概念及其原则

合同的形式，是指作为合同内容的合意的外观方法或者手段。简言之，合同形式是指合同当事人合意的外在形式。《民法通则》第56条规定："民事法律行为可以采用书面形式、口头形式或者其他形式。法律规定用特定形式的，应当依照法律的规定。"《合同法》第10条规定：“当事人订立合同，有书面形式、口头形式和其他形式。法律、行政法规规定采用书面形式的，应当采用书面形式。当事人约定采用书面形式的，应当采用书面形式。”这是法律关于合同形式的一般规定。根据法律规定,合同形式包括书面形式、口头形式和其他形式。

合同形式的选择，除法律另有规定外，由合同当事人协商确定。合同形式自由是合同自由原则的体现。最高法院民法研究室认为，我国《合同法》与世界各国合同的通例相一致，对合同形式采取了从宽态度，尽可能促成合同成立，尽可能促成合同有效，尽可能减少因为合同形式的缺陷而导致合同不成立或合同无效的现象。

二、书面形式是房屋买卖合同的法定形式

房屋买卖合同标的额较大且系比较重要之合同，故法律规定应当采取书面形式订立。《城市房地产管理法》第40条规定：“房地产转让，应当签订书面转让合同……”。《城市房地产开发经营管理条例》第28规定：“商品房销售，当事人双方应当签订书面合同。……”上述规定是认定房屋买卖合同应当采用书面形式的法律依据。根据法律及相关司法解释的规定，房屋买卖合同书面形式应包括如下类型：

(一)正式房屋买卖合同

正式房屋买卖合同是房屋买卖合同书面形式的基本类型，内容一般包括房屋买卖合同的基本条款，如房屋位置、结构、建筑面积、价款及其支付期限、交房期限、质量标准、产权转移登记等条款。尽管法律法规并未规定买卖双方必须采用统一的房屋买卖合同文本，但在办理产权转移登记时，房屋产权登记机关往往要求使用建设主管部门统一制订的规范的合同文本，否则，不予办理备案、登记。但是，并不因为不使用统一合同文本而影响书面房屋买卖合同的成立和效力。实践中，商品房买卖时，要求必须使用建设主管部门统一制作的格式文本。但在正式合同文本签订之前，多由开发商提供认购书、预订协议等预约合同文本要求买受人签署，其中有的预约合同已经具备本约性质，相当于房屋买卖合同。二手房买卖的合同形式未作统一要求，买卖双方一般会根据协商一致的意见共同起草一份房屋买卖合同，经双方签字、盖章生效，并据此履行，在产权登记机关填写的制式合同只作为登记文件使用。

(二)具备特定条件的预约合同

最高人民法院《关于审理商品房买卖合同纠纷案件适用法律若干问题的解释》(下称商品房买卖司法解释)第五条规定：“商品房的认购、订购、预订等协议具备

(三)房屋买卖合同的其他书面形式。

《合同法》第11条规定：“书面形式是指合同书、信件和数据电文(包括电报、电传、传真、电子数据交换和电子邮件)等可以有形地表现所载内容的形式。”根据《电子签名法》第3条第3款的规定，“涉及土地、房屋等不动产权益转让的”的文书，不适用“电子签名、数据电文”。无疑排除了以“数据电文”为表现形式的房屋买卖合同。记载双方房屋买卖意思表示的、以有形方式表现的信函等双方往来资料，应当认定为其他书面形式的房屋买卖合同。有些情况下，没有书面合同，也无法认定口头合同存在，买受人以其持有的购房款收据或发票主张房屋买卖合同成立。此时，买受人持有的购房款收据或发票，既是书面合同形式，也是合同实际履行证据，如果收据或发票载明的房屋位置具体、房屋价款明确，应当认定双方之间的房屋买卖合同成立。笔者认为，认定其他书面形式的房屋买卖合同成立，已有书面证据必须能够证明三项事实：房屋买卖的意思表示、房屋具体位置和价款。

三、口头形式和其他形式的房屋买卖合同的认定

由于法律法规规定，房屋买卖合同应当采用书面形式订立，故，一般情况下，不应认定买卖双方以口头或其他形式成立房屋买卖合同。认定口头或其他形式成立房屋买卖合同，必须具备合同法规定的合同实际履行条件。《合同法》第36条规定：“法律、行政法规规定或者当事人约定采用书面形式，当事人未采用书面形式但一方已经履行主要义务，对方接受的，该合同成立。”《合同法》第37条规定：“采用合同书形式订立合同，在签字或者盖章之前，当事人一方已经履行主要义务，对方接受的，该合同成立。”根据上述规定，当事人未采用书面形式订立房屋买卖合同的，或书面合同形式存在重大缺陷的，只要一方已经履行主要义务，对方接受，即可认定合同成立。如买方已支付大部分(50%以上)购房款，卖方接收，主张合同成立的一方必须证明付款用途为购房，且房屋具体位置确定。如卖方已交付房屋，买方接收，主张合同成立的一方必须证明房屋系为买卖目的所交付，且房屋价款能够确定。

四、应当认定本案争议房屋买卖合同成立

有观点认为，本案双方当事人签订的认购书并未具备《商品房销售管理办法》第16条规定的商品房买卖合同的主要内容，依据商品房买卖合同司法解释第2条规定，房屋买卖合同未成立。笔者认为，此观点不能成立，应当认定甲、乙双方房屋买卖合同成立。理由如下：

(一)“认购书”已经具备本约性质，不应认定为预约合同。商品房买卖合同司法解释第2条规定只能针对预约合同适用。本案中，甲、乙双方签订的协议虽名为“认购书”，但约定内容并不限于对将来进行房屋买卖有关事宜的初步确认，而是对有关房屋买卖事项的作出了具体明确的约定，如房屋价款确定，付款期限明确，且约定全部购房款应在签订正式房屋买卖合同之前付清等。“认购书”不再属于预约合同，而是具备了本约合同的性质。协议中虽约定应签订正式房屋买卖合同文本，但系为办理合同备案及产权转移登记所需。这种情况下，应认定双方房屋买卖合同已经成立，不应适用商品房买卖合同司法解释第2条的规定。

(二)甲方已经付清了全部购房款，实际履行了全部合同义务，乙方已经接收，认定双方房屋买卖合同不成立，既违背合同法关于合同成立的相关规定，也不符合维护交易安全的司法原则。商品房买卖合同司法解释第2条规定对预约合同的内容要求较为严格，但对实际履行条件规定较为宽松，即“出卖人已经按照约定收受购房款”，对履行义务的程度未作要求。而本案中，乙于约定期限届满次日付清全部购房款，虽不符合约定，但甲已经接受，视为双方以实际履行变更原合同约定。乙付清全部购房款，甲接收并出具发票，理应属于“一方已经履行主要义务，一方接受”。即使甲、乙双方并未签订认购书，根据《合同法》第36条的规定，也应当认定双方之间的房屋买卖合同成立。认定房屋买卖合同不成立，导致乙完全履行了合同义务却无法实现合同目的，只能要求乙方返还购房款，其权益必然受损，既不符合公平原则，也不利于维护交易安全。
