2.甲方应积极配合乙方的销售，负责提供看房车，并保证乙方客户所订的房号不发生误订。

3.甲方应按时按本合同的规定向乙方支付有关费用。

第七条乙方的责任

1.在合同期内，乙方应做以下工作：

（1）制定推广计划书（包括市场定位、销售对象、销售计划、广告宣传等等）；

（2）根据市场推广计划，制定销售计划，安排时间表；

（3）按照甲乙双方议定的条件，在委托期内，进行广告宣传、策划；

（4）派送宣传资料、售楼书；

（5）在甲方的协助下，安排客户实地考察并介绍项目、环境及情况；

（6）利用各种形式开展多渠道销售活动；

（7）在甲方与客户正式签署售楼合同之前，乙方以代理人身份签署房产临时买卖合约，并收取定金；

（8）乙方不得超越甲方授权向客户作出任何承诺。

2.乙方在销售过程中，应根据甲方提供的________________项目的特性和状况向客户作如实介绍，尽力促销，不得夸大、隐瞒或过度承诺。

3.乙方应信守甲方所规定的销售价格，非经甲方的授权，不得擅自给客户任何形式的折扣。在客户同意购买时，乙方应按甲乙双方确定的付款方式向客户收款。若遇特殊情况（如客户一次性购买多个单位），乙方应告知甲方，作个案协商处理。

4.乙方收取客户所付款项后不得挪作他用，不得以甲方的名义从事本合同规定的代售房地产以外的任何其他活动。

第八条合同的终止和变更

1.在本合同到期时，双方若同意终止本合同，双方应通力协作作妥善处理终止合同后的有关事宜，结清与本合同有关的法律经济等事宜。本合同一但终止，双方的合同关系即告结束，甲乙双方不再互相承担任何经济及法律责任，但甲方未按本合同的规定向乙方支付应付费用的除外。

2.经双方同意可签订变更或补充合同，其条款与本合同具有同等法律效力。

第九条其他事项

1.本合同一式两份，甲乙双方各执一份，经双方代表签字盖章后生效。

2.在履约过程中发生的争议，双方可通过协商、诉讼方式解决。

借款合同的主要条款

《中华人民共和国合同法》第一百九十七条第二款规定，借款合同的内容包括借款种类、币种、用途、数额、利率、期限和还款方式等条款。

借款的种类

借款的种类决定借款的期限、利率和其他合同条款。因此，合同中必须规定好借款的种类。

借款的币种

借款合同的标的是作为特殊商品的货币，根据不同情况可以是人民币也可以是外币。因此，合同中必须约定借款的币种。

借款用途

这是借款合同的最主要内容，出借方可以据此监督借款方的资金使用方向。只有符合国家批准的信贷计划所规定的用途，并保证专款专用，银行和其他金融机构才能给予贷款。目前，我国的贷款范围还限于生产、经营、基本建设、技术改造和社会服务等。至于弥补亏损、工资福利、垫支税款等支出，不能申请和发放贷款。

借款金额。

这是指根据借款方申请、经银行核准的借款数额。借款人可以按约一次性提取借款，也可以分期分批地使用，但不得超额。

借款利率。

在中国，银行的借款利率是由国家根据区别对待、择优扶植、有所鼓励、有所限制的原则，对不同行业规定不同利率。借款合同均须根据这种规定的利率签约。

借款的期限。

中国的银行贷款有短期和中、长期贷款之分。短期贷款一般不超过一年，中、长期贷款可达1一5年，甚至更长。无论是短期贷款还是中、长期货款，到期均需还本付息。

还款的资金来源及还款方式

贷款实行“有借有还、谁借谁还”的原则。国有企业偿还贷款的资金来源，可以是贷款项目投产后增加的产品利润，固定资产折旧基金和固定资产占用费等。乡镇企业偿还贷款的资金来源，可以是贷款项目投产后新增加的产品利润和固定资产的折旧基金等。在还款期间，企业的主管部门不得从所属企业贷款项目中提取利润和各项基金。基本建设“拨改贷”项目的利息，由建设银行按年计算，并在项目投产后，连同本金逐年偿还，且在新增加项目增加的利润中支付。超过规定的还款期限，则由企业的自有资金支付。至于如何归还，可以分期归还，也可以一次性归还。归还的方式不相同。应付的利率也相应不同。

保证条件。

借款合同必须规定保证条件，这是借款合同不同于其他经济合同的地方。借款合同的保证，以物资保证为主。在取得贷款方同意的情况下，借款人也可以采用保证人保证的方式。

合同的变更和解除

我国的《借款合同条例》规定，发生下列情况之一的，允许变更和解除借款合同：

①订立合同所依据的法规、政策、国家计划发生重大变化，原概算或预算发生重大变化甚至取消的;

②原批准机关决定缓建或停建该借款项目的;

③借款方经国家决定关闭、停产、合并、分立或转产，以致确实无法履行借款合的;

④由于不可抗力确实无法履行借款合同的。

此外，如借款方出现下列行为，经制止无效的，也可以导致出借方解除借款合同：违反财经纪律;不按规定用途使用贷款，或任意扩大项目规模;或管理不善，浪费严重，或进度缓慢，迟迟不能竣工的;或借款合同签订后，借款超过规定期限尚未用款的，都可以变更或解除原借款合同。

违约责任

出借方的责任是：未能按期限提供贷款，应按违约数额和违约天数，并按银行规定的罚息计息方法，付给借款方违约金。借款方的违约责任是：

①如果不按合同的约定用途使用贷款，出借方有权部分收回或全部收回贷款。对违约使用部分，按银行规定的利率加收罚息。

②借款方如不按期偿还借款，出借方有权限期追回贷款，并按规定加收罚息。

③借款方使用借款造成浪费或利用借款合同进行违法活动的，出借方有权收回本息。再由有关部门追究借款方的行政责任或经济责任。

进了“观音洞”，大家都纷纷冲上去拜观音，希望能给家人带来平安。

接着又到小龙湫、卧龙谷，又印证了《雁荡山诗词》中：“巨石巍然生峭壁，龙湫秀美笑蛾眉”的景象。

接着最刺激的莫过于飞渡表演了，

2号下午共同抵达金峰峡谷进行漂流。

金峰峡谷漂流景区位于国家AAAAA级风景区千岛湖金峰乡朱峰源，是江南最具特色的峡谷漂流。

整个景区内可见处处山随水转，水绕山行，绿树成荫，蜂蝶相戏。

从漂流起点出发：穿越时光隧道的浪漫惬意，36米落差的飞瀑急流浪遏飞舟，沿林木成阴的水道跌宕起伏顺流直下，时而急流澎湃，飞艇冲浪;时而平缓如砥，泛艇戏水;无法言语的“刺激和释放的”感觉……各位同仁时而泛舟奋力前行，时

3日上午，大家共同坐上游船，前往千岛湖海拔最高的岛屿梅峰观岛。

梅峰观岛位于千岛湖中心湖区西端的状元半岛上，它以群岛星罗棋布、港湾纵横交错、生态环境绝佳而被确定为千岛湖的一级景点。

登上梅峰观景台，可以纵览300余座大小岛屿，是目前千岛湖登高揽胜的最佳处。

“不上梅峰观群岛，不识千岛真面目”，这是到过梅峰的中外游客对其群岛风光的一致赞誉。

之后大家共同前往蛇岛，先前往表演场地观看泰国红艺人表演、人蛇共舞等精彩节目后在岛上游览参观。

蛇岛原名五龙岛、岛上有四个蛇池。

蛇池内有水池、喷泉、土丘、灌木丛、洞穴、冬眠室等，放养了十几个品种的二三百条蛇，盘缠在草丛和树上的蛇群，有的争食斗殴，有的昂头吐信，使游人惊叹不已。

中午在游轮上共进午餐，大家在游赏湖光山色的同时彼此交流心得，增进感情，这次旅行给每个人留下的印象都十分深刻。

它让大家体会到了工作之外的那份亲情和感动，体会到大家是一个融洽的团队，体会到万千是一个温暖的大家庭，更让大家体会到公司组织这次旅行的良苦用心。

下午乘坐客车回到公司，千岛湖之旅结束了，仔细回味这段旅行的同时，又要开始筹备新一轮的工作。
