感悟篇(一)

有志者事竟成，破釜沉舟、百二秦关终属楚;苦心人天不负，卧薪尝胆、三千越甲可吞吴!适逢抗战胜利70周年，财大资环亮剑队在7月上旬满怀激情的开始了团队在信阳及周边地区的红色之旅，去重温那段充满峥嵘岁月的历史。

英雄已故，精神永存

确山被称为“驻马店红色文化第一县”。团队首先来到了被称为伟大的抗日民族英雄、优秀的共产主义战士、杰出的人民军队将领、卓越的无产阶级革命家——杨靖宇将军的纪念馆。这里有着大量详实的有关杨靖宇将军的历史文物和资料，如杨靖宇将军牺牲前食用的草根、树皮、棉絮，杨靖宇将军穿过的棉袜、靰鞡鞋等，让队员们深刻感受到杨靖宇将军抗战生活的艰辛与苦难。

竹沟革命纪念馆是确山又一重要的革命纪念地。李先念、刘少奇、方毅、王震、张爱萍、王思茂、张震、徐海东等党和国家领导人都曾在这里工作。当然，也有许多革命先辈在这里献出了他们宝贵的生命，为了纪念他们，这里兴建了竹沟革命烈士陵园;当队员们来到陵园时，被这里庄严的氛围所影响，不由自主的产生了一种对他们的敬畏之情，也深深的了解到革命胜利的来之不易和如今幸福生活的宝贵。

经历多方打听与寻找，团队找到一位耄耋老兵——王义祥。当谈到日军时，王义祥老人就有些激动“小时候在家乡见到过驻扎在那里的日军，他们烧杀抢掠、无恶不作，那时就非常的恨他们!”

据王义祥老人回忆，他邻居家的女人就被日本鬼子猥亵过，如今她已不在人间。“日本鬼子简直不是人，把那女人侮辱后，还把她推到粪坑里......”说道这里时，王义祥老人哽咽了，队员能够理解老人的感受，同时也体会到了日军侵华对老百姓的迫害与伤害。

感悟篇(二)

有志者事竟成，破釜沉舟、百二秦关终属楚;苦心人天不负，卧薪尝胆、三千越甲可吞吴!适逢抗战胜利70周年，财大资环亮剑队在7月上旬满怀激情的开始了团队在信阳及周边地区的红色之旅，去重温那段充满峥嵘岁月的历史。

国共齐心，鞑虏必驱

信阳是鄂豫皖革命根据地的重要组成部分。当团队到达鄂豫皖革命纪念馆时，恰巧碰见了信阳师范学院前来实践的团队，很幸运能够偶遇志同道合之人并能一起为纪念抗战70周年做一些力所能及的事情;他们团队对我们团队前来实践提供了鼓励和一些帮助，队员非常感谢他们的帮助。随后我们走进纪念馆。纪念馆内陈列着大量历史文物，看着那些古老的展品，仿佛再现了共产党建立革命根据地不易;队员沿着纪念馆的走廊，队员们感受到肩上重重的责任感，是那种承担着中华民族伟大复兴的责任感、是那种承担着保护中华民族不再受外人欺凌的责任感、是那种承担着永远铭记抗战先烈的责任感......

为了更加深刻的学习革命精神，队员们庄严地在入党誓词前宣誓“我志愿加入中国共产党...”

武汉会战使得日军速战速决的战略方针被彻底粉碎、也使得日本国力因损耗过巨而开始急剧表面化。团队参观了位于信阳鸡公山上的武汉会战纪念馆——花旗楼。在这里，仿佛重现了当时蒋介石领导并主持武汉会战会议的场景，楼中的防空洞也真实的还原了历史原貌，让我们重新认识了这次抗日战争战略防御阶段规模最大、时间最长、歼敌最多的一次战役。

将军故乡，革命摇篮

新县是有名的将军县，队员早就想要来到这里学习与参观。这里有许世友将军与郑维山将军等故居、这里有鄂豫皖苏区首府革命博物馆与鄂豫皖苏区首府烈士陵园等纪念地、这里也有中共中央鄂豫皖分局旧址与首府路与航空路革命旧址等一系列抗战遗址。团队一一参观了新县的这些红色地区，被许世友将军和毛泽东同志那深厚的革命友谊所打动、被鄂豫皖苏区13万名革命烈士所震撼、被中共中央鄂豫皖分局旧址对历史真实的再现所愤慨......所有的这些，都让队员充满了忧患意识、立下决心要发奋学习、报效祖国。

珍视和平，开创未来

前事不忘，后事之师。我们要以史为鉴、了解历史、铭记历史、缅怀先烈、珍视和平、开创未来。我们要永远怀念革命先烈们。虽然他们早已不在，但他们应当永远活在我们的记忆中，因为现在的幸福生活都来自于他们战场上的的牺牲奉献。

人一生中，可能会养成好习惯，也会养成坏习惯。但一个好习惯能让人终生受益，一个坏习惯对我们的生活、学习都有许多不便和不快

习惯，常听妈妈说这个词。习惯到底是什么呢?是你用筷子吃饭，是你用右手写字。习惯重要，它能够有利于你一生，而你也有可能就因为它而苦恼不已。同学们，暑假来了，我们是不是应当养成一些有益于我们的习惯呢?俗话说得好：冰冻三尺，非一日之寒。

大家好!

在某某小，这个和谐、进取、创新的学校中，我迎来了教师生涯的第二个春秋。一年的教学生活让我体会到了教师这一职业的特殊、光荣、艰辛和幸福。今天，能站在这里，心里又紧张又激动。但是，还是很开心能和大家一起来分享我这一年来的成功和失败。称不上什么经验，却是我最想和大家分享的。

曾经看到过这样一段话：一位合格的老师，就是一盏灯，他的光不一定耀眼，但是一定能够长久地照耀着人生的道路。要时刻想到，你的工作是无可取代的。教师要活在“人世间”，只能“捧着一颗心来，不拿半根草去”。所以，我告诉自己，想要成为这样的一盏灯，就必须要靠自己的不懈努力。于是，从站上讲台的那一刻起，我便一直这样努力着。

回想去年的这个时候，我和在座的所有新老师一样，怀揣着一份特殊的情感走上这个岗位。也曾在我们的晨会上，作为代表抒发着作为一位新教师对自己第一个教师节的感想。转眼现在，我已经在享受自己的第二个教师节了。回想这一年的点点滴滴，还真的是成长了不少，收获了不少。

记得刚进学校那会儿，面对新的环境，面对新的角色，面对一大群刚从幼儿园上来的一年级新生，还真有些茫然，觉得自己是在摸着石子过河，心中一点底都没有，不知道自己的教学方式是否有效，不知道自己的班级管理方法是否准确，怕因为自己的原因让孩子们不能更好的发展。其实，我也算是一个比较坚强比较自信的人，很少会出现这样的时候。还记得有一次当我外出听课回来之后，听说了班上有孩子拿了小店的玩具。当时的感觉是一下子蒙了。

但是望着孩子茫然不知所措的眼睛，突然觉得很心疼，也立刻冷静了下来。联系家长，教育孩子，一切都很顺利地进行着。回到教室后，望着底下某某双清澈的眼睛，眼泪就止不住出来了。心中充满着无法言语的情感，将心中所有的担心、忧虑和对孩子的期望一古脑儿说了出来，或许对于才7岁的孩子，这些根本无法听懂，但我想让孩子知道，老师爱你们。这是我第一次在学生面前哭，也是我第一次那么不相信自己。不是因为太累，也不是因为委屈，而是因为心中的那一份无形的责任，对孩子成长的责任。

事后想想还挺丢脸的。那么大个人了，竟然在一群孩子面前哭鼻子。不过看着很多孩子也满脸泪水地说着要努力的话，真的很感动。于是，我告诉自己要更加努力地让自己快快成长，这样才能让孩子们更好的成长。也是经过这件事情之后，才让我真正完成了角色的转换，真正感受到作为一名教师的特殊。

作为一名新教师，怎样摆正自己的位置十分的重要。因为在学生时代，就有老师和我说了很多这方面的重要性，所以，一开始，我就把自己摆在了一个正确的位置。让自己少走了不少歪路。我清楚的认识到，无论以前的我在学校里多么优秀，有多少的成绩，也只能代表过去。在教师这个职业大家庭中，我是一名新成员，什么事情都是从零开始，要抛弃过去的一切荣耀、光彩。努力让自己去适应这个新的环境，去融入这个大家庭中。而我也这样努力去做了，一开始，虽然很多老师的名字都不能一一记住，但是，在路上遇见，我总是会献上自己最灿烂的微笑，主动和大家交谈，拿出自己最大的诚意来。因为，我觉得，这就是一个新教师所应该有的态度。

作为一名新教师，其实更多的时候我还是把自己当作是一个学生，因为我知道，在我身边的每一位同事都是我的老师，他们很多都有着丰富的教学经验，有着各自的教学风格，所以每听一次课，我就会有很多的收获，会发现原来课可以这样上。听课对于我而言，也是学习的一种很好的方式，从中可以得到许多在书上无法学到的实践经验。

在我们学校，很多有经验的老师都会有自己班级管理上的一些特别的行之有效的小窍门。这些都是很宝贵的经验，也正是我所缺少的。是我要好好学习的。所以，我要学的还有很多。有的时候，我也会主动提一些自己在教学或班级管理上遇到的问题，寻求大家的帮助，和大家一起交流，从她们的经验中得出自己想要的结论或者方法，而且有时候，甚至会得到许多意想不到的惊喜，让我受益匪浅。

所以，在这里，也想对和我一样的新老师说句真心话：过去的荣耀都代表过去，现在，请放下面子，放下胆怯，放弃自己的闭门造车，快快地让自己融进教师这个职业大家庭吧，只要你主动，相信很多的老师都会愿意帮助你。我也非常庆幸自己在第一年的时候就遇到了那么多的良师益友。给我最多鼓励和帮助的我的师傅杨老师，同年级的有经验的却一直无条件帮助我的老师们，给了我很多机会外出听课学习和给我很多教诲及启示的某老师，还有很多帮助过我，给过我微笑的老师，是她们的鼓励和帮助，让我更快地找回了自信，开始在某某小这块肥沃的土地上健康地成长。

在这一年里，我也拥有了许多展示自我的机会。一开学的教师节庆祝活动，很意外地让我担当了主持人。在第一届镇级辅导员素质比武中获得了演讲三等奖，才艺二等奖和综合的二等奖的成绩。还参与了校鼓号队的组建和训练工作。班上的孩子在我的指导下获得了故事大王比赛的一等奖。在青年教师的课堂比武中，也能够很好的完成出课任务，精心准备，反复修改教案，重复试教，请有经验的老师听课，并认真听取大家的意见，及时地更新自己的想法，也获得了不错的成绩，得到了大家的肯定。

而我印象最深的一次，应该就是上学期的某某市迎六一文艺比赛，安排到我们学校的刚好是舞蹈。于是，我参与了舞蹈的训练。而之所以会印象深刻，是因为花的心思最多，每天的早上，中午，傍晚的休息时间都是在训练中度过的，一方面要完成自己班上的教学任务，另一方面也要加紧时间练习舞蹈，所以，那段时间说实在真的是蛮累的。但是，也没有想过说要敷衍了事，因为对于舞蹈，自己本来就有一份坚持，另外，这也是我工作以来接手的最重要的一次比赛，代表的是我们整个学校，甚至整个某某教办，所以就算是累也还是会坚持下去的，不能辜负大家的期望。最后比赛结果，我们的舞蹈获得了某某市某等奖。大家都挺满意。可是，我相信，下次会更好。

经过一年的历练，我成长了许多，享受到了成功的喜悦，也感受到了失败的难过。这些让我更加理智，也找到了许多自己的方式。但是在教学，班级管理这条道路上，我还将一直探索下去，因为一年的时间，还远远不够去好好探索的，而且这条路也没有尽头，有的只是更多的经验和创新。所以，在我接下来的日子中，我要做的就是继续努力，让自己健康地成长。其实这对大家，对每一位老师而言都不难，只要摆正自己的位置，放正自己的心态，那么无论遇见什么样的困难，都是可以解决的。

第二次集中培训，当我听了特级教师虞大明老师的讲座《盘点成长路上的关键词》后，感触颇深。虞老师的讲座，精彩纷呈、行云流水，在轻松愉悦的氛围中让人增长见识。虞老师用8个关键词串起了自己成长路上8个最为关键的原因：机会、导师、公开课、比赛、研究、勤反思勤动笔、否定与超越、“悦”读一切。正因为他牢牢地把握住了这些因素，让自己由一位无名小卒走到了小学语文的高端舞台，并还将继续活跃在备受瞩目的舞台上。

对于每个人来讲，机会是平等的，只看自己是否会把握、会珍惜而已。虞大明老师盘点自己的成长之路，告诫我们：承载着理想登上舞台，把握住机会走向成功。我在实验小学工作已是第七个年头了，这七年既短暂又漫长，这里边既有领导的关心、同事的帮助，也有自己的艰辛努力。回顾自己走过的教学之路，欢乐与辛酸同行，收获与遗憾同在。我有几点成长感悟与大家分享：

一、时刻保持一个良好的心态。

教师是一份平静的职业，教师的工作是平平常常的，心态决定教师的素质和教育教学工作业绩。教师要以良好的心态勇敢地面对挑战，适应时代发展的需要。工作中有很多事情需要我们主动去做，这样不但会锻炼自己，也提高了自身的素质，同时也为自己争取到更多的机会。作为一名教师要有奉献精神，不去计较个人得失。如果什么事情都需要别人来告诉我们，我们就已经很落伍了。任何人都有自己的缺陷，都有自己相对较弱的地方，只要不断学习，去吸收时代的、别人的、科学的、优秀的东西。学会学习，就会成功。

二、懂得感恩是教师成长的必备素质

要想成为一个优秀老师，得有一颗感恩的心，也就是要具有良好的教育心态。因为感恩，你才有爱心，才会爱生活，爱从事的工作;有了爱心，才能长智慧，有了爱心，你才会努力，才会勤奋，才会反思，才会坚持，才会成长……现在回顾自己的成长历程，我觉得自己所付出的一切都源于感恩，是在感恩中静心学习，尽心工作，用爱心回报社会。

三、做个有心人，及时的反思教学不断提高自己的业务水平

美国教育心理学家波斯纳说，没有反思的经验是狭隘的经验，至多只能是肤浅的知识。因此，他提出了教师成长的公式：成长=经验+反思。我们最需要反思的就是自己教学行为,从教材解读与设计、教法与学法的选择、课堂细节的处理等层面去反思。作为日常的教学，近年来我常常用这样的几个问题去反思自己的教学：这节课，我投入激情了吗?对教材的解读，有更恰当的角度吗 这节课的教学目标合理可测吗?这节课中最难忘的一个细节是什么?这节课最大的遗憾是什么?如果重新来教这节课，哪个地方最值得改进?反思的深度，决定着教学所能达到的高度。活跃在教坛上的大师们，其实也是反思的高手，也是通过一步步的成长，才成为今日的“明星”。

作为一个老师，我们除了反思教学，还可以反思为人处事，反思一切可以反思的东西。同时，要边反思，边记录，用键盘留下文字，为研究自己的教育教学提供鲜活的案例。

四、有承担才有成长

除了做好本职的工作之外，更要兼顾好领导安排的工作。这个学期我接管少先队工作，我觉得是领导给了我一个很好的学习和锻炼的平台。总之，我会尽我所能、用心地做好领导安排给我的这份工作。

学习《教师成长手册》后我才发现一日活动中的各个环节都是有讲究的，从早晨的来园活动、户外活动、一日生活活动、游戏活动、学习活动、晚上的离园活动每一个活动环节都需要我们自己精心设计，这样才能使幼儿得到很好的发展。

我就其中的运动活动讲讲我自己的学习体会。

一、加强观察、关注个别差异，注重启发和随机指导

要指导幼儿，首先要了解幼儿，要了解幼儿，就要通过观察。观察要有目的性和连贯性，经过多次观察，才能正确估计幼儿的活动水平。

教师除了在一旁观察，然后适时介入以外，也可以参与孩子的游戏中去，以同伴的身份与孩子一起玩，给予潜移默化的示范、指导 其实，幼儿除了有想与同伴一起运动一起游戏的欲望以外，他们也很愿意与老师一起运动一起游戏，往往和老师一起游戏的时候他们都很容易兴奋，有目的地运动。而教师在运动中的方法技巧往往能对幼儿有潜移默化的作用，幼儿在观察中得到了经验。建立教师与幼儿、幼儿与幼儿之间的一种平等、双向、互动的关系。教师一方面是实用的、常见的较为完善的活动器械的提供者，是激发幼儿主动探索活动、主动参与活动并激发幼儿活动兴趣的引导者。同时，教师也是活动的参与者。教师参与本身就能提高孩子活动的兴趣，教师应成为活动的参与者，身临其境，教师与幼儿一起同玩同乐，孩子们会感到格外的高兴。另一方面教师须挖掘幼儿的运动潜能，以不断发展幼儿的活动水平;而幼儿作为活动的主体，在有限的空间、有限的器械中，不断地主动探索，扩展活动范围与活动方式、内容、以发展活动经验、活动能力、活动意志与态度。例如现在活动中我们说的更多是：“我们一起来试试!”，而不是“老师请你们玩……”，因为这样不仅拉近了师幼关系，也体现了一种师幼的平等关系，朋友关系。

二、教师的作用在于给予幼儿必要的保护和帮助

《手册》指出：“教师对幼儿活动时的场地、设施、器械、服饰、以及擦汗、喝水等都要予以关注，提高幼儿的自我保护能力，保证幼儿的活动能安全有效地开展。”由于幼儿在生理和心理上均发育不完全，极易在运动中发生事故或危险，因此，教师必须认真观察幼儿的活动情况，及时给予必要的保护和帮助，确保活动安全有效地进行。

首先，教师要对容易出现问题的活动材料有清楚的认识。如竹梯被架高时一定要两头固定，否则两头容易滑脱或一头翘起而发生危险;轮胎垒高时一定要检查是否垒得整齐，以确定幼儿从上往下跳的安全性;玩圈时，圈不能套在他人的脖子上，以免引起窒息;玩滑板车时应有宽敞的场地条件，以免撞到幼儿的身体，等等，对活动中的不安全因素要及时进行调整、改进，以保证幼儿的人身安全。

其次，对于参加活动有困难的幼儿，特别是那些年龄小、能力弱的幼儿，除了注意场地、设施、器械等方面的防护外，更应从心理上满足幼儿的安全需要。要尊重幼儿不想参加活动的权利。有些幼儿由于性格或其他原因而不会、不想、不敢自主进行活动时，不要急躁地替孩子选择，不妨多用些耐心，多给孩子一点时间，引导幼儿慢慢参加自主活动。如小年龄幼儿看到大一些的幼儿走有一定高度的竹梯时，也会产生自己亲自去尝试一下的欲望，但真正面对时却又十分胆怯，常常不敢走或要拉着老师走，这时如果教师能及时调低高度，并在幼儿通过时伸出手扶一扶、拉一拉给予一定保护和鼓励，使他们感到有心理上的安慰，那么幼儿的畏惧心理就会慢慢减退，就会大胆尝试这一动作，从而获得身体平衡能力的发展以及成功的愉快体验。

今天听了两位名师教育教学经验介绍，深深地吸引着我、感动着我，让我的心潮起潮伏，让我的心灵震撼。让我从全新的视觉角度审视“我”、“教师”这个职业，好多以前处于朦胧状态的问题迎刃而解，眼前豁然开朗。 我收获最大的是体会到只有努力提高自身的素养，丰富自身的底蕴，倾情投入教育教学工作，积淀方法，摸索经验，在活动中历练，才能促成自身的专业成长。要想在教育教学工作中有一番出色的表现，没有捷径，只有靠自己，一步一个脚印，实实在在地去学习，去探索，去实践，去思考。教师，作为培养人才的人，教学素质必须要跟上时代的步伐，必须树立现代教学思想，掌握渊博的知识，具有较强的信息素质和学习能力。我作为教师中的一员，必须不断学习才能适应教学工作，必须脚踏实地地学习研究，才能在自己的专业素养上成长起来。

赞赏孩子、信任孩子、鼓励孩子，赞赏每一个孩子的独特性，赞赏每一个孩子所取得的哪怕是极其微小的进步，赞赏每一个孩子所付出的努力和所表现出来的善意。帮助孩子扬长避短，克服自卑，树立自信心，让孩子感到学习是自己的一种荣誉。

爱，可以给孩子以心灵的温暖，爱，可以让孩子更自信。愿我们每一位教育工作者都献出一点爱，时时、事事呵护孩子的自尊心，与孩子共同享受教育的美丽。高尔基说过：“谁不爱孩子，孩子就不爱他，只有爱孩子的人，才能教育孩子。”这句话我感受最深的就是一个“爱”字。我想，我们做为一名教师要热爱学生，热爱自己的事业;还要有强烈的创新意识，不照搬书上的东西，要勇于创新、敢于标新立异。最关键的是要保持宽容的心境，在今后的工作中遇到困难要不断的向有经验的同事请教，与同事要互相关心、和睦相处。

通过交流，教会我作为人师者，在工作中如何追求与奉献，在生活中如何投入与面对，如何使自己的观念不断地体现于自己的教学行为中，也让我学会自省，学会了反思，学会了回过头来看过去。我愿意做“教师成长”中的一名成长教师。我想，不只是我，我们全校许多同事都将在这次学习中逐渐成长起来。

以前我常忽略这样或那样的事情，通过学习后，让我了解到了教学应当充分发挥学生的主体性。不断的学习、实践与反思，让我在教学过程中日益成长。我相信只要坚持不懈，以良好的心态对待成长中遇到的困难和挫折，不断求知，善于实践，积极反思，就会成为一名符合现代教育需要的成功的教师!

新的一年到来了在新的一年里我对自己的教学有以下计划。

一、近期个人发展目标。

1、认真钻研新教材，研究教法，体会新课程的性质、价值、理念，提高自己的执教能力。

2、继续探索“生活化、情境化“的创设方法，掌握“生活化、情境化“的课堂风格。

3、重视对有效课堂的研究、实践，在探索、感悟、反思中不断提高自己的课堂驾驭能力，使自己成为一个学习型老师。

4、加强基本功的训练，在钢笔字、粉笔字、普通话、写作的基本功方面都有较大的提高。

5、利用现代化设备，借鉴网络资源，加强对教材体系的梳理，多看名师课堂实录，取他人之长，补已之短。

二、长期个人发展目标

1、养成了良好的阅读习惯，并能有自己的阅读心得或是教育随笔、论文等在市或市级以上教育期刊发表。

2、树立了终生学习的观念，在不断的综合学习中提升了自己的科学素养，成为了一个有内涵的教师。

3、关注高效课堂的研究和实践，并能成为有一定个性的县内或市内知名教师，成为学生喜欢、家长放心、领导省心的教师。

4、锻炼好自己，让自己的专业知识、基本功以及做人都达到一个全新的高度，做一个真正的教育者。

三、为实现以上目标我准备采取以下措施：

1、加强师德师风的修养，形成高尚的人格，有一颗进取的心。要热爱学生，对学生有博爱之心，要以诚相待，要宽容和有强烈的责任感。

2、树立终身学习的理念。教师终身学习应具备五种能力：学习能力、教育科研能力、适应现代教学能力、研究学生能力、自我调控能力，今后我要在这些方面多下功夫。

3、更新教育观念，不断学习与反思，勤动笔，勤动脑。不光认真钻研本学科知识，同时不断拓宽自己的知识视野，增加自身的知识含量。这其中最重要的一点就是必须持之以恒。

4、做一个勇于课堂实践的老师。认认真真地上好每一节课，不仅是学生的需要，也不教育发展的最终目标。发展教育就是要让老师的发展带动学生的发展。做一个科研型的教师，不断地实践、探索、总结自己的教育行为，必将把自己打造成一个科研型的教师、学者型的教师。

一般货物出口合同格式（附英文）

合同号码： 签约日期： 买方： 卖方： 本合同由买卖双方缔结，用中、英文字写成，两种文体具有同等效力，按照下述条款，卖方同意售出买方同意购进以下商品： 「章名」 第一部分 1.商品名称及规格 2.生产国别及制造厂商 3.单价（包装费用包括在内） 4.数量 5.总值 6.包装（适合海洋运输） 7.保险（除非另有协议，保险均由买方负责） 8.装船时间 9.装运口岸 10.目的口岸 11.装运唛头，卖方负责在每件货物上用牢固的不褪色的颜料明显地刷印或标明下述唛头，以及目的口岸、件号、毛重和净重、尺码和其它买方要求的标记。如系危险及/或有毒货物，卖方负责保证在每件货物上明显地标明货物的性质说明及习惯上被接受的标记。 12.付款条件：买方于货物装船时间前一个月通过＿＿＿＿＿＿银行开出以卖方为抬头的不可撤销信用证，卖方在货物装船启运后凭本合同交货条款第18条A款所列单据在开证银行议付贷款。上述信用证有效期将在装船后15天截止。 13.其它条件：除非经买方同意和接受，本合同其它一切有关事项均按第二部分交货条款之规定办理，该交货条款为本合同不可分的部分，本合同如有任何附加条款将自动地优先执行附加条款，如附加条款与本合同条款有抵触，则以附加条款为准。 「章名」 第二部分 「章名」 14.FOB/FAS条件 14.1.本合同项下货物的装运舱位由买方或买方的运输代理人＿＿＿＿＿＿＿＿＿＿＿租订。 14.2.在FOB条件下，卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期装上买方所指定的船只。 14.3.在FAS条件下，卖方应负责将所订货物在本合同第8条所规定的装船期内按买方所通知的任何日期交到买方所指定船只的吊杆下。 14.4.货物装运日前10－15天，买方应以电报或电传通知卖方合同号、船只预计到港日期、装运数量及船运代理人的名称。以便卖方经与该船运代理人联系及安排货物的装运。卖方应将联系结果通过电报或电传及时报告买方。如买方因故需要变更船只或者船只比预先通知卖方的日期提前或推迟到达装运港口，买方或其船运代理人应及时通知卖方。卖方亦应与买方的运输代理或买方保持密切联系。 14.5.如买方所订船只到达装运港后，卖方不能在买方所通知的装船时间内将货物装上船只或将货物交到吊杆之下，卖方应负担买方的一切费用和损失，如空舱费、滞期费及由此而引起的及/或遭受的买方的一切损失。 14.6.如船只撤换或延期或退关等而未及时通知卖方停止交货，在装港发生的栈租及保险费损失的计算，应以代理通知之装船日期（如货物晚于代理通知之装船日期抵达装港，应以货物抵港日期）为准，在港口免费堆存期满后第十六天起由买方负担，人力不可抗拒的情况除外。上述费用均凭原始单据经买方核实后支付。但卖方仍应在装载货船到达装港后立即将货物装船，交负担费用及风险。 「章名」 15.C＆F条件 15.1.卖方在本合同第8条规定的时间之内应将货物装上由装运港到中国口岸的直达船。未经买方事先许可，不得转船。货物不得由悬挂中国港口当局所不能接受的国家旗帜的船装载。 15.2.卖方所租船只应适航和适货。卖方租船时应慎重和认真地选择承运人及船只。买方不接受非保赔协会成员的船只。 15.3.卖方所租载货船只应在正常合理时间内驶达目的港。不得无故绕行或迟延。 15.4.卖方所租载货船只船龄不得超过15年。对超过15年船龄的船只其超船龄额外保险费应由卖方负担。买方不接受船龄超过二十年的船只。 15.5.一次装运数量超过一千吨的货载或其它少于一千吨但买方指明的货载，卖方应在装船日前至少10天用电传或电报通知买方合同号、商品名称、数量、船名、船龄、船籍、船只主要规范、预计装货日、预计到达目的港时间、船公司名称、电传和电报挂号。 15.6.一次装运一千吨以上货载或其它少于一千吨但买方指明的货载，其船长应在该船抵达目的港前7天和24小时分别用电传或电报通知买方预计抵港时间、合同号、商品名称及数量。 15.7.如果货物由班轮装运，载货船只必须是＿＿＿＿＿＿船级社最高船级或船级协会条款规定的相同级别的船级，船只状况应保持至提单有效期终了时止，以装船日为准船龄不得超过20年。超过20年船龄的船只，卖方应负担超船龄外保险费。买方绝不接受超过25年船龄的船只。 15.8.对于散件货，如果卖方未经买方事前同意而装入集装箱，卖方应负责向买方支付赔偿金，由双方在适当时间商定具体金额。 15.9.卖方应和载运货物的船只保持密切联系，并以最快的手段通知买方船只在途中发生的一切事故，如因卖方未及时通知买方而造成买方的一切损失卖方应负责赔偿。 「章名」 16.CIF条件 在CIF条件下，除本合同第15条C＆F条件适用之外卖方负责货物的保险，但不允许有免赔率。 「章名」 17.装船通知 货物装船完毕后48小时内，卖方应即以电报或电传通知买方合同号、商品名称、所装重量（毛/净）或数量、发票价值、船名、装运口岸、开船日期及预计到达目的港时间。如因卖方未及时用电报或电传给买方以上述装船通知而使买方不能及时保险，卖方负责赔偿买方由此而引起的一切损害及/或损失。 「章名」 18.装船单据 18.A.卖方凭下列单据向付款银行议付货款： 18.A.1.填写通知目的口岸的＿＿＿＿＿＿＿＿＿＿运输公司的空白抬头、空白背书的全套已装运洋轮的清洁提单（如系C＆F/CIF条款则注明“运费已付”，如系FOB/FAS条款则注明“运费待收”）。 18.A.2.由信用证受益人签名出具的发票5份，注明合同号、信用证号、商品名称、详细规格及装船唛头标记。 18.A.3.两份由信用证受益人出具的装箱单及/或重量单，注明每件货物的毛重和净重及/或尺码。 18.A.4.由制造商及/或装运口岸的合格、独立的公证行签发的品质检验证书及数量或重量证书各两份，必须注明货物的全部规格与信用证规定相符。 18.A.5.本交货条件第17条规定的装船通知电报或电传副本一份。 18.A.6.证明上述单据的副本已按合同要求寄出的书信一封。 18.A.7.运货船只的国籍已经买主批准的书信一封。 18.A.8.如系卖方保险需提供投保不少于发票价值110％的一切险和战争险的保险单。 18.B.不接受影印、自动或电脑处理、或复印的任何正本单据，除非这些单据印有清晰的“正本”字样，并经发证单位授权的领导人手签证明。 18.C.联运提单、迟期提单、简式提单不能接受。 18.D.受益人指定的第三者为装船者不能接受，除非该第三者提单由装船者背书转受益人，再由受赠人背书后方可接受。 18.E.信用证开立日期之前出具的单据不能接受。 18.F.对于C＆F/CIF货载，不接受租船提单，除非受益人提供租船合同、船长或大副收据、装船命令、货物配载图及或买方在信用证内所要求提供的其它单据副本各一份。 18.G.卖方须将提单、发票及装箱单各两份副本随船带交目的口岸的买方收货代理人＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿。 18.H.载运货船启碇后，卖方须立即航空邮寄全套单据副本一份给买方，三份给目的口岸的对外贸易运输公司分公司。 18.I.卖方应负责赔偿买方因卖方失寄或迟寄上述单据而使买方遭受的一切损失。 18.J.中华人民共和国境外的银行费用由卖方负担。 「章名」 19.合同所订货物如用空运，则本合同有关海运的一切条款均按空运条款执行。 「章名」 20.危险品说明书 凡属危险品及/或有毒，卖方必须提供其危险或有毒性能、运输、仓储和装卸注意事项以及防治、急救、消防方法的说明书，卖方应将此项说明书各三份随同其他装船单据航空邮寄给买方及目的口岸的＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿＿运输公司。 「章名」 21.检验和索赔 货物在目的口岸卸毕60天内（如果用集装箱装运则在开箱后60天）经中国进出口商品检验局复验，如发现品质、数量或重量以及其它任何方面与本合同规定不符，除属于保险公司或船行负责者外，买方有权凭上述检验局出具的检验证书向卖方提出退货或索赔。因退货或索赔引起的一切费用包括检验费、利息及损失均由卖方负担。在此情况下，凡货物适于抽样及寄送时如卖方要求，买方可将样品寄交卖方。 「章名」 22.赔偿费 因“人力不可抗拒”而推迟或不能交货者除外，如果卖方不能交货或不能按合同规定的条件交货，卖方应负责向买方赔偿由此而引起的一切损失和遭受的损害，包括买价及/或买价的差价、空舱费、滞期费，以及由此而引起的直接或间接损失。买方有权撤销全部或部分合同，但并不妨碍买方向卖方提出索赔的权利。 「章名」 23.赔偿例外 由于一般公认的“人力不可抗拒”原因而不能交货或延迟交货，卖方或买方都不负责任。但卖方应在事故发生后立即用电报或电传告买方并在事故发生后15天内航空邮寄买方灾害发生地点之有关政府机关或商会所出具的证明，证实灾害存在。如果上述“人力不可抗拒”继续存在60天以上，买方有权撤销合同的全部或一部。 「章名」 24.仲裁 双方同意对一切因执行和解释本合同条款所发生的争议，努力通过友好协商解决。在争议发生之日起一个合理的时间内，最多不超过90天，协商不能取得对买卖双方都满意的结果时，如买方决定不向他认为合适的有管辖权的法院提出诉讼，则该争议应提交仲裁。除双方另有协议，仲裁应在中国北京举行，并按中国国际贸易促进委员会对外贸易仲裁委员会所制订的仲裁规则和程序进行仲裁，该仲裁为终局裁决，对双方均有约束力。仲裁费用除非另有决定，由败诉一方负担。 卖方： 买方： 「名称」 1. PURCHASE CONTRACT 「题注」 「章名」 Whole Doc. Contract No： Date： The Buyer： The Seller： The Contract， made out， in Chinese and English， both version being equally authentic， by and between the Seller and the Buyer whereby the Seller agrees to sell and the Buyer agrees to buy the undermentioned goods subject to terms and conditions set forth hereinafter as follows： 「章名」 SECTION 1 1 Name of Commodity and specification 2 Country of Origin & Manufacturer 3 Unit Price （packing charges included） 4 Quantity 5 Total Value 6 Packing （seaworthy） 7 Insurance （to be covered by the Buyer unless otherwise） 8 Time of Shipment 9 Port of Loading 10 Port of Destination mark shown as below in addition to the port of destination， package number， gross and net weights， measurements and other marks as the Buyer may require stencilled or marked conspicuously with fast and unfailing pigments on each package. In the case of dangerous and/or poisonous cargo （es）， the Seller is obliged to take care to ensure that the nature and the generally adopted symbol shall be marked conspicuously on each package. 12 Terms of Payment： One month prior to the time of shipment the Buyer shall open with the Bank of _______an irrevocable Letter of Credit in favour of the Seller payable at the issuing bank against presentation of documents as stipulated under Clause 18. A. of SECTION II， the Terms of Delivery of this Contract after departure of the carrying vessel. The said Letter of Credit shall remain in force till the 15th day after shipment. 13 Other Terms： Unless otherwise agreed and accepted by the Buyer， all other matters related to this contract shall be governed by Section II， the Terms of Delivery which shall form an integral part of this Contract. Any supplementary terms and conditions that may be attached to this Contract shall automatically prevail over the terms and conditions of this Contract if such supplementary terms and conditions come in conflict with terms and conditions herein and shall be binding upon both parties. FOR THE SELLER FOR THE BUYER 「章名」 SECTION 2 「章名」 14 FOB/FAS TERMS 14.1 The shipping space for the contracted goods shall be booked by the Buyer or the Buyer‘s shipping agent __________. 14.2 Under FOB terms， the Seller shall undertake to load the contracted goods on board the vessel nominated by the Buyer on any date notified by the Buyer， within the time of shipment as stipulated in Clause 8 of this Contract. 14.3 Under FAS terms， the Seller shall undertake to deliver the contracted goods under the tackle of the vessel nominated by the Buyer on any date notified by the Buyer， within the time of shipment as stipulated in Clause 8 of this Contract. 14.4 10-15 days prior to the date of shipment， the Buyer shall inform the Seller by cable or telex of the contract number， name of vessel， ETA of vessel， quantity to be loaded and the name of shipping agent， so as to enable the Seller to contact the shipping agent direct and arrange the shipment of the goods. The Seller shall advise by cable or telex in time the Buyer of the result thereof. Should， for certain reasons， it become necessary for the Buyer to replace the named vessel with another one， or should the named vessel arrive at the port of shipment earlier or later than the date of arrival as previously notified to the Seller， the Buyer or its shipping agent shall advise the Seller to this effect in due time. The Seller shall also keep in close contact with the agent or the Buyer. 14.5 Should the Seller fail to load the goods on board or to deliver the goods under the tackle of the vessel booked by the Buyer. Within the time as notified by the Buyer， after its arrival at the port of shipment the Seller shall be fully liable to the Buyer and responsible for all losses and expenses such as dead freight， demurrage. Consequential losses incurred upon and/or suffered by the Buyer. 14.6 Should the vessel be withdrawn or replaced or delayed eventually or the cargo be shutout etc.， and the Seller be not informed in good time to stop delivery of the cargo， the calculation of the loss in storage expenses and insurance premium thus sustained at the loading port shall be based on the loading date notified by the agent to the Seller （or based on the date of the arrival of the cargo at the loading port in case the cargo should arrive there later than the notified loading date）。 The abovementioned loss to be calculated from the 16th day after expiry of the free storage time at the port should be borne by the Buyer with the exception of Force Majeure. However， the Seller shall still undertake to load the cargo immediately upon the carrying vessel‘s arrival at the loading port at its own risk and expenses. The payment of the afore-said expenses shall be effected against presentation of the original vouchers after the Buyer’s verification. 「章名」 15 C&F Terms 15.1 The Seller shall ship the goods within the time as stipulated in clause 8 of this Contract by a direct vessel sailing from the port of loading to China port. Transhipment on route is not allowed without the Buyer‘s prior consent. The goods shall not be carried by vessels flying flags of countries not acceptable to the Port Authorities of China. 15.2 The carrying vessel chartered by the Seller shall be seaworthy and cargoworthy. The Seller shall be obliged to act prudently and conscientiously when selecting the vessel and the carrier when chartering such vessel. The Buyer is justified in not accepting vessels chartered by the Seller that are not members of the PICLUB. 15.3 The carrying vessel chartered by the Seller shall sail and arrive at the port of destination within the normal and reasonable period of time. Any unreasonable aviation or delay is not allowed. 15.4 The age of the carrying vessel chartered by the Seller shall not exceed 15 years. In case her age exceeds 15 years， the extra average insurance premium thus incurred shall be borne by the Seller. Vessel over 20 years of age shall in no event be acceptable to the Buyer. 15.5 For cargo lots over 1，000 M/T each， or any other lots less than 1，000 metric tons but identified by the Buyer， the Seller shall， at least 10 days prior to the date of shipment， inform the Buyer by telex or cable of the following information： the contract number， the name of commodity， quantity， the name of the carrying vessel， the age， nationality， and particulars of the carrying vessel， the expected date of loading， the expected time of arrival at the port of destination， the name， telex and cable address of the carrier. 15.6 For cargo lots over 1，000 M/T each， or any other lots less than 1，000 metric tons but identified by the Buyer， the Master of the carrying vessel shall notify the Buyer respectively 7 （seven） days and 24 （twenty-four） hours prior to the arrival of the vessel at the port of destination， by telex or cable about its ETA （expected time of arrival）， contract number， the name of commodity， and quantity. 15.7 If goods are to be shipped per liner vessel under liner Bill of Lading， the carrying vessel must be classified as the highest ____________ or equivalent class as per the Institute Classification Clause and shall be so maintained throughout the duration of the relevant Bill of Lading. Nevertheless， the maximum age of the vessel shall not exceed 20 years at the date of loading. The seller shall bear the average insurance premium for liner vessel older than 20 years. Under no circum -stances shall the Buyer accept vessel over 25 years of age. 15.8 For break bulk cargoes， if goods are shipped in containers by the Seller without prior consent of the Buyer， a compensation of a certain amount to be agreed upon by both parties shall be payable to the Buyer by the Seller. 15.9 The Seller shall maintain close contact with the carrying vessel and shall notify the Buyer by fastest means of communication about any and all accidents that may occur while the carrying vessel is on route. The Seller shall assume full responsibility and shall compensate the Buyer for all losses incurred for its failure to give timely advice or notification to the Buyer. 「章名」 16 CIF Terms： Under CIF terms， besides Clause 15 C&F Terms of this contract which shall be applied the Seller shall be responsible for covering the cargo with relevant insurance with irrespective percentage. 「章名」 17 Advice of Shipment： Within 48 hours immediately after completion of loading of goods on board the vessel the Seller shall advise the Buyer by cable or telex of the contract number， the name of goods， weight （net/gross） or quantity loaded， invoice value， name of vessel， port of loading， sailing date and expected time of arrival （ETA） at the port of destination. Should the Buyer be unable to arrange insurance in time owing to the Seller‘s failure to give the above mentioned advice of shipment by cable or telex， the Seller shall be held responsible for any and all damages and/or losses attributable to such failure. 「章名」 18 Shipping Documents 18.A The Seller shall present the following documents to the paying bank for negotiation of payment： 18.A.1 Full set of clean on board， “freight prepaid” for C&F/CIF Terms or “Freight to collect” for FOB/FAS Terms， Ocean Bills of Lading， made out to order and blank endorsed， notifying ___________at the port of destination. 18.A.2 Five copies of signed invoice， indicating contract number， L/C number， name of commodity， full specifications， and shipping mark， signed and issued by the Beneficiary of Letter of Credit. 18.A.3 Two copies of packing list and/or weight memo with indication of gross and net weight of each package and/or measurements issued by beneficiary of Letter of Credit. 18.A.4 Two copies each of the certificates of quality and quantity or weight issued by the manufacturer and/or a qualified independent surveyor at the loading port and must indicate full specifications of goods conforming to stipulations in Letter of Credit. 18.A.5 One duplicate copy of the cable or telex advice of shipment as stipulated in Clause 17 of the Terms of Delivery. 18.A.6 A letter attesting that extra copies of abovementioned documents have been dispatched according to the Contract. 18.A.7 A letter attesting that the nationality of the carrying vessel has been approved by the Buyer. 18.A.8 The relevant insurance policy covering， but not limited to at least 110% of the invoice value against all and war risks if the insurance is covered by the Buyer. 18.B Any original document（s） made by rephotographic system， automated or computerized system or carbon copies shall not be acceptable unless they are clearly marked as “ORIGINAL.” and certified with signatures in hand writing by authorised officers of the issuing company or corporation. 18.C Through Bill of Lading， Stale Bill of Lading， Short Form Bill of Lading， shall not be acceptable. 18.D Third Party appointed by the Beneficiary as shipper shall not be acceptable unless such Third Party Bill of Lading is made out to the order of shipper and endorsed to the Beneficiary and blank endorsed by the Beneficiary. 18.E Documents issued earlier than the opening date of Letter of Credit shall not be acceptable. 18.F In the case of C&F/CIF shipments， Charter Party Bill of Lading shall not be acceptable unless Beneficiary provides one copy each of the Charter Party， Master‘s of Mate’s receipt， shipping order and cargo or stowage plan and/or other documents called for in the Letter of Credit by the Buyer. 18.G The seller shall dispatch， in care of the carrying vessel， two copies each of the duplicates of Bill of Lading.
