北京恒华伟业科技股份有限公司(简称“公司”)与北京博超时代软件有限公司(简称“博超时代”)及其股东就展开资本层面的合作事宜签订了《投资意向书》，详情请见公司于20__年12月18日在中国证监会指定信息披露媒体巨潮资讯网上公告的《关于签署的公告》(公告编号：20__(057)号)。现将交易进展情况公告如下：

一、交易进展情况

公司与博超时代已完成阶段性的尽职调查工作，并就资本层面的合作即公司投资博超时代事宜进行了磋商。但因未能就投资协议达成一致，因此终止投资意向。

二、终止合作的原因

公司与博超时代及其股东就股权投资及未来业务合作等事宜进行了磋商，但鉴于各方若干投资条款未能达成一致，为尊重各方对各自业务未来发展的布局，各方经友好协商同意终止《投资意向书》约定的投资事宜。

三、对公司的影响

因《投资意向书》对各方不具备法律约束力，终止该意向书之前及之后均不会对公司产生任何负债、义务或潜在的义务，也不会对公司的生产经营和利润产生不利影响。

“我和祖国”征文：成长的欢歌

成长的步履，记忆是清晰的，若伴有时代的欢乐乐章，就是一部绝好声色俱佳、内容丰厚的闪光的世纪纪录光碟。

我出生在烟台港城，我是跟随着共和国前进的步伐健康成长起来的。

《解放区的天是明朗的天》，这是1948年胶东解放区最响亮的歌曲。胶东人民就是唱着这支歌曲迎向1949年共和国国庆大典的。这时，我仅是六岁的孩子，街道组长动员我妈让我过早地到家居对面的南山路小学念一年级。离国庆节还有一个周，我读书的第一个班主任、年轻的辛兆铭老师告诉我们：“国庆节是十月一日。这一天是新中国的生日，我们要热热闹闹欢庆的。白天全市人民欢庆后，晚上还要举行灯火庆祝游行。这次灯火庆祝游行我们全校所有同学都要参加。游行的时候，每个同学都要提着五星大红灯笼，内中插上蜡烛，点得亮亮的。”说着，辛老师挥动着手臂，放声说道：“这次灯火欢庆游行要告诉人们，解放了的新中国永远是明朗的天。”我当时虽小，不完全知道这次活动的更深远的意义，可我看到比我大四、五岁的的哥哥大姐姐们的兴奋神态，我知道这是一件很令人高兴很重要的大事。接着辛老师忽闪着亮晶晶的大眼睛要求大家：“这个五星大灯笼必须自己动手扎起来，作为每个同学自己向新中国送去的第一份礼物！”于是，辛老师就在讲台上，用提前备好的门帘竹条条、线头、浆糊、红纸等，细细地教我们制作大红灯笼。我们一个个瞪着小眼珠，不敢眨眨眼，就怕漏掉一个步骤和细节，扎不好自己要扎的灯笼。回家，我是在爸爸妈妈的协助下完成这个灯笼礼物的。妈妈还用毛笔在灯笼上写了四个大字“庆祝国庆”。1949年10月1日这天晚上，我激动得连晚饭也没正经吃，提着点得亮亮的五星大红灯笼，一溜小跑，提前到学校集合。这时，整个校园灯火辉煌，校园也是明朗的天！我随着灯火欢庆的队伍几乎走遍当时很小的烟台港城的大街小巷，一点也不觉累。港城“东风夜放花千树，更吹落、星如雨”，通宵达旦，处处欢腾。辉煌的队伍在前进，前进中的歌声就是《解放区的天是明朗的天》。

1952年，在嘹亮的中国少先队队歌的歌声中，大队辅导员刘梦华老师给我佩戴上红领巾，由于我的高过一切的举手队礼，举得很标准，刘老师还格外在我的胸前戴上一枚雪白的塑料和平鸽，我知道这是非常珍贵的奖赏。在特别敬业的老师们的精心培育下，我们在小学整整学习了六年，现在回忆起来，那时小学生尽管年龄差别较大，但各方面的素质较高。毕业前夕，我以德智体全优的成绩，被评为当年学校两名市级“三好学生”之一，并在1954年8月12日至20日为期8天，参加了烟台市首届三好学生表彰大会。会议设在当年的市府礼堂（现芝罘区东太平街北口路西一座近代三层娱乐厅，系烟台市人民政府1984年确定的市级文物保护单位）。我至今尚保留着当年大会发给代表们的烫金字样蓝皮面的会议记录本。这个小本本上清晰地记录着当年会议全过程，每一页都是声情并茂的激情特写篇。市领导讲话，进一步要求全市青少年要积极响应毛主席1953年向全国青少年发出的“身体好、学习好、工作好”的伟大号召，争创“三好学生”；全市各级各类学校（包括中专、高中、初中中、小学）近500名三好学生隆重接受市级表彰；20名代表的创三好经验的典型发言；代表们向全市青少年发出的争创三好学生的倡议书；代表们签字赠言“响应党的号召，到祖国最需要的地方去！”“做党和人民的好儿女！”“争创三好青少年，做祖国栋梁之材！”；会议安排的各种文体活动等。当年篝火晚会的声影，至今常在我梦中重演。会议期间，我们学唱的主题歌是《歌唱祖国》、《当我们荡起双桨》、《返航归来》。这时12岁的我，深切地感受到“团结、紧张、严肃、活泼”革命大家庭激情燃烧岁月对自己的陶冶和激励。

中学的6年时间，我是在建国后省级首批重点中学烟台第一中学度过的。上个世纪60年代初，中学毕业后我响应国家号召，走上教育岗位，成为光荣的人民教师。在三尺讲台上，我牢牢记住毛主席的教导：“忠诚党的教育事业”。刻苦地加强业务进修，在职参加学习，先后分别以“全优学生”身份获烟台师专专科、华东师范大学本科合格毕业证书。努力吸纳当年自己在学生时代所喜爱的所有老师身上的优秀品质学做合格的教师工作，在勇挑重担的实践中，不断锻炼提高自己，终成当时中学骨干教师，多次接受市教育行政部门安排的语文观摩课。教学高中期间，1973年8月在具有“田径、篮球之乡”誉称的烟台市举行了全国中学生运动会。这次运动会是建国以来规模最大的一次中学生运动会，也是“文革”浩劫中的首次全国性体育运动盛会。这里显然也报告了一个人民久日渴望、心照不宣的政治信息。我以中学教师、优秀通讯员的身份，与烟台日报记者一起，参加了运动会的宣传报道工作。我怀着一种“希望寄托在你们身上”的特有情怀，认真撰写了这次大会开幕入场式解说词，当全国24个省市自治区中学生运动员陆续迈着矫健的步伐进入运动场标有跑道线路前进之际，当《葵花向阳》大型团体操精彩表演激起万众欢呼的时候，男女广播员巧妙配合，应时配上激昂的解说词，我作为作者此时可谓热血沸腾，更是激情满怀。我心里特别欣然：作为人民教师我又做了一件非常有益的工作。20年教学工作，教育指导千余名可爱的学生，我是哼唱着《我的祖国》、《人民教师之歌》度过的。

20xx年3月13日，我非常荣幸的在上海杨浦高级中学聆听了全国教育楷模、上海市教师学研究会名誉会长于漪老师、上海市教委教研室主任助理、上海市教师学研究会副会长谭轶斌老师以及上海市教委教研室初中语文教研员、上海市教师学研究会副秘书长孙宗良老师的精彩讲座，他们的讲课条理清晰、生动有序，时常举一些事例，使道理深入浅出，渗透人心，我被深深的吸引了，长达好几个小时的讲座，听起来一点累的感觉都没有，反而觉得是一种享受。通过学习，我领悟了一些有助于教育教学工作的方法与技巧，理论水平得到了一定的提升,更使我感受颇多。

一、“一辈子做教师，一辈子学做教师”

这是于漪老师讲座里的一句话。于漪老师讲了整整两个半小时，竟没有用讲稿，其渊博的知识，深邃的思想，无不使大家为之折服。“我做了一辈子教师，但一辈子还在学做教师!”当听到于漪老师的这一句话时，我感动于这位耄耋老人对于教育事业的挚爱，感动于这位教育智者宽容博大的精神，感动于这位教育前辈的情意深长的教诲。就在感动中，我也懂得了课堂教学的质量影响到孩子的生命质量，课堂教学是育人不是育分，中国教育培养的是有中国心的现代文明人，教师在教学时应做到胸中有书，目中有人。于漪老师就是我们前进道路上的灯塔，她的讲座为我们指明了前进的方向。

二、“尊重学生的成长需求”

这是孙宗良老师讲座的题目，他的这一观点拓宽了我们教学的思路，他从一个个的案例入手，让我们意识到了尊重学生学习需要的现实误区，又从一个个的案例分析怎样尊重学生的学习需要，帮助我们形成了“学生意识”的教育观。孙老师讲座中提到的对于文本的“变质的‘多元解读’”，我在教学活动中也曾经遇到过，盲目尊重学生的独特阅读感受而违背了基本的价值观。听了孙老师的讲座，我豁然开朗，知道了要引领学生把自己的独特体验与文本的价值取向湘融合，要满足学生的发展需要。

三、“教育关注的并不是成绩第一，而是成绩背后反映的发展趋势”

这是谭轶斌老师的讲座《漫谈上海基础教育改革发展》的一句话。

她从“国际学生评估项目”(PISA)来谈上海基础教育改革发展现状，引领我们了解了国际的评价标准，而从去年上海在“国际学生评估项目”(PISA)取得了“全球第一”的骄人成绩来看，我们不得不佩服上海的教育不愧是走在我国乃至国际教育的前沿。就目前来看，我们的教育还重在关注分数，而有些忽视成绩背后反映的发展趋势。谭老师的讲座，让我们感受到了先进的教育理念。

总之，听了三位专家的讲座，作为一位一线的教师，我深切地感受到应该增强教师的责任感，以先进理论作指导，既教书又育人;遵循学生认知规律，打造有效课堂;遵循多元智能理论，开发学生潜能;以教学实践为基础，善于反思总结，争取做一名现代型优秀教师。

从20__年毕业至今，先后在讲坛上走过了15年光景，这15年既短暂又漫长，这里边既有领导的关心、同事的帮助，也有自己的艰辛努力。回顾自己走过的教学之路，欢乐与辛酸同行，收获与遗憾同在。我有几点成长感悟与大家分享：

一、时刻保持一个良好的心态。

教师是一份平静的职业，教师的工作是平平常常的，心态决定教师的素质和教育教学工作业绩。教师要以良好的心态勇敢地面对挑战，适应时代发展的需要。工作中有很多事情需要我们主动去做，这样不但会锻炼自己，也提高了自身的素质，同时也为自己争取到更多的机会。作为一名教师要有奉献精神，不去计较个人得失。如果什么事情都需要别人来告诉我们，我们就已经很落伍了。任何人都有自己的缺陷，都有自己相对较弱的地方，只要不断学习，去吸收时代的、别人的、科学的、优秀的东西。学会学习，就会成功。

教育是奉献爱的职业，我们青年教师基本的职责是教书育人，对学生的培养方法有很多，但无论是何种形式都贯穿着对学生的爱。只有当我们的心中充满爱才会用爱心感染学生，才会使我们的平凡的工作变得伟大。伟大的教育家陶行知先生讲：爱满天下。我们青年教师就是爱的使者，我们的任务是真诚地将我们的爱心的雨露播撒在校园的每一个角落，让爱心之春水流进每位学子的心田，让他们在爱的浸润中，学会爱屋及乌，关爱我们身边的每个人，无论是我们的朋友还是我们的对手;爱我们的自然的一草一木，让人与自和谐相处!没有爱，就没有教育。爱是教育的基石。爱自己的孩子是人类的本能，重要的是爱每位学生，爱每一片绿叶，哪怕是有斑点的。真正的使我们的教育做到为了每位学生的终生持续向上的发展奠基!让“爱”这个人类最美丽的语言，时时荡漾在我们的蓬勃校园!让学生们在爱的怀抱中幸福成长，再把爱的火花散布到美丽的人世间!

二、学会合作

年轻教师无论是什么学历，不管你来自哪所名校，都要切记心高气傲，目中无人。因为在全球化的今天任何领域当中的成功都要靠一个团队的合作奋斗，没有那个成绩的取得是仅仅靠个人完成的，作为教师的我们要把学生培养成全面发展的人，仅仅靠一个教师单打独斗是觉对不行的。在《没有人能独自成功》一书中是这样界定的合作：合作是所有组合形式努力的开始。一群人为了达到某一特定的目标，而把他们自己联合在一起。拿破仑·希尔把这种合作称之为“团结努力”。面对新课程改革的逐步推进，面对鲜活灵动的教育对象，这些对要求我们从教者要学会合作，合作双赢。从教者要想使自己的天空也色彩斑斓，就需要学会合作，学会与组内教师合作，切磋技艺;学会于同一个班内的教师群体合作，各科协调发展;学会与家长合作，共育栋梁。

三、要有感恩之心

教师的职业是“爱满天下”的职业，是用爱激励爱、感召爱、培育爱的职业。这一支也需要我们的教师要常怀一颗感恩的心。只有我们学会常怀感恩之心，才能让我们的学生学会感恩，使他们的人格得到完善。我们应当感谢我们的学校，是他们使我们找到了一方成就自我的天地，没有学校的培养我们年轻教师很难顺利成长起来，也很难实现自己心中的梦想。感恩是一种美好圣洁的情感，是道义上的净化剂、事业上的推动剂。感恩我们的父母。是他们给了我们生命，给了我们强健的身体和聪慧的头脑，使我们在激烈的竞争中无往而不胜。用爱的博大的力量使得我们的世界更美好。

四、学会学习

“教育的核心即学习”，联合国教科文组织教育规划研究所负责人库姆斯提出的这一论断标志着教育发展史上教学重心的根本转变——从传统的以教师“教”为主过渡到现代的以学生“学”为主。我们如何在工作中做好这一点呢，我想至少有两个方面很重要。

1.我们自己要“学会学习”

例如你毕业于著名的高校，你的毕业成绩非常优秀，你拥有高学历等等。但是，处于信息化时代的今天，科学技术日新月异，你所拥有的这些知识或许很快将会过时，你原有的知识未必就是你的财富，甚至会成为你前进的绊脚石。如果不懂得在新的环境中努力学习新知识，培养新能力的话你可能很快就发现，你不能适应现代社会的飞速发展。正如美国著名未来学家约奈比斯特断言：“在不断变动的世界上，没有一门或一套课程可以供可见的未来使用或可供终生受用，现在需要的最重要的技能是学会如何学习。所以作为教育工作者者的我们，必须首先学会学习，把学习作为一种习惯，牢固树立终身学习的观念非常重要，只有我们学会学习，才能更好的把这个观念传授给学生，才能使我们的教育教学工作赶上时代的步伐。

2.教会学生如何“学会学习”

正如我上面所讲，为了跟上时代步伐，教育必须引导学生“学会学习”。埃德加·富尔则在《学会生存》一书中表达了写到：“未来的文盲不再是目不识丁的人，而是没有学会学习的人。”那么，怎样才算学会学习呢?一言以蔽之，在学习方式上，由知识性的记诵学习转变为智慧式的、创新性的学习;在教育目标上，由单纯的学习知识转变为启迪智慧，让教育真正成为学生享受幸福生活的过程。

客观的讲，我们今天还有不少地方，不少老师依然延续着落后的填鸭式的、反复记诵式的教育。我们年轻教师一定要从一开始就要注意到这个问题，不要再走弯路，教育理念一定要跟上新时代的要求。追求知识理所当然，无可厚非。但是，当我们把知识的获得作为教育之全部，为知识而知识，进而希冀以教育为手段把学生塑造成“知识人”，这便酿成了知识对智慧、知识对生活的虚妄僭越。在“知识人”理念的支配下，学生被看作是用知识一片一片搭构起来的，唯一充塞于心灵的就是知识，人性中的其他部分，如伦理道德、审美情操等则被虚无化，这不可避免地异化了教育的实践追求，遮蔽了教育那崇高的人文精神。

所以，我觉得培根的名言“知识就是力量”应转化为“怎样使知识有力量”，“哪些知识真正有力量”的追问。简答之，只有那些切实关涉个人幸福，能转识成智，臻达人生智慧的知识才真正有力量，才更值得学生学习。因此，把学生从知识至上、分数至上的苦海中解救出来，让他们学会学习，学会根据自己的兴趣、特长、能力有选择地获取知识，学校在这个方面已经做了很多有益的探索和尝试，并且也取得了很多成绩，那么如何继续探索、完善和推广就成为我们青年教师的一项重要使命。

五、学会创造

罗曼·罗兰曾经说过：“什么是快乐?只有创造才是快乐，其他都是没有意义的在地上飘浮的影子。”作为青年教师的我们一定要清醒的认识到，我们努力的学习前人经验。努力实现教学育人目标的过程中，一定要把自己的思想结合进去，经过不懈努力最终在教学工作中形成自己的特色，并且能够创造出前人没有的东西。只有学会创造才能使自己的工作不是简单枯燥的重复劳动，只有创造才能体现出一个教师的真正价值所在。不但能使我们的教学更加精彩，也使的学生受益匪浅。

教师是教材的实施者，更准确地说是教材的开发者。教师在教学设计中应充分发挥自己的创造性，完美地反映教材的思想。现行的教材并没有把教师教什么、怎样教、学生做什么都规定的非常详细，而应是粗线条式的，要留给教师足够的创造空间。在教学过程中使用什么样的教学策略和手段，教学情景设计、教师和学生活动的设计等等，都需要我们体现自己的创造性，我认为，教材的编写已经为教师的教学留下创造的空间，再加上现代教学技术的普及和发展，教学资源日益丰富，教师必须要学会创造性地使用教材，最大程度地发挥自己的聪明才智，使教学成为具有个性特征的艺术创造。这样的教学才是真正体现教师价值的教学。

青年教师是充满希望、拥有活力的队伍，青年教师也是需要努力学习和经受锤炼的群体，作为一名青年教师，我们拥有许许多多的机会，也会面临不计其数的困难，针对具体的问题有具体的解决方法。但是抛开这些具体的东西，在我的成长过程中，我始终认为学会做人，学会学习，学会创造，是我们青年教师立足之本、发展之机，力量之源。只有从一开始就注意学会做人，学会学习，学会创造，我们才能在开始时少走很多弯路，在今后的发展中少犯错误，最终顺利的走向成熟，变成一个优秀的小学教师。
