乙方设备到达甲方现场时，甲方将支付合同总额的50%工程款。当乙方完成所有设备的安装调试，甲方验收合格后。当乙方完成所有设备的安装调试，并经甲方验收合格后，甲方将支付给乙方合同总额47%的工程款。余下合同总额 3%的工程款为质保金，质保金于该工程经甲方验收合格之日起两年期满后支付(质保金不计利息)。甲方每支付一笔工程款，乙方需提供同等金额发票。

【第五条】 工程验收

5.1 设备到达甲方现场，甲方依据此合同对设备进行签收。并在乙方安装调试完毕后进行功能验收，并签署验收合格证。

5.2 甲方依据乙方出具的验收合格证向监督总站提交最终验收申请。监督总站在对甲方远程系统验收时乙方需在场配合验收工作，并保证乙方所实施工程达到市监督总站规范要求。

【第七条】 保修服务

乙方所提供的所有设备保修期为二年(自该工程经甲方验收合格之日起算)。在保修期内乙方对其产品产生的质量问题进行免费保修、更换服务(人为损坏及不可抗力因素不在保修范围之内)。若因甲方原因或是不可抗力因素导致设备损坏或者系统无法正常运行，应甲方要求，乙方需提供必要的技术咨询或者收取适当的成本费用对其进行维修服务。收费部分设备的保修时限为30天。

【第八条】 违约责任及争议解决

8.1 由于乙方提供的产品本身质量原因造成的系统无法满足技术要求的，乙方应及时更换相应的产品设备，以最终达到技术要求为止。

8.2 合同一方欲中止或解除全部合同，应提前十天通知对方，经双方协商，达成一致意见后方可中止或解除合同。甲乙双方因合同发生争议，应协商解决，协商不成，任何一方均可向重庆市南岸区人民法院起诉。

【第九条】 其它事项

9.1 本合同自双方签字盖章之日起生效，其它与本合同有关的变更文件、备忘录及所有本合同附件与本合同具有同等法律效力。

9.2 合同份数：本合同一式贰份，甲乙双方各执壹份。

9.3 本合同未尽事项，由双方签订补充协议，作为本合同的补充合同。
