八、付款方式

自工程验收合格之日起，免费质保期为一年，一年后按成本维护，售后服务响应时间为24小时，2个工作日内排除故障。

十一、人力不可抗拒因素

如因战争、严重火灾、水灾、台风、地震和其它经甲乙双方认可的人力不可抗拒因素，导致工期延误，则工期顺延。在工程无法完成的情况下，由甲乙双方另行商定解决方法。

十二、违约责任

1.甲、乙双方若一方发生违约情况，则违约方应按国家经济合同 法有关条款对另一方进行赔偿。

2.除人力不可抗拒因素外，若甲、乙双方中一方废除合同，需向 另一方支付工程总金额25%的违约金。

3.如项目由于乙方原因导致延期，乙方应偿付逾期违约金，按未完成部分项目金额的千分之一∕每天费用作为甲方的补偿。

4.如甲方未能按照合同条款八按工程进度向乙方支付工程款，甲方须另加应付款项的千分之一∕每天的逾期违约金作为乙方的补偿;乙方并有权利暂停工程的施工，待甲方向乙方支付相应的工程款和逾期违约金后恢复施工，乙方不承担由此引起的工 期延期责任。

十三、解决合同争议的方式

本合同执行过程中若有争议，双方应友好协商解决。如协商 不能解决，可向当地人民法院提出诉讼。

十四、合同附件作为合同不可分割的一部分，同样具备法律效力。

十五、合同生效及其它

1.本合同正本一式二份，甲乙双方各执一份，签字盖章即生效。

2.本合同所属的附件与本合同具有同等效力。〈附(设备)报价 表〉

3.本合同执行过程中，所有补充协议经甲乙双方协商签定，盖章 之日起生效，属合同的组成部分。

4.本合同若有未尽事宜，双方友好协商解决。

二、甲乙双方权利义务

(一)甲方权利义务

3、甲方有权随时向乙方了解居间服务进度;

4、如果居间成功，则由甲方全面履行和建设单位所签订的承包施工合同，甲方因履行承包施工合同而产生的权利和义务，与乙方无关;

5、如果居间成功，则甲方应按本合同约定，向乙方支付居间报酬;

6、甲方对乙方提供的项目资料及其他相关信息负有保密义务;

7、甲方有对乙方公开本工程项目谈判进度的义务。

(?二)乙方权利义务

1、乙方应向甲方提供有关本工程项目的信息，协助甲方对本工程项目进行实地考察;

2、乙方承诺向甲方提供的关于本工程项目的基本信息真实可靠;

3、乙方有权知情整个项目谈判全过程;

4、在甲方与建设单位进行合同谈判期间，乙方应尽到居间人的谨慎和诚实义务。

三、居间报酬的计算方法、支付时间和支付方式

1、本工程项目居间报酬为工程承包施工合同金额的____%;

2、乙方迟延支付居间活动费用的，每迟延一日，应向甲方支付逾期未付费用千分之三的违约金，迟延超过10日未支付的，乙方有权解除本合同。

3、乙方迟延支付居间报酬的，每迟延一日，应向甲方支付逾期未付费用千分之三的违约金。

七、通知

1、通知联系人

八、合同解除及终止

2、甲乙双方协议解除本合同或依据本合同约定内容解除本合同的，本合同终止。

九、争议解决

甲乙双方约定，如就本合同的解释、履行等发生的一切争议，应友好协商解决，协商不成，任一方均有权向本合同签订地(_______市___区)人民法院提起诉讼解决。
