2、根据《房屋买卖合同》第三条的约定，经纪方作为代理人有权代收代付定金、房款及相关税费。但对方一直未将定金提存给中介，对方一直没履行合同下的义务。

3、涉案的主合同《房屋买卖合同》并无约定支付定金的情况，即使原告提交的证据中令页提交了一份关于定金与剩余楼款的交易的附件，但该附件无法与《房屋买卖合同》联系起来，且无原被告的签名确认，更严重的是，该合同约定的时间是20__年，而本案的买卖合同签订的时间是在 ______ 年。

4、附件上约定支付定金的时间是在 ______ 月 ______ 日，结合《房屋买卖合同》上签订的时间也是 ______ 月 ______ 日，也就是说签订合同当天是可以直接给定金的，但是对方一直未履行支付定金的义务。

解除合同通知函

XX公司：

（以下简称“甲方”）与XX公司（以下简称“乙方”）于年日签订的《合同》（含附件），合同编号为，但贵司却未如实认真履行合同约定，具体如下：

（1）按照《合同》（含附件）第三条第一款的约定：本工程总工期为30个工作日;而乙方多次出现逾期作业；经甲方多次催告乙方仍不按照合同履行；乙方未能在合同约定期限内完成工程；构成了违约；影响甲方整体工程进度；且根据《合同》（含附件）第九条第二款的约定，乙方由于超出本合同第三条规定无故拖延工期，按超出每天人民币为合同款0.05%天赔偿给甲方，甲方对此保留运用法律手段实现的权利。

（2）按照《合同》（含附件）第四条第一款之约定：工程施工质量应按照《通风与空调工程施工及验收规范》（以下简称“规范”）执行，依据该《规范》第4.2.2条规定：防火风管的本体、框架与固定材料、密封垫料等必须为不燃材料，防火风管的耐火极限时间应满足系统防火设计的规定，且不得小于 30min; 第4.2.5的规定：复合材料风管的覆面材料必须为不燃材料，内层的绝热材料应为不燃或难燃、且对人体无害的材料。乙方提供的空调风管复合材料明显不符合该《规范》的规定，无法通过消防规定要求，乙方已构成根本违约。

（3）甲方就合作过程中出现的问题屡次与乙方沟通，乙方未能作出有效回应，甲方认为乙方以自己的行为表明不履行合同的主要义务，以致合同已无法继续履行，符合合同的法定解除情形，甲乙双方的合同关系应就此解除。

基于以上原因，根据《民法典》第94条第二款、第三款、第四款的规定甲方行使解除合同的权利，现甲方做出如下通知：

1、解除双方签订的《合同》（含附件）。

2、乙方在收到本通知函后5个工作日内退还甲方已支付的第一期款项人民币壹拾万元整（￥：100000.00元）给甲方。

3、若乙方未在上述期间办理退款事宜，甲方保留运用法律手段实现及向乙方要求赔偿甲方因上述原因造成一切损失的权利。
