2. 1. To pay all existing and future rate, taxes assessments and other charges of a public nature whether impose by the Municipality, Government or any other authority in respect of DEMISED PREMISES.

2. Not to erect or set up a building or structure on the DEMISES PREMISES nor to add to any existing building or structure during the period of lease or any renewal without the written consent of the LESSEE.

一、该房产的基本情况

2﹑在房屋出售或过户时乙方应退还甲方已支付的首付款，鉴于本协议签订前月—月贷款还款均由甲方支付，故甲方的实际还款应与首付一起退还甲方;对于甲方因该房产所支付房款及后期增值利益，在房屋过户给乙方或转让至第三方后乙方将以转账方式退还给甲方;在该房产过户登记至乙方或第三方名下之日起90 日内乙方除归还甲方当初购房所发生的实际款项外还应按购房时的总价与甲方实际购房时支付房款的所占比例支付甲方的房屋增值利益，给款前，甲方应提供转入账号。

3、乙方给清上述房款及后期增值利益后，甲方不得再以任何理由要求乙方支付其他款项。

三﹑房产过户手续

1、因银行贷款尚未清偿完毕，该房产暂不能办理过户登记，但甲方无权处分该房产，否则甲方应赔偿由此给乙方造成的一切损失。

2、该房产符合过户条件时，甲方应根据乙方要求协助办理房产过户登记至乙方名下的有关手续。

3﹑该房产过户给第三人涉及的税费在保证甲方收益的情况下按甲乙双方所占房产份额比例支付，如单独过户到乙方名下则税费双方协商。若此房产再过户之前价格上涨，则必须保证甲方对于后期增值按比例享有收益，否则由乙方承担税费。

4、在符合办理过户手续条件后2年内乙方应办理过户或者转让手续，甲方应予配合，且过户或转让后乙方应一次性归还甲方在此房产上的投资及收益。

5、若乙方出售该房产，甲方享有知情权，且甲方具有优先购买权。

四、房产贷款偿还

1、该房产的银行贷款尚未清偿部分由在协议签订后由乙方个人承担，与甲方无关。即名义上甲方按月足额偿还银行贷款，实质上乙方应按月足额将与银行贷款同等金额的费用元支付给甲方。

2﹑本协议签订后，非甲方原因引起的与该房产有关的贷款等纠纷，均由乙方自行处理和承担。

3、该房产每月贷款还款乙方应在每个月的日通过银行转账支付甲方元)，不得拖欠，如发生意外，应提前与甲方沟通，否则甲方有权利要求乙方单方面承担因房贷产生的一切其他费用。

五、违约责任

1﹑本协议签订后，若由于甲方原因导致房产无法过户的，甲方应向乙方方支付违约金5000元，并且乙方除归还购房时实际支付的款项外将不予支付该房屋的后期增值收益。

2﹑不论何种原因导致房产最终无法过户的，甲方对该房产仍然没有任何权利，不得依据其名义上的所有人身份主张与该房产有关的任何权益，否则乙方有权利根据本协议向法院提起诉讼，且有权追究甲方的违约责任;若甲方对该房产无法过户没有过错，且没有其他违约行为的，乙方仍须归还剩余的房款及后期收益。

3﹑甲方未根据乙方要求及时配合办理过户手续的，乙方有权顺延房产过户时间，同时甲方将不再享有顺延后的增值收益。

4、过户后若乙方未按本协议要求又未向甲方说明未取得甲方认同。没有按时足额退还有关款项的，应向甲方承担违约责任，另须向甲方支付违约金5000元，且甲方有权保留追究乙方的法律责任。

六、其他

1、本协议发生纠纷，双方应友好协商解决，协商不成的，可将纠纷提交至该房产所在地有管辖权的人民法院审理。

一、 选准方向，打好基础

有些人认为，只有外语专业的才能做好翻译，翻译就是翻译文学作品。在世界经济文化交流日益频繁的今天，这种看法显然是不全面的。从翻译需求来看，主要还是实用类翻译，如科技、财经、法律等。具体到某一翻译类别，如果没有深厚的经验积累或者相应的专业知识，想胜任愉快是不太可能的。所以我建议翻译新手在从业伊始就应该结合自己的兴趣、特长、专业背景等，选择一个翻译主攻方向。经营某类翻译久了，不仅质量有保障，速度也能上得去，从成本效益角度来看，是相当划算的。

以我相对熟悉的法律翻译为例，我中英文法律文本的阅读量至少达到百万字的数量级。阅读可以帮助我了解法律概念、原理，不同法律文本的风格，甚至对法律推理也有所了解。有了阅读积累，应对实际工作的时候，就能比较轻松自如。对我来说，翻译工作最难的部分不在实际做翻译，而在做知识储备。一方面，我想加强对某一法律领域的了解，做到翻译时心中有数，不会稀里糊涂;另一方面，我要根据公司业务的发展，阅读相关材料。这种准备工作量之大，有时令人心生畏惧。

我心目中最理想的翻译人才模式是 专业知识+语言能力，我甚至觉得现在的翻译硕士教育也应该有一定的针对性。比如说，如果培养方向以财经为主，则可以考虑开设基本的财经、金融双语课程。

二、学会研究，体现专业

我们阅读中文文本时，如果遇到不太理解的词语、概念，可以跳过去，甚至整段整段地跳，或者知道个大概就可以了。但是，要将中文译成英文，遇到这种情况，就算想跳也不能跳，否则还要翻译做什么?翻译的价值从何体现?这时翻译就要做研究。不是简单地查一查字典、搜一搜网络，而是要准确理解相关词语的确切内涵，必要时甚至要阅读相关的英语语篇，了解它在具体语境中的运用。研究的层次不局限于词语，还可以上升到语篇。比如，我就在互联网上找过十个版本左右的英文保密协议，找过多个版本的英文起诉状，研究它们语篇风格和实质内容的异同。

有时听人感慨说，翻译到了一定阶段，就会遭遇瓶颈。我认为，解决这一问题的办法就是不断学习和研究。举例来说，如果时事新闻汉译英的时候遇到困难，我们可以阅读国内外的多种相关报刊杂志，一定可以找到多种可供借鉴的译法，并通过比较，判断出最优译法。

三、注重细节，精益求精

翻译工作最终体现为译入语的字字句句，甚至标点符点上。在细节方面(特别是标点符号和空格)，本地化翻译做得非常好，我觉得可以向全行业推广。

同一原文，不同译文，如何分出译文的优劣高下?假设两个译者的水平非常接近，有时候，一两个关键词的处理，就能看出译者下了多大功夫。比如，approval作为可数名词，在一定语境下是表示“批准件”的，甚至可以结合具体交易细化为“批件”、“批文”或“批函”。又如review，律师review一个文件，可以说是“审阅”;审计师review一个账目，实际上是在“复核”;上司对下属做performance review，实际是对下属的工作表现做“评价”。再如，一定语境下，issue到底是“签发”还是“颁发”?approve到底是“批准”还是“核准”?考虑到动作主体、搭配习惯等，应该还是存在最优译法的。

四、题外话

常听见同行抱怨，说翻译不被理解，不受重视。我以为解决之道在于，一方面，翻译从业者要主动向业外人士解释说明翻译工作的难处，为自己、为行业争取理解、赢得尊重;另一方面，也是更重要的，我们要做好自己的工作，让人知道，专业翻译做出来的东西就是专业，成为一个专业翻译并不容易，需要付出很多。

根据《中华人民共和国合同法》、《翻译服务规范》、《笔译服务报价规范》等有关法律法规，本着自愿、平等、诚实守信的原则，甲乙双方协商一致，签订本协议。

第一条 术语和定义

1.1 原件：指甲方提供给乙方、要求乙方翻译、审校、编辑处理的文件。

1.2 译件：指乙方按甲方要求在约定的时间交付给甲方的翻译文件成品。

1.4 目标语言：指译件所采用的语言。

1.5 字数统计：根据 GB/T 19363.1-20_《翻译服务规范第 1 部分：笔译》.，中外互译，按中文“字符数/不计空格”计算;外外互译，不论是源文本还是目标文本，除韩文(“字符数/不计空格”计算)外均按单词数量计算;以千单词为单位。

1.6 插图：指文本框、图框、艺术字、图片等，其内容无法使用 word 统计字数。

1.7 图纸：指用绘图软件等绘制的图形文件，其内容无法使用 word 统计字数。

1.8 工作日：指除星期六、星期日和中华人民共和国法定节假日之外的任何一日。工作日以日为计算单位，正常工作时间满 8 个小时为一日。

1.9 协议期限：指协议双方经过协商共同约定的协议有效期。

1.10 协议变更：指协议双方约定的协议内容的变化和更改。

第二条 服务内容及要求

2.1 甲方委托乙方进行的翻译服务项目。

2.2 源语言和目标语言以及其他服务要求根据具体翻译服务任务确定(可以“项目需求清单”等方式另行约定)。

第三条 协议期限

本协议有效期为 年。自年月日始，至年月日止。

本协议期满后，甲乙双方经协商一致，可重新签署翻译服务合作协议。

第四条 翻译费用及支付

4.1 工作量： 根据本协议第二条甲方委托乙方进行的翻译服务项目统计，由甲乙双方签字确认。

4.2 翻译单价：人民币元/千字。

4.3 翻译服务加急费：人民币元/千字。

4.4 翻译费用按实际发生工作量，按月(季、半年)度结算，每月(季、半年)度末乙方汇总相关翻译服务工作完成清单，经甲方确认后开具发票;甲方在收到发票后个工作日内支付翻译费用(如遇节假日或特殊情况顺延)。

4.5 对于零星但又需要签署合同的小额业务，可每完成一次结算一次(见附录 B 翻译服务确认单)。

第五条 权利和义务

5.1 甲方权利与义务

a) 甲方有权要求乙方按照本协议约定提交译件;

b) 在本协议有效期内，甲方应以书面方式向乙方提出具体服务要求;

c) 甲方有权对乙方的翻译服务进行监督检查;

d) 甲方有权要求乙方对其服务过程中存在的问题进行整改。甲方如对乙方交付的译件有异议，应在收到译件之日起个工作日内向乙方提出修改意见，若甲方逾期未提出修改意见的，则视为译件质量达到甲方要求;

e) 甲方应按本协议约定向乙方提供原件或参考资料，对乙方的澄清要求做出答复，配合乙方翻译开展服务工作;

f) 甲方应保证所提供的文件资料没有违反中华人民共和国法律法规、国际法，否则应承担全部责任;

g) 甲方应按本协议约定向乙方支付翻译服务费用。

5.2 乙方权利与义务

a) 乙方有权要求甲方提供翻译原件和相关背景资料;

b) 乙方有权对甲方提供的资料提出澄清和咨询要求;

c) 乙方有权按照协议收费标准向甲方收取翻译费用;

d) 乙方应根据甲方的要求在规定的期限向甲方提供合格的翻译服务;

e) 乙方应在规定时间内按照甲方的修改意见修订翻译稿件;

f) 乙方应确保译文准确、通顺;

g) 乙方应按本协议规定的期限提交译件。

第六条 协议变更

本协议的变更必须由双方协商一致，并以书面形式确定。本协议期满前任何一方均可书面通知另一方终止或修改本协议，但须提前发出书面通知，对于终止或修改前已经发生的翻译服务费用，双方应据实结算。

第七条 通讯

7.2 任何一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本协议履行或造成损失的一方，应承担相应的责任。

第八条 保密和知识产权

8.1对本协议内容以及在本协议签订执行过程中获悉的对方所有相关信息(包括但不限于原件、译件以及其他任何形式的信息)，甲乙双方均应承担保密义务;未得到对方事先的书面许可，不得向第三方公开或泄露。

8.2乙方应按甲方要求，将载有甲方信息的介质(包括但不限于书面资料、电子文件、媒体以及复制品和其它资料)区分管理，以确保信息文件的安全和完整;当甲方提出归还或销毁要求时，应按要求归还或销毁。

8.3 甲乙双方均应受本保密条款约束;在本协议终止后，本保密条款在三年内持续有效。

8.4 如果甲乙双方另行签订《保密协议》的，本条款未尽之保密事宜或本条款约定内容与双方达成的《保密协议》内容不符时，以《保密协议》约定为准。

第九条 违约责任

9.1 由于甲方原因推迟向乙方提供原件或相关支持文件，甲方应承担相关损失。

9.2 因甲方提供的原件存在问题，导致的翻译错误由甲方承担。

9.3 在甲方如期提供原件的情况下，如乙方未按约定日期按约定要求完成翻译服务，甲方有权解除协议并视为乙方违约，乙方应向甲方支付协议总额%的违约金作为赔偿。

9.4 因乙方自身翻译失误所带来的经济损失由乙方承担。任何情况下，乙方承担的直接和间接的经济损失最多不得超过本合同涉及项目金额的 1 倍。

9.5在乙方无违约的状况下，甲方应按协议约定及时付款。如甲方没有及时向乙方付款，每逾期一日，甲方应向乙方支付协议总金额的%作为违约金，直至付清所有费用为止。

9.6 甲方在约定的交付日期前取消所委托部分或全部的翻译内容，甲方应向乙方支付乙方实际已经完成部分的费用，乙方应向甲方交付已经完成的译件。

第十条 不可抗力

10.1在协议履行过程中，由于不可抗力(例如战争、严重火灾、水灾、台风、地震等不可遇见、不可避免且不可克服的事件)导致协议不能履行或延期履行，协议双方互不承担违约责任。但受不可抗力影响的一方应在不可抗力发生后24 小时内通知另一方不可抗力发生情况，且在不可抗力发生之后工作日 日内出具书面证明。

10.2 遭遇不可抗力影响的一方仍然有义务采取相应的措施减少损失。如果不可抗力的影响导致协议最终无法履行，双方另行协商善后事宜。

第十一条 适用法律

本协议适用中华人民共和国相关法律法规。

第十二条 争议的解决

凡因本协议引起的或与本协议有关的任何争议，甲乙双方应通过友好协商的方式解决。如果协商不成，应将争议提交仲裁委员会进行仲裁;或提交人民法院进行判决。

第十三条 其他约定

13.1 本协议未尽事宜，甲乙双方另行协商，签订补充协议，作为本协议的组成部分。

13.2 本协议一式份，甲乙双方各执份，具有同等法律效力。

13.3 本协议自甲乙双方签字盖章之日起生效。
