甲方委托乙方就 项目进行翻译(笔译、口译)服务工作，并支付相应的翻译服务报酬。双方经过平等协商，在真实、充分地表达各自意愿的基础上，根据《中华人民共和国合同法》的规定，达成如下协议， 并由双方共同恪守。

第一条 甲方委托乙方进行翻译服务的内容如下：

1. 乙方在收到甲方提交的订单后，应及时开展工作，并按约定的时间要求完成翻译工作。

2. 乙方按甲方给定的模板或原文档格式进行译文稿件排版编辑，包括图文、表格等的编辑，排版，最终完成稿件总体上应达到格式清晰、整齐，页面美观，整个文档风格统一;

3. 乙方执行翻译行业通用流程规范以确保文件翻译质量，乙方所提供的翻译服务应满足《中华人民共和国国家标准GB/T 19682-20xx》(翻译服务译文质量要求)相关规定;

4. 为确保乙方翻译服务能够达到甲方要求，在本合同签订时，乙方可应甲方书面要求进行试译，供双方核定并确认质量标准。如果甲方在收到试译稿后3日内未向乙方提出书面意见或建议，则该试译稿的质量标准将作为乙方今后的质量标准。

5. 译文中不应出现技术性错误，不能与原文意思相悖，专业词语表述应准确一致;文字表述符合相关专业的表达习惯与要求，目标语言与源语言在行文风格上一致;符号、量和单位、公式和等式需按照译文的通常惯例或国家有关规定进行翻译或表达，译者的注释使用恰当;

6. 对于笔译项目，乙方在向甲方交付工作成果后，若存在以下三类错误，乙方应免费对工作成果进行必要修改，并不得另行收费：

(1) 语法与单词拼写错误;

(2) 同一或同批稿件中前后用词或表达法不统一;

(3) 由于专业或背景知识不足发生的错误。

第三条 为保证乙方有效进行翻译服务工作，甲方应当向乙方提供下列工作条件和协作事项：

1. 甲方委托乙方翻译或进行其它方式处理的文件或资料中不得有违反国家法律或社会公德的内容，如果出现此种情形，甲方应承担相关责任并保证乙方不会因此而蒙受任何损失。否则乙方有权拒绝接受委托或要求甲方改正或有权随时单方解除本协议，并由甲方承担违约责任;

2. 甲方同意把技术资料电子稿或复印资料作为乙方的工作件提供翻译使用，保证提供待译资料图文清晰、内容完整，乙方应保证维持甲方提供资料的原始完整性;

3. 为保证翻译质量，甲方应尽可能协助乙方，包括但不限于向乙方提供翻译项目所需的参考资料，专业的固有、惯用译法，解答相关技术问题，必要时提供相关背景知识培训。

第四条 甲方向乙方支付翻译服务报酬及支付方式为：

1. 翻译服务费：

(1) 笔译项目为外文译成中文的，下订单时计算的费用为估算，最终以甲方采用的译文版本中文字符数为依据计算实际费用。

(2) 以甲方最后采用的译文版本为最终确定稿计算字符数，以电脑统计的中文字符数计算[Word—工具—字数统计—字符数(不计空格)]。如果中文稿为纸件，则以经双方确认的不计空格的中文字符数为准。翻译项目不涉及中文的，统计方式双方另行约定。

(3) 本合同服务费用按以上单价标准，以甲方订单要求的服务工作量计算。如翻译项目有特殊情况需要调整价格的，经甲乙双方协商一致后在订单中明确。

(4) 乙方因履行本合同而产生的加急费、特殊排版费、差旅费、交通费、食宿费等费用经甲乙双方协商一致后在订单中明确。

2. 翻译服务费由甲方选择以下方式支付乙方。(根据协商确定的交易方式)方式A.在双方签订本合同及订单后二个工作日内，甲方应当支付乙方费用总额的50%作为预付款，余款在乙方完成翻译服务后五个工作日内支付。支付可采用现金、支票或银行转账等方式。方式B. 甲方提交翻译服务订单的次月，向乙方全额支付上月的文件翻译服务费。

第五条 双方确定因履行本合同应遵守的保密义务如下：

1. 保密内容：

(1) 乙方不得向第三方公开或传播(包括复制、影印和使用)甲方的任何文件资料、软件、档案、协议、技术和服务项目(口头的或文字的)以及其他任何形式的信息;乙方同意所有甲方披露的资料都归甲方专有。乙方正在翻译的和已译好的文稿的专利权、版权、商业秘密，或其他知识产权项下的权利属于甲方所有，乙方无权处置;乙方对甲方向第三方承诺的所有保密义务负有连带责任，即如果甲方因乙方泄密而被第三方追究责任，甲方将追究乙方责任。乙方需执行甲方相关规定并积极配合，采取必要的防范措施来防止保密信息的泄露。 (2) (3) (4)

2. 涉密人员范围：项目管理员、翻译人员及其他接触此项目资料的所有工作人员。

3. 约方支付合同总额的10%作为违约金。

第六条 本合同的变更必须由双方协商一致，并以书面形式确定。

第七条 双方确定以下列标准和方式对乙方的翻译服务工作成果进行验收：

第九条 双方确定，按以下约定承担各自的违约责任：

1. 乙方未能在工作期限内完成翻译项目，或虽已完成翻译项目，但需要重新修改而导致延期交稿，每迟延一日应按该翻译项目费用的3‰向甲方支付违约金，但工作期限延长征得甲方同意的除外。违约金总额不超过合同总额的10%。

2. 甲方应依本合同规定，按时支付乙方翻译费用，每迟延一日应按应支付而未支付金额的3‰向乙方支付违约金，但延期付款是由于乙方在先义务迟延履行导致的除外。违约金总额不超过合同总额的10%。

3. 出现以下情况可免除乙方责任且不影响本合同履行：

(1)乙方在翻译过程中，因执行甲方的意见而产生的错误。

(2)因甲方提供的翻译原件错误而产生的译文内容错误。

(3)甲方未能按合同约定的时间交付原文件材料，以致乙方延期交付译稿的。

(4)因甲方计算机原因引起的资料损坏或资料丢失。

(5)甲方或第三方使用译文过程中，产生的任何特殊性的、意外性的、滋生性内容损失。

第十条 双方确定，在本合同有效期内，甲方指定 为甲方项目联系人，乙方指定 为乙方项目联系人。项目联系人承担以下责任：

1. 及时、定时沟通情况、协调处理有关问题;

2. 及时、定时向各自部门传递相关信息，保证信息的完整与准确;

3. 本合同第五条约定的保密责任;

一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。

第十一条 双方确定，出现下列情形，致使本合同的履行成为不必要或不可能，可以解除本合同：发生不可抗力。不可抗拒力因素主要指战争因素;地震、洪水等不可抗拒的自然灾害;非合同方责任而产生的影响合同方工作正常进行的火灾;国家公共强制性原因引起的合同方不能正常工作产生的延时。

第十二条 双方因履行本合同而发生的争议，应协商、调解解决。协商、调解不成的，依法向甲方所在地的人民法院起诉。

第十三条 与履行本合同有关的下列技术文件，经双方以 书面提交 方式确认后，为本合同的组成部分：

甲、乙双方本着发挥各自优势、互惠互利、共同发展的原则，就翻译合作的有关事项，经双方友好协商，就半年度乙方为甲方提供翻译和制作服务之事宜，现特订立本协议。具体条款如下：

第一条定义

项目内容：

甲方所委托的的翻译作业业务，分为笔译、口译和综译，还包含双方同意的其它业务合作。

翻译：

乙方按照甲方交付的原文内容，结合相关专业词准确地将原文的内容表达清楚。

文档的制作：

乙方按甲方要求，在计算机上按原文件图文并排的格式进行录入和排版，用印刷本(或者传真件)和email(或者存储介质提交的文本，包括软盘、光盘和其它移动存储介质)，如为口译，则用录音带、录像带和摄像带等介质提交，在保证翻译质量的前提下用计算机移动存储介质提交，但必须配合甲方的制作工作;乙方还应该负责有关的后续服务。

第二条协议期限

2.1本协议有效期为_________年，自双方签订之日起至_________年_________月_________日止;

2.2如有特殊原因，在不影响翻译和制作工作的前提下，提前一个月通知甲方，在乙方处理好应该负责的后续服务后，可以解除此合同;但是如果由于乙方的过错给甲方及其翻译原始委托方造成损失，甲方将依然拥有根据本协议及有关管理条例追究赔偿的权利。

第三条服务费用标准及支付

3.1甲方付给乙方的工作酬金为甲方所得费用的6%，其它4%作为甲方的广告、管理、较审、翻译作品制作、技术创新、工商管理和税务费用、通讯费用等条项的开支。

3.2笔译工作酬金支付：

在客户取稿后一星期支付工作酬金的5%，如无意外，在两星期后支付工作酬金剩余的5%。口译工作酬金支付：

在工作完后二个工作日后的星期二或者星期六支付。

3.3本中心对于在我处连续工作一年的兼职翻译采取年终奖励的办法，予以奖励;奖励额度为完成翻译金额的2%。兼职翻译介绍的业务可以参照兼职业务员的管理条例获得业务费用。

3.4本中心对于在我处连续从事兼职翻译三年以上的人士，采取优先参股或者赠送股份的办法，予以鼓励。

第四条甲方义务、权利

4.1甲方负责提供完整无缺的原文内容(书面及电子版本)。

4.2甲方负责提供资料的相关版权事宜，承担与之有关的各类权利义务。

4.3甲方负责提供必要的工具书、通信工具和办公设备，协助乙方和专业人士取得联系，顺利完成翻译任务。

第五条乙方义务、权利

5.1乙方应按甲方要求完成委托工作，按时、保质、保量交稿;

5.2乙方按甲方要求的格式提交文件;

5.3乙方应对甲方提供的原文件资料保密;

5.4乙方在本中心指定的时间内完成翻译任务，承担因为翻译质量引起的责任。工作积极主动，能以高度的责任心完成本中心分派的翻译任务。

第六条保密条款

乙方为了对甲方提供的资料保密，但对于因其它不可确定的原因造成的外漏，乙方不承担相关或连带责任。甲方提供的资料保密期自每项业务开始之日起计算：

时间为七个月;有关本协议的保密条款详见本协议之附件《保密协议》。

第七条协议的变更和解除

本协议经双方书面同意，可以予以变更或解除。

7.1本协议期间，任何一方违反本协议的相关规定，且经另一方书面通知其改正之日起一周内仍未改正的，另一方有权终止本协议。

7.2甲乙双方中任何一方未履行本协议条款，导致协议不能履行、不能完全履行或者协议履行成为不必要，未违约的另一方有权变更、解除本协议。

7.3乙方的特殊条款见

7.5除非另有规定，合同变解除后，依照合同规定和有关条例规定甲乙双方为履行完毕的责任应该继续履行完毕。

第八条译者的职业道德

8.1乙方不得利用为甲方提供委托翻译服务的机会和客户联系，并率开甲方为客户提供翻译业务，否则甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

8.2除非乙方告知甲方主要负责人，并经得甲方许可，否则乙方不得利用为甲方提供委托翻译服务的机会接受或者索要的小费和酬金。

8.3乙方不得利用为甲方提供委托翻译服务的机会和客户发生不得体或者违反中心、政府有关法律法规的行为，否则甲方拥有扣除质量保障金和酬金、并进一步追究损失的权利。

8.4在甲方没有过错的情况下乙方不得利用甲方管理上的漏洞和业务的特殊性中途违反合同或施加压力，否则甲方拥有扣除质量保证金和酬金、并进一步追究损失的权利。

第九条译者对翻译作品质量的保证

9.1乙方应该自觉地尽自己最大的努力保证翻译件的质量，必须严格遵守甲方提供的有关规定、国家公布的质量保证规定。主要文件有：

1)《翻译作业流程和质量控制》、《客户须知》、《翻译资费标准》和《确认单》;

2)国家制定的《中华人民共和国行业标准翻译服务规范》和翻译成品的质量标准tss1

9.2乙方从甲方领取的标准和规范资料必须签字表示以接受9.1条的管制，其领取材料清单和签字将成为本协议的附件，具有法律证明作用。

9.3由于乙方的责任导致翻译件质量的问题导致客户不满或者造成损失，甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

9.4兼职翻译必须向本中心交纳质量保证金以杜绝以下情况：_______________

第十条不可抗力

由于地震、台风、洪水、火灾、战争、罢工、政府禁令、法律要求或变化以及其他不可预见并且对其发生和后果不能防止或避免的不可抗力，致使影响协议有关条款的履行，双方应按照不可抗力对影响履行本协议的程度协商决定是否解除本协议，免除履行本协议的部分义务，或者延期履行本协议。

甲方所提供的相关资料的知识产权不归乙方所有，并且其署名权共同所有;署名规定为_________，不得再署有其它的文字。

宋书声，1920xx年出生于河北新河。1980年至1996年期间担任中央编译局局长。曾参加《马克思恩格斯全集》等马列主义著作的翻译、审稿工作，长期从事马克思主义经典著作翻译研究。

“如果没有党，还不知道我今天又在何处”

鲐背之年的宋书声向共产党员网《同学》工作室记者回忆起年轻时候的情形。1942年，那个时候很艰难，华北地区旱灾、虫灾严重，常常吃不饱，穿不暖。为了生存，宋书声选择到自行车铺当了学徒，修自行车。1946年，共产党的部队把他带离了自行车铺，让他有机会进入北方大学学习俄文。大学毕业后，宋书声就被分配到位于辽宁大连的实话报社工作，成为了一名翻译，就在这里，他向实话报社党支部提交了入党申请书，成为了一名党员。他在自己的申请书里动情写下：“党为我找到了出路，如果没有党，还不知道，我今天又在何处。党就是我的家，让我感到更大的力量。”1951年实话报社停刊之后，组织安排宋书声到中宣部翻译室工作，后来又成立了中央编译局，在那里，宋书声待了一辈子，直到退休。

用一辈子做一件事

从1949年起，宋书声一直从事俄语、德语翻译工作，主要是马列主义经典著作的翻译。除组织领导工作外，他直接参加《马克思恩格斯全集》《列宁全集》等经典著作部分卷次的翻译、定稿和审稿工作。翻译《马克思主义论国家》，重校了《共产党宣言》《哥达纲领批判》《反杜林论》第2编(大部分)、恩格斯关于历史唯物主义的几篇重要书信，主持编辑第一版《马克思恩格斯选集》(四卷本)等。其中，他带领重校的德文版《共产党宣言》，除少数地方需要修补外，一直沿用至今。除了将国外的马列著作翻译至国内使用，源源不断为党的政治建设提供理论支持和力量外，将马克思主义中国化的新成果翻译成外文，在国际上传播出去，也是宋书声的一项重要工作。
