我在以琳翻译公司实习的最后一天。一个多月的实习经历让我收获良多。无论是专业技能，还是职场规范，都有在学校里无法得到的感悟。

我在大学里学的是翻译，到以琳之后的主要工作也是翻译和校对，在专业上完全对口。原本以为凭我的翻译水平这份工作应该很容易上手，但经过实际工作才发现自己要学习的地方有很多。

首先是格式问题。在这方面，我不但所知极为有限，连意识也很欠缺。学校里从未学过，我也一直以为翻译仅限于两种语言之间的转化，但作为一种职业，这却远远不够。我们交给客户的应该是跟源文件各方面都一致的成品，而不是只转化了语言的半成品。比如一份幻灯片文件要我们翻译，那译稿应该是格式完全一致的幻灯片，而不是仅仅翻译了文字的word文档。

然后是行文规范问题。即便是纯文本文件，也有其行文规范，如字体、字号、行距以及标点符号运用等。这些内容我们在学校里做翻译练习并不如何重视，但对于专业翻译公司，这类细节问题就像公司的门面，门面不好，公司实力再强形象也会受损。

就是对翻译本身，我也有了新的理解。我在学校里所学所练主要以文学为主，讲究翻译技巧，追求辞藻和句式变化等修辞手法。然而在公司，虽然也有文学方面的订单，但业务方面还是以科技和法律等专业性较强的内容为主。很多时候，客户需要的是一份表达清晰、行文简洁的译文，而非需要用心品味的文章。真正做翻译时，就需要以客户的要求为准，而不是信马游缰地行文。

以前我虽然有过一些兼职，但那些主要是课余时间赚取生活费，顺便了解社会的一种途径，工作本身对专业知识要求小，我也很少全心投入。但在以琳的实习不同，这家专业公司让我找到了真正步入社会的感觉。

翻译版权许可合同

说明：这个合同适用于直接从外国出版社购买翻译版权，由被许可方负责制作的情形。付款按约定的印数一次性支付。

本合同于××年×月×日由（中国出版社名称、地址）（以下简称为出版者）与（外国出版社名称、地址）（以下简称版权所有者）双方签订。

版权所有者享有（作者姓名））（以下简称作者）所著（书名）第×版的版权（以下简称作品），现双方达成协议如下：

1.根据本协议，版权所有者授予出版者独家许可，准许其以该出版社的名义，以图书形式（简/精装）翻译、制作、出版该作品中文（简体）版×册（以下简称翻译本），限在中华人民共和国大陆发行，不包括香港和澳门。未经版权所有者的书面同意，出版者不能复制版权所有者对该作品的封面设计，也不能使用版权所有者的标识、商标或版权页。本协议授予的权利不及于该作品的其他后续版本。

2.对于出版×册翻译本的权利，出版者应按照第18条的规定一次性支付版权所有者费用，版税按翻译本定价的百分之×计算，并以下列方式支付：

（1）合同签订时支付美元；

（2）翻译本出版时或××日期之前支付美元，以时间早者为准；

如果在该协议履行期间，出版者有任何过错，此款项不予退还。

如果出版的翻译本实际价格高于原估价，版权所有者将按一定比例提高收费，相当于翻译本定价增加的部分，该费用于出版时支付。

3.直至版权所有者收到第2条所列款项，本协议生效。

4.出版者将负责安排一位合格的翻译者，保证准确无误翻译该作品，并将译者的名字和资历报告给版权所有者。未得到版权所有者的书面同意之前，不得对作品进行省略、修改或增加。版权所有者保留要求出版者提交译稿样本的权利，在其同意后，出版者方可印刷。

5.如需要，翻译本出版者应取得原作品中第三方控制的版权资料的使用许可，并应当为这些许可或权利支付费用。直到版权所有者收到出版者书面确认--出版者获得了许可，版权所有者才会向出版者提供生产资料用于复制该作品中包含的插图。

6.出版者就确保翻译本的印刷、纸张和装帧质量，尽可能达到最高标准。

可供选择的表述：

如需要，版权所有者负责取得原作品中第三方控制的版权资料的使用许可。对于获得这些许可而支付的费用，由版权所有者再向出版者收取额外的行政管理费，具体事宜由双方另行协商。直到版权所有者获得许可，他才会向出版者提供生产资料用于复制该作品中包含的插图。

7.出版者所有翻译本的封面、书脊、护封（如果有的话）和扉页上都必须醒目的印上作者的姓名，并在扉页背面注明下列版权声明：“（原书版权详细信息）”以及下列声明：“此（书名）的翻译版由（外国出版社名称）许可出版”。出版者也将对翻译文本进行版权声明。

8.翻译本出版后，出版者应向版权所有者提供本免费样书，并说明该翻译本的实际出版日期和定价。

9.如果出版者未能在××日期前出版该翻译本，该合同中的所有授权将由版权所有者收回，而出版者向版权所有者支付的或应付的任何款项不受影响。

10.未事先征得版权所有者的书面同意，出版者不能处分该翻译本的任何附属权利。

11.如果本合同中所规定的款项逾期3个月仍未支付，授予予的许可将立刻失效，转让的任何权利将收归版权所有者，而无需进一步通知。

5.2.2.甲方受训人员在协议期间分两批，320人日以内〔翻译除外）赴乙方接受培训。

5.2.3.首批培训时间为合同生效后的第三至第四个月，甲方派技术人员4人，翻译1人到乙方工厂接受为期160人日（每周5天工作日）的培训。内容为合同产品的设计和制造工艺。

5.2.4.第二批培训人员的培训时间为合同生效后的第八至第九个月。甲方派技术人员4人，翻译1人到乙方工厂接受为期160人日（每周5天工作日）的培训，培训内容为合同产品的设计、加工工艺、装配工艺和机器的调试。

5.2.5.甲方负担受训人员的旅费。在乙方受训期间的膳宿费及驻地和工厂之间的交通工具由乙方负责提供。

第六条 技术资料

6.以乙方应按本合同附件二规定的内容和时间，在＿＿＿＿交付技术资料。

6.2.＿＿＿＿的邮戳日期，为技术资料的实际交付日期。甲方将带有到达印戳日期的空运提单影印本1份寄给乙方。

6.3在每批技术资料发运后24小时内，乙方应将合同号、空运提单号、空运报单日期、资料项目、件数、重量、航班号和预计抵达日期用电报或电传通知甲方。同时将空运提单和技术资料详细清单各一式2份寄给甲方。

6.4.若技术资料在空运中丢失、损坏、短缺，乙方应在收到甲方书面通知后30天内，免费外寄或重寄给甲方。在甲方收到技术资料后60天内，如果没有以书面形式提出资料不全或增补要求，则视为甲方验收。

6.5.技术资料采用英文，计量单位以公制表示。

第七条 考核与验收

7.1.合同产品的第一台样机，由甲、乙双方组成的联合考核小组，按附件七规定的时间和内容进行考核。如果符合附件一规定的技术要求，即可验收，并由双方代表签署合同产品考核 验收合格证书一式4份，双方各执两份。

7.2.如果合同产品的技术性能达不到规定的技术标准，双方应友好协商，共同研究，分析原因，采取措施，消除缺陷，进行第二次性能考核。考核合格后，双方签署考核合格证书。

7.3.如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

7.4.经过第二次考核仍不能合格验收，若责任在于乙方，刚乙方须赔偿甲方遭受的直接损失。并采取措施艄除缺陷，进行第三次考核。

7.5.经过第三次考核仍不合格，如系乙方责任，则甲方有权终止合同，并接第九条的规定处理。若系甲方责任，则由双方协商合同进一步执行的问题。

第八条 技术改进

8.1.乙方提供的技术资料，如有不适合甲方生产条件的（如设计标准、原材料、外购配件及共他生产设备等一，乙方有责任帮助甲方修改技术资料，闪加以确认。在不影响合同产品性能情况下，应采用中国产的原材料、配套元器件和设备。

8.2.在合同有效期内，双方对合同产品的任何改进和创新，都免费将改进或创新的技术资料提供给对方。

8.3.改进或创新的技术所有权属于改进或创新一方，另一方不得对其申请专利或将其转让给第三者。

第九条 保证和索赔

9.1.乙方保证所提供的技术资料是乙方经过实际使用的最新技术资料，并保证向甲方及时提供任何改进和发明的技术资料。

9.2.乙方保证所提供的技术资料是完整的、正确的、清晰的，并保证按时交付。

关于乙方接受甲方委托，进行资料翻译事宜，经甲乙双方同意，签订以下翻译合同。

1. 翻译服务范围:乙方负责甲方xx项目的所有宣传，产品资料的翻译工作，乙方负责安排专业翻译人员和外籍校对人员保障翻译质量。

2.交稿时间：甲，乙双方根据项目情况商议交稿时间，甲方尽量给足乙方翻译时间，具体时间按单项交接协议为准。

3.若甲方要求乙方加急翻译，甲方在原收费基础上加一倍支付翻译费，按协议字数计算。每小时要求翻译超过600字符数，则为加急件。(按电脑工具栏字数统计的"字符数(不计空格)"为准)

4.翻译类型为：英译中/中译英。

5. 字数计算：无论是英文翻译成中文，还是中文译成英文，均按电脑工具栏字数统计的"字符数(不计空格)"为准。

6.小件翻译: 不足1000字超过500字按1000字计算，不足500字按1000字费用的50%计算。

7. 笔译价格(单位：RMB/千字) 中译英_ 元 英译中__元。

8.校正费用：甲方提供基本合乎翻译标准的资料，乙方的校正费用为(单位：RMB/千字) XX元。校正后所导致的翻译纠纷由双方承担。

9. 翻译文件至少达到3000字可由乙方免费排版，低于3000字请由甲方自行排版。

10. 付款方式：每月月底根据交稿单的内容来统一核算乙方的翻译费用，每月 号汇款到账。乙方账户：开户行 帐号

11.甲方权利与义务

11.1、甲方向乙方提供翻译资料，作为乙方翻译的工作内容。

11.2、甲方向乙方保证所提供的文稿已取得版权或许可，文稿中没有任何容易引起刑事或民事纠纷的内容。文稿中对于不合理或违反中华人民共和国法律法规或国际法或国际惯例的服务要求，乙方有权予以拒绝。

11.3、甲方如对乙方译稿有异议，甲方有权在取稿之日起5日内向乙方提出修改意见，乙方应按甲方要求在规定的时间内免费进行修改、校对，直至甲方满意为止。稿件满意度以措辞准确，文句调理清楚，无官方翻译错误为准。

11.4、乙方应尽量避免翻译的偏差。因乙方翻译失误而引起损失，甲方有权追究其责任。因甲方提供材料失当导致的翻译错误应有甲方全权承担，因由乙方自身翻译失误所带来的经济损失由乙方承担印刷部分经济责任，并且甲方应当提供与印刷商合作的相关价目详表。

甲方有权在任何时间要求乙方提供已累积翻译字数，并给予核实。

12. 乙方权利与义务

12.1、乙方有权要求甲方无偿提供相关背景资料。

12.2、乙方出于保密起见只负责保存原文和译文至发生款项付清为止,此后不得保留译稿和磁盘。

12.3、不管甲方的商业利润如何，乙方均有权获得翻译费。

12.4、乙方应该根据甲方要求，以下面的任何方式提供交稿文件：打印稿、电脑光盘、移动硬盘、E-mail。乙方翻译样稿所花费的纸质消费应由甲方承担。

12.5、乙方应按甲方要求的时间(不排除法定假日)提供翻译稿件，如乙方未能在指定时间完成翻译任务，甲方有权不支付任何价款，并有权追究因翻译延误给甲方造成的损失。

13. 原稿修改与补充：

如甲方原稿修改，而需乙方对译文作相应修改，根据修改程度酌量收取改稿费，或在收取原稿翻译费后，对修改稿按单价重新计费。如补充翻译，则另行收费。中止翻译：如甲方在乙方翻译过程中，要求中止翻译，甲方须根据乙方的翻译进度，按乙方已经翻译的字数，以协定的单价计算翻译费给乙方

14. 交稿方式:

乙方可根据具体需要，采取以下交稿方式中的任一种来交稿：打印稿、电脑软盘、传真、电子邮件。

15. 版权问题：

乙方对于甲方委托文件内容的版权问题不负责，由甲方负全责. 保密性:乙方遵守翻译职业道德，对其译文的保密性负责。

违约责任

1、甲乙任何一方不按本合同书履行其职责和义务，则视为违约，另一方可以提出质疑并要求对方纠正，若对方不纠正，另一方可以提出经济赔偿或中止合同，赔偿金额不少于实际损失额，但在翻译总费用二倍之内。

2、本合同书中如有其它未尽事宜，双方协商解决。协商不成，据《中华人民共和国民法典》处理。本合同书与现行法律抵触之处，按现行法律规定处理。

3、如果因为不可抗拒的原因而不能执行本合同的全部或部分条款，甲乙双方无需负任何责任。

4、如甲方在乙方翻译过程中，要求中止翻译，甲方须根据乙方的翻译进度，按乙方已经翻译的字数，以协定的单价计算翻译费给乙方。

5、因乙方原因中止翻译，乙方必须按已消耗的时间占双方协定完成翻译时间的比例，乘以双方协定完成翻译总费用的金额作为对甲方时间损失的赔偿。

争议解决方式

合同执行过程中如发生争议，双方应及时友好协商解决;协商不成时，双方可以向当地人民法院申诉。

合同份数及有效期

1、本合同在双方的授权代表正式签署后，方可生效。

2、本协议一式两份。甲、乙双方各执一份，自签字盖章之日起生效。

3、本合同为双方长期合作合同，合同的终止以甲方书面通知为准。

第一天的时候，我跟着班主任李老师熟悉了一下学校目前的情况，以及实习期间需要注意的一些事项。我们原来的英语老师王老师，教学经验十分丰富，目前担任高二组的组长，因为她是我原来的老师，所以我有幸在她所带的班级实习，王老师向我简单介绍了一下所带班级的基本情况。第二天正式到班级,当时想到就要面对60多个学生,不免还是有点担心和紧张。

听课实习的必经阶段，听课不仅能够学习拥有教学经验的老师的教学方法，也能熟悉如果以后能的成为英语教师所要面对的情况。高中阶段的英语课程与大学里大不相同，现在的课本经过了改革，所以现在的教学要求也有新的变化，教学方法上有很大差异。王老师教学状态相当严谨，备课很充分，又开始听她讲课，很有亲切感，再次听她的课就觉得整节课规划的很好，让学生知道这节课要完成的内容，就算有突发状况的发生，也能自行控制好时间等等。我听了整整一个章节课的完整过程，每个部分都有不同的上课形式，都是值得学习的地方。因为我不是学师范专业的学生，所以并不是很懂得英语教学法，真正坐在教室后面听课的感觉很不一样，教学的内容就算一样，方式也有很多种，可以老师自己授课，可以让学生回答问题，可以结合练习加深印象。对于学生的回答,老师要根据学生的特质进行分析，然后加以适当的引导。经过几天的实习，我觉得作为英语专业的学生，虽然在成为英语教师方面不比专业的师范生有优势，但是我们有很强的英语功底，很精准的英语专业知识，很流畅的口语技能。而作为我们外国语学院的学生，在老师们的带领下，都与一种遇到困难勇于解决的勇气，在这方面来讲，还是很适合英语教学工作的。另外我们外国语学院一直有着严谨的学风，走出去的学生一般都作风严谨，肯与吃苦耐劳，具有办事认真的品质，这么说来也在英语教学方面拥有一定的优势。

做任何事都要有一定的积累，拥有了5天的听课的经历，我也是积累了一些小小的经验。由于也是刚离开高中不久，年龄和那些学生们也没有差多少，我很快和他们打成了一片，于是老师终于同意我讲一节课。说到讲课，我还真是有点紧张，因为长这么大，一直都是听别人讲课给我听，唯一的讲课经历还是在上精读课的时候得到的任务，但是也只有短短的10分钟而已，而且面对的还只是自己的同学和老师，还真是一下子有点摸不着头脑。但是要拥有勤学好问的精神吗!于是我在讲课的前一天和老师进行了认真的讨论，老师给了我很多的指导。在这次实习中，我收获了很多，我相信我将来一定能做一位出色的英语教师。
