为充分利用现代教育技术开展网络远程教育，适应_________省（直辖市、自治区）对外开放、加速经济建设步伐的需要，___________大学（以下简称甲方）与（以下简称乙方）经友好协商，同意在_____________设立___________大学___________远程教育中心，地址设在_________________。双方一致同意：在《高等教育法》和教育部有关网络远程教育的政策、法规指导下，充分发挥各自的办学优势和积极性，努力做好远程教育的教学与管理工作，提高教育教学质量，确保培养目标的实现。为此，双方达成如下协议：

一、甲方责任与义务：

（一）根据教育部的有关规定，制定___________大学远程教育发展规划，建立、健全网络教育的管理规章制度，并依据各种规章制度对乙方的教学和管理实施全面监督与指导。

（二）根据乙方生源状况、办学条件及管理水平等，制定年度招生计划，科学、合理地分配、下达至乙方。

（三）依据教学计划拟订教学大纲，安排教学进度，提供教材和教学辅导材料，并适时选派教师赴乙方进行集中面授和辅导。

（四）负责对乙方指导教师资格和能力的审查、考核、聘用，对甲方授课教师的管理和教学业务指导。

（五）负责各课程的命题、阅卷。拟订考试计划，指派专人携试卷赴乙方协助、指导期末考试。待条件成熟时，将通过网络对学生进行考试。

（六）负责学籍和成绩管理，制作、颁发毕（结）业证和学位证书。

（七）制定网络远程教育经费的管理规定，督促、检查乙方对教育经费的使用和上缴情况。

（九）签订合作协议后，及时向乙方提供办公用印章，并出具乙方向地方教育行政主管部门备案的相关文件与资料。

二、乙方责任与义务：

（一）严格执行甲方制订的各种远程教育管理规定。

（二）建立专门的管理机构，并依据学员数量配备足够的管理人员。中心主任的选配由乙方推荐人选，但须经甲方同意方可任命。

（三）根据甲方下达的招生计划，做好招生宣传和生源组织，协助甲方组织入学考试和录取工作，如实向甲方上报招生人数和费用。

（四）负责本中心学员的教务和学籍管理工作，准确、完整和及时地将学籍资料上报甲方。

（五）负责各教学环节的组织、实施与管理，做好学生日常管理工作。

（六）根据甲方的有关规定，建立、健全各类管理规章制度并上报甲方批准。

（七）建立年度_____和年度自我检查、评估制度，并于学年度开始和结束后____个月内上报年度工作计划和工作总结。坚持经常性的自我检查，主动接受、积极配合甲方对乙方的检查与评估。

（八）负责本中心远程教育设备的日常维护和管理，确保网络教育的顺利进行。

（九）保护甲方远程教育教学课件的知识产权，严禁非法经营和侵权行为的发生。

（十）建立导学制度，切实发挥指导教师在教学中的作用。建立一支素质高、业务精、相对稳定的指导教师队伍，并上报甲方批准。认真组织日常的教学指导工作，每学年至少开展____次教学研讨活动，不断提高教学和指导水平。

（十一）为甲方前往乙方参加教学、辅导的教师和监考人员提供良好的教学和生活保障。

（十二）有权对甲方的教学、管理等工作进行监督，并提出建议。若遇技术和延误播课等原因影响学员听课和影响教学质量，乙方有权要求甲方采取补救措施。

（十三）负责向当地教育行政主管部门办理建立远程教育中心的备案手续。

三、经费分成及支出范围：

学费标准为_____元/学分；教材费为____元/门课程；学费及教材费按年度向学生收取，乙方于每年的____月底以前，按以下分成比例将甲方应得部分汇至甲方。

（一）甲方：

1、留取学费的____%。负责招生宣传、简章制作、课件制作、教材编写、信息传输，技术支持所需的各种软、硬件设备的购置与维修，支付命题费、阅卷费、论文批阅费、甲方教师和人员的课酬及差旅费等。

2、留取教材费的____%。负责教材和教学辅导材料的印制、发行。

3、凡直接在甲方报名、交费且属乙方管辖的考生，甲方及时将考生学籍等资料移交给乙方，并向乙方支付学费的____%。

（二）乙方：留取学费的____%，负责当地生源的组织和甲方人员在当地的食宿、交通费用，支付当地指导教师的课酬。

四、其他事项：

未尽事宜，双方另行协商解决。根据情况变化，双方可签订补充协议。若一方违约，另一方将保留解除办学合作关系及追究经济赔偿的权力。

五、协议期限本协议一式____份，双方各执____份，有效期____年，期满双方协商终止或续签。本协议自签署后生效。
