寄售协议

9.8 如因乙原因，产品部分性能指标没能达到合同产品的规定时，机具体情况，乙方须按合同总价_________％予以赔偿，但是，若因甲方原因产品没能达到性能指标时，甲方应按合同规定支付金部金额。

第十条 保密

10.1 乙方根据本协议所提供的一切图纸、设计、说明书及其他技术资料，甲方均须严格保密；未得到乙方的书面同意，不得以任何方式出售、转让或泄露给任何人，但不包括甲方为生产合同而使用技术资料的雇员。但是，甲方可以向分包合同人提供生产合同产品部件所必须的技术资料，分包人须书面保证对其所得到产技术资料承担严格的保密义务。

10.2 若上述技术资料由乙方或任何第三方部分或全部公开，则甲方对已公开的技术不再承担保密义务。

10.3 本合同终止后，甲方有权使用乙方所提供的专利，即甲方可以继续设计、制造、使用、销售和出口合同产品。

第十一条 侵权

11.1 乙方保证，它是依本合同条款转让给甲方的专利权的合法所有人，在法律上享有向甲方转让专利权的权利。若发生侵犯任何第三者权利的事件，则乙方应对侵权事件负责，并承担由此而产生的全部法律和经济责任。

11.2 本合同附件一列明乙方关于合同产品的专利和专利申清。合同生效后一个月内，乙方将向甲方提供2份专利证书和专利申请的影印本。

第十二条 税费

12.1 凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方负担。

12.2 乙方因履行本合同而在中国境内获得的收入，必须按中国税法纳税。

第十三条 不可抗力

13.1 签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期相当于事故所影响的时间。

13.2 受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。

13.3 如不可抗力事故延续到120天以上，双方应通过友好协商尽快解决合同继续执行的问题。

第十四条 仲裁

14.1 因执行本合同所发生的或与本合同有的一切争议，双方应通过友好协商解决。如经协商仍达不成协议时，则应提交仲裁解决。

14.2 仲裁将在_________进行，由_________仲裁院根据该院的章程进行仲裁。

14.3 仲裁的裁决是终局的，对双方均具有约束力。

14.4 仲裁费用由败诉方负担。

第十六条 合同有效期

教育发展的关键在教师，教师成长的关键是继续教育。新课程改革要求不断提高教师队伍素质，这是现阶段摆在中小学教育面前一项艰苦而紧迫的任务。校本培训作为21世纪中小学教师继续教育的一个重要组成部分，已引起越来越多的关注，它更多地以教育现实为着眼点，有利于教师在实践中训练和提高教育教学技能。。

1、加强师资培训，更新课程理念

随着课改实验不断深入，学校、教师在课程实施中遇到的问题也随之凸现。校情不同、问题各异。立足校本，我校从三方面着手，建设开放、民主、有效的教研机制，即为了学校，在学校中，基于学校。

2、培训管理规范性

为保证以校为本教研工作的顺利进行，我校高度重视校本教研制度的建设。制定《华富小学校本课程制度》，营造利于教师教研的氛围，扎实推进校本教研活动，力争“步步有实效”，以促进教师专业成长。

(1)研讨制度。校长为校本教研第一负责人，在教研组指导下，组织实验学科的互观课、研讨课等活动，实验教师每学期至少承担区研讨课1次，承担校示范课1次以上。

红花岗区农村党员干部现代远程教育试点工作自查报告

一、基本情况

红花岗区农村党员干部现代远程教育试点工作从2003年5月全面开展以来。到现在为止，已建成9个镇级光纤接收站，26个村级光纤接收点，9个农村中学计算机室，71个农村小学卫星收视点，31个村级地面卫星收视点，巷口中学、礼仪中学和海龙中学实现了“天地网合一”。到2004年4月，全区农村党员干部现代远程教育试点工作硬件建设工作已全部完成。按照市民政局的要求，我区合村并组工作从今年6月开始到8月6日全部完成。全区由原来的9个镇96个村合并 8个镇53个村(22个光纤村、31个卫星收视点)。

按照全市8月12日农村党员干部现代远程教育紧急会议要求，区委组织了相关单位召开了全区远教紧急会议；会后，区远教办汇同区委党校、区文广局单位同志组成三个督查组，对全区各站点进行督促检查。

二、开展的主要工作

(一)硬件建设进一步完善。全区各站点认真对照中央提供的《终端接收站点建设自查评估指标体系》，逐项查漏补缺，并对2003年7月前开通站点的电脑进行自查，该升级更换的要求在8月28日前完成。对31个村级卫星播放点增加电脑进行了升级准备，区远教办购置了电脑桌，各站点还安装了避雷设施。

(二)站点管理进一步加强。各站点在制度上进一步规范了管理。由区远教办对各镇、村站点管理制度统一制作上墙。区教育局对小学站点管理制度统一制作上墙；各镇对辖区村、管理制度统一制作上墙。不断完善学习培训记录，做到了学习内容提前预告，各镇、村统一了“三册两簿一志”(即《播放登记册》、《学习讨论登记册》、《点名签到册》、《信息反馈簿》和《站点管理日志》)，逐步规范了农村党员干部学习培训。

(三)学习培训进一步加强。为最大限度发挥远程教育资源的作用，我区农村远教工作在硬件建设完成后，围绕“四个服务”(即远教工作要服务党员、农民、干部和学生)，积极探索学习教育培训模式。在远郊村推行“支部+远教+协会”模式，近郊村推行“支部+远教+公司联谊会”。

1、在远郊村远教管理上，我们探索出了“支部+远教+协会”的管理模式：即由支部负责组织该村党员、村组干部、理事会代表、议事代表等学习党的政策、理论、法规等，每月不得少于2次，时间一般是每月15日、30日；涉及农村种、养殖业知识，农村市场经济知识等主要由该村协会组织科技示范户、协会会员、群众等定期不定期组织学习培训，并由农技干部现场讲授，进一步提高了学习培训效果。目前，全区养殖业比较典型村的有：深溪镇清江村养猪基地；巷口镇中山村肉牛养殖基地；金鼎山镇程顶村奶牛饲养基地和海龙镇新场村奶牛饲养基地等；种植业比较典型的村有：新蒲镇文武村莲藕种植基地已达1000余亩；忠庄镇勤乐村葡萄种植基地。

2、在近郊村远教管理上，我们探索出了“支部+远教+公司联谊会”的管理模式：即由支部负责组织该村的党员、村组干部、公司领导、议事代表等学习理论知识和政策法规等；由村支部组织辖区公司成立企业联谊会，联谊会在该村每季度召开一次会议，由支部牵头，联谊会负责组织企业职工利用远教进行岗位技术知识学习培训。特别是针对应知应会的知识如：消防、安全进行现场培训；各企业在联谊会上将生产情况、销售情况进行通报。每个企业每年投资一定管理费用，每个企业一天投资1至2元左右在村级站点建立相关网页，这样既解决了管理人员的工资，也帮助了企业推向市场。目前，全区比较典型的村接收站有：南关镇护城村(企业已达300余家)；长征镇坪丰村(村级集体资产已达1300多万元)，忠庄镇忠庄村(全村挖掘机有400多台)，这些村都有很好的条件，充分利用公司或商会来开展远教工作。

(三)课件开发进一步加强。根据市远教办关于课件开发的要求，以中央资源为主，地方资源为辅的原则。我区在课件制作上，一是由区远教办正在制作三个专题片(清江养猪、文武村种莲藕和护城村点题公开)，力争在9月份完成；二是为扩展教学资源，区远教办在重庆当红公司订购了80余张VCD光盘，准备刻录后下发各镇、村和学校；三是各镇结合镇情实际，也在购置适合镇情的光盘。如巷口镇已购400多张，新蒲镇自制和购置120多张。

(四)管理人员队伍建设进一步加强。省远教办已安排9名大学生到我区支持远教工作，我们每个镇下派了一名大学生专门负责远教工作。目前各镇均对各站点管理人员开展至3次的管理人员培训；培训内容主要是计算机知识、网络知识等，各站点管理人员的水平进一步提高。

三、存在的主要问题

（一）、机构不健全。各镇没有建立专门的机构，造成了管理上的脱节，不能有效指导村级站点开展工作，出现问题也不能得到及时的反映和解决，制约了远教工作的深入开展。

（二）、专业人员缺乏。农村党员干部现代远程教育是一项技术性很强的工作，没有合格的操作维护人员，不但开展不了教学，甚至会造成硬件的损坏。目前全区虽然已有140名管理人员，但大多数站点管理人员身兼数职，工作繁杂，无法专注于远教工作，工作开展有一定难度。

（三）、经费短缺。按照预算一个镇级光纤接收站点和农村中学远教卫星收视站，每年约需运行费10410元；一个村级光纤接收点和农村小学远教收视点，每年约需费用6205元，一个村级远教播放点每年约需运行费2763元。全区所有站点每年仅运行费用就需要92.22万元。这一笔资金如何保证，已成为一个亟待解决的问题。
