After reading a lot of related files, and analyzing the overall funding situation of the corporation, I found that the loan policy was not been put into effect. So we have thousands of millions RMB loan with very high interest rate while a large amount of cash in bank with very low interest rate was idle. I reported this to my supervisor, and then we studied and revised the loan policy. This revision saved the corporation approximately RMB thirty millions yuan. In order to raise the funding effectiveness, after one year’s hard work, I developed the internal banking system within the corporation based on the actual funding supply and need of the different divisions and projects. This internal banking system made full use of the corporation’ funding resources, and due to this, I was highly praised by the president of the corporation.

证券质押典当合同简介

一、 名词解释与典当质押业务说明

1.1、fprc证券质押典当

fprc系统是由创元开发的《证券质押典当业务管理与风险监控系统》的简称。该系统通过电脑网络技术，依照《典当管理办法》，为乙方提供最短2天最长不超过15天股票当质押服务体系，包含了相关动态监管与风险监控功能。fprc《网上交易客户端》是甲方提供给乙方作为申请证券质押典当业务使用的软件，包括股票买卖撤单、查询、结算等功能.

甲乙双方签署本合同后，乙方在本合同有效期内使用《网上客户端》自助申请当金购买股票，随买即借随卖即还，周而往复。甲方按乙方实际使用当金的天数计算和收取典当综合管理费。

1.2、 帐户说明

1.2.1、质押帐户

质押帐户(包括资金帐户、股票帐户)简称a帐户，是乙方在证券公司设立的个人帐户，在本合同有效期内，乙方已将该帐户的所有资产作为质押物俗称“当物”，质押给典当行;乙方丧失a帐户的所有权，但可对该帐户进行股票交易 。

1.2.2、典当帐户

典当帐户是由典当行提供的资金帐户(包括资金帐户、股票帐户)简称b帐户，在本合同有效期内，乙方质押获取的当金由该帐户提供;乙方取得在该帐户内进行股票买卖交易(包括资金帐户、股票帐户)的使用授权。

1..3证券质押授信与当金额度管理办法

本合同对乙方进行授信管理。甲方通过对乙方历史交易能力的评估确定乙方授信级别。本合同有效期内，fprc系统根据乙方使用b帐户的交易频率与盈亏状况，对该授信级别定期自动调整，若授信级别降至25分，甲方有权提前终止本合同。

乙方只有在a帐户的现金95%购买股票后方可申请质押典当，fprc系统自动根据乙方当时持有股票市值的评估总额乘以乙方授信级别计算并批复;乙方当日申请到的当金额度仅限当日有效。

1.4典当期限与月综合服务管理

本合同期限为半年，到期后甲乙双方重新签定合同。本合同中，乙方应在质押典当到期前乙方应主动抛售b帐户的股票，否则未抛售股票视为“绝当”，甲方有权强行抛售;乙方以其a帐户的资产承担所有风险、综合管理费。

1.5、定期清算、平仓清算、合同到期清算

1.5.1、定期清算

甲方每月20日对乙方使用当今的所有交易及占用当金的典当综合管理费进行定期清算。fprc系统自动管理乙方的融资买卖记录，乙方使用fprc《网上交易客户端》可以随时查询。清算日乙方未抛售的股票当月不清算，至下月定期清算日再作清算;当月没有申请质押典当的乙方不参与清算。乙方若盈利，甲方将盈利部分由b帐户划拨资金到乙方a帐户，乙方若亏损，乙方或主动支付亏损部分给甲方，或甲方使用乙方预留的授权委托书，从乙方a 帐户划拨资金到b帐户弥补亏损。

1.5.2、平仓清算

乙方授权甲方在乙方a帐户资产及b帐户当金资产总市值跌落到本合同约定的平仓线以下时，进行平仓清算。甲方有权不通知乙方，市价抛售乙方b帐户、a帐户的股票，并从乙方a帐户划拨资金以弥补乙方占用b帐户当金的典当本息及亏损。对于a帐户全部划拨或股票全部买出后仍不足弥补甲方亏损，甲方有权向乙方继续追索。

1.5.3、 合同到期日清算：

合同到期日前20日内，停止乙方贷款权利，到期日前5天办理清算手续。

二、典当综合管理费用率及计算

甲方有权调整典当综合管理费率。fprc系统将自动提示乙方每次申请当金的实际费率，该费率在当次质押典当期内不会变动。甲方按乙方实际占用当金额度、及占用时限计算综合服务费;当金占用时限从乙方b帐户当金买入股票之日起计，至卖出日次日为法定节假日则延续计费。

违约金：乙方占用当金超过15日未归还，按日加收4‰违约金。

三、 乙方出质帐户及出质资产总值

甲方双方签署本合同后，乙方已将a帐户作为典当质押物。质押期间，乙方可对a帐户进行正常的股票买卖，乙方始终以其a帐户内总值项下的资金和证券持续作为典当的质押物(当物)。乙方自愿向指定营业部办理不可撤消的a帐户的《帐户委托申请》和《授权委托书》指令。同时乙方将深、沪股东及身份证复印件留置甲方。

四、质押担保范围

质押物的质押担保范围指本合同重要一栏所规定的当金、当金利息、综合费(含利息)、违约金、损害赔偿金及为实现债权所发生的费用。

五、乙方当金申请与股票买卖规则

5.1本合同有效期内，甲方将b帐户授权乙方使用，乙方通过frpc《网上交易客户端》自动进入交易及查询交易记录。

5.2本合同有效期内fprc系统自动限制乙方买入具有风险的股票。甲方有权在任何时间对股票的风险几级别进行调整，风险级别在25分以下的股票为系统限制交易的股票，st、※st类股票的默认风险分别为零。乙方认可该限制可能对乙方的投资产生影响，并承诺对此限制不提出任何异议。

5.3乙方对所持有的a帐户总资产享有完全的无可争议的所有权，不得将该帐户的资金及其对应证券帐户资产借或设定任何形式的担保。

5.4若乙方违反上述约定，甲方有权终止本合同，并要求乙方承担所导致的全部经济损失。

六、帐户冻结、合同单方终止

6.1乙方需要向甲方指定营业部提交《帐户委托申请书》后方可获得会员资格。申请书申明自愿在本合同有效期内冻结a帐户，包括停止上述资金帐户的银证转帐功能、柜面资金提取与转出，限制证券帐户办理股票转托管(深圳)指令、办理撤单指定交易(上海)指令、禁止本人消户等。

6.2乙方只有在完整填写了《授权委托书》后，才能获得典当质押资格。合同有效内遇定期清算或平仓清算，该《授权委托书》被使用后，乙方需要再次填写并提交甲方后，才能继续申请当金额度、并获得交易授权。否则按乙方单方终止本合同。

6.3合同有效期内，乙方在未使用b帐户资金或与甲方办理清算手续后，可单方提出终止本合同;甲方也可在乙方未使用b帐户资金或与乙方办理清算手续后，由于乙方授新额度降低至合同规定最低值时，单方面终止本合同。

七、续当、赎当、合同绝当、交易绝当

7.1、本合同不得续当。本合同限界满前20日内，乙方可向甲方申请重新订立合同。

7.2、乙方应在本合同期限界满日完成赎当，逾期未赎当(即支付典当本金、综合服务费及利息)，也未征得甲方同意办理重新订立新合同，即视为“合同绝当”;甲方有权对“交易绝当”进行强行抛售，抛售“交易绝当”股票产生的盈亏均由乙方承担;无论“交易绝当”是否盈利，甲方可立刻降低乙方授信额度，直至取消授信额度或单方面终止本合同。

八、风险控制、预警及平仓条款

8.1乙方授权甲方对乙方 a帐户、b帐户及对应的证券资产总和(指资金余额加证券市值)进行实时查询。

8.2乙方申请当金股票到抛售前，若a帐户、b帐户及对应达到证券资产总和低于警戒线(警戒线值见本合同重要条款一栏)时，甲方将通知并要求乙方在第二个交易日内向a帐户补充资金，使资产总和恢复到警戒线以上。否则甲方将乙方视为高危客户;乙方将可能遇到随时被甲方平仓的风险。

8.3、平仓清算条款

8.3.1、当乙方a帐户、b子帐户及其对应的证券资产总和低于乙方本次占用b帐户当金本金及综合管理的平仓线(平仓线值见本合同重要条款一栏)时，乙方授权甲方 (身份证号： )凭乙方预留的《授权委托书》(见附件一)、《帐户委托书》(见附件二)进行平仓清算。而不论平仓时乙方是否接到通知，或乙方接到通知后，资产市值总和是否回升到平仓线以上，甲方均可有权进行平仓清算。

8.3.2、无论合同绝当、交易绝当，甲方均有权无须通知乙方即进行平仓清算。

九、其他

合同存续期内，若乙方发生经济状况恶化及其他特殊情况，乙方应立即通知甲方，甲方有权决定是否终止本合同并立即进行清算处理，或者决定由乙方的权利义务承受人继续履行本协议。乙方如不通知甲方将承担相应的法律后果。

9.1、本合同履行过程中若发生争议，应友好协商，协商不成的，由甲方所在地人民法院处理。

9.2、本合同有效期：自签订之日起六个月内有效，或甲乙双方结清债权债务之日止。

9.3、本合同附件是本合同不可分割的组成部分，与本合同正文具有同等法律效力。

9.4、本合同一式二份，甲乙双方各执一份。
