第六条 技术资料

6.以乙方应按本合同附件二规定的内容和时间，在＿＿＿＿交付技术资料。

6.2.＿＿＿＿的邮戳日期，为技术资料的实际交付日期。甲方将带有到达印戳日期的空运提单影印本1份寄给乙方。

6.3在每批技术资料发运后24小时内，乙方应将合同号、空运提单号、空运报单日期、资料项目、件数、重量、航班号和预计抵达日期用电报或电传通知甲方。同时将空运提单和技术资料详细清单各一式2份寄给甲方。

6.4.若技术资料在空运中丢失、损坏、短缺，乙方应在收到甲方书面通知后30天内，免费外寄或重寄给甲方。在甲方收到技术资料后60天内，如果没有以书面形式提出资料不全或增补要求，则视为甲方验收。

6.5.技术资料采用英文，计量单位以公制表示。

第七条 考核与验收

7.1.合同产品的第一台样机，由甲、乙双方组成的联合考核小组，按附件七规定的时间和内容进行考核。如果符合附件一规定的技术要求，即可验收，并由双方代表签署合同产品考核 验收合格证书一式4份，双方各执两份。

7.2.如果合同产品的技术性能达不到规定的技术标准，双方应友好协商，共同研究，分析原因，采取措施，消除缺陷，进行第二次性能考核。考核合格后，双方签署考核合格证书。

7.3.如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

7.4.经过第二次考核仍不能合格验收，若责任在于乙方，刚乙方须赔偿甲方遭受的直接损失。并采取措施艄除缺陷，进行第三次考核。

7.5.经过第三次考核仍不合格，如系乙方责任，则甲方有权终止合同，并接第九条的规定处理。若系甲方责任，则由双方协商合同进一步执行的问题。

第八条 技术改进

8.1.乙方提供的技术资料，如有不适合甲方生产条件的（如设计标准、原材料、外购配件及共他生产设备等一，乙方有责任帮助甲方修改技术资料，闪加以确认。在不影响合同产品性能情况下，应采用中国产的原材料、配套元器件和设备。

8.2.在合同有效期内，双方对合同产品的任何改进和创新，都免费将改进或创新的技术资料提供给对方。

8.3.改进或创新的技术所有权属于改进或创新一方，另一方不得对其申请专利或将其转让给第三者。

第九条 保证和索赔

9.1.乙方保证所提供的技术资料是乙方经过实际使用的最新技术资料，并保证向甲方及时提供任何改进和发明的技术资料。

二.质量要求及技术标准 ：

1.乙方在甲方用货前需提供材料样品，由乙方提供地板品种、规格、颜色、主要性能和技术指标必须符合设计及材料样板要求，并应有出厂合格证、防火检测报告、环保检测报告，无文件地暖测试报告拒绝使用;

2.防潮垫：品种、主要性能和技术指标必须符合设计要求并保证良好的防潮性及脚感，并应有出厂合格证明;

3.乙方供应的货物应符合国家放射性性检测标准GB18580和国家产品质量标准(GB/T 18102浸渍纸层压木质地板、GB/T 18103—20xx实木复合地板、GB15036—94实木地板、LY/T 1330—1999抗静电木质活动地板、LY/T 1573—20xx竹地板)规定，且各项指标应达到标准中所规定的优等品要求。(根据产品选择标准)

三.交货时间和交货地点：

五.验收标准及提出异议期限：

甲方有权进行现场抽验，抽验率应满足不低于3%;甲乙双方应共同验收产品，验收合格的，甲方书面签字确认。对甲方验收不合格的产品，乙方立即退货，并应立即补足因不合格产品所致甲方缺货数量，乙方不得等到收到该不合格产品后再进行补足工作。乙方应承担因产品不合格而补换货所发生的费用(包括甲方退换货)及赔偿由此造成的甲方全部经济损失。如果乙方对经甲方验收的有质量问题的产品之检验结果有异议，乙方应在该质量产品到达双方指定地点后 2 个工作日内向甲方提出，双方协商解决或按本合同约定解决。

六.结算方式及期限：

1.本合同签订后10天内，甲方向乙方支付本合同项下货物总价款的20%作为定金;定金在甲方应支付的后续货款中一次性全部抵扣;

2.乙方每送到一批货且经甲方验收合格后15天内，甲方按乙方送到合格货物的总价款的60%向乙方支付货款;

3.乙方提供的地板全部铺贴完且甲方验收合格后，甲方按所送货物总额结算(含补货)应付货款，且甲方预留结算款的5%作为保证金，其它余款在结算后十天内付清;

4.保证金在工程竣工验收合格后三个月内付清。

七.违约责任：

1.因甲方迟延支付货款的，每迟延一日，其应向乙方支付应付未付货款千分之五的违约金。 2.因乙方原因，乙方迟延交货的，每迟延一日，其应向甲方支付迟延交货货款千分之五的违约金。如果乙方迟延交货超过约定期限的30日的，甲方有权以书面通知方式解除本合同，乙方应向甲方承担违约责任并向甲方赔偿本合同金额20%的违约金。如甲方由此产生的实际损失超过前述违约金金额的，乙方还应赔偿甲方该不足部分。

3.因乙方原因，乙方提前解除合同的，其应向甲方承担违约责任并赔偿甲方本合同金额20%的违约金。如甲方由此产生的实际损失超过前述违约金金额的，乙方还应赔偿甲方该不足部分。

八.争议解决：

甲、乙双方就合同事项如发生争议应协商解决，协商不成双方同意将争议提交合同签订地(北京市海淀区)人民法院诉讼解决。

九.其它约定：

1.备货。乙方同意在本合同的订货数量之外增加10%的产品备货，以备工程增加量之需。甲方所需货物超过本合同约定数量5%的，该部分货物的供应以甲、乙双方另行签订的本合同之补充协议为准。

2 余货处理。工程完工后的剩余地板，在包装完好且没有损坏、泡水、切割等影响二次销售情况下，乙方按本合同价退货。乙方负责余货的运送，并承担退货过程中产生的费用。但需预留两年的总合同数量3%维修量地板，以备维修保养所需，货品存放在供应地库房处，保证供货的及时性。

3.特殊说明：对供货产品的工艺要求例如：

● 含水率严格控制在≤8%，保证吸水、变形、翘曲、收缩在规范指标控制内;

● 吸水厚度膨胀率不得超过3%，板内甲醛释放量：每100g板重总抽出甲醛量不得超过9mg(按GB18580

标准为≤1.5mg/L);

● 地板纹理表面应薄厚均匀，每箱中无明显色差、无裂缝、无节疤等瑕疵，且木纹清晰;

● 漆面平滑，无气泡，应使用优质环保耐磨漆UV耐磨漆，耐磨为国家标准“优等品”标准，≤0.08g/100

转且漆膜未磨破，使用合格环保进口名牌的油漆;底漆不少于4遍，面漆不少于3遍，耐磨度、硬度、漆膜附着力、抗剥离度等技术指标须符合国家规范

(3)木地板施工前地面必须做好防潮处理并保证在地面完全干燥的情况下进行施工，否则不得进行铺板工作;

(4) 拼装木地板前必须对地面进行自流平处理木地板铺装前对地面基层必须进行防潮处理，(如不在合同范围内的需要对地面的平整度进行逐户测量，形成数据表格报给装修总包、监理、总包及甲方)，地面平整度达到标准要求后方可进行铺贴;

(5)木地板的铺装工艺可参照生产商的合理性建议，但最终质量仍由铺装的承包商负责;

(6)木地板施工期间和完工后，须由铺装单位按照要求进行成品保护工作，具体见成品保护要求。

(7)铺装单位报价需包含于其它材料收口的材料(如：____________与大理石收口的不锈钢或铜条，材质与节点设计需报甲方确认方可施工)

(8)保洁要求：地板表面保洁时不宜用湿拖把，禁止使用铲刀、美工刀等铲刮;应先用地板专用拖把把灰尘清除，然后用湿布擦除即可。忌用稀释剂、松香水、二甲苯、酒精脱漆剂等液体接触地板，防止产生化学反应，损伤油漆表面。
