3.5 甲方依据本合同的专利许可，销售的合同产品一经付款则视为货已售出。

3.6 若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

一、总则

1、为加强办事处的管理，使办事处的工作科学化、规范化和制度化，特制定本规定。

2、凡办事处的设立和管理，均适用本规定。

3、办事处要坚持公司的营销策略，勇于开拓，团结进取，求实高效，为完成公司制度

二、办事处的设立、职责及其管理

1、办事处的设立、机构设置、人员编制由公司核批。

2、办事处是营销部的分支机构，由营销部直接管理。

3、办事处的职责：

1)确定区域的销售目标及促销战术组合，并报营销部批准后实施;

2)在营销部的指导下，制定具体的实施计划，并报营销部批准后实施;

3)负责本区域的营销管理工作;

4)负责本区域的F级人员的招聘、培训、考核、晋升等工作;

5)负责本区域信息的收集、整理、分析和传递工作;

6)负责组织或帮助代理商组织各种产品促销活动;

7)公司临时指派的任务。

4、办事处实行业务主管负责制，主管负责全面工作。

5、办事处会议制度：

1)办事处负责人每年12月上旬、6月上旬回公司召开全国销售会议;

2)办事处及其下各地业务人员每季度第1月的上旬召开区域销售会议;

3)办事处所在城市的业务人员应于每周五下午召开周会;

4)临时会议由通知确定;

5)会议内容：总结工作，交流经验，研究问题，制订计划，落实任务。

6)除全国销售会议由销售总监主持外，办事处会议应由办事处负责人主持，负责人不在时，指定他人主持;

7)会议总结应及时传至公司。

6、办事处应按要求及时向公司报送如下资料：

1)周报表：下周工作计划表、本周工作总结表、客户资料卡、销售周报表、本周总结;

2)月报表：下月工作计划表、本月工作总结表、月度广告计划申报表及月度销售促进工作表、销售月报表，月度财务报表;

3)年报表：年度销售统计表、本年度工作总结、下年度工作目标与计划，年度财务报表。

三、办事处人事管理

1、办事处应依照人事管理制度加强人事及其档案管理，使人事管理工作制化和规范化。

2、办事处负责人、财务负责人由公司任命;一般员工的的调入、调出，应由办事处提出意见，经公司批准后办理正式手续。

3、办事处要坚持公司的各种管理规章制度和公司的销售策略、方案、计划。办事处负责人任免应广泛听取办事处业务人员意见，经公司通过后决定。

4、办事处负责人、财务负责人实行任期制，一般为二至三年，工作需要可以连任。

5、办事处负责人、财务负责人，原则上实行轮换制，三年轮换一次，特殊情况可不受年限限制。

6、办事处人员一般应具备大专以上学历，身体健康，年富力强，素质好且具有独立工作能力。

7、公司按规定定期向办事处派驻管理人员进行巡回管理;将新聘员工分期分批地派到办事处锻炼。派驻期一般为6个月，期满后由公司统一安排。派驻的人员不进办事处编制，薪酬及其他福利由公司负责。

8、办事处负责人、财务负责人的亲属不得调入本办事处工作。

9、公司参照《目标管理制度》和《客户管理制度》对办事处人员进行考核。

10、办事处应坚持民主原则，加强团结，努力提高全体人员的整体素质，充分调动员工的积极性。

11、办事处要加强业务培训工作，不断提高员工的业务工作能力。

四、办事处的财务管理

1、办事处应加强财务工作的领导，建立、健全并认真执行各项财务管理制度。

2、办事处应严格执行经费预、决算制度，如实反映财务收支情况。并应严格执行翁对办事处工作人员补贴标准的规定，不得自行改变补助标准。

3、办事处应加强财务管理的自检自查工作，发现问题及时解决。公司财务部门应根据需要，对办事处财务管理情况进行检查指导，坚决杜绝违反财经纪律的现象。

4、办事处应加强管理，提高服务质量，提高经济效益。

6、处罚：出现下列情况之一的，办事处负责人、人员应予解聘。

1)违反财务制度，造成财务工作严重混乱的;

2)拒绝提供或提供虚假的会计凭证、帐表、文件资料的;

3)伪造、变造、谎报、毁灭、隐匿会计凭证、会计帐簿的;

4)利用职务便利，非法占有或虚报冒领、骗取公司财物的;

5)弄虚作假、营私舞弊，非法谋私，泄露秘密及贪污挪用公司款项的;

6)在工作范围内发生严重失误或者由于玩忽职守致使公司利益遭受损失的;

7)有其他渎职行为和严重错误，应当予以辞退的。
