7.3 如果第一次考核不合格是乙方责任，乙方应自费再次派遣技术人员进特第二次考核。

8.2 在合同有效期内，双方对合同产品的任何改进和创新，都免费将改进或创新的技术资料提供给对方。

8.3 改进或创新的技术所有权属于改进或创新一方，另一方不得对其申请专利或将其转让给第三者。

第九条 保证和索赔

9.1 乙方保证所提供的技术资料是乙方经过实际使用的最新技术资料，并保证向甲方及时提供任何改进和发明的技术资料。

9.2 乙方保证所提供的技术资料是完整的、正确的、清晰的，并保证按时交付。

(一)基本准则

(三)业务交往

3、员工不得挪用公款谋取个人利益或为他人谋取利益。

4、员工的直系亲属从事可能会与公司利益发生冲突的业务时，员工应向公司申报，并提出职务上的回避。

5、员工在对外业务联系活动中，业务关联单位按规定合法给予的回扣和佣金，应一律上缴公司作为营业外收入以冲抵成本。个人侵吞的，以贪污论处。

6、员工在公司以外的交际应酬活动，应本着礼貌大方、简朴务实的原则，不得铺张浪费。严禁涉及任何违法犯罪活动。

7、员工在与业务关联单位的联系过程中，对超出正常业务联系所需要的交际活动，尤其是涉及以下四点的，应谢绝参加：

(1)奢华的宴请及娱乐活动;

(2)具有赌博性质的活动;

(3)邀请方的目的明显是为了从我方取得不适当利益的活动;

(4)违反国家法律和社会公德的活动。

8、所有员工都有义务保守公司的各种经营管理信息，务必妥善保管所持有的涉密文件及内部资料。机密文件和资料不得擅自复印，未经特许，不得带出公司。

9、员工未经公司授权或批准，不准对外提供标有密级的公司文件，以及其他未予公开的经营情况、业务数据及相关信息。

10、员工未经批准，不准将公司的资金、车辆、设备、房产、原材料、产品等擅自赠与、转让、出租、出借、抵押给其他公司、单位或者个人。

11、员工对因工作需要配发给个人使用的如交通工具、电子设备等，不准违反使用规定。

12、全体员工都有义务和权力对违反以上准则的行为向公司各级主管以至董事长投诉。

现金政策

2、办公室严禁吸烟。

3、遇火灾隐患应及时清除。

4、严禁违反操作规定使用各种仪器、电器。

5、员工下班前应清除废物桶。

6、下班后文件、纸张等易燃物不应放在桌面上，应放入箱、柜内、并将柜门关闭。

7、各办公室下班后应切断电源，关闭水源，并将窗户紧闭。

8、最后离开办公室的员工应对本办公室作最后的安全检查;最后离开公司的员工应对公司用最后的安全检查。

9、公司员工应养成良好的卫生习惯，随时保持办公环境的整洁卫生。

第十二条 违纪处罚

寄售协议

（一）本合同自_______年_______月_______日至_______年_______月_______日止，期限为年。试用期自________年____月____日至________年____月____日止，期限为____个月。

（二）本合同自________年____月____日至合同中约定之解除或终止合同的条件出现时止。

三、工作职责、内容和工作条件

（一）乙方的工作职责：全面负责站内技术管理工作。

（二）具体工作内容及要求：保持站内设备正常运行及设备保养工作。

（三）乙方工作时间遵照国家有关规定执行，甲方因工作需要，经与乙方协商同意，可延长工作时间，但不得超过国家劳动法律、法规的规定。

（四）乙方必须按照甲方对本岗位任务和职责的要求，完成规定的数质量指标或工作任务。

（五）甲方根据国家有关规定，按乙方岗位要求提供必需的工作条件和_____设施，保障乙方的安全与健康。

（六）甲方负责对乙方进行职业道德、业务技术、安全作业的教育和培训；乙方在工作过程中必须严格遵守工作规程，有权拒绝执行甲方违规指挥，有权提出批评、检举和控告。

四、工作报酬

（一）甲方根据国家的有关规定和乙方完成工作任务的情况按月核发乙方应得的工资、奖金及各种津补贴。

（二）甲方确需乙方加班时，按国家规定支付给乙方加班费。

五、工作纪律

（一）甲方根据国家法律、法规的有关规定制定工作纪律和规章制度，乙方自觉遵守甲方的工作纪律和规章制度，服从甲方管理。

（二）甲方应切实加强单位内部的岗位责任制，建立健全各项考核制度，做到职权清楚、责任明确、考核严格、奖惩分明。

六、社会_____和福利待遇

（一）甲方依照国家法律、法规和政策规定，为乙方及时足额向社会_____部门缴纳社会_____费。社会_____费中的个人负担部分由甲方按国家规定从乙方月工资中扣除后代缴，由社会_____经办部门按规定记入缴费本人个人账户。经双方协商，也可以由乙方按规定自行缴纳。

（二）乙方患职业病或因工负伤、患病或非因工负伤、以及女工孕期、产假和哺乳期间的待遇，按国家和省有关规定执行。乙方医疗期满或痊愈后，不能从事原工作被解除聘用合同时，由甲方按国家和省的有关规定发给乙方医疗补助费。

（三）乙方因工或因病死亡丧葬补助费，供养直系亲属的抚恤费、救济费、医疗费等按国家和省有关规定执行。

（四）甲方保障乙方依法享受公休假日、婚丧假、带薪年休假等。

七、聘用合同的终止、解除、续订和变更

（一）本合同期限届满，即行终止。

（二）本合同双方约定的终止条件出现，即行终止。

（三）本合同经甲、乙双方协商一致，可以解除。

（四）乙方有下列情形之一的，甲方可以解除聘用合同：

1、在试用期被证明不符合聘用条件。

2、严重违反劳动纪律或者甲方规章制度。

3、连续____年考核不合格。

4、严重失职、_____，营私舞弊，对甲方利益造成重大损害。

5、被依法追究刑事责任或劳动教养责任。

（五）有下列情形之一的，甲方可以与乙方解除聘用合同，但应提前____日书面通知乙方：

1、乙方患病或非因工负伤，医疗期满后，不能从事原工作也不能从事甲方另行安排的适当工作。

2、乙方不能胜任工作，经培训或调整岗位后仍不能胜任工作。

3、本合同订立时所依据的客观情况发生重大变化，致使原聘用合同无法履行，经甲、乙双方协商不能就变更合同达成协议。

4、乙方不能履行聘用合同。

（六）甲方经营发生严重困难，确需裁员时，可依法定程序裁员。

（七）乙方有下列情形之一，甲方不得依本条（五）、（六）项规定解除合同：

1、乙方患职业病或因工负伤并被确认丧失或部分丧失劳动能力。

2、患病或负伤，在法定医疗期内。

3、女职工在孕期、产期、哺乳期内。

4、国家法律、行政法规规定的其它情形。

（八）乙方解除本合同，应提前____日书面通知甲方。

（九）有下列情形之一，乙方可随时通知甲方解除合同：

1、试用期内。

2、甲方以暴力、_____或非法限制人身自由的手段强迫劳动。

3、甲方未按合同约定支付劳动报酬或提供劳动条件。

4、国家法律、行政法规规定的其他情形。

（十）从事_____工作，或曾从事_____工作，在规定的保密期内，按国家有关规定，不得解除聘用合同。承担专业技术工作或管理工作的受聘人员，如提前解除或终止聘用合同，可能给单位代理技术项目终止、引发知识产权纠纷、技术泄密造成较大经济损失的，在聘用合同解除或终止的条件未具备时，不得提前解除或终止聘用合同。

（十一）甲方依据本条第（三）、（五）、（六）项解除合同时依法给予经济补偿金。

（十二）经甲、乙双方协商同意，可以续延本合同期限，办理续订手续。

（十三）甲方因生产经营状况发生变化，经与乙方协商同意，可变更合同有关条款内容，办理合同变更手续。

（十四）乙方被依法开除、劳动教养、判刑的，本合同自行解除。

（十五）本合同依法订立后，不因承办人或法定代表人变动而解除。

八、违反合同的责任

（一）由于当事人一方的过错，造成合同不能完全履行，由有过错的一方承担违约责任；如属双方的责任，根据实际情况，由双方分别承担各自应付的违约责任。

（二）当事人由于不可抗拒的原因不能履行合同的，应及时向对方通报不能履行或者需要延期履行部分合同的理由。在取得有关证明后，允许延期履行、部分履行或者不履行，并可根据情况部分或者全部免于承担违约责任。

（三）当事人一方违反合同，应承担违约责任，向对方支付违约金____元；给对方造成严重经济损失的，应根据责任大小及后果追究经济赔偿责任。

（四）其它违约责任：

education background

in 1995, i entered the nanjing university of science & technology (nust) -- widely considered one of the china’s best engineering schools. during the following undergraduate study, my academic records kept distinguished among the whole department. i was granted first class prize every semester, and my overall gpa(89.5/100) ranked no.1 among 113 students. in 1999, i got the privilege to enter the graduate program waived of the admission test. i selected the shanghai jiao tong university to continue my study for its best reputation on combinatorial optimization and network scheduling where my research interest lies.

at the period of my graduate study, my overall gpa(3.77/4.0) ranked top 5% in the department. in the second semester, i became teacher assistant that is given to talented and matured students only. this year, i won the acer scholarship as the one and only candidate in my department, which is the ultimate accolade for distinguished students endowed by my university. presently, i am preparing my graduation thesis and trying for the honor of excellent graduation thesis.
