5. Party B shall keep confidentiality of any content of the documents provided by Party A and can

not disclose to any third party. Party B shall not dispose the original document and the

corresponding translated document in any form without authority of Party A.

6. Party B has right not to translate the document with unclear original test and blurred writing. If

it is necessary, Party A and Party B shall jointly consult the relevant special nouns.

7. Since the date of signing this agreement, both parties shall not terminate this agreement freely.

If a party causes the other party suffer losses, the party violating the agreement shall compensate the agreement value in double as a default penalty, and Party A and Party B shall reserve their respective litigious rights.

8. If there is any item not being referred in this agreement, Party A and Party B shall jointly

resolve the corresponding through consultation.

9. This agreement shall be valid after both parties’ signing or sealing in this agreement.

10. Any fax copy of this agreement shall be valid and effective.

Party B shall complete the translation work in time and deliver the translation by printed hard copy and a relevant disk within the agreed date (with the exception of the delay caused by Force Majeure). 4.Calculation of the load of translation: For electronic documents, the translation load shall be based on the statistics of the computer (Chinese Version Word20__ “Chinese characters not including blank spaces ”). 第1条定义

本合同有关用语的含义如下：

用户：指接受或可能接受服务的任何用户。

第2条业务内容及价格

甲方要求乙方将委托之文件翻译为_________(语种)。

翻译：甲方应向乙方支付劳务费用，由_________翻译为_________(语种)，收费标准为译后的每千中文字符数(电脑统计，不计空格为准)_________元人民币;其他语种翻译另议。

第3条提供译文

(1)乙方同意按甲方书面要求之日期完成其委托翻译之任务。

(2)乙方应将译文于_________交给甲方。

(3)乙方按照乙方制定的质量翻译标准进行翻译作业，此质量翻译标准为鉴定译文品质之唯一标准。

(4)乙方有义务在甲方书面或电子邮件通知后对译文所出现的错误进行及时修改。

(5)乙方将提供甲方一份电子翻译文件和书面翻译文件，并盖乙方翻译章。

第4条许可使用译文

乙方许可甲方利用译文制作成各式文档公开登载和展示。

乙方与甲方协商后决定是否标注译文的作者。

第5条免责

甲方的用户可以使用译文，并可对译文进行复制或修改编译。用户或第三方以任何方式对译文进行使用、修改、演绎、或转载，乙方的所有者均不对包括许在内的任何人承担任何责任。

第6条陈述与保证

双方保证其具有签订和履行本合同的权利和能力。

甲方保证译文由甲方的用户使用。

甲方保证译文的着作权人(如甲方不是信息的着作权人)同意其签订和履行本合同并不要求乙方的所有者支付任何费用，乙方可要求许就此提供译文的着作权人签署的文件。

乙方保证其向甲方提供的译文的及时性、完整性、合法性、真实性和准确性。

甲方保证乙方使用其译文的信息不构成对第三方任何权利的侵犯，同时甲方保证其签订，履行本合同不构成对第三方的违约或对第三方任何权利的侵犯，亦不会使乙方的所有者对任何第三方承担任何责任。

因甲方提供译文造成的对任何第三方的侵权，包括但不限于侵犯第三方的着作权，由甲方负责解决。

第7条期限

本合同有效期为_________，即自_______年______月______日起至_______年______月______日止。合同到期后自行终止。

第8条违约责任

任何一方不履行，不完全履行，不适当，不及时履行本合同，另外一方有权要求对方按约定履行本合同或解除本合同，并要求对方赔偿相应的损失。

任何一方由于不可抗力导致不能履行，不能完全履行本合同，就受不可抗力影响部分不承担违约责任，但法律另有规定的除外，受不可抗力影响的一方应及时通知对方，以减轻可能给对方造成的损失，并应当在合理期限内提供相关证明。

第9条保密

未经甲方许可，乙方不得向第三方泄露本合同的条款的任何内容以及本合同的签订和履行情况，以及通过签订和履行本合同而获知的对方及对方关联公司的任何信息。

乙方按照甲方的要求提供保密措施。

第1条不可抗力

不可抗力是本合同双方不能合理控制，不可预见或即使预见亦无法避免的事件，该事件妨碍，影响或延误任何一方根据合同履行其全部或部分义务。该事件包括但不限于政府行为，自然灾害，战争或任何其它类似事件。

出现不可抗力事件时，知情方应及时，充分地向对方以书面形式发通知，并告知对该类事件对本合同可能产生的影响，并应当在合理期限内提供相关证明。

由于以上所述不可抗力事件致使合同的不能履行或延迟履行，则双方于彼此间不承担任何违约责任。

第11条争议的解决及适用法律

如双方就本协议内容或其执行发生任何争议，双方应进行友好协商;协商不成时，任何一方均可向有管辖权的当地人民法院提起诉讼。

本协议的订立，执行，解释及争议的解决均应适用中国法律。

第12条其它

(1)其他未尽事宜，由双方协商解决。

(2)本协议一式二份，双方各执一份，具有同等法律效力。

(3)本协议的注解，附件，补充协议为本协议组成部分，与本协议具有同等法律效力。

(4)双方之间的任何通知均按本协议落款处的联系方式进行，如联系方式发生变化，应立即通知对方。

(5)协议自双方签字或盖章之日起生效。

There is a little girl, a little mouth, the eyes like cherry, long eyebrows, and guess who is that? Yes, I -- -- -- Wu Wenre, a good little girl.

I have a position in class is also a man - captains. I do little affectations who is special pipe class, a someone do little tricks, I have to hold at the meeting that a few "mice".

Once in class, there are a few was seen by me "little mouse" doing little tricks, I cough at first, but that a few little mouse didnt hear, I didnt also the way.
