被答辩人(原告);某银行下属信托公司

答辩人因同被答辩人拆借资金合同纠纷一案，依法答辩如下：

一、本案合同无效

1、合同约定的“拆借资金期限”条款无效

根据中国人民银行《同业拆借管理试行办法》(下称《拆借办法》)第七条规定：“同业拆借资金的期限和利率高限由中国人民银行总行根据资金供求情况确定和调整，拆借双方可在规定的限度之内，协商确定拆借资金的具体期限和利率。”而中国人民银行在“关于印发《拆借办法》的通知”第一条中明确规定：“拆借资金的期限一般为一个月，其他金融机构对专业银行拆出资金，期限最长不得超过四个月。”

本案中，拆借双方签订的三份《拆借合同》约定的拆借期限长达10个月至一年，远远超出上述金融法规规定，当属无效。

2、合同约定的“拆借利率”条款无效

依照中国人民银行规定，同业拆借资金年利率最高不得超过13.17%，折合成月利率为10.98‰。

本案中，拆借双方签订的三份《拆借合同》约定的月利率高达15‰和17‰，远远超出上述金融法规规定，同样无效。

依据《拆借办法》第九条规定，拆借期限和拆借利率为拆借资金合同的必备条款，也是最主要的条款。显而易见，本案拆借双方签订的三份拆借合同，均严重违反国家金融法规规定，依据《民法典》的规定，无疑属于无效合同。

二、被答辩人诉求赔偿“利息、罚息、复利”于法无据

1、由于本案合同无效，按照《民法典》及《民法典》的规定，无效的合同，从订立的时候就没有法律约束力，不受法律保护，当事人只需将依据合同取得的财产返还给对方。本案中答辩人已经将本金归还对方，被答辩人诉求违法约定的“利息”于法无据。

2、合同既然无效，按照法律规定，即使违反该合同也不构成违约。并且造成合同无效的主要责任不在答辩人方面，答辩人已经归还了全部本金，被答辩人诉求“罚息”没有事实根据和法律依据。

3、对于复利：第一，同业拆借计算复利，没有任何法律或政策依据;第二，因为合同无效，所谓的“利息”尚不受法律保护，“复利”更是无源之水，无从成立。

此外，由于被答辩人违法拆借，依据《拆借办法》等金融法规规定，被答辩人的诉求不仅不受法律保护，且应受到“没收非法所得”、“罚款”等处罚。

综上所述，本案合同因主要条款违反了金融法规的规定而无效，造成合同无效的主要责任在于被答辩人。答辩人既已归还全部本金，被答辩人诉求“利息、罚息、复利”没有事实根据，更与法律相悖，请求合议庭依法作出公正判决，驳回被答辩人的诉讼请求。

9.3 if the documents suppied by party b are not in conformity with the stipulation

days after re-ceipt of party a’s written notice， despatch free of charge to party a
