1、乙方促成甲方与第三方订立合同的，甲方向乙方支付居间服务费;未能促成，甲方不支付任何费用，乙方所花费用由乙方自行承担。

2、乙方促成甲方与第三方订立合同的，在甲方与签约客户签订合同且签约客户对甲方产品验收合格后，甲方向乙方支付全额服务费，在此之前乙方向甲方的借款可冲抵服务费，并且该借款不计算利息。乙方未能促成甲方与第三方订立合同的，应当按照借款时的约定计算利息，并在本协议终止后三日内归还甲方借款。

六、未尽事宜甲乙双方另行签订补充协议，补充协议与此协议具有同等法律效力。

七、本协议壹式两份，双方各执壹份，具有同等法律效力。

八、本合同履行过程中发生争议的，任何一方均可向甲方所在地人民法院提起诉讼。
