根据甲、乙双方签订的荣银桥___年委托字第__号《委托担保合同》和甲方与荣昌县农村信用合作社联合社签订的荣银桥___年保证字第__号《保证合同》的约定，甲方作为担保人为乙方向贷款人借款万元[农信社___年借字第__号《借款合同》]提供信用担保。为了保障甲方担保贷款债权的实现，乙方应向甲方提供反担保。根据有关法律、法规的规定，经甲、乙双方协商一致，订立本合同。

六、其他特约事项：

在本合同签订之前，乙方应办理质物在质押期间的财产保险，保险的第一受益人为甲方，投保期限要长于担保期限六个月。质物保险的相关单据由甲方保管。质押期间，若质物发生投保范围内的损失，乙方同意甲方将取得的保险赔偿金按以下原则处理：

1、由甲方存入指定的账户;

2、如乙方按时足额还本付息，甲方将保险赔偿金全部归还乙方;

3、如乙方未能按时足额还本付息，甲方承担代偿责任后，保险赔偿金用于乙方向甲方清偿债务。

若甲方认为所取得的保险赔偿金不足以担保其债权，乙方应在15日内另行提供相应的担保。

质物移交甲方保管后，若非因甲方保管不善出现损坏或价值明显减少的`情形，乙方应于接达书面通知后15日内提供相应的担保。

甲方承诺妥善保管质物，若因保管不善致使质物灭失或毁损，在本合同终止后15日内由甲方按市价赔偿乙方。

乙方不得隐瞒质物存在的任何瑕疵。

质物及权利质押财产法定孳息和天然孳息由甲方收龋

当甲方代偿后而未得到清偿时，甲、乙双方应在甲方代偿后的10日内，协商将质押财产折价处理;在前述约定的10日内双方协商不成的，甲方将按乙方的授权对质押财产予以拍卖、变卖处理，乙方应当积极配合。质押财产折价或拍卖、变卖所得实际价款应当首先清偿甲方，如不足以清偿的，甲方依法就不足部分另行向乙方追偿;质押财产折价或拍卖、变卖所得实际价款清偿甲方后的余款属乙方所有，清偿后15内交付乙方。

乙方有下列情形之一，应及时书面通知甲方：

1、经营机制发生变化，如实行承包、租赁、联营、合并、分立、股份制改造或股东发生变化、与外商合资、破产、歇业、解散等;

2、涉及重大经济纠纷的诉讼;

3、质押财产的权属发生争议;

4、被停业整顿、被吊销营业执照;

5、因乙方在经营中的违法、违规行为被处罚;

6、单位住所、电话、法定代表人、经营范围、注册资本、公司章程等工商登记事项发生变更。

第1项情形应提前七日通知甲方，第2项至第6项情形应在事后三日内通知甲方。

七、本合同终止时，甲方在15日内将质物及其物权凭证交还乙方。

八、违约责任：

甲、乙任何一方违约，应按上述担保贷款金额万元的%向对方支付违约金。如果违约方给对方造成了损失且违约金不足以赔偿的，违约方还应当支付赔偿金。

九、本合同在履行中若发生争议或任何一方需要变更本合同某一条款时，双方应协商解决，协商不成，向荣昌县人民法院提起诉讼。

i am honored to address you tonight. on behalf of the graduating masters and doctoral students of washington universitys school of engineering and applied science, i would like to thank all the parents, spouses, families, and friends who encouraged and supported us as we worked towards our graduate degrees. i would especially like to thank my own family, eight members of which are in the audience today. i would also like to thank all of the department secretaries and other engineering school staff members who always seemed to be there when confused graduate students needed help. and finally i would like to thank the washington university faculty members who served as our instructors, mentors, and friends.

as i think back on the seven-and-a-half years i spent at washington university, my mind is filled with memories, happy, sad, frustrating, and even humorous.

tonight i would like to share with you some of the memories that i take with me as i leave washington university.

i take with me the memory of my office on the fourth floor of lopata hall - the room at the end of the hallway that was too hot in summer, too cold in winter, and always too far away from the womens restroom. the window was my offices best feature. were it not for the physics building across the way, it would have afforded me a clear view of the arch. but instead i got a view of the roof of the physics building. i also had a view of one corner of the roof of urbauer hall, which seemed to be a favorite perch for various species of birds who alternately won perching rights for several weeks at a time. and i had a nice view of the physics courtyard, noteworthy as a good place for watching people run their dogs. its amazing how fascinating these views became the longer i worked on my dissertation. but my favorite view was of a nearby oak tree. from my fourth-floor vantage point i had a rather intimate view of the tree and the various birds and squirrels that inhabit it. occasionally a bird would land on my window sill, which usually had the effect of startling both of us.

i take with me the memory of two young professors who passed away while i was a graduate student. anne johnstone, the only female professor from whom i took a course in the engineering school, and bob durr, a political science professor and a member of my dissertation committee, both lost brave battles with cancer. i remember them fondly.

i take with me the memory of failing the first exam in one of the first engineering courses i took as an undergraduate. i remember thinking the course was just too hard for me and that i would never be able to pass it. so i went to talk to the professor, ready to drop the class. and he told me not to give up, he told me i could succeed in his class. for reasons that seemed completely ludicrous at the time, he said he had faith in me. and after that my grades in the class slowly improved, and i ended the semester with an a on the final exam. i remember how motivational it was to know that someone believed in me.

2、上好课。上课时注重幼儿主动性的发挥，发散幼儿的思维,注重综合能力的培养,有意识的培养幼儿思维的严谨性及逻辑性,在教学中提高幼儿的思维素质，保证教学质量。课后写好反思，力求在以后的教学中取得进步，工作总结《教师年终工作总结》。每年的家长开放课我都会仔细斟酌，磨了又磨，不但是为了让我们家长看到我园教师的素质，对自己也是一次锻炼和提高。

3、听好课。我珍惜每一次园内、园外的教学观摩，听课时，我认真记，听课后，我认真评，并进行角色互换，想一想这堂课我会怎么上，看到别人的优点与缺点，学习其他教师的教学经验,努力探索适合自己的教学模式。

4、注重教育理论的学习。把一些先进的理论应用到教学中,同时积极撰写教育论文、案例，我撰写的论文《谈一谈小班几何形体教学》获南通市二等奖，科学教育案例《颜色变变变》获区教研室二等奖。

5、坚定终身教育的思想。我利用业余时间参加学前教育专升本的自学考试，希望用更新、更强的专业知识武装自己。

6、拓展业余空间，做个多才多艺的老师。利用休息日，我参加了二胡培训班，把荒废的技能重拾起来。我还学习京剧方面的知识，为我园京剧特色教育积蓄能量。

在工作中我要求自己要有一股钻劲儿，我相信只有“钻”的人才能向上。

二、教科研组工作

在自身学习发展的同时，我也努力做好教研组的工作，带领全体教研组教师一起学习新《纲要》、新课程的要求和精神。在每一次教研活动中，大家提出自己在教学中面临的一些困惑，发表自己的不同见解。在课程研讨中，大家都能根据自己的特点，互相帮助着设计教学形式，分析教材特点。我在协助园长抓好幼儿园教育教学工作的同时，还努力做好我园的教科研工作，我园的“音乐活动中幼儿自我表达能力的培养研究”课题已圆满结题，我被评为先进个人，撰写的有关论文在区课题论文中获奖，在 课题推广期间，我协助园长完成新课题的筛选、申报，在课题“农村幼儿爱心培养研究”的开展过程中，我带领全体教研组的教师学习行动研究如何行动，共同探讨了课题的实效开展及成果积累。

三、班级管理工作

一方为：中华人民共和国北京、中国 公司及 厂(以下简称甲方)。

另一方为：国 州 公司(以下简称乙方)。

鉴于乙方拥有设计、制造、使用 的专有技术和实际生产经验。

鉴于乙方有权并愿意转让上述专有技术。

鉴于甲方希望利用乙方专有技术，以设计、制造和销售合同产品。

国此，双方通过协商按以下条款签订此合同。

第一章 定义

用于本合同的下列名词应具有所规定的含义：

1.1“专有技术”指乙方对合同产品的制造、装配、操作、服务、保养和维修所拥有的最新设计、技术知识和经验(包括在附件2、3和4中写的有关技术文件、培训、技术协助和咨询)。

1.2“合同产品”指甲方通过使用这种专有技术制造出的产品，合同产品为，尺寸和规格为 ，详细说明见附件1。

1.3“考核产品”指在乙方工程技术人员的指导下，甲方制造出的第一台合同产品对该产品进行试验，以便验证专有技术和技术文件的正确性和可靠性。

1.4“技术文件”指在制造合同产品中使用的技术文献、全套可供生产用的图纸(包括总图、部件图、零件图、电气系统图、控制原理图)、有关设计计算资料、制造工艺文件、维修使用说明书以及合同产品的外购件明细表、配套件明细表等，所有技术文件都用英文并采用公制，技术文件的内容见附件2。

1.5“培训”指就专有技术按附件3的规定，对技术文件的口头解释，现场指导制造、试验、组装、使用、保养和维修，按照学习和训练的需要，培训在乙方工程师的指导下，甲方受训的人员亲身操作，培训在乙方工厂和其他场地进行，培训设备由乙方选择，所有培训都用英语。

1.6“技术协助”指乙方按照附件4为了甲方的利益，用书面或口头方式提供评述、观察、指导、测量和现场验证、解释、建议及其他甲方工厂制造产品所需的协助，所有这些工作全部用英语。

第二章 合同的内容和范围

2.1 甲方同意从乙方购买，乙方同意向甲方转让设计、制造、应用、试验、保养和维修合同产品的专有技术。

合同产品的型号、规格和技术参数见本合同附件1。

2.2 乙方承认甲方有设计、制造和在中国国内以及下列国家销售合同产品的权利：印度、马来西亚、泰国、菲律宾、新加坡、越南、缅旬、巴基斯坦、伊朗、孟加拉国、捷克斯洛伐克、匈牙利、南斯拉夫、罗马尼亚、阿尔巴尼亚、澳大利亚、新西兰、埃及、阿尔及利亚和喀麦隆等。

2.3 乙方负责向甲方提供合同产品的设计和制造的全部有关的专有技术和技术资料，其具体内容和交付时间见本合同附件2。

2.4 乙方负责对甲方技术人员在乙方工厂及可能在乙方用户工厂进行培训，尽力使甲方人员能熟悉并掌握合同产品的专有技术，具体要求见本合同附件3。

2.5 乙方负责派遣技术专家赴甲方进行技术协助，其具体要求见附件4。

2.6 如甲方要求，乙方有义务在得到出口许可的条件下以优惠的价格条件向甲方提供生产合同产品需要的零部件或材料，届时双方另行协商签订合同。

2.7 在合同期间，乙方同意在甲方工厂生产的合同产品上采用甲方工厂和乙方工厂的联合商标，并用英文写明乙方工厂的全称，还要用中、英文写明产品是甲方在乙方许可证项下制造的。

第三章 价格

3.1 按本合同第二章规定的合同内容和范围，甲方向乙方支付的全部合同费用分为两部分：

3.1.1 入门费为 美元(大写： 美元)。

上述价格为固定价。

3.1.2 合同产品或者类似产品在考核并销售后，开始提成，提成费以甲方合同产品净销售价格为基础计算，提成率为3%(百分之叁)。

3.2 上述全部合同价格包括全部技术文件交付到目的地之前所发生的一切费用。

3.3 本章所述的价格只是购买专有技术的，不包括购买或运输任何硬件、设备或其部件的费用。

第四章 支付和支付条件

4.1 本合同项下的一切费用，均以美元支付，甲方支付给乙方的款项通过北京中国银行支付给 国 银行。

乙方支付给甲方的款项通过 国 行支付给北京中国银行。

4.2 所有在中国发生的银行费用由甲方负担，在中国以外发生的银行费用由乙方负担。

4.3 本合同3.1.1条所规定的入门费按下述办法和比例由甲方付给乙方。

4.3.1 合同入门费的30%(百分之叁拾)计 美元(大写： 美元)，在合同生效后甲方收到乙方下列单据之日起，不迟于 天，经核对无误支付给乙方：

.乙方有关当局出具的有效出口许可证影印本一份，或同一当局出具的不需要出口许可证的证明文件一份。

. 国 银行出具的金额为 美元(大写： 美元)，以甲方为受益人的不可撤销的保证函正副本各一份。

保证函格式见本合同附件7。

.金额为合同总价的形式发票一式三份。

.即期汇票正副本各一份。

甲方在支付上述款项的同时，向乙方提供由北京中国银行出具的金额为 美元(大写： 美元)，以乙方为受益人的不可撤销的保证函正副本各一份。

保证函格式见本合同附件9。

4.3.2 入门费30%(百分之叁拾)计 美元(大写： 美元)，在甲方收到乙方按本合同附件2规定的全部技术资料后，不迟于甲方收到乙方提交下列单据之日起天内，经核对无误由甲方支付给乙方：

.商业发票一式四份;

.即期汇票正副本各一份;

.按本合同规定的全部资料交付的空运单影印件两份，及甲方说明全部资料已按本合同附件2的规定收到的证明书。

上述证明书应在空运单印戳日期后天内寄交乙方。

4.3.3 入门费的25%(百分之贰拾伍)计 美元(大写： 美元)，按本合同附件3完成培训工作，并在甲方收到下列单据 天内，经核对无误后由甲方支付给乙方：

.商业发票一式四份;

.即期汇票正副本各一份;

.由双主签署的说明培训已按本合同附件3要求完成的证明文件一份。

4.3.4 入门费15%(百分之拾伍)计 美元(大写： 美元)，在甲方收到乙方下列单据后天内，经核对无误由甲方支付给乙方：

.商业发票一式四份;

.即期汇票正副本各一份;

.由双方按附件5规定签署的考核产品考核、验收证明书的影印件一份。

4.4 根据第7章规定，在考核产品的检验和验收以后，按3.1.2节规定的提成费按下列方法支付：

4.4.1 每年12月31日以后15天内，甲方将上一年度的产品实际销售量及净销售价通知乙方，乙方有权自费指派查帐人员校准总销售情况报告。

4.4.2 甲方收到乙方下列单据天内，经核对无误后由甲方支付给乙方：

.该期提成费计算书一式四份;

.商业发票一式四份;

.即期汇票正副本各一份。

4.5 按本合同规定，如乙方按本合同第八章规定需向甲方支付罚款或赔偿时，甲方有权从上述任何次支付中扣除。

第五章 技术文件的交付

5.1 乙方应按本合同附件2规定的交付内容和时间，在北京机场交付技术文件，经交给(中国公司，地址：中国北京大街号)收。

5.2 纽约机场空运单印戳日期为技术文件的实际交付日期的凭证，甲方将带有到达日期印戳的空运提单影印件一份寄给乙方。

5.3 在技术文件发运后48小时内，乙方应将合同号、空运提单号、项号、件数、重量、班机号和预计抵达日期用电报或电传通知甲方。

同时将空运提单和技术文件详细清单一式两份航寄给甲方。

5.4 如技术文件在空运中丢失损坏，乙方应在收到甲方书面通知后不超过30天内，补寄给甲方有关文件。

5.5 交付技术文件应具有适合于长途运输、多次搬运、防雨、防潮的坚固包装。

5.6 每包技术文件的包装封面上，应以英文标明下述内容：

.合同号;

.收货人;

.目的地;

.唛头;

.重量(公斤);

.箱号件号;

.收货人代号。

5.7 包装箱内附有详细技术文件清单两份，标明下述内容：

.项目编号;

.项目名称;

.页数和总页数;

.所包括的图号。

第六章 改编修改和改进

6.1 改编

6.1.1 如果乙方提供的技术文件，不适用于甲方实际的生产条件(如设计标准、材料、设备的生产条件及其他条件等)，乙方将协助甲方对技术文件进行改编，以适应甲方的生产条件，并由乙方以书面形式予以确认。

但这种改编必须从技术的角度是可以接受的，且又不降低合同产品的质量。

6.1.2 为了协助甲方所需的改编，乙方提供最多为个工程师周的协助，在甲方工厂工作。

6.2 在合同有效期内，双方在合同规定范围内的任何改进和发展，在两个月内相互免费将改进和发展的技术文件提供给对方。

另一方有免费使用这种改进和发展了的资料的权利。

6.3 合同产品的改进和发展的技术所有权属于改进和发展了这种技术的一方，对方如要求申请专利或转让给第三方，应征得所有权方的同意。

第七章 考核和验收

7.1 双方同意在甲方按照乙方提供的技术文件制造出合同产品后，将对合同产品进行联合验证，其试验方法见附件5。

7.2 如合同产品的考核试验表明其性能与附件1中所述的性能一致，考核试验即为合格。

双方签署验收证明书一式四份，每方各持两份。

7.3 如合同产品在考核试验中，其性能、技术参数与规定的不一致，双方将通过友好协商，共同研究，分析其原因，找出消除故障的方法，然后进行第二次考核试验(如有必要再进行第三次)，在试验表明产品性能合格后，双方将按7.2条款所述签署验收证明书。

7.4 如产品在第一次和第二次考核中未能合格，其责任在乙方，则乙方第二、三次派出技术人员的一切费用全由乙方自理，如产品不合格的责任在甲方，则甲方提供上述全部费用。

7.5 如产品在第三次考核时仍未通过，并且责任在乙方，处理方法按8.7.1节执行。

如失败责任在甲方，双方将协商如何继续执行合同。

7.6 甲方在自己工厂内对考核产品进行试验时，应自备必要的公用设施和材料。

第八章 保证与索赔

8.1 乙方保证所提供的技术文件，是乙方实际使用的最新技术并保证在合同有效期内，向甲方提供有关合同产品所有改进了的技术资料。

8.2 乙方保证所提供的技术文件是完整的、正确的和清晰的，并保证按时交付。

8.3 如果乙方提供的技术文件不符合8.2条所规定的要求时，乙方必须在收到甲方的书面通知后，在 天内免费将所缺的技术文件或清晰正确的技术文件寄给甲方。

8.4 如乙方对技术文件不能按合同附件2和8.3条规定的时间交付，乙方应按每迟交一周罚款入门费 的比例支付给甲方。

以上罚款不超过合同入门费总价的 。

8.5 按8.4条规定，乙方支付罚款给甲方时，将不解除乙方继续交付技术文件的义务。

8.6 无论何时，除了不可抗力外，乙方如果迟交技术文件超过规定日期6个月，甲方有权按8.7.1条款处理。

8.7 产品经3次试验仍不合格时，则按以下办法处理：

8.7.1 若产品不合格以致甲方不能正常投产，只能终止合同时，乙方退还甲方已经付给乙方的全部金额并加年利率8%的利息。

第九章 侵权与保密

9.1 乙方保证拥有本合同规定提供给甲方的专有技术的所有权，并在得到出口许可后，在法律上有权向甲方转让此专有技术，如果第三方指控侵权时，由乙方负责与第三方交涉并承担由此而产生的法律和经济上的全部责任。

9.2 本合同期满后，甲方仍有权使用乙方提供的专有技术，也即甲方有权在中国境内和外国设计、制造、使用和销售合同产品。

9.3 甲方同意在合同有效期内，对乙方按本合同的规定提供给甲方的技术文件予以保密。

如果上述技术文件的一部分或几部分已被乙方或第三方公布，则甲方不再对公布部分承担保密义务。

第十章 税费

10.1 凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方承担。

10.2 中国政府根据现行税法对甲方课征有关履行本合同的各项税费，由甲方支付。

10.3 中国政府根据现行《中华人民共和国外国企业所得税法》和《中华人民共和国个人所得税法》对乙方课征有关执行本合同的一切税费，由乙方负责支付。

上述所得税将由甲方从本合同第四章规定的支付中予以扣除，并代向税务当局缴纳。

甲方应向乙方提供税务当局出具的税收单据一份。

第十一章 仲裁

11.1 因执行本合同所发生的争议或与本合同有关的一切争议，双方应通过友好协商解决。

11.2 如协商仍不能达成协议时，则应提交仲裁解决。

仲裁地点在斯德哥尔摩，由斯德哥尔摩商会仲裁法庭根据仲裁规定进行。

11.3 仲裁裁决是最终裁决，对双方均有约束力。

11.4 仲裁费用由败诉方负担。

11.5 除了在仲裁过程中进行仲裁的部分外，其余部分应继续执行。

第十二章 不可抗力

12.1 签约双方中的任何一方，由于战争、严重火灾、水灾、台风和地震或任何一方不能控制的经双方同意的类似事件而影响合同执行时，则延长履行合同期限，延长期相当于事故所影响的时间。

12.2 责任方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于14天内以航空挂号信将有关当局的证明文件提交给另一方确认。

12.3 如不可抗力事故延续120天以上时，双方应通过友好协商尽快解决本合同继续执行的问题。

第十三章 合同生效终止及其他

13.1 本合同由双方代表于年月日签字。

由双方分别向本国政府当局申请批准，以最后一方的批准日期为本合同生效日期，双方应尽最大努力在 天内获得批准，用电传通知对方，并用信件确认。

如果本合同自签字之日起6个月仍不能生效，任何一方有权取消合同。

13.2 制造与销售合同产品的合同有效期，从13.1条所述合同生效日算起共8年，有效期满后本合同自动失效。

13.3 不论合同在任何一种方式下终止，双方之间存在的债务及有关的权利和义务不受任何影响。

在合同终止后，欠债人应承担义务，直到欠债人向债主付清全部欠款为止。

13.4 本合同用中英文字写三，一式四份，双方各持两份，两种文本具有同等效力。

13.5 本合同附件1至附件9为本合同不可分割的组成部分，与合同正文具有同等效力。

13.6 对本合同条款的任何修改和补充，经双方代表协商同意后签署书面文件，作为本合同的组成部分，具有同等效力。

13.7 在合同有效期内，双方通讯用英文进行，正式通讯应以书面形式，用挂号信邮寄一式两份。
