五、乙方承诺施工人员自觉遵守甲方安全管理规定，如发生人为的不安全行为，危及人身、财产安全的，必须无条件立即整改，并接受甲方职能部门的检查监督，对甲方相关部门开出的“不合格项整改通知单”的问题坚决整改。

六、甲方监管人员发现有重大不安全因素时，随时有权要求施工方停工整改，施工方不得继续违章操作强行施工。

七、乙方承诺因施工不当等问题造成甲方及第三方人员、财产安全受到损失的，照损失程度全额赔偿，并接受甲方视情节作出罚款处理。

八、乙方承诺施工期间不影响周边村镇的人员、卫生、环境安全，对本单位施工人员造成的一切不良影响负责，做好用电安全和消防安全等安全预防工作。

2.4本合同产品不包括乙方外购件的专利技术，但乙方必须问甲方提供外购件的样本和技术说明资料与制造厂商的名称。

2.5乙方有责任接收、安排甲方赴乙方培训的技术人员，乙方应设法使其掌握上述合同产品专利技术。（详见本合同附件五）

第三条 合同价格

3.5甲方依据本合同的专利许可，销售的合同产品一经付款则视为货已售出。

3.6若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

3.7乙方如需查核甲方的帐目时，应在接到甲方依上述第3.4款规定开出的书面通知后10天内通知甲方、其具体的查帐内容和程序详见本合同附件四。

第四条 支付条件

4.1本合同第三条中规定的提成费，甲方将通过x银行（此处为甲方的业务银行)和x银行（此处为乙方的业务银行）支付给乙方，支付中使用的货币为＿＿＿＿。

4.2乙方在收到甲方按第3.4条的规定发出的书面通知后应立即开具有关的单据，甲方在收到乙方出具的下列单据后三十天内。经审核无误，即支付提成费给乙方：

4.3按本合同规定，如乙方需要向甲方支付罚款或赔偿时，甲方有权从上述支付中直接扣除。

第五条 技术服务和培训

5.1技术服务

5.1乙方在合同有效期内派遣一名技术专家到甲方，对合同产品的图纸和技术资料进行解释，并就产品设计、制造、调试和检验，以及维修等方面进行技术指导，以使甲方在保证合同产品性能的情况下，能尽快采用国产的材料和元器件，实现合同产品的生产。

5.1.2.乙方在合同有效期内分两次派遣技术人员赴甲方进行技术服务，共30人日。

5.1.3.第一次技术服务在合同生效后第六个月，乙方派遣技术人员1人赴甲方工厂，提供技术指导12日。

5.1.4.第二次技术服务在合同产品验收期间。乙方派技术人员1人赴甲方工厂，提供技术服务，时间为18日。

5.1.5.乙方负担其人员的旅差费。甲方负担由驻地到工厂的交通工具和膳宿费。

5.2技术培训。

5.2.1.乙方负责对甲方技术人员进行培训，使甲方受训人员掌握合同产品设计，性能测试，加工工艺，装配工艺和质量检查等技能，使甲方能用乙方提供的资料和专门知识，在合同工厂制造出与乙方产品质量相同的产品。乙方应设法安排甲方受训人员参观制造合同产品外购件的生产过程和合同产品的主要用户。

2、 若乙方在收到甲方材料前50%后不满意，并且甲方修改后仍不能另乙方满意，乙方可以申请终止合同，每份材料甲方收取200元工本费，其余收取的费用甲方在30个工作日内退还乙方。

若乙方在收取材料前50%后满意，或经甲方修改后满意，乙方付清每份材料的2次金额，每份600元，当乙方收到材料100%后视为为甲方已经履行合同，乙方不得终止合同。

3、 若乙方自签约之日起提出终止或退出材料书写，甲方所收服务费不退。

五、附则：

1、 如因战争、外交关系等不可抗力因素影响本合同的履行，双方协商解决。

2、 本合同一式两份，甲乙双方各执一份，本合同自甲乙双方签字及盖章之日起生效。有效期至乙方取得全部材料之日，或乙方依据相应款项，收到甲方应退款项之日终止。

二、经甲方管理层同意，甲方聘任乙方负责 有限公司的日常经营管理，职务为。

三、乙方在遵照甲方宏观管理运作的前提下，在依法守约日常经营管理的基础上，保证上缴净利润给甲方。

四、授权管理期限自20__年月日起至 年月日止;

六、双方权利和义务

(一)甲方：

1、甲方应为乙方管理经营尽到如下义务：

(1)、甲方必须为乙方经营活动提供必要资金、设备、人员、后勤等支持和保障。

2、甲方有权对乙方经营管理活动进行监督和检查;监督乙方管理好资产，监督

乙方依法经营、照章纳税、履行合同，并提出改进意见。

3、甲方有权在乙方生产经营活动出现失控或重大失误而乙方又无有效解决方法

时，修订本协议有关条款或决定终止本协议的执行。

4、乙方因经营管理不善，连续两月未完成相关业绩指标，甲方有权向乙方提出

警告;在四个月内完不成上交利润指标总额的30%，或严重违法违规经营，或连续两个月亏损的，甲方检查后，甲方有权单方面解除本协议。

5、在乙方经营管理期间，因乙方管理失误，出现重大事故(包括但不限于安全、环境等)，给甲方带来损失的，甲方有权单方面解除本协议，并要求乙方赔偿损失。

6、乙方经营管理的厂/公司的财务人员及行政人事部人员由甲方委派，对甲方负责、汇报工作。

7、甲方有权对乙方的经营业绩进行定期的审计和考核。

1、乙方是企业在授权管理期内的负责人，对企业的生产经营管理活动负有全面

责任，按照约定及公司章程行使职权。保证厂/公司生产经营活动正常有序进行，乙方不得在离职前利用自己的权限对厂/公司的人员及相关设施进行大规模变动，影响

公司/厂正常生产和经营。

2、在国家法律、法规、政策、公司章程及公司制定的各项管理规定允许的范围

内，乙方有权建立生产经营管理系统;照章纳税，完成协议规定的各项指标和任务，维护国家、企业和职工的合法权益，正确处理企业内部的分配关系。

3、乙方应在双方签字生效后一个月内向甲方提供具体的可操作的、可测量的、

5、经营管理期间，不得动用经营管理公司的资产、资金作任何投资、借款、担

保或“体外”经营活动;乙方不得以甲方名义从事借(贷)款等重大商务活动。

6、乙方必须定期或不定期地按甲方要求报送(提交)与经营活动有关的各项文

件和资料，包括但不限于：

八、劳动关系的终止及管理经营期届满或协议解除/中止后的产权交接与清算

1、在乙方发生下列情形时，甲方与乙方的劳动合同关系及本协议立即自动终止：

(1)因健康因素已有连续两个月无法充分履行其服务或在十二个月内已累计达

七十五个工作日未能实质履行其职责;

(2)乙方违反本协议条款且经警告后仍不悔改;

(3)乙方在履行职责时因其故意或有重大过失而给甲方造成损害或损失;

(4)乙方未能完成甲方对乙方下达的指标(包括但不限于经甲乙双方书面确认的盈利指标、工作指标、业务指标和其他指标)的 %以上;

6、乙方在管理经营期届满或协议解除/中止后，应立即将授权管理前的厂房、设备等甲方的资产交还给甲方(因得到甲方授权正常变动的设备除外)，厂房、设备等应保证能正常使用。

九、违约责任：

1、在合同期内，任何一方无法定理由及依本协议理由提出解约或违反本协议规定的，应按乙方年收入的30%向对方支付违约金。

个人合伙是指两个及其两个以上公民按照协议，各自提供资金、实物、技术等，共同经营、共同劳动、共担风险、共负盈亏的自愿联合。其法律特征是：①合伙须有两个及其以上的公民;②合伙是按合伙合同联合起来的经济单位;③合伙人必须共同出资、共同经营、共同劳动、共担风险;④合伙财产归全体合伙人共有，合伙人对合伙债务承担连带责任。个人合伙应当签订合伙协议。合伙协议是指明确合伙人之间权利义务关系的协议。《民法通则》规定，合伙人应当对出资数额、盈余分配、债务承担、入伙、退伙、合伙终止等事项，订立书面协议。

当事人未订立书面协议，但具备合伙条件，又有两个以上无利害关系人证明有口头协议的，人民法院可以认定其具有合伙关系。

签订合伙协议应当注意的问题有：

承揽合同订立后，双方的利益就受到法律的保护，任何一方不按合同办事都应当承担违约责任，给对方造成损失的，还应承担经济上的赔偿责任。

（1）承揽人的违约责任

1）未按合同规定的质量交付定作物或完成工作。定作人认为尚可利用的，应当按质论价；不同意（或不能）利用的，应当负责修理或调换，并承担逾期交付的责任；经过修整或调换后，仍不符合合同规定的，定作人有权拒收，由此造成的损失，由承揽人赔偿；

2）交付定作物或完成工作量少于合同规定，定作人仍然需要的，应当照数补齐，补交部分按逾期交付处理，少交部分定作人不再需要的，有权拒收并有权解除合同，对因此造成的损失由承揽人赔偿；

3）逾期交付定作物，应当按照合同规定，向定作人偿付违约金，合同中无具体规定的，应当比照中国人民银行延期付款的有关规定，按逾期交付部分的价款总额计算，向定作人偿付违约金；以酬金计算的，每逾期一天，按逾期交付部分的酬金总额的千分之一偿付违约金；未经定作人同意，提前交付定作物，定作人有权拒收。

4）不能交付定作物或完成工作的，应当偿付不能交付定作物或不能完成工作部分价款总值10--30%或酬金总额20--60%的违约金；

5）擅自调换定作方提供的原材料或修理物的零部件，定作人有权拒收，承揽人应赔偿定作人因此造成的损失，如定作人要求重新修理或定作，应当按定作人的要求办理，并承担逾期交付的责任。

（2）定作人的违约责任

1）中途变更定作物的数量、规格、质量或设计的，应当赔偿承揽人因此造成的损失；

2）中途废止合同，如属承揽人提供原材料的，应偿付给承揽人未履行部分价款总值10--30%的违约金；如不属承揽人提供原材料的，应将未履行部分酬金总额20--60%的违约金偿付给承揽人；

3）未按合同规定的时间和要求向承揽人提供原材料、技术资料、包装物等，或未完成必要的辅助工作和准备工作，承揽人有权解除合同，定作人应当赔偿承揽人因此造成的损失；承揽人不要求解除合同的，除将定作物的完成日期顺延外，定作人应当补付对方停工待料的损失；

4）定作人超过领取限期六个月不领取定作物的，承揽人有权将定作物变卖，所得价款在扣除报酬、保管、保养费后，退还给定作人；如变卖定作物所得少于报酬、保管、保养费时，定作人还应补偿不足部分；如定作物不能变卖，应当比照中国人民银行有关延期付款的规定向承揽人偿付违约金；以酬金计算的，每逾期一天，按酬金总额的千分之一偿付违约金。
