五、股权收购后目标公司高管薪酬

股权认购后，目标公司高级管理人员的薪酬由目标公司根据公司实际运行情况另行制定高管薪酬管理办法。

六、目标公司担保项目的代偿

由目标公司评审委员会通过的担保项目出现代偿风险，则由目标公司利用自身经营利润进行代偿;评审委员会未通过评审的担保项目，股东指定目标公司为其进行担保的，出现代偿风险时，则该股东应当在目标公司被要求代偿之日起九个工作日内将全部代偿资金转入目标公司账户，由目标公司向借款方代偿。

七、特别约定

乙方应当在本协议签订后向X开发区等各级人民政府争取每年度不少于500万元的财政性资金补助，并积极与工、农、建等大型国有商业银行沟通协调目标公司入围该行担保的事项。

八、陈述与保证

1、甲方已向乙方提交或已促使目标公司向乙方提交与目标公司有关的注册成立、财务、经营活动、法律、技术及其他方面的文件和资料均为真实、准确和完整的，并且真实地反映了公司成立及运营的情况和业绩。

2、乙方保证对甲方提供的或甲方促使目标公司提供的各项资料保密，非经甲方书面同意不得他用。

大家好!我是来自材料工程系的参赛选手杨成，今天我为大家演讲的题目是“用自强感恩祖国，用爱心发奋前进”。

诗人问：是生存还是死亡?

哲人说：艰难和困惑是生命的本身!

我即思而言：是情感，是情感在捍卫着我们的生命，是情感在支撑着我们的灵魂，是情感让我们在面对灾难时依然紧紧相连。

也许历史将永远铭记这一刻：公元20__年5月12日，一场8级的强烈地震，突袭我们的家园，强大的地震波震动全川，摇撼全国，顷刻之间，山崩地裂、桥塌路断、房倾屋垮、物毁人亡、尸横遍野、哭声震天、大地悲泣。那一刻，不仅是我，多数灾区人民和我一样，倍感生命的绝望;那一刻，巨大的灾难让中华民族紧握拳头，凝聚力量，举国上下，全民动员，那一刻，我们悲痛着，牵挂着，同时，我们又感动着，振奋着;那一刻，党与灾区人民同呼吸共患难，他们穿行在灾区，决策在前线，领导全国人民抵御灾难;那一刻，中华儿女万众一心，众志成城，迎难而上，不屈不挠，抗震救灾。

一、 为了加强施工现场安全生产的管理，保障工程顺利进行，促进安全生产、文明施工，确保不发生伤亡事故及双方的利益不受损害。双方本着平等、自愿的原则，签订本协议。甲、乙双方均应严格遵守本协议书规定的权利、责任和义务，确保在施工过程中安全生产。

一、甲方的权利、责任和义务：

1、严格贯彻执行市、区有关行业部门的条例，掌握安全动态。对上级相关安全工作的批示、命令和规定等及时向乙方传达，并对落实情况进行监督检查。

2、有权对其中出现的问题进行批评、教育，甚至停工整顿。

3、严格审查乙方施工资质，不得与不具备施工资质或施工资质与承包内容不相符的施工单位签订合同。

4、对乙方进行定期或不定期的检查，发现隐患、违章要及时通知，提出整改措施。甲方有权对严重违章行为和存在较大隐患的施工过程停工整顿，不执行甲方要求的，清除出场。

二、乙方的权利、责任和义务：

1、乙方应严格遵守国家有关劳动保护法规安全管理制度，对进入施工现场所有施工单位工作人员，做好安全教育、安全技术交底。

2、乙方对施工现场安全生产负有全面的责任，任何第三人在施工现场发生伤亡事故的，除依法由第三责任人承担责任以外，均由乙方承担相应的责任。

3、乙方对、工程的安全生产负全面领导、管理责任。乙方项目部经理具体负责建设工程施工现场的安全生产。

4、乙方按照建筑业安全作业规程和标准制定有效措施，消除事故隐患，防止伤亡及其他事故的发生。

5、乙方必须设专、兼职安全管理人员，负责乙方的安全生产管理，协助甲方工作。

6、设置保护各种安全防护设施、设备警示标志及劳保工具、设施器具，并做到使用劳动保护用品符合规定的要求。

7、服从管理人员及上级检查人员的指挥、管理和检查，遵章守纪，杜绝三违现象的发生。

8、乙方所使用的施工机械(小型电动工具等)必须要有租赁单位资质证书、设备编号、检测报告、合格证，操作者上岗证及检查维修制度。对机械设备现场要有专人管理，做到经常检查，发现问题及时整改。

9、乙方根据甲方的有关管理规定、制度、安全生产管理目标，制定出安全管理计划，并按照双方合同规定无条件配合甲方工作。凡属乙方出现“三违”和其它未遵守执行甲方规定要求而造成的一切后果，有乙方负责。

10、乙方每次更换和调动人员，必须落实好各项合法手续，严禁出现未经教育和考核的人员上岗。否则出现一切后果和责任事故，由乙方第一负责人和相关责任人承担。

11、所有特殊作业人员，必须持有有关行业部门颁发的上岗证书，严禁无证上岗。

12、由于乙方责任造成生产安全事故，导致甲方或第三方人员伤亡时，由乙方承担事故责任和经济责任。甲方或第三方有义务协助处理善后事宜。

三、 安全注意事项：

1、 检修、保养的电梯，应悬挂“检修停用”等相应警告牌。

2、 保养、检修时，应断开相应的电源开关，一般不允许带电作业。如必须带电作业时，应遵守带电作业有关规定，设专业监护，作好安全防护措施，几台电梯功用机房场所，在停电电梯的电源开关把手上，应悬挂“禁止合闸，有人工作”标示牌。

3、 处理故障时，在底坑、骄厢或骄顶操作的维修人员应听从检修负责人的指挥，未经许可，不得随意进出底坑、骄厢或骄顶。

4、 应尽量避免在井道内上下同时作业，必须同时作业时，应戴上安全帽，上、下照应，协调一致，共同做好安全防护。

5、 需要长时间在井道内进行操作时，机房隔音层、地板孔洞应遮盖好，以免掉下东西造成人身伤亡事故。

6、 在井道内作业时，严禁一脚踏在骄顶，另一脚在井道中的固定点上操作，要特别注意骄厢和对重交错时的距离。

7、 严禁维修人员站在井道外探身到井道内，以及两只脚分别站在骄厢顶与层门上坎之间，或层门上坎与骄厢踏板之间检修操作。

8、 登上骄顶前的准备一开启井道层门前，确认你即将进入的井道和所在楼层位置正确，按照一般规则，从井道最上端的层门登上骄顶是可取的方法。

9、 需要在机房操纵电梯时，必须在层门、轿门关闭，切断门机回路后可进行。

10、 用手轮盘车升降电梯时，须先断开总电源开关，至少要有2人以上操作，并密切注意电梯位置。

11、 在骄顶和底坑进行保养或检修时，应确定一个安全藏身区。如需开电梯，应与司机应答，并选好站立位置不准倚靠护栏，身体任何部位不得探出轿厢顶投影之外。

12、 在底坑作业时，应将限速器张紧装置的安全开关和底坑的检修急停开关断开，并在首层门外派人看守，或在门口设置障碍和明显警告标志。不允许进入有积水的底坑作业。

13、 坑深度超过1.5m的，应使用梯子或高登上下，切勿跳入底坑，禁止攀附随线和轿底其他部位上下。在底坑作业时须随时警惕失足的危险隐患，如油线，集油孔等。

14、 严格禁止将安全开关如安全窗开关，安全钳开关，门锁开关等用机械方法或电气短路方法封起来运行。

15、 检修电气设备前，必须用低压验电笔检验确实不带电后，方可进行操作。

16、 用汽油清洗机件时，应注意避风。严禁烟火，防止电气火花和静电起火。剩油、废油、油棉丝、油抹布严禁乱放，乱倒，必须随身带回处理，不得留在工作现场，擦拭设备的棉丝应拿在手上，切勿把棉丝缠绕在手上。

17、 检修用行灯必须采用带护罩的、电压为36v以下的安全灯。

18、 维修时不得擅自改动线路，必须时应报告有关部门，允许后方可改动。改动部分应有相应的技术资料存档，并使全体维修人员详细了解改动情况。

19、 检修未完，检修人员需暂时撤离现场时，应做到：

a) 关闭所有层门，一时关不上的必须设置明显障碍物，并在该层门口悬挂“危险”，“切勿靠近”警告牌，并派人看守。

b) 切断总电源开关。

c) 排除热源，如喷灯、烙铁、强光灯]、电焊、气焊等。

d) 通知有关人员，必须时应设专人值班。

20、 转动部位加油、清洗，或观察钢丝绳的磨损情况时，必须停闭电梯。

21、 人在轿顶上准备开动电梯以观察有关电梯部件的工作情况时，必须牢牢握住轿厢绳头板、轿架上梁或防护栅栏等其他轿顶固定部件，切勿扶握钢丝升绳，并要注意整个身体置于轿厢外框尺寸之内，防止被其他部件碰伤。

22、 禁止在井道内和轿顶上吸烟和使用明火。

23、 检查和润滑钢丝绳应当使轿厢停止运行，并与绳头装置保持安全距离。

24、 遇到井道顶层高度有限时，则注意观察头顶障碍物十分重要。

25、 在轿顶电源插座上插接照明灯，应当使用接地工作灯，工作灯应具有合适的绝缘良好的或有接地的网罩和反光罩。切记电线不得挂在轿厢或对重钢丝绳上。

26、 如果轿顶不清洁应当清扫干净。轿顶应保留一个既无润滑油、又无油脂，既坚实又安全的，供作业人员站立的平面。
