买卖合同逾期交货纠纷的裁判

买卖合同逾期交货纠纷，是买受人认为出卖人逾期交货而提起诉讼，要求出卖人承担逾期交货违约责任的纠纷，由于交付标的物是出卖人应当承担的主要义务，所以此种案件中的原告为买受人一方，被告则是出卖人一方。

(一)买卖合同交货期限的确定

交货期限是指出卖人在交货地点完成货物交付的日期;与之相对应，交货期间是指出卖人从某一期日到另一期日在交货地点完成货物交付的一段时间。其中期限应是指时间的计算，从某一点时间开始起计算，称为始期，迄至某一时点停止计算，称为终期，买卖合同的履行期限亦可以以此两种方式确定。而期间则是指某一期日到另一期日之间的一段时间，如某日至某日、某月至某月、某年至某年，或者从某日起若干日、从某日起若干星期、从某日起若干月、从某日起若干年等。买卖合同约定出卖人交付标的物的期间的，可采用这些表达或者确定方式。期限与期间虽然都是特定的、不可分割的期日来表达，但是二者之间还是有差异的，期限为时间之计算，仅指其一端，或者为始期，或者为终期;而期间则是时间之经过，为始期与终期二者之间的时间段。简单地讲，期限是一个时间点，而期间则是一段时间。

买卖合同交货期限与交货期间的确定，对出卖人是否存在逾期交货行为具有决定意义，所以审理此类纠纷的关键即在于对买卖合同标的物交付期限及交付期间的确定。根据《合同法》第138条、第139条的规定，出卖人交货期限的确定应遵循如下规则：

1.双方当事人约定交货期限的，出卖人应按约定的期限交付标的物。2.双方当事人约定交货期间的，出卖人可以在该交货期间内的任何时间交付。根据《联合国国际货物销售合同公约》第33条第1款第(b)项的规定，如果合同规定有一段时间，或从合同可以确定一段时间，除非情况表明应由买方选定一个日期外，应在该段时间内任何时候交货。

3.如当事人没有约定标的物的交付期限或约定不明确的，可以协议补充。当事人仅约定开始交货，未约定何时终止交货的，视为约定的交货期间不明确;

4.如当事人未约定交货期限，且不能协商一致，可以按照合同有关条款确定或者交易习惯确定。按照合同有关条款确定应依诚实信用原则进行合同解释，如依各国通例，在合同未约定交货期限的情况下，将双方约定的合同有效期解释为最后交货期限。

5.如不能按照合同有关条款及交易习惯确定交货期限，则依《合同法》第62条第4项之规定，履行期限不明确的，债务人可以随时履行，债权人也可以随时要求履行，但应当给对方必要的准备时间。因此，在买卖合同中，交付标的物的期限不明确时，出卖人可以随时交货，买受人可以随时要求交货，但应当给出卖人必要的准备时间。‘所谓必要的准备时间，是指在通常情况下，出卖人为交货所做准备工作的时间，主要包括标的物的装卸时间、等候运输的时间、运输在途时间等。

6.根据《合同法》第140条的规定，标的物在订立合同之前已为买受人占有的，合同生效的时间为交付时间。之所以作出这样的规定，目的在于方便买卖双方的交易，减少重复交付费用。

在确定买卖合同标的物的交付期限方面，还应当确定相关期限及期间的具体计算方法，主要包括以下几个方面：

1.计算的方法

自然计算法。也就是以实际的时间为标准，依此方法计算，即一天为24小时、1周为7天、一月为30天、一年为365天，按此方法计算期限及期间。

历法计算法。也就是指按日历所确定的日、星期、月以及年来进行计算的方法。如合同约定交付标的物的期间为一周的，则为星期一至星期日;约定交付期间为一个月的，则从该月的第一日至月末之日;约定一年为期间的，为1月1日至12月31日，历法计算方法不论月的大小、是否存在闰年，均以历法确定，计算方法简便。

上述两种计算方法的差异在于以月或者年为期间时结果可能并不一致，如约定一个月为期间的，依自然计算法则不论月之大小，将一月均确定为30日;而按历法计算法，则要区别大月与小月、闰月分别有31日、30日、29日(或者28日)。我国《民法通则》第154条第1款规定，期间按公历的年、月、日计算。

2.期间起算点的确定方法

以小时确定期间时的起算点的确定我国《民法通则》第154条第2款规定，按小时计算期间的，从规定时开始计算。

以日、月、年为期间的起算点的确定。《民法通则》第154和第2款还规定，按日、月、年计算期间的，开始的当天不计人，自次日起开始计算。如自1月1日起20天为交付期限的，则从1月2日起算至1月21日24时届满。

期间最后一天的终止点的确定。《民法通则》第154条第3款规定，期间的最后一天的截止时间为24时;有业务时间的，到停止业务活动时截止;如有营业时间、办公时间的，以到营业时间、办公时间为期间的终止点。

期间最后一天的确定。如果以日确定期间的，则至该期间之日即为最后一日;在以星期、月、年确定期间时，如以星期、月、年的第一日为起算时间确定时，则该期间之末日为周日、月终、年末为期间的最后一日;如果不是以星期、月、年的第一日为起算时间的，则应以最后之星期、月、年中与起算日相同日的前一日为期间的最后一日，如自1月2日起的一年，则到期时间为次年的1月1日。

如果以上述方法计算出的期间的终止日为星期六、日或者其他法定节假日的，依《民法通则》第154条第3款规定，应以休假日结束的次日为期间的最后一日。

(二)出卖人交付标的物地点的确定规范

出卖人是否逾期交付标的物，还涉及交付标的物的地点的确定问题。对于出卖人交付标的物的地点，结合《合同法》以及审判实践，可以从以下几个方面入手：

1.出卖人应当按照约定的地点交付标的物。交付标的物的地点，双方当事人有明确约定的，应当按约定执行。否则买受人有权拒绝受领标的物，如果出卖人因此履行迟延的，尚需承担违约责任。

2.在双方当事人未约定交付地点或者约定不明确时，可以由双方当事人协议补充确定，如果协商不成的，应根据合同的有关条款或者交易习惯进行确定。

3.根据前述方法仍然不能确定交付标的物的地点的，则应依《合同法》

Ⅶ Revision, Cancellation and Termination of the Contract
