根据《中华人民共和国合同法》的有关规定，经甲乙双方友好协商，签订本合同。

第一条 甲乙双方同意遵守执行《_________玉米中心批发市场交易管理办法 》及该文件、通知的有关规定.

第二条 玉米入库

1.甲方玉米入库须持_________玉米中心批发市场(以下简称市场)批准的《_________玉米中心批发市场交货仓库入库通知单》(见附件一)，并通知乙方，乙方应按《_________玉米中心批发市场交货仓库入库通知单》安排接收玉米事宜。

2.玉米入库，甲方应到库监收。甲方不到库监收，则认定甲方对乙方所收的实物重量、质量及包装没有异议。

第三条 入库验收

1.重量验收：以乙方经计量检验合格的地磅为准，麻袋重量按0.9公斤/条计。

2.质量检验：乙方负责对甲方货物是否有异味、活虫、结块发热、霉变及水分进行检验，确认是否符合仓储保管要求。按市场交货要求进行检验，检验内容包括：水分、容重、杂质、不完善粒总量、不完善粒中的生霉粒、色泽、气味。

3.包装验收：麻袋包装，缝口、缝补必须用麻袋线。

c标识的包装验收标准：

(1)麻袋规定为长107±5cm、宽74±3cm不破、不漏的麻袋。麻袋卫生要求为无油污，无霉变，无严重的煤灰、石灰、铁锈、泥土、水渍等污染。包装物标准根据_________玉米中心批发市场最新公布文件为准。

(2)麻袋缝口可以是机器缝口或手工缝口。机器缝口必须达到两头锁紧双趟标准;手工缝口必须达到双线16针以上(含16针)标准。

(1)麻袋应不破、不漏。麻袋卫生要求为无油污，无霉变，无严重的煤灰、石灰、铁锈、泥土、水渍等污染。

(2)麻袋缝口可以是机器缝口或手工缝口。机器缝口必须达到两头锁紧双趟标准;手工缝口必须达到双线14针以上(含)标准。

4.货物验收后，乙方须填写入库验收单。入库验收单包括以下内容：

(1)到货日期、货种、入库重量、入库件数、货位号、质量检验结果、包装、对货物质量处理意见通知、检验人及检验日期。

(2)如甲方货物存在有异味、发热、结块、霉变、活虫、水分过高或不均等不符合保管条件的货物及时建议甲方处理，如甲方没有给予明确的答复，乙方有权拒收。

5.乙方须将验收结果(入库验收单加盖业务章)及时通知甲方，如甲方对乙方质量检验结果有异议，双方派人重新抽样检验，以共同检验结果为准。水分检验结果作为本合同第五条第5款的计算依据。

第四条 仓单生成

1.乙方根据验收结果可向甲方开具市场统一印制的用于抵顶分期货款的仓单(见附件二)，加盖向市场预留的印鉴，注明用途为“抵顶分期货款”。

2.乙方根据_________玉米中心批发市场指定的质检机构检验结果，对符合交货标准的玉米开具注册交货用的仓单，并注明为“交货用”，甲方向市场申请仓单注册。

3.甲方用提货单重新开具仓单，应在扣减对应货物的损耗后，按第四条第1、2款重新检验开具仓单。

第五条 玉米保管要求

1.乙方按国家和当地粮食主管部门仓储有关规定对甲方的玉米实施保管以维护货物储存期间的质量安全。

2.乙方不得将入库货物与其商品性能相抵触、污染、串味、养护措施和灭火方法不同的商品存放在同一仓间。

3.乙方对入库货物须集中堆放，火车入库一车皮一个货位，汽车入库一般60吨一个货位，货位须有明显、不可移动的标识。

4.仓单生成后，乙方不能移动、开包、调包甲方玉米。

5.①初始注册仓单的玉米，入库水分在14%以内(含)的玉米入库当月的损耗按2‰扣，入库水分在14%以上的玉米先将入库过地磅数折算成含14%水分玉米的重量，折算办法为：入库重量=过磅重量*[1-(入库水分-14%)]，损耗再按2‰扣，从第二个月起，每个月的损耗为1‰(不足半个月按0.5‰计，超过半个月按一个月计)。②用提货单重新注册仓单的玉米，每个月损耗为1‰(不足半个月按0.5‰计，超过半个月按一个月计)。

6.乙方在储存玉米的过程中发现非乙方管理原因出现的问题，应及时通知甲方采取措施，费用由甲方承担。交货仓库发现交易商所储存货物出现虫情，应及时通知货主，如货主在3日内不到场，则视为同意熏蒸，熏蒸费由货主承担。

第六条 玉米出库

1.必须凭市场签发的提货单(见附件四)提货。

2.提货人应出具单位介绍信和本人身份证，并在乙方登记、签字结清相应全部费用。

3.出库重量以实际过乙方经计量检验合格的地磅为准，扣减损耗后，短缺重量由乙方承担。

4.包装物数量按货位图标明的数量为准，重量以0.9公斤/条计算。

5.        法律适用及争议解决：本协议适用中国法律。凡因本协议引起的或与本协议有关的任何争议，均应提交至深圳国际仲裁院（SCIA）按照其仲裁规则进行仲裁，届时败诉方应承担对方为解决本争议而产生的一切合理费用，包括但不限于仲裁费、律师费、差旅费、评估费、调查费、鉴定费等相关费用。

Applicable Law and Dispute Resolution: This Agreement shall be governed by the laws of China. Any dispute arising from or in connection with this Agreement shall be submitted to Shenzhen Court of International Arbitration (SCIA) for arbitration according to SCIA’s Arbitration Rules, and the losing party shall bear all reasonable ges of the other party concerning dispute resolution, including but not limited to arbitration fees, lawyer’s fees, business trips costs, evaluatioges, investigation fees, appraisal costs, etc.);
