根据《中华人民共和国合同法》、《民法通则》等相关法规的规定，甲乙双方本着自愿、平等、协商的原则，就商业用房委托投资经营合同达成以下条款：

第一条 定义

商业用房：指各类商店、门市部、饮食店、粮油店、菜场、理发店、照相馆、浴室、旅社、招待所等从事商业和为居民生活服务所用的房屋。(注：根据委托经营的具体情况写)

第二条 委托标的

(5)制定经营收入标准，收取经营收入，依法向拖欠租金和费用的租户进行追缴;

第五条 委托期限

第六条 合同的存续

第七条 经营收入的支付

第九条 甲方的权利义务

3.甲方可以自由转让其拥有的商业用房，同时事先通知乙方，并保证房屋转让后受让人继续签署履行本合同;

6.甲方在委托乙方经营管理过程中不承担该商业用房的公共维修基金，物业管理以及经营管理费用。

第十条 乙方的权利义务

1.全面制定经营方案，引进先进的市场理念、模式、方法;

2.全面负责甲方的品牌经营，在委托经营期内建立起著名品牌形象;

3.制定统一的经营的标准并严格执行;

第十一条 保密责任

协议双方对本协议履行过程中所接触或获知的对方的任何商业信息均有保密义务，除非有明显的证据证明该等信息属于公知信息或者事先得到对方的书面授权。该等保密义务在本协议终止后仍然继续有效。任一方因违反该等义务而给对方造成损失的，均应当赔偿对方的相应损失。

第十二条 争议的解决

1.本合同受_________国法律管辖并按其进行解释。

本合同在履行过程中发生的争议，由双方当事人协商解决，也可由有关部门调解;协商或调解不成的，按下列第_________种方式解决：

第十三条 合同的变更

第十五条 不可抗力

1.本合同所称不可抗力是指不能预见、不能克服、不能避免并对一方当事人造成重大影响的客观事件，包括但不限于自然灾害如洪水、地震、火灾和风暴等以及社会事件如战争、动乱、政府行为等。

2.因不可抗力或者其他意外事件，使得本合同的履行不可能、不必要或者无意义的，任一方均可以解除本合同。遭受不可抗力、意外事件的一方通过书面的形式通知对方。 第十六条 违约责任

1.甲方未书面通知乙方，将产权转让、出租或设立抵押、担保、造成乙方无法正常行使经营管理权时，甲方向乙方支付委托投资经营建筑面积房价款的_________%作为违约金。

2.甲方违反本合同约定，即在乙方正常支付约定租金的前提下，干涉乙方行使经营管理权，乙方有权扣除本年度租金的_________%作为违约金。

三、委托运营期限

六、词语含义

本协议书中有关词语含义与本合同第二部分《通用条款》中赋予它们的定义相同。

七、乙方承诺

承诺负责污水处理站的正常运行和达到污水排放标准;保证持有《环境保护设施运营资质证书》，并经年检合格。签署本合同时，向甲方提供运营证书的复印件。履行本合同所约定的全部义务。

八、甲方承诺

按本合同约定的期限和方式向乙方支付运营费用及其他应当支付的款项，在矿井水出水站和生活污水处理站出水口安装流量在线监测设备用于计算水量，履行本合同所约定的全部义务。

甲乙双方就绍兴县_________进出口公司杭州司的继续承包运营及双方的责任和利益分配等事项达成如下协议：

第一条：

1.甲方继续支持已在杭州组建的绍兴县_________进出口公司杭州分公司，?由乙方承包。在甲方的支持，指导和监督下，乙方从事甲方法定登记范围内的各项经营活动，_____操作进出口业务，并承担全额业务风险。如因甲方责任造成乙方的业务风险，应由甲方承担相应损失。

乙方必须严格按照国家有关外贸政策经营，甲方有权抽查乙方出货及制单情况，如发现乙方有违法行为时，甲方有权随时终止并解除本协议，如由此造成的经济损失由乙方承担。

2.乙方在经营上享有自主权。甲方有义务在乙方的对外经济交往中所发生各种法律诉讼时，出面并帮助和协助乙方。

第二条：

1.乙方的营业场所暂设在甲方在杭州凯旋门商业中分公司办公室内。?乙方在甲方杭州分公司办公期间需向甲方支付物业管理费，水电费和场地费等合计人民币_________万/年，?乙方承诺争取在每年的六月底前付清。

2.甲方对乙方的经营应及时提供相应的出口配套服务；甲方及时提供给和办理乙方所需的出口用核销单、发票、商检证、产地证等各种进出口单据及相应证章使用。

3.乙方的出口创汇额计入甲方的出口统计。

4.乙方可自主按需招收单据操作、财务及各类业务人员、管理人员，其报酬由乙方支付。

5.甲方设出口收汇奖。?按乙方出口收汇每美圆_________分人民币按结算单计提给乙方。

第三条：结算方式

1.甲方以国税局可计退税单据上的金额为计算基础和以中国银行美圆现汇牌价_________为基础，退税率_________%出口产品按每收汇付人民币_________元，退税率为_________%的出口产品按每收汇usd1.00付人民币_________元，退税率为_________%的出口产品按每收汇usd1.00付人民币9.52元计算，与乙方逐单按时结算；如结汇牌价变动超过＋/-0_________元/美圆，则按实际变动汇率相应调整。

3.甲方凭乙方出口结汇水单和相应的出口产品完税发票，在3个工作日内给付乙方或乙方指定的收款单位对应的人民币款项；?由于非人力不可抗拒原因拖迟付款而造成乙方或乙方吸纳的委托代理方的经济损失应由甲方负责。

4.乙方须负责在_________天内退回给甲方报关单，核销单。逾期未回收核销单，?甲方按每笔每天人民币_________元向乙方计费，超过_________天按每笔每天人民币_________元计扣；?但该核销单所对应的出口发票项下未发生垫付退税款的，则不计该项费用扣款。

5.甲方按本协议应结汇人民币金额在扣除支付货款、运保费、直接费用、委托代理方的利润等后的余额，为乙方可结取的利润。?甲方在收到乙方递交的结算单后在一周内审核确定，?如无问题，?在二周内支付该利润给乙方指定账户。?甲方将按乙方每出口_________万美圆计提_________万人民币现金（凭现金收据）的比例给乙方提现利润。其余部分的利润，乙方应尽量向甲方提供足够的各类税务发票，?以便甲方减少税赋损失。

6.乙方自营业务中所产生的各类出口运费和_____费由甲方直接在结算款中扣除。乙方在代理出口业务中，如遇委托代理方要求乙方先垫付运保费的，在与乙方的委托代理方结算时，?甲方负责按照乙方的通知扣下该先期垫付的运保费.

7.乙方认为有必要凭信用证打包贷款付预货款的业务，贷款额度限于该笔信用证金额的_________%，并由甲方视具体业务确定同意后，由乙方办理借款手续并承担还款责任。

第五条：
