第一条：

1.乙方的营业场所暂设在甲方在杭州凯旋门商业中心的分公司办公室内。乙方在甲方杭州分公司办公期间需向甲方支付物业管理费，水电费和场地费等合计人民币万/年，乙方承诺争取在每年的六月底前付清。

2.甲方对乙方的经营应及时提供相应的出口配套服务；甲方及时提供给和办理乙方所需的出口用核销单、发票、商检证、产地证等各种进出口单据及相应证章使用。

3.乙方的出口创汇额计入甲方的出口统计。

4.乙方可自主按需招收单据操作、财务及各类业务人员、管理人员，其报酬由乙方支付。

5.甲方设出口收汇奖。按乙方出口收汇每美圆分人民币按结算单计提给乙方。

第三条：结算方式

1.甲方以国税局可计退税单据上的金额为计算基础和以中国银行美圆现汇牌价为基础，退税率%出口产品按每收汇usd1.oo付人民币××元，退税率为%的出口产品按每收汇usd1.00付人民币××元，退税率为%的出口产品按每收汇usd1.00付人民币9.52元计算，与乙方逐单按时结算；如结汇牌价变动超过＋/-0××元/美圆，则按实际变动汇率相应调整。

2.乙方在吸引代理出口时，如遇有代理委托方提出的代理结汇率高于上述的，乙方可向甲方提出，由甲方根据实际情况，如同意该代理，可单独确定规定的委托代理方的结汇率，甲方可与乙方单独就此核算，乙方与此类代理委托方的代理合同备份给甲方，以备遵照。

3.甲方凭乙方出口结汇水单和相应的出口产品完税发票，在3个工作日内给付乙方或乙方指定的收款单位对应的人民币款项；由于非人力不可抗拒原因拖迟付款而造成乙方或乙方吸纳的委托代理方的经济损失应由甲方负责。

4.乙方须负责在天内退回给甲方报关单，核销单。逾期未回收核销单，甲方按每笔每天人民币××元向乙方计费，超过天按每笔每天人民币××元计扣；但该核销单所对应的出口发票项下未发生垫付退税款的，则不计该项费用扣款。

5.甲方按本协议应结汇人民币金额在扣除支付货款、运保费、直接费用、委托代理方的利润等后的余额，为乙方可结取的利润。甲方在收到乙方递交的结算单后在一周内审核确定，如无问题，在二周内支付该利润给乙方指定账户。甲方将按乙方每出口万美圆计提××万人民币现金（凭现金收据）的比例给乙方提现利润。其余部分的利润，乙方应尽量向甲方提供足够的各类税务发票，以便甲方减少税赋损失。

6.乙方自营业务中所产生的各类出口运费和保险费由甲方直接在结算款中扣除。乙方在代理出口业务中，如遇委托代理方要求乙方先垫付运保费的，在与乙方的委托代理方结算时，甲方负责按照乙方的通知扣下该先期垫付的运保费.

7.乙方认为有必要凭信用证打包贷款付预货款的业务，贷款额度限于该笔信用证金额的%，并由甲方视具体业务确定同意后，由乙方办理借款手续并承担还款责任。

甲方以每月%按实际借款数向乙方计收利息，该利息以乙方在甲方账户内的收汇总额减扣人民币支出总额的负额为计息基础。

第四条：

具体业务及单证操作基本按照年做法不变。双方将尽力提高工作效率，加快流程时间，并根据国家退税新政策的相关规定，调整退税上报备案时间的程序.

第五条：

1.甲方积极向乙方介绍甲方已有的收费优惠的运输、保险公司。如有乙方需要，甲方同意乙方参加甲方确定的保险公司的"出口收汇险"，并享受甲方同等的费率和回扣及赔偿。

2.甲方将尽力为乙方安排广交会交易馆摊位一个；甲方将尽力积极介绍组织和安排出国推销团组。产生的费用由乙方自理。

3.甲方确认若××科技股份有限公司上市成功，乙方可从甲方购得该上市公司壹拾万股或以上的股权。

本协议双方签章生效，从________年____月____日至________年____月____日止。甲乙双方不得擅自修改和解除协议。

四、实习主要内容

踏入社会才知自己的前景是多么的迷茫与不安，从学校到社会的大环境的转变，身边接触的人也完全换了角色，老师成了老板，同学变成同事，相处之道完全不同。在这巨大的转变中，我感到了彷徨，迷茫，无法马上适应新的环境。看不惯企业之间残酷的竞争,无法忍受同事之间漠不关心以及嘲讽的眼神和言语，就像有些资历比较老的员工在我们这些员工刚进去的时候总是欺负我们新进员工，把一些跑腿的工作总是推给我们。常言道：工作一两年胜过十多年的读书。实习时间短短几个月，但是我从中学到了很多知识，关于做人，做事，做学问。但让我感受最深的却是，有时候自己会在无形中被社会所改变，有些事情我们无法改变，只能顺从。 社会这个染缸造就了多重性格的我们。

大多数时候还是需要自己去摸索怎样做，师傅不可能整天跟在你的身边教你，尤其在这个信息爆炸的时代，知识更新太快，靠原有的一点知识肯定是不行的的。所以必须在工作中勤于动手慢慢琢磨，不断学习不断积累。遇到不懂的地方，自己先想方设法解决，实在不行可以虚心请教他人，而没有自学能力的人迟早要被企业和社会所淘汰。因此一个人的自学能力也是相当重要的。

就算再冷再差的天气，只要不是周末，都得去上班，有时候公司业务繁忙，晚上或周末得加班，那留给个人支配的时间更少。我们必须克制自己，不能随心所欲地不想上班就不来，而在学校可以睡睡懒觉，实在不想上课的时候可以逃课，自由许多。每日重复单调繁琐的工作，时间久了容易厌倦。象我就是每天坐着面对着电脑打打字，做做账都显得枯燥乏味。但是工作简单也不能马虎，你一个小小的错误可能会给公司带来巨大的麻烦或损失，还是得认真完成。一直以来，我们都是依靠父母的收入，而有些人则是大手大脚的花钱。也许工作以后，我们才能体会父母挣钱的来之不易。而且要开始有意识地培养自己的理财能力，一不留神可能就入不敷出成为“月光一族”，但此时我们再也不好意思伸手向父母要，因此很多时候我们要合理支配我们手中的这笔少的可怜的钱。

3. 与形形色色的人打交道后才真真切切的感到要想很快融入进去真的不是件容易的事。由于存在着竞争与利益关系，又工作繁忙，很多时候同事不会象同学一样对你嘘寒问暖。而有些同事表面笑脸相迎，背地里却勾心斗角不择手段，踩着别人的肩膀不断地往上爬，因此刚出校门的我真的无法适应也不想这么早就看清社会的真相。我想我能做的就是学会察言观色，多工作，少闲话。 工作环境 环境往往会影响一个人的工作态度。一个齐乐融融的工作环境中，自然心情就好，大家工作就开心咯。

五、实习总结

其实，实习真正的是我们自己的事情，而不是学校、家长或是社会强加给我们的一个任务，它有助于我们认识自己，把握自己和在以后更好的塑造自己。而且，实习也是我们在在校期间接触社会、认识社会的极好的机会，因为在这段时间里，我们虽然身处社会之中，但实际上却还是一名学生;虽然学习生活即将完结，但却不知道自己的所学应当如何付诸应用。所以，在这段时间里，我们更能发现自己的不足，找到学校与社会的种种不同以及方方面面的差异。从而，在剩下的时间里，更加完善的包装和塑造自己，为将来踏入社会作进一步的准备。 而社会，是一个错综复杂的混合体，绝然不同于学校，如果以为有再学校里学到的就足够了，那是致命的错误。所以，实习又不单单是一个检查的过程。

综上，实习是为将来打基础的重要阶段，不论什么人，什么学历，从事什么工作。如果少了实习这一环，那么在他真正踏入工作岗位的时候，适应期会变得很长，从而不能尽快地进入角色，甚至失去表现、展示自己的机会，错过好的机遇。 所以我们应当正视实习，好好的体会、经历实习，认识自我，达到事半功倍的效果。还有就是我的言语措辞交谈方面欠缺，在和人家客户交谈的时候不知道怎么应答，这需要给以长时间的锻炼，由于年轻气盛，受不了领导的气，做事冲动鲁莽，希望自己以后能够在做事方面慎重考虑，在做决定。

英汉翻译是一门建立在综合能力基础之上的学科，囊括了全方位的知识以及中西文化的差异。不管是对个人能力以及日常积累都有较高的要求。前我一直有一种误区：认为只要掌握大量的词汇，翻译起来就会很容易，认为翻译只不过是把大量的词汇拼接连接在一起。可是当我真正接触到这门课程时惊觉自己原来的思维是有多么的狭隘。当翻译一句话时，我根本不知道该怎么组合。勉强组合在一块时不是错误百出，就是很Chinglish.

首先，英汉翻译应遵循“忠实，通顺”的标准。所谓忠实，就是忠实于原文的内容。由于中西文化之间存在的巨大差异，一句英文在欧美人看起来顺理成章，而在我们中国人看起来就会极其别扭。我们就会在翻译过程中不自觉的用上自己的思维，因而改变了原文的意思破坏了原文的风格。通顺就是指原文语言必须通俗易懂，符合规范。译文必须通顺，避免死译，硬译，符合规范。把原文的内容适当的表达出来，既不能改变扭曲，也不能增加或删减。如“Heisseriouslyill”.就译为：“他病得很厉害”。有人为了追求汉语的“漂亮”译为“他苟延残喘”，这就得不偿失了。

其次，翻译分为三个阶段：理解，表达，和校核。准确理解原文所要表达的意思，注意上下文的关系在翻译过程中是至关重要的。在翻译时采取直译或者意译两种方式。有时在翻译过程中我们也可以直译和意译结合起来使用。主要取决与具体的情景。校核也是一个非常重要的过程，不可忽视。即在翻译时要经过反复的推敲，已到达最好效果的翻译。

翻译不是一朝一夕就能做到做好的事。我们在日常学习中必须注重积累有关英译汉方面的知识以及基本方法。了解基本英汉语言对比(词法和句法)。通过对比，掌握两种语言各自的特点，以及所对应的意思，在翻译的时候才能得心应手的运用。避免造成错用，误用，闹出笑话。需要注意的是随着语言的发展，很多英语单词已经不再紧紧局限于其原有的意思，更有了扩展。这就要求我们积极扩充自己的积累。同时，我还学习掌握了英译汉时常用的方法和技巧。如：增词法，重复法，省略法，以及词义的转义等等。还有关于各种不同句型的不同翻译方式。如定语从句，被动语态，状语从句等等，这些在书本上都有系统的介绍。我们在日常练习的时候也要避免为了做题而做题，要在过程中学会理解，应用这些方法。

我还体会到理解和翻译并不是一回事，几个人的理解相同，翻译成的文字风格可以是不同的。通过学习，我了解到可以直译的就直译，只要把词序调整一下，保证通顺，不致引起误解就好。如果不能直译，可凭借各种翻译技巧，在不偏离原文意思的前提下，对句子的结构作一些变动。方法也好，技巧也好，都是为忠实、通顺地再现原作这个目的服务的，其功效自不待言，但并非万应灵药。任何方法在应用中都有其限度，过犹不及。如果一味死搬教条，盲目遵照翻译的规则，过分依赖这些翻译的技巧，最终只会落得个邯郸学步的结果。优秀的翻译者会在在实践中经常数法并用，因人因文而异，并无一定之规，主要靠自己不断实践、不断总结经验和不断提高理论水平，才能最终达到得心应手、曲尽其妙的境界。

经过学习，我确实获得了不少的进步以及在本学期的翻译学习中，我们获得了翻译专业应具备的一项技能，也对下学期的汉英翻译学习有了初步的计划和想法，以后学起来的时候亦不会无从下手。我相信我在今后的翻译道路更加宽阔平坦，我会再今后的学习中，不断总结经验技巧，是这些宝贵经验成为翻译学习的宝贵财富，力争做一名合格的英语人。
