八、乙方在承包期限内，若发生更改或更转车辆时，则乙方无条件将此车辆交给甲方。

九、承包期满后，甲方需继续发包或转让此车辆，在同等条件下，甲方必须将此车辆优先发包或转让给乙方。

十、乙方在承包期限内，所有国家一切补贴由乙方领取享受，若承包期满，乙方不继续承包此车辆，甲方应将 元(￥ 元)的风险金退还给乙方。

鉴于乙方在甲方任职，并将获得甲方支付的相应报酬，双方当事人就乙方在任职期间及离职以后保守甲方技术秘密和其他商业秘密的有关事项，制定下列条款并共同遵守：

第一条 双方确认，乙方在甲方任职期间，因履行职务或者主要是利用甲方的物质技术条件、业务信息等产生的发明创造、作品、计算机软件、技术秘密或其他商业秘密信息，有关的知识产权均属于甲方享有。甲方可以在其业务范围内充分自由地利用这些发明创造、作品、计算机软件、技术秘密或其他商业秘密信息，进行生产、经营或者向第三方转让。乙方应当依甲方的要求，提供一切必要的信息和采取一切必要的行动，包括申请、注册、登记等，协助甲方取得和行使有关的知识产权。

第二条 乙方在甲方任职期间，必须遵守甲方规定的任何成文或不成文的保密规章、制度，履行与其工作岗位相应的保密职责。

甲方的保密规章、制度没有规定或者规定不明确之处，乙方亦应本着谨慎、诚实的态度，采取任何必要、合理的措施，维护其于任职期间知悉或者持有的任何属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密或其他商业秘密信息，以保持其机密性。

第三条 除了履行职务的需要之外，乙方承诺，未经甲方同意，不得以泄露、告知、公布、发布、出版、传授、转让或者其他任何方式使任何第三方(包括按照保密制度的规定不得知悉该项秘密的甲方其他职员)知悉属于甲方或者虽属于他人但甲方承诺有保密义务的技术秘密或其他商业秘密信息，也不得在履行职务之外使用这些秘密信息。

乙方的上级主管人员同意乙方披露、使用有关的技术秘密或其他商业秘密的，视为乙方已同意这样做，除非甲方已事先公开明确该主管人员无此权限。

第四条 双方同意，乙方离职之后仍对其在甲方任职期间接触、知悉的属于甲方或者虽属于第三方但甲方承诺有保密义务的技术秘密和其他商业秘密信息，承担如同任职期间一样的保密义务和不擅自使用有关秘密信息的义务，而无论乙方因何种原因离职。具体的保密期限及双方的权利、义务由双方以单独的协议另行规定。

第五条 乙方承诺，在为甲方履行职务时，不得擅自使用任何属于他人的技术秘密或其他商业秘密信息，亦不得擅自实施可能侵犯他人知识产权的行为。

若乙方违反上述承诺而导致甲方遭受第三方的侵仅指控时，乙方应当承担甲方为应诉而支付的一切费用;甲方因此而承担侵权赔偿责任的，有权向乙方追偿。上述应诉费用和侵权赔偿可以从乙方的工资报酬中扣除。

第六条 乙方在履行职务时，按照甲方的明确要求或者为了完成甲方明确交付的具体工作任务必然导致侵犯他人知识产权的，若甲方遭受第三方的侵权指控，应诉费用和侵权赔偿不得由乙方承担或部分承担。

乙方的上级主管人员提出的要求或交付的工作任务，视为甲方提出的要求或交付的工作任务，除非甲方已事先公开明确该主管人员无此权限。

第七条 乙方承诺，其在甲方任职期间，非经甲方事先同意，不在与甲方生产、经营同类产品或提供同类服务的其他企业、事业单位、社会团体内担任任何职务，包括股东、合伙人、董事、监事、经理、职员、代理人、顾问等等。

乙方离职之后是否仍负有前款的义务，由双方以单独的协议另行规定。如果双方没有签署这样的单独协议，则甲方不得限制乙方从甲方离职之后的就业、任职范围。

第八条 乙方因职务上的需要所持有或保管的一切记录着甲方秘密信息的文件、资料、图表、笔记、报告、信件、传真、磁带、磁盘、仪器以及其他任何形式的载体，均归甲方所有，而无论这些秘密信息有无商业上的价值。

第九条 乙方应当于离职时，或者于甲方提出请求时，返还全部属于甲方的财物，包括记载着甲方秘密信息的一切载体。

但当记录着秘密信息的栽体是由乙方自备的，且秘密信息可以从载体上消除或复制出来时，可以由甲方将秘密信息复制到甲方享有所有权的其他载体上，并把原载体上的秘密信息消除。此种情况乙方无须将载体返还，甲方也无须给予乙方经济补偿。

第十条 本合同提及的技术秘密，包括但不限于：技术方案、工程设计、制造方法、配方、工艺流程、技术指标、计算机软件、数据库、研究开发记录、技术报告、检测报告、实验数据、试验结果、图纸、操作手册、技术文档、相关的函电，等等。

本合同提及的其他商业秘密，包括但不限于：客户名单、行销计划、采购资料、定价政策、财务资料、进货渠道，等等。

第十一条 本合同中所称的任职期间，以乙方从甲方领取工资为标志，并以该项工资所代表的工作期间为任职期间。任职期间包括乙方在正常工作时间以外加班的时间，而无论加班场所是否在甲方工作场所内。

本合同中所称的离职，以任何一方明确表示解除或辞去聘用关系的时间为准。乙方拒绝领取工资且停止履行职务的行为，视为提出辞职。甲方无正当理由拒绝发给乙方全部或部分工资的行为，视为将乙方解聘。

第十二条 因本合同而引起的纠纷，如果协商解决不成，任何一方均有权提起诉讼。双方同意，选择甲方住所地的、符合级别管辖规定的人民法院作为双方合同纠纷的第一审管辖法院。

上述约定不影响甲方请求知识产权管理部门对侵权行为进行行政处理。

第十三条 乙方如违反本合同任一条款，应当一次性向甲方支付违约金 元;无论违约金给付与否，甲方均有权不经预告立即解除与乙方的聘用关系。

第十四条 本合同自双方签字或盖章完成之日起生效。

第十五条 本合同如与双方以前的口头或书面协议有抵触，以本合同为准。本合同的修改必须采用双方同意的书面形式。

2、甲方为乙方提供网上销售产品的质量需符合相关法律法规，乙方不承担任何因产品问题引发的纠纷和损失;

3、甲方对所销售的产品需提供使用说明书及其相关资料，甲方需对产品的说明书、资料的真实性、完整性、合法性负责;

4、在乙方为甲方进行服务时，甲方不得干扰乙方既定策略的执行，不得对乙方的操作进行修改，确保乙方制定策略的完整执行，若甲方自行对产品进行更改，对乙方的优化策略造成影响，此后果由甲方自行承担。甲方可随时参照数据报表监控乙方优化策略执行的效果，并及时向乙方传达自身需求，由乙方进行策略调整。

5、若甲方因店铺被处罚或其他原因不继续经营店铺等甲方单方面问题导致服务无法继续，由此造成的一切损失由甲方自行承担，乙方对此不负任何责任。乙方不退还已收服务费;

6、乙方尊重甲方对产品所拥有的知识产权;

7、乙方所使用甲方提供的资料和物品不得用于与提供服务无关的事务;

8、合同期间，甲方店铺产生的所有销售额都算乙方所销售出的销售额;

9、乙方应为甲方做电子商务服务的工作保密，未经允许的情况下，不允许给第三方客户作为参考;

10、乙方应为甲方在网店运营过程中，主帐号的主要目的是用于“店铺整合营销”的项目。根据本协议的规定所提供之服务给与使用，除非甲方另外以书面形式指明其他目的。未经甲方事先书面授权，乙方不得将保密信息用于其他目的。

11、乙方应为甲方在网店运营过程中，对甲方所委托的网店店铺主帐号进行保密，未经甲方允许的情况下，不得透露给第三方公司。

但下列情形不视为违反本协议：

11.1该信息乃根据甲方事先书面同意而披露;

11.2甲方因违反国家相关规定，在对其有管辖权的法律部门要求下而披露。

11.3乙方将对商城账户操作进行严格控制，对由于甲方原因造成的损失不负有任何责任。

11.4请甲方在合同满后及时更换主帐号密码，以免造成不必要的纠纷。服务结束后，甲方应及时更换密码，如在服务结束后由于密码原因造成的损失，乙方概不负责。

四、服务费用

1、由于乙方为个人兼职运营，只在业余时间为甲方提供商城运营服务，估在乙方运营顾问期内，甲方只需从每月的销售额中提取5%的佣金作为乙方的服务报酬，并不需要另行支付技术服务费。

2、结算时间：双方原则上以自然月为结算周期，乙方应于每月 日前向甲方出具上月对帐周期实际发生的结算金额对帐通知单，甲方在收到乙方对帐通知单个工作日内将对帐通知单回执返回至乙方。如甲方对乙方提供的对帐单有异议，双方可通过对帐方式进行核对。双方对结算对帐单确认无误后 个工作日内，甲方应在每月 日至日期间向乙方帐户汇入服务报酬。

五、违约处罚

I、甲方存在下列行为，甲方应自行承担由此造成的一切损失：

1、甲方所提供的产品在销售当中出现问题且没有正当合法来源的;

2、甲方提供的产品存在品质缺陷致使购买者人身权和财产权受到损害的;

3、甲方提供或故意编造虚假的进货凭证或进货渠道说明，致使乙方据此在网上发布的相关产品信息不符法定产品质量要求的;

4、甲方未能按时、足额发货的;

5、甲方提供的产品存在侵犯第三方人身权、财产权、知识产权等其他行为。

6、甲方未能按照本协议规定支付销售佣金的;

7、其他由于甲方原因造成的损失。

II、乙方存在下列行为，则乙方按以下方式承担由此对甲方造成的损失：

1、乙方服务方式被认定为非法的，乙方自行承担责任;

2、并非为达成本协议条款的目的，利用甲方提供的产品、支付宝资金、资料、帐户做与服务无关的事宜，致甲方相关利益受到损害的，乙方须赔偿甲方因此而造成的损失;

六、争议解决方式

1、一切由执行合同引起或者与合同有关的争议，均应友好协商解决，协商不成时应向一方所在地人民法院起诉。

2、本合同未涉及的部分，均按《中华人民共和国合同法》及其它相关法律法规的有关规定执行。

七、 其他

1、对本协议内容做出的任何修改和补充应为书面形式，由双方授权代表签字后成为协议不可分割的部分。

2、本协议为中文本，共贰份原件，均具同等法律效力，双方各执一份为凭。

第一天的时候，我跟着班主任李老师熟悉了一下学校目前的情况，以及实习期间需要注意的一些事项。我们原来的英语老师王老师，教学经验十分丰富，目前担任高二组的组长，因为她是我原来的老师，所以我有幸在她所带的班级实习，王老师向我简单介绍了一下所带班级的基本情况。第二天正式到班级,当时想到就要面对 60多个学生,不免还是有点担心和紧张。

听课实习的必经阶段，听课不仅能够学习拥有教学经验的老师的教学方法，也能熟悉如果以后能的成为英语教师所要面对的情况。高中阶段的英语课程与大学里大不相同，现在的课本经过了改革，所以现在的教学要求也有新的变化，教学方法上有很大差异。王老师教学状态相当严谨，备课很充分，又开始听她讲课，很有亲切感，再次听她的课就觉得整节课规划的很好，让学生知道这节课要完成的内容，就算有突发状况的发生，也能自行控制好时间等等。我听了整整一个章节课的完整过程，每个部分都有不同的上课形式，都是值得学习的地方。因为我不是学师范专业的学生，所以并不是很懂得英语教学法，真正坐在教室后面听课的感觉很不一样，教学的内容就算一样，方式也有很多种，可以老师自己授课，可以让学生回答问题，可以结合练习加深印象。对于学生的回答,老师要根据学生的特质进行分析，然后加以适当的引导。经过几天的实习，我觉得作为英语专业的学生，虽然在成为英语教师方面不比专业的师范生有优势，但是我们有很强的英语功底，很精准的英语专业知识，很流畅的口语技能。而作为我们外国语学院的学生，在老师们的带领下，都与一种遇到困难勇于解决的勇气，在这方面来讲，还是很适合英语教学工作的。另外我们外国语学院一直有着严谨的学风，走出去的学生一般都作风严谨，肯与吃苦耐劳，具有办事认真的品质，这么说来也在英语教学方面拥有一定的优势。
