3乙方利用强大的技术开发力量，开发甲方新承接或者甲，乙双方共同确立的项目。

4乙方应配合甲方做好技术咨询及在开拓业务进程中提供技术支持。

四、权力义务

1属于甲、乙双方共同策划，共同开发的项目，其所有权属于甲，乙双方共同拥有。

2属于甲或乙单方承接的开发项目，其所有权属于承接单方拥有。

3在双方合作过程中，甲，乙双方无权干涉对方企业内部管理。

4乙方接到甲方生产通知后无条件的服从生产需要，保证质量，按时交货

5乙方在生产过程及价格审核过程中服从甲方指派人员的合理建议。

6甲方在市场运营过程中自觉接受乙方的监督指导。

7乙方在生产挂车所需原材料采购过程中接受甲方监督指导。

8乙方生产挂车需要的零配件必须以甲方为主供渠道，甲方不能满足乙方生产需求时，乙方可自行安排。

9甲方生产的挂车零配件按界时市场价供应给乙方，必须保证质

量，及时供货。

10乙方生产的挂车按原材料成本加生产薪酬及相关联费用核算综合成本。

11双方应以诚信为本，互相交流和切磋业务动作状况，以便互相促进。

五利益分配

1自签订本协议之日起，乙方所权属的“凯事成”牌挂车产品由甲方负责市场销售，由双方协商审核综合成本价格确定加权市场价格，按税后利益的50%比例分成。

2属于双方共同开发的系列产品，由双方协商市场价，按税后利益的50%比例分成，此分成比例可根据合作情况协商调整。

六共同开发项目的成果归属与分享

1一方转让其有专利权的，另一方可以优先受让其共有的专利权

2合作各方中,单方声明放弃专利申请权的,可由另一方单独申请

3开发项目被授予专利以后，放弃专利申请权的一方可以免费取得该项专利的普通实施许可。

4一方不同意申请专利的，另一方不得单方申请专利

5在特殊情况下，当事人各方还可以在合同中规定对技术成果权的分享份额以及各自享有的专利申请权,将对在技术开发的各主要阶段产生的研究开发成果,约定各自独立享有的权利。

七、费用摊消

1销售市场的前期费用由甲方负责，销售中的佣金列摊生产成本

2甲、乙双方的行管薪酬由甲、乙双方各自摊消

3产品生产必需的薪酬及原材料费用摊消生产成本

4根据市场需求设立的服务站所产生的费用和利润由甲乙双方按50%比例分摊费用和分享利润。

5申请办理新的公告费用甲乙双方按50%比例分担或列入综合成本。

6新产品的研发费用甲乙双方按50%比例分担或列入综合成本。

八、保密条款

1甲、乙双方所提供给对方的一切资料，专项技术和对项目的策划设计要严格保密,并只能在合作双方公司的业务范围内使用。

2甲、乙双方公司的全部高级职员，研发小组人员将与合作公司签订保密协议，保证其在就业期间和研发期间所接触的保密资料，专项技术予以保密。

3凡涉及由甲、乙双方提供与项目，资金有关的所有材料，包括但不限于资本营运计划，财资情报，客户名单，经营决策，项目设计，资本融资，技术数据，项目商业计划书等均属保密内容。

4凡未经双方书面同意而直接，间接，口头或者书面的形式向第三方提供涉及保密内容的行为均属泄密。

九、其它

1甲、乙双方在执行本合同时发生争议，可通过双方友好协商解决，若经双方调解无效，可向有关仲裁机构提请仲裁。

2本协议未尽事宜,双方协议订补充协议，与本协议同样具有法律效应。

3本协议一式两份，双方各执一份。

进入大学，我发现现实中的大学与自己想象中是那么的不一样。当你融入到一新的环境中的时候，你不可能去改变它，唯有适应它，你才能更好的学习和生活。大学中的挑战和机遇无处不在，班级内的竞争，社团之间的竞争都会锻炼一个人，这些能够激励你去勇敢的挑战自己。只有武装自己，才能跟得上这个快速发展的社会。

大学让我学会了如何去面对，遇事的时候再也不会像中学那样盲目和冲动，我学会了如何去一分为二的看问题，每件事情的发生都会有利和弊，只有洞察才能会正确的解决。大学教育了我，也锻炼了我，它让我变得成熟，变的理智，教会了我如何去运筹帷幄。毕业在即，我也开始寻找适合自己的工作，在我看来工作不是为别人，而是为了自己，只有兢兢业业 踏踏实实的干才能充分显示出自己的价值，才能回报社会。出自农村的我不怕吃苦不怕累，因为我相信付出终会有回报。

在以后的人生道路上我会一如既往的坚定自己的信念，不会放弃，做一个真真正正自己。相信自己就是成功的开始，我想我一定会成为一个全新的我，也继续认真、踏实的走我自己的人生之路。
