父母不同意我外出打工，由于一些原因。可是自己长大了离走出校门步入社会的时候也越来近，该去体验下生活和创业的艰辛。

方便了生活，网店是当今日益掀起的市场。让我实现了坐在家里购物的梦想。现在越来越多的人开始网上购物。所以网上开店是很有前途的对于买卖双方都是有利可图的方便双方共同赢利。之前，很喜欢在网上买东西，便宜也很方便，足不出户便能买来自己需要的东西，于是有了网上开店的想法，因为网店不需要营业执照，注册资金和工商部门的审核，只需要注册一个淘宝账户，通过实名认证，就可以在网上有一家自己的店铺了开店需要给店里起个名字，想了很久，取名叫海上升明日。意思是蓝蓝的大海迎着刚刚升起的红日，象征生机和朝气，要卖什么?网购最大的特点就是看不到实物，开店最重要的经营的项目。所以拍下东西之后经常存在退货的情况，而服装鞋子这类商品虽然利润很高，但是由于存在尺码的问题比较麻烦，最后我决定去经营包包。有一个资金问题，为了降低经营的风险，决定去做代理。所谓代理就是拿到一品牌的授权，由厂家代发货，只是做个中转，赚取代理价格和零售价格的差额。

但是代理都是要符合他条件才可以授权的网店信誉必须要达到一钻以上(网店信誉从高到底依次是心，最重要的环节就是拿到品牌的授权。找了很多家品牌包包。钻石、皇冠)可是物品刚刚开店根本没有信誉，一整天坐在电脑面前还是没有结果。第二天的时候，决定要主动出击，主动和品牌包包的客服去联系。于是去和前一天我非常中意的这家品牌包包去谈，这家同样要求信誉在一钻以上，并且要有两个月的销售记录，希望我诚意能让他为我破例。和这个品牌包包的客户经理在旺旺上聊了很久，也表明了诚意，又谈了下我近期的目标，对我一些想法很赞同，最后同意把这个品牌的授权给我并且让我9.0折拿货。当时真的很兴奋，这是从未有过的成就感。

开始上架商品，接下来。希望我商品能早一天让顾客们看到记得很清楚，8月7日那天我忙到凌晨2点，终于把所有的包包全部上架，店正式开业了又是一阵兴奋。

支付是一个最重要的环节，还有就是支付。也是核心，确保支付的安全顺利对自己和对顾客都是必要的只有支付顺利安全，消费者才会放心的购物，因为他风险很小，这样才会才会赢得顾客，目前的网上开店主要由几种付款方式：网上支付，邮局汇款、银行汇款、货到付款，为了方便顾客付款，应该给出多种选择，不要只接受一种支付方式，因为这样很可能会因为顾客感觉不便而失去成交机会，当然，一般情况下不要接受货到付款的方式，原因很简单，增加了已方的经营风险。

就等着顾客的光临了可是这却是面临的最大挑战，也许大家看似一切都准备就绪。淘宝上每天开业的店有几千家，怎么才能让更多的人看见我店铺呢?去淘宝大学报名参加了好多免费的营销和推广课程，每天晚上七点在网上开课，每天我都是端着饭菜一边吃一边学，有时候真的觉得好累好累，终于卖出了第一件包包，功夫不负有心人。当时顾客问了好多包包，都不厌其烦的给她解答，等拍下了就赶紧联系厂家发货，还自己花钱送了个赠品，果然顾客收到包包的时候非常满意，给了一个好评，看见她评价，心里很是感动，但是很知足了因为在淘宝上新手开店，虽然到现在才卖出四件商品。几个月没有一单生意是很常见的事，而且在开店的过程中还认识了好多朋友，也是淘宝上开店的经常和他交流经验，很有收获。

四、代理费用

五、保密条款

1、任何一方对于因签署或履行本合同而了解或接触到的对方的商业秘密及其他机密资料和信息（以下简称“保密信息”）均应保守秘密；非经对方书面同意，任何一方不得向第三方泄露、给予或转让该等保密信息。

2、如对方提出要求，任何一方均应将载有对方保密信息的任何文件、资料或软件，按对方要求归还对方，或予以销毁，或进行其他处置，并不得继续使用这些保密信息。

3、在本协议终止或解除之后，双方在本条款项下的义务并不随之终止，双方仍需遵守本协议之保密条款，履行其所承诺的保密义务，直到对方同意解除此项义务，或事实上不会因违反本协议的保密条款而给对方造成任何形式的损害时为止。若违反保密义务给对方造成了损害，过错方应承担相应的责任。

六、违约责任

2、在服务关系存续期间，保密义务人未经授权，不得以竞争为目的、或出于私利、或为第三人谋利、或为故意或无心之举加害于公司使公司受到任何方面的损失或负面影响，擅自披露、使用商业秘密、制造再现商业秘密的器材、取走与商业秘密有关的物件;不得刺探与本职工作或本身业务无关的商业秘密; 不得直接或间接地向公司内部、外部的无关人员泄露;不得向不承担保密义务的任何第三人披露甲方的商业秘密;不得复制或公开包含公司商业秘密的文件或文件副本;对因工作所保管、接触的有关本公司或公司客户的文件应妥善对待，未经许可不得超出工作范围使用;在未经许可的情况下不得将公司内的任何资料复制、打印、传送、带出公司。

3、如果发现商业秘密被泄露或者自己过失泄露商业秘密，应当采取有效措施防止泄密进一步扩大，并及时向甲方报告。

4、服务关系结束后，公司保密义务人应将与工作有关的技术资料、客户名单等交还公司，并在叁年内不得向它人泄露有损公司的任何性质商业秘密。

5、鉴于保密义务人在职期间，获得或制作的商业秘密(包括技术秘密和经营秘密)对公司在竞争中的巨大价值，在劳动合同关系存续期间和终止之后，保密义务人均承认公司因投资、支付劳动报酬而对这些商业秘密的所有权，因此保密义务人同意甲方按下列方式执行：

(1)保密义务人因各种原因离开公司，自离开公司之日起 年内不得自营或为公司的竞争者提供服务，不得从事与其在公司生产、研究、开发、经营、销售有关的相关工作(包括受雇他人或自行从事)，并对其所获取的商业秘密严加保守，不得以任何理由或借口予以泄露。甲方向保密义务人支付的报酬或工资中已包含保密补偿金，此处不再重复支付。 (2)如乙方提出解除劳动合同，乙方应提前一个月向甲方提出解除劳动合同的申请。在此期间，甲方有权调动乙方的劳动岗位。

第四条：保密义务的终止

1、公司授权同意披露或使用商业秘密。

2、有关的信息、技术等已进入公共领域。

3、乙方是否在职、劳动合同是否履行完毕，均不影响其保密义务的承担。

第五条：从事第二职业的限制

乙方承诺在甲方任职期间，不从事第二职业。非凡是未经甲方书面同意，不得在与甲方经营同类产品或提供同类服务的其他企业内任职，包括但不限于合伙人、董事、监事、股东、经理、职员、代理人、顾问等;不得间接为上述企业提供服务。

第六条：侵权责任

甲、乙双方约定：

(1)假如乙方不履行本协议所规定的保密义务，应当承担违约责任，任职期间接受甲方的罚款、降薪或辞退等处罚;如已离职，一次性向甲方支付违约金 人民币元;

(2)假如因为乙方前款所称的违约行为造成甲方的损失，乙方应当承担违约责任，并承担赔偿甲方损失的责任。 (3)前款所述损失赔偿按照如下方式计算： ①损失赔偿额为甲方因乙方的违约行为所受到的实际经济损失;

②假如甲方的损失依照①款所述的计算方法难以计算的，损失赔偿额为乙方因违约行为所获得的全部利润;或者以不低于甲方商业秘密许可使用费的合理数额作为损失赔偿额;

③甲方因调查乙方的违约行为而支付的合理费用，应当包含在损失赔偿额之内;

(4)因乙方的违约行为侵犯了甲方的商业秘密权利的，甲方可以选择根据本协议要求乙方承担违约责任，或者根据国家有关法律、法规通过司法的方式要求乙方承担侵权法律责任。

第六条：争议的解决方法

甲、乙双方在履行本协议过程中发生争议，应先行协商解决，如协商不成时，由朝阳区人民法院管辖。争议发生后，在对争议进行诉讼时，除争议事项外，双方应继续行使各自在本协议项下的其他权利，并应继续履行各自在本协议项下的其他义务。

第七条：双方确认

在签署本协议前，双方已经详细审阅了协议的内容，并完全了解协议各条款的法律含义。

第八条：其他

1、本协议正本一式两份，甲乙双方各一份。每份正本均具有同等法律 效力。

2、本协议未尽事宜，由甲乙双方另行协商一致，并签署书面文件，补充协议与本协议具有同等法律效力。

3、本协议的任何修改必须经过双方的书面同意。

4、本协议自双方签字或盖章后生效。
