C、甲方决定该店铺的零售指导价格范围，以避免与传统渠道产生冲突，运营初期价格与实体店相差不能太大。

D、甲方拥有该店铺在线收款帐号的所有权，在线付款方式的货款将下接由甲方管理，支付宝帐户和登录密码、支付密码由甲方财务掌控，但可授权给乙方进行退换货等操作。

E、甲方需将该店铺所销售的商品放置于乙方指定的仓储中心，所有发货费用由甲方承担，甲方放置于乙方仓库的货品，在不影响销售及运营计划的前提下，甲方有权对货物进行库存调整及退回，由此产生的一切相关费用由甲方承担。

F、甲方有权要求该店铺所售商品及促销品为甲方公司产品，乙方不得在该网店平台上销售其他品牌的商品，对于涉及到与其他品牌进行联合促销的活动，乙方必须事先经得甲方同意方可执行，涉及到的任何第三方产品，甲方依照其自身对于品牌的理解，有权予以否决。

G、甲方必须保证其在该店铺所销售的商品的合法性，并对其提供的所有产品承担所有者任，包括知识产权、产品质量等。

H、甲方应根据乙方的要求，包括但不限于以乙方指定的方式专递装修素材，提供与装修设计有关的所有资料，如有关产品图片、信息、介绍、市场及宣传等，。甲方应保证其提供的资料全部具有合法性，如提供有关资料违反法律有关规定或触犯版权问题，由此造成的相关责任一切均由甲方承担。如甲方资料未能及时提供，所导致超期，责任由甲方负责。但乙方不得用于与此无关的用途。

I、 甲方制定营销推广原则，乙方可在该原则框架下制定营销推广方案由双方协商，甲方享有最终决定权，营销推广活动中产生的各项费用由甲方来承担，在此当中所需的各种礼品等资源由甲方负责提供。

J、 如乙方在提供在线/电话客户服务过程中遇到难以解答的与产品质量、技术、功能等有关的问题，甲方应安排相关人员向乙方提供相关产品信息及协助解答产品技术疑难等支持。

K、 甲方有义务按照国家有关质量法规及淘宝网的退换货规则对有质量问题的产品进行处理。

L、 甲方有义务对在本店购物并提出索取发票申请的顾客提供销售发票，乙方应在本网店页面上设置可供顾客选择是否需要商品发票的功能，并在本网店页面上公布"顾客收货7天后提供发票"。

M、 甲方有义务按照淘宝规定将其在该店铺所售商品存放在淘宝指定仓储中心，由其统一存储、发货，入库后，若调度需与乙方协商后操作，甲方供货给乙方的物流费用由甲方承担。

N、 由于甲方变更计划任务书、已选定的设计方案、已批准的初步设计、已提交的使用要求、文件和资料等，给乙方造成设计返工时，双方需重新商定提交文件的日期。甲方需按实际返工日向乙方支付适当的费用。

O、 甲方与乙方解除合同一年内，甲方不能雇佣乙方离职人员。如发现原乙方员工离职后直接应聘到合作公司，则乙方有权向甲方索取相关赔偿。

P、 因甲乙双方共同履行本协议而产生的网页设计、文字、图片等资料的著作权、肖像权及相关经济利益均属于甲方。

2、 乙方权利与义务

A、 乙方应确保店铺运营、维护、客服工作符合以下三个目标：

1)、在甲方提供双方认可的图片、文字等素材后不超过三个工作日内，乙方按照甲方要求埸新店铺陈列、装修、商品图片及信息、促销活动公告、网店规则等资料，同时必须认真复核网站页面信息，以确保与甲方素材、资料保持一致，确保符合甲方提出的陈列位置、排列顺序等要求，确保页面内容整齐、美观、合法;如甲方无产品图片的拍摄设备及人员，可经甲乙双方协商，可由乙方来完成该项工作，与此相关的费用由甲方来承担。

2)、确保网店前台实际销售数据与甲方掌握的数据同步，保持有关数据及分析报表的及时性和准确性。

3)、甲方若需ERP系统对接，乙方将负责完成与甲方ERP系统的对接(与此相关的费用由甲方来承担)，或者在乙方提供的甲方店铺后台管理系统中，甲方可以查询即时销售数据。

B、乙方要负责对网店的内容及时更新、维护，随时审查、监督网站内容，确保其符合有关法律法规，并按照国家有关法律法规及政府部门的要求办理相关的注册、备案、审批、信息过滤等手续，如因乙方审查不利导致网站内容违法，由此而产生的一切法律后果和经济损失由乙方承担。

C、未经甲方同意，乙方不得将甲方品牌商品通过本网店之外的其他渠道进行销售。乙方也不得将甲方的品牌使用于非甲方所生产或销售的相关商品，一旦有证据证明有此类情况发生，甲方有权利终止合同，乙方承担由此给甲方带来的一切经济损失。

D、乙方应参照甲方视觉识别系统和产品线规划进行网站设计，乙方同时有权依照销售状况对网站所售商品提出陈列及促销调整意见，但所有页面、设计、功能、货品资料、素材等的改动，必须事先经甲方指定的项目负责人批核后方能实施(可通过电子邮件、传真、电话沟通等形式进行批核)。

E、在系统可扩充性上，乙方可以采用开放平台架构，便于以后扩展接口，可以支持与甲方AIT系统进行库存、订单信息，快递单号方面的接口，甲乙双方需共同配合，投入各自的IT资源完成必要的系统集成。

、乙方负责本网店的网站设计、网站建设、网站运营、网站优化、客户服务、网店装修、商品模版设计、商品图片及信息更新维护，BBS维护管理、信息过滤等服务，并通过与淘宝指定的仓储中心，承担本店铺商品涉及到的仓储和物流等服务。

G、乙方负责本店铺的软硬件维护，乙方有权根据实际业务运作状况向甲方提出关于软硬件扩展规划的建议，但最终决定权在甲方，乙方进行硬件维护时需由甲方提供相应的支持，由扩充而产生的相关费用需甲方承担，由不扩充造成的损失由甲方承担。

H、乙方有义务按照甲方提出的格式定时向甲方提供与商品销售有关的数据，如款式、数量等，乙方也有义务定时为甲方提供本店铺的运营情况分析报告以及销售分析数据。

I、乙方允许甲方委派专人对乙方公司的后台服务队伍进行巡视及考核或通过其他正常渠道对乙方服务质量进行监督，并承诺按照甲方的整改意见积极进行改进和调整。

J、根据与淘宝仓储中心的沟通，乙方每季度对库存进行全面盘点一次，每月进行抽检1次，(不超过总货品量的1/3)，若出现货品损失则确认责任方，若不是甲方责任，乙方将按照产品正常店铺售价赔偿甲方金额。

K、乙方每周一进行销量汇总，根据销量情况，确定热销、滞销款式，做好营销策划活动，制定未来两周的进货需求，以优货库存结构，同时，结合与甲方的沟通，对滞销库存确定处理方案，通常情况下包括促销清货和退回甲方两种情况，退回甲方的物流费用由甲方承担，促销清货方案由双方协商议定。

L、乙方每月进行残次品的统计一次，核对库存，将残次品统一整理，发回品牌商，以加速货品周转率，优化库存结构，运费根据残次品责任方确认支付主体。

M、乙方对每月甲方支付给乙方的佣金以及代垫款项，开据《北京市服务业、娱乐业、文化体育业专用发票》。

三、结算条款

1、结算声明：

A、甲乙双方要安排专人跟踪本店铺，对每日交易成功的记录和退货记录做清晰的登记，如时间、订单号、商品型号、数量、退货原因、退货金额以及涉及到补邮链接的退货补邮费、换货补邮费、补差价、发补邮费、发补邮费等项目，并在本店铺里对各种补邮链接分开标明，具体内容双方要以附件或者补充协议的形式经双方协商后确定下来，划清责任利益归属问题。甲乙双方要对每日的记录保持一致。

B、甲方给乙方结算佣金的基数以实际销售商品的含税数为基准，涉及到淘宝公司的一些扣款项，如淘宝佣金、代扣各种返点积分、代扣物流服务费、信用卡服务费、保证金理赔等从支付宝贷方出去的所有扣款项，不管后期此业务是否发生退货，都由甲方来负担，一律不在此核算佣金基数里作抵减项。

C、涉及到退换货的，由于质量问题和消费者保障服务等原因无偿退换货而产生的邮费，由甲方来承担。其他退换货产生的邮费，由乙方来承担，由买家补交的退换货来回邮费，属于乙方收取的快递费，结算时甲方应以邮费的形式结给乙方。

D、依据淘宝公司的规定，每个自然月度结束后，淘宝公司会针对从甲方扣除的各项费用给甲方开出内容是各项扣款费用汇总的服务业发票，同时也要求甲方针对甲方收到顾客支付的积分金额开具销售发票给淘宝公司，此类涉及到淘宝公司硬性统一规定的条款，乙方不承担任何责任。

E、涉及到甲方用自己公司个人支付宝支付本网店退款的事项，需由甲方先和乙方邮件沟通，得到乙方邮件确认后方可退款，否则由此造成的损失，乙方一律不承担。

F、涉及到甲方提出来的一些特殊要求而导致仓储方向乙方要增值服务费的，此费用一律由甲方来承担。

G、涉及到给淘宝商城支付的保证金以及技术年服务费，由甲方来承担。

2、结算规则：经甲乙双方友好协商，甲乙双方结算项目包括：基础服务费、增值服务费、代垫费用以及其他费用。

A、基础服务费：在本网店月销售额低于__________元时，甲方需交纳乙方基础服务费、代垫费用以及其他费用。基础服务费从合同生效期开始收取。

B、增值服务费：在本网店月销售额超过__________元时，甲方需交纳乙方基础服务费、增值服务费、代垫费用以及其他费用。增值服务费基数以当月交易成功金额+已发货待顾客确认收货金额-退货金额-顾客支付邮费，(此处可按销售额分段执行佣金比例) 。

C、代垫费用：指乙方代第三方收取的各种快递运输费、包装费、价签费等，以及乙方要求顾客支付的补邮链接费。(可以按卖一件衣服多少钱来订)。

D、甲方需于收到乙方发票三个工作日内将款付给乙方，否则将按0.05%每天的利率收取滞纳金。

四、商业保密条款

商业秘密：任何一方公开或未公开的任何技术信息和经营信息，包括但不限于：产品计划、销售计划、奖励政策、客户资料、财务信息等，以及非专利技术设计、程序、技术数据、制作方法、资询来源等，均构成该方的商业秘密。

保密：双方对在本协议下知悉的另一方的任何商业秘密均负有保密义务，任何一方在任何时候均不得向第三方披露另一方的商业秘密，非经另一方书面许可不得向任何第三方泄露。任何一方违反本条规定的，应全额赔偿另一方因此遭受的全部直接和间接损失。本协议终止后，双方仍然负有本条款项下规定的保密义务。

五、违约责任

1、由于一方不履行本协议规定的义务，或严重违反协议，造成该业务无法经营或无法达到协议规定的经营目标，视作违约方单方终止协议，另一方除有权向违约的一方索赔外，并有权按协议规定通过法律程序终止协议，如双方同意继续合作，违约方仍应赔偿非违约方的经济损失。

2、由于一方的过错，造成本协议及其附件不能履行或不能完全履行时，由过错的一方承担责任，如属双方的过失，根据实际情况，由双方分别承担各自应负的责任。

3、乙方保证所提供的技术设备的正常运作，如完全因乙方技术设备原因给消费者造成相关损失，由乙方承担相关责任。

4、乙方只能通过本网店销售甲方商品，若未经甲方书面授权，乙方超出规定的渠道进行销售，甲方有权书面通知乙方停止销售工作，乙方接到甲方的书面通知后3个工作日内未停止销售行为或再次违反本规定时，甲方有权终止本协议，如因此给甲方造成损失，乙方应负责赔偿。

5、乙方应确保网站运营、维护、客服工作符合乙方应尽的权利和义务，如有违反，甲方将向乙方发出警告及限期改正，经甲方以任何方式责令乙方限期改正而乙方拒不改正的，视为乙方违约，甲方有权终止本协议。

6、如因为不可抗力导致技术故障(指乙方控制范围以外的技术故障)，进而影响服务的不能履行或履行延误，从而导致消费者理解错误而造成的任何损失，双方均不负责任。

7、不可抗力：在合作期间，由于地震、台风、水灾、火灾、战争或其他不能预见并且对其发生和后果不能防止和避免的不可抗力事故，致使协议的履行直接被影响或者不能按约定的条件履行时，遇有上述不可抗力事故的一方，应立即将事故情况以电话、邮件、传真、信函等方式通知对方，并应在十五天内提供事故的详细情况及协议不能履行、或者部分不能履行、或者需要延期履行的理由的有效证明文件，按照事故对协议的履行的影响程度，由双方协商决定是否解除协议，或者部分免除履行协议的责任、或者延期履行协议。

六、协议生效日期

1、本协议有效期为壹年，甲、乙双方在本协议上签字盖章后正式生效。

2、本协议有效期内，如果甲乙任何一方因特殊原因需提前终止协议，必须提前30天以书面形式通知对方，双方互免其他违约责任。在本协议期满前60天内，或收到终止协议通知的10天以内，或是在无需通知的协议终止的情况下10天以内，乙方应向甲方返还所保留的有关合作品牌图片、光盘资料、绘画图纸(含草图)等资料，未经甲方的书面同意，乙方不得保留前述资料的任何形式的复印件，包括但不限于录音、录像、电子文档等。

3、协议期满前一个月若双方均未以书面形式提出异议，则本协议自动延期，但协议延期期间任何一方均有权提前30天以书面形式通知对方终止协议，双方互免违约责任，已预收但未分摊完毕的有关费用应全数退还给甲方。

4、双方终止合作时，最后一个月的佣金结算时间可延迟一个月，待双方核对清楚合作期间的退货款等款项后再行结算。
