第十三条 违约责任

(1)甲方逾期支付技术研发服务报酬的，每逾期一日，应向乙方支付逾期支付费用 1% 的违约金。

(2)因甲方违约导致乙方解除合同的，甲方应支付而未支付的费用应继续支付，甲方还应按照技术研发服务报酬总额的 1% 向乙方支付违约金，违约金不足以弥补乙方损失的，甲方应予以赔偿。

2、乙方违约责任

(1)乙方逾期提交技术研发服务成果的，每逾期一日，应向甲方支付技术研发服务报酬总额 1% 的违约金。

(2)乙方指派的负责人或技术研发服务人员未实际参与本合同技术研发服务工作或者乙方擅自更换的，乙方应向甲方支付技术研发服务报酬总额 1% 的违约金。

第十四条 不可抗力

1、不可抗力事件是指合同双方在签署本合同时不能预见、不能避免并不能克服的客观情况。包括：地震、台风、水灾、火灾，以及政府行为、战争、瘟疫等。

2、若任何一方因不可抗力事件不能履行本合同，应及时通知对方，并在不可抗力发生后 10 天内向对方提供有关不可抗力发生的有效证明。

3、受不可抗力事件影响的一方应迅速采取合理的措施，尽量减少因不可抗力事件给各方带来的损失。如果未能尽其努力采取积极的措施减少不可抗力事件的影响，则该方应承担由此而扩大的损失。

4、如果发生影响履行本合同的不可抗力事件，则双方应及时协商制定并实施补救计划和合理的替代措施，减少或消除不可抗力事件的影响。

5、不可抗力影响合同履行超过 30 天的，双方均有权解除合同。

第十五条 通讯与联络

1、为方便开展工作，提高双方的工作效率，甲方安排 负责与乙方保持日常联系，乙方安排 负责与甲方保持日常联系。如双方确有必要更换联系人员时，应以书面形式提前通知另一方。甲方工作人员的联系方式 ;乙方工作人员的联系方式是 。

2、双方履行合同的有关事项，按照上述约定通知到对方联系人的，视为完成通知送达。

3、双方的通讯地址或者联系方式如发生变动，应书面通知对方，因未及时通知而造成的损失由其自行承担。

第十六条 争议解决方式

双方因履行本合同而发生的争议，应协商、调解解决。协商、调解不成的，确定按以下第 1 种方式处理：

1、提交 仲裁委员会仲裁。

2、依法向甲方所在地有管辖权的人民法院起诉。

第十七条 其他

1、本合同经双方签字盖章后生效。

2、双方如有未尽事宜或需变更、调整的事项，可另行签订补充协议。

3、本合同的附件是合同不可分割的组成部分，与本合同具有同等法律效力。
