第一部分 协 议 书

委托人： 煤业有限责任公司(甲方) 受托人：

依照《中华人民共和国合同法》、国家环保部有关环保设施运营管理的规定及其他有关法律法规，遵循平等、自愿、公平和诚实信用的原则，委托人接管人就本委托运营项目有关事项达成一致意见，订立本合同。

一、项目概况

项目名称： 煤业污水处理运营管理

项目地点：

项目内容： 煤业矿井废水及生活污水处理站委托运营管理(详见附件1)

二、项目承包范围及方式

委托范围: 委托运营方案内包含的全部内容 。

委托方式：甲方将污水处理站的日常运行管理全权委托给乙方。乙方负责：管理污水处理站日常工作，配置合格的运营人员，提供设备维修和设备保养，提供污水处理站所需药剂。

三、委托运营期限

委托运营合同期限：5年。

四、合同价款及付款方式

承诺负责污水处理站的正常运行和达到污水排放标准;保证持有《环境保护设施运营资质证书》，并经年检合格。签署本合同时，向甲方提供运营证书的复印件。履行本合同所约定的全部义务。

八、甲方承诺

按本合同约定的期限和方式向乙方支付运营费用及其他应当支付的款项，在矿井水出水站和生活污水处理站出水口安装流量在线监测设备用于计算水量，履行本合同所约定的全部义务。

第二部分 合同通用条款

一、总 则

1、定义

下列词语或措辞，除特别说明外，在本合同中均具有以下赋予的含义：

合同：指甲方与乙方之间为实施、完成合同所订立的合同。合同由通用条款第2.2款所列的文件组成。

通用条款：指根据法律、法规和规章的规定及委托污水处理运营的需要订立，通用于委托运营的条款。

专用条款：甲方与乙方根据法律、法规和规章的规定，结合具体运营实际，经协商达成一致意见的条款，是对通用条款的具体化、补充或修订。

协议书：指甲方与乙方为本合同污水处理委托运营项目所签订的协议书。

第三方：除甲乙双方(含双方雇员及代表其工作的人员)以外的任何其他人或组织。甲方代表：指发包人指定的履行本合同的代表。甲方人代表由甲方任命并书面通知乙方。乙方代表：指乙方指定的负责运营项目现场管理和履行本合同的代表。乙方代表由乙方任命并书面通知甲方。

合同价款：是指甲方用以支付乙方按照合同规定完成承包范围内运营管理责任的款项，其具体款项依据协议书中标明的金额和合同约定的调整事项确定。

书面形式：指合同文书、信件和数据电文(包括电报、传真、电子数据交换和电子邮件)等可以有形地表现所载内容的形式。发包人、承包人可在专用条款中注明所采用的书面形式。

索赔：指合同履行期间，对于并非自己的过错，应由对方承担责任的情况所造成的损失，并根据合同约定向过错方索要相应的费用。

国家：指中华人民共和国。

不可抗力：指不能预见、不能避免并不能克服的客观情况。

委托运营：甲方将污水处理站的日常运行管理全权委托给乙方。乙方负责管理污水处理站日常工作，配置合格的操作、运营人员，提供设备维修和设备保养服务，提供污水处理站所需药剂。

进水水质：乙方通过日常检测得出的污水处理站进水的各项参数指标。 进水水量：在线监测系统流量计显示向污水处理站排放的水量。

污水处理达标：污水处理站处理后的出水水质达到各环境影响评价报告要求。

维护保养：运营方对污水处理站相关设备进行的加油、调试、清理等日常工 作，不包含设备的维修和更换。

2、通讯联络

2.1通讯形式：本合同中无论何处所涉及各方之间的申请、批准、确认、同意、决定、核实、通知、任命、指令或表示同意、否定等的通讯(含派人面交、邮寄、电子传输等)，均应采用书面形式，且只有在对方收到后方能生效。

2.2发送通讯：合同中无论何处所涉及各方之间的通讯都不应无理扣压或拖延。甲方、乙方应在专用条款中约定各方通讯地址和收件人，并按约定发送通讯。收件人应在通讯回执上签署姓名和时间。一方拒绝签收另一方通讯，另一方以特快专递、挂号信等专用条款约定的方式将通讯送至通讯地址的，均视为送达。

3、现场考察

3.1双方责任：甲方应向乙方提供有关污水处理站建设、安装和运营的基础资料，并对提供资料的真实性、准确性和完整性负责，承包人对上述资料的理解和应用负责。

3.2运营方案的编制：乙方应依据甲方提供的资料编制委托运营方案。乙方的委托运营方案应被认为已经考虑了现场及其周围环境的影响，但不包括以下内容的影响：

3.2.1 因甲方临时性的措施造成的污水处理站考察条件与常规情况不符; 3.2.2 甲方生产工艺或者生产计划的变更造成水质、水量的变化。

4、事故处理

4.1安全事故的处理：发生重大伤亡及其他安全事故，乙方应按规定立即上报有关部门并通知甲方，及时按政府有关部门的要求处理，由事故责任方承担发生的费用。

4.2 事故争议的认定：甲方乙方对事故责任有争议时，应按政府有关部门的认定处理。

5、专利权

5.1侵犯专利权的责任：乙方在实施、完成委托运营合同过程中所采用的工艺、设备和自身供应的材料、药剂等，如因其商标、图案、工艺、材料的使用等发生侵犯专利权的行为，并引起索赔或诉讼，则一切与此有关的损害、赔偿、诉讼费和其他开支，均由乙方承担。

5.2版权和知识产权：甲方乙方各自对属于自己的设计图纸及其他文件保留版权和知识产权。双方签订本合同后，应视为分别授权对方为实施合同而复制、使用、传送上述图纸和文件。但未经对方同意，另一方不得将其另作他用或转给第三方。

6、保障

6.1 合同双方的相互保障：合同一方应负责和保障另一方不负责因其自身的行为或疏

忽所引起的一切损害、损失和索赔。但受保障的一方应积极采取合理措施减少可能发生的损失或损害。因受保障的一方未采取合理措施而导致损失扩大，则损失扩大部分由自己承担。

6.2甲方对乙方的保障：甲方应保障乙方运营过程所需的水电供应，并不得要求乙方做出不符合安全规范行为，不得要求乙方处理做出超出污水处理站工艺设计规范要求的行为。

7、财产

7.1甲方财产：乙方接管前同甲方共同清点污水处理站属于甲方的设备、仪器、材料、药剂等财产，并形成书面记录文件;乙方接管后由甲方购置的财产加入记录文件。除此之外的污水处理站的设备、仪器、材料、药剂等财产都属乙方所有，甲方不得占用、挪用、扣留。

7.2 乙方财产：乙方在工程改造期间以及接管运营后进入现场的设备、仪器、材料、药剂等属于乙方财产，甲方有义务保障乙方财产的安全。

三、运营合同期限

8、运营期限

本合同运营期限为5年，如乙方在运营期间因乙方过错造成重大责任事故，甲方可终止委托运营合同;如乙方在运营期间没有因乙方过错造成重大责任事故，本合同期限自动延长，延长期限为5年。

四、材料设备质量 9 乙方采购的材料设备

9.1乙方负责采购的材料设备，应按照标准与规范、设计要求和其他技术要求采购，并提供产品合格证明，对材料设备质量负责。乙方应在材料设备到货前，通知甲方办理进场手续。

9.2 由乙方采购的材料设备，除另有约定外，甲方不得指定生产厂家或供应商。

10、甲方采购材料设备

10.1甲方负责采购的材料设备，应按照标准与规范、设计要求和其他技术要求采购，并提供产品合格证明，对材料设备质量负责。甲方应在材料设备到货前，通知乙方共同办理检验、清点、入库工作。

10.2如乙方对甲方采购的材料设备质量、性能有疑问，可对材料设备进行检测，如不符合质量要求，乙方可拒绝使用。如甲方不认可乙方的检测结果，可向相关检测部门提出检

五、其他

11、物价引起的调整

11.1合同每执行一年后，甲乙双方按照国家相关部门发布的物价上涨指数，协商确定因物价上涨而须提高的乙方运营费用。

12、保密要求

12.1合同双方应在合同规定期限内提供保密信息。自对方收到保密信息之日起，双方应履行保密义务;除双方另有约定外，保密义务不因合同完成而终止。

12.2保密信息知悉权限：合同双方仅允许因执行本合同而使用另一方提供的保密信息。除双方书面委派执行本合同应知悉保密信息的人员外，任何一方不得将另一方相关的或属于另一方所有的保密信息提供给第三方。任何一方不得超出允许范围从另一方复制、摘录和转移任何保密信息。任何保密信息的公布，均应事先征得提供方的书面同意。

12.3合同双方应与执行本合同应知悉保密信息的人员签订保密协议，并及时向另一方提交一份备案。双方应以保护自身秘密的谨慎态度采取有效措施保证另一方的保密信息，避免保密信息被不当公开或使用。任何一方若发现有第三方盗用或滥用另一方保密信息时，应及时通知另一方。

12.4保密信息应由提供方以书面形式说明保密程度;以口头形式提供的，则提供方应在提供后28天内以书面形式予以确认。保密信息包括但不限于双方确认的信息，以及与材料设备产品、价格、工程设计、图纸、技术、工艺和财务等相关信息。但不包括下述信息：

12.4.1 提供前已由双方所持有的;

12.4.2 已公开发表或非对方原因向公众公开的; 12.4.3已由各相关方书面同意其公开的;12.4.4在未获取保密信息前由对方独立开发的;

12.4.5对方从对保密信息不承担保密义务的第三方合法获得的。

13、合同份数

13.1 本合同正本两份，均具有同等效力，由甲方乙方分别保存一份。

13.2 本合同副本份数，由甲方乙方根据需要在专用条款中约定。正本与副本均具有同等效力，当正本与副本不一致时，以正本为准。

第三部分 合同专用条款

1、定义

3.1约定适用的标准、规范的名称：《中华人民共和国合同法》及相关法律法规。

4、甲方义务

甲方应完成如下合同约定：

4.1 乙方承建的污水处理工程通过甲方验收后第二天，本合同自动生效，乙方自动接管甲方的污水处理站运营。

4.2在运营期间，甲方排入污水处理站的污水量、污水水质不超《附件1》中进出水水质、水量表中所列指标。若甲方的污水排放水质指标超出《附件1》中进出水水质表中所列指标，则需支付给乙方额外的运营费用，费用计算方法见《附件2》。

4.3 保障运营期间的水电供应以及其他乙方所需的后勤供应。

4.4 办理乙方运营期间人员出入的证件，以及其他运营人员在现场工作所需的手续。 4.5 双方在专用条款内约定的甲方应做的其他工作。

5、乙方义务

乙方应完成如下合同约定：

5.1 在委托范围内完成所有的运营工作。

5.2 乙方运营期间保证污水处理达到合同约定的排放指标。

5.3 乙方在运营期间承担污水处理站的维护保养义务，如因不当操作造成甲方财产的损害，乙方需向甲方支付赔偿费用。

5.4乙方在运营期间，应按规定每天详细记录运行日志、监测记录、维修记录、固体废弃物处理台账、污水排放等记录表格。上述资料由乙方妥善保存，每月在乙方向甲方申请拨付运营费用时，由乙方随同运营费用请款报告一并提交甲方。

5.5 乙方在运营期间，必须严格按污水处理站各项安全操作规程进行操作，并遵守甲

5.6 乙方在运营期内，有责任配合甲方的监督和检查，并配合甲方协调上级部门的监督检查工作，并提供相关材料。

5.7 乙方在运营过程中造成甲方设施或单位、财产损失或人身伤害的，由乙方承担责任和经济损失。

作为一个英语师范班的学生来说，家教是一个必经的路程。这个暑假我并没有回家，而是在四川我姑妈家度过的。我姑妈家一家三口全是人民教师，她们积累的几十年的经验中有很多地方都是值得我学习的。并且，在这个暑假姑妈还介绍了一个上初二的学生给我让我去他家当家教，在其过程中古国我遇到什么比较困难的地方我就可以请教我姑妈。我觉得这为期二十天的家教生活，对于我来说是一种把理论转化为实践我契机。

在第一天的两个小时的上课中，我尽量与她聊一些比较有趣的事情，当然是有关于英语的。对于她这样的情况我觉得我应该从培养她对英语的兴趣开始。从英语的一些趣味小故事，到比较出名的美国大片。我发现她的表情也变得鲜活起来。但是只要我一提到她的课本，或是一提到有关语法的东西，她的眼神又开始晃悠了。这使我有种深深的无力感和挫败感。一天的两小时家教时间很快就过去了，我跟莹堙相处得还算愉快。

第二天，为的改善她懒惰和喜欢走神的毛病，我给她讲了我的同学的经历，给她阐明了学生的职责和学习的目的。她似乎懂得了什么。不时地点头表示同意。此后，我也经常给她聊类似个事，不时地与她交谈学习体会。她的听课状态比以前有了很大的改观。每天上午工作两个小时，中间有一段休息的时间。因此，我在以后的讲课中，对他的要求渐渐严格起来，并经常给他讲解懒惰的害处。他虽然听得进去，但改观不大。这是可以理解的。
