20_年，是中国电子商务市场的飞速发展的一年。仅进入_其实还没到一年的时间，但却要总结这一年的所得所获，感觉还是不知如何忆起。往事重现，发觉一些美好的事物还是在历历在目，不管它是曾困扰着我亦或是阻止我前进的一些障碍。

在这份工作之前，我曾经接触过淘宝店铺，它让我对发布产品信息不是很陌生。可以说电子商务是我真正的第一份工作，从刚踏入社会至今，很庆幸自己选择了电子商务。一开始就能遇到自己喜欢的职业是非常难得的一件事情。

刚开始涉及这个领域什么都不懂，只觉得一切都是枯燥乏味，每天都重演着几件相同的事情，不停得做，反复得做，不间断得做，感觉生活已经像是被定制好了，所以做起事来根本已经没有所谓的冲劲与干劲。而且当初对_的产品一直不够了解，觉得放到网上销售真得是一件不容易的事情。直到自己无缘无故接到了第一个单子，虽然说出来可能会被同行耻笑，100元的订单，可以说是忽略不计，但是却带给我前所未有的信心。以前一直觉得这个行业在网上做交易实在是一件难事，不仅价格高而且组装完的成品在专业问题上更是让我打了退堂鼓。我想这100元的订单不仅仅是100元，也是对我工作的一个肯定。从这次开始我明白自己应该要往哪方面去重点突破。既然对成品没有十足的把握那就先从型材开始做起，简单的管材不仅容易跟客户介绍也可以减少发货期限，降低工人所耗废时间。

我觉得做电子商务最重要的前提即是对产品有一个足够的了解，如果当面对客人不能解释专业的问题，有可能面对潜在客人的流失。用自信而权威的口吻来谈论产品，相信有优势的产品一定能够吸引到客户。推销产品也就是推销自己，推销自己远比推销产品更为重要。面对你所要推销的对象要分清它是不是真的决策人，要清楚它是不是真得想买你的产品，或是竞争对手想套价格还是仅仅想让我们给他画设计图等等。

第二，合理按排8小时工作时间也是一个非常关键的步骤，虽然现在我常常会觉得时间不够用并且遗漏的东西可能还不少，但是每天都感觉非常充实。每天虽然有些询盘是跟我们行业是无关的，但是每个客户我都认真对待，并且每个旺旺上都会介绍我们的_产品，因为我觉得现在对于我们这个领域的产品知识，还是鲜有客户知道的。我觉得电子商务真的是一个循序渐进的过程，可能刚进接触网站后，没有相关的询盘，甚至于没有其它领域的询盘，但是长久以往，踏实认真的走好每一步，我相信每一个都可以接到属于自己的订单。

1 合作形式

本协议所称合作，指由甲方提供品牌和商品，乙方负责该品牌和商品在速卖通平台架构搭建、营销推广、双方联合经营的运营模式。

2 合作期限及目标

本合同期限自 年 月 日起至 年 月 日止。

3 双方的权利与义务

3.1 乙方权利与义务

3.1.1 乙方依据甲方实际情况搭建速卖通销售平台并提供相应的运营团队支持，保证其正常运行，使甲方在网上交易活动得以顺利进行。

3.1.2乙方组建并管理该项目的运营团队，并负责产品上传,产品信息优化、营销推广、数据分析等工作。该团队提供服务岗位包括：(运营)产品上传,活动管理，推广管理,数据分析反馈给企业开发新产品,客服服务等。

3.1.3乙方负责做好店铺产品的各项整体营销方案，如店铺内实施的大型促销活动或参加平台内的活动，产品的促销价格与优惠条款在与甲方协商达成一致后实施，并在实施过程中根据实际情况与甲方协商达成一致后进行调整。

3.1.4 乙方在使用付费推广时，需提前做好计划，并把相关计划提交给甲方审批，甲方同意并拨款后方能实施。

3.1.5乙方保证不对甲方经营的商品做出任何侵权行为。在商品销售过程中，乙方如发现有针对甲方商品的侵权行为的，应在24小时内通知甲方并提供相应援助。

3.1.6乙方应为甲方做网店托管服务的保密工作，未经允许的情况下，不得将甲方的保密信息资料外泄。若因此造成甲方利益受损乙方愿意赔偿甲方的全部损失。

3.1.7鉴于计算机及互联网的特殊性，乙方为甲方提供网上电子商务服务时，对于：因存在服务器维护需中断本项服务在两个小时以上的;或者由于网络阻塞原因造成服务器访问速度下降或不能访问的;或者因黑客、病毒、电信部门技术调整等引起的事件，或因电子商务平台漏洞等类似安全问题引起的事件，乙方应尽快采取积极措施，恢复网店的正常运营。而在乙方网络中断时，乙方应及时通知甲方安排人手暂时接管，避免流失客户。

3.1.8 乙方有权按照本协议约定向甲方收取技术服务费和佣金收益。技术服务费分两种.

一种是无最终销售任务要求的技术服务费.该种技术服务费第一月八千以上,具体根据客人的需要上传的产品定.第二月至第十二月分别为三千元/月.可按月,按季度支付.这一合作模式类似兼职运营及客服外包服务.

第二种是有最低销售额及利润要求的技术服务费,该种合作模式为合作伙伴式代运营服务.此合作技术服务费必须按年度付费.一年服务费九万八千元.具体销售额度,销售利润及超额完成提成及如未完成销售额对乙方的责任要求,可在附加协议了写明.

4.1 甲方的权利与义务

4.1.1甲方保证其已通过或取得所销售商品需要的各项审批或许可，对其所售商品享有唯一的合法的所有权，且商品销售和交付未侵犯任何第三方的权利。如因产品侵权造成的损失，乙方不负责任.

4.1.2 甲方负责创建专供电子商务销售的产品仓库，并配置适用的电子商务仓库管理系统与设备;制定电子商务发货管理办法，合理安排该仓库的管理人员，保证满足日常发货需求。如因甲方发货不及时、漏发货、发错货等所产生的客户纠纷与损失均由甲方承担;

4.1.3甲方每周需核对仓库产品库存量，并把核对正确的数据发给乙方的项目负责人进行网店库存的核对与修改。甲方缺货的，应自缺货之日起24小时内告知乙方，并尽快补足，无法补足的，应及时告知乙方，以便乙方及时更正网上发布产品供应信息。甲方需为其未及时的通知或更新供货信息和库存信息承担全部责任，如因此给第三方(包括顾客、其合作伙伴、代理人、职员等)造成损失的，甲方同意自行赔偿其全部损失。

4.1.4甲方需为乙方提供产品图片，乙方为甲方提供产品拍摄与包装的建议。甲方需向乙方提供包括：产品样品、产品使用说明书及其相关属性资料，提供产品卖点及亮点说明等。甲方需对产品的说明书、资料的真实性、完整性、合法性负责。

4.1.5甲方应当根据速卖通网络服务平台的要求，在相应服务平台保持足够金额，以便使该平台自动续费而不影响店铺正常运营。甲方店铺相关密码或重要资料更改时，如未通知乙方造成损失，乙方不负任何责任。

4.1.6甲方在协议期间应尽力配合乙方的各项营销工作，根据营销的实际情况投入相应的营销推广费用，与乙方共同努力创造销售佳绩。乙方将根据每个月的运营目标以及投产比数据提交一份推广费用预算申请给甲方，甲方确认后将把该笔款项打入速卖通直通车帐户或其它的推广平台，乙方将根据实际运营情况支配该推广费用于该项目内，乙方保证该笔款项仅投入于该项目中，每月根据使用情况提交财务报表予甲方审核。如乙方建议的推广方案基本能保持成本及赢利的情况下，因甲方拒绝配合运营需求给予推广费用而导致乙方无法达成销售目标时，乙方不承担销售不达标的违约责任。

4.1.7 甲方需指定一人专门负责与乙方对接各项电子商务营销工作，并协助乙方处理好售后问题，如退换货、退款、处理卖家的投诉维权等工作。

4.1.8甲方有权随时对乙方的销售数据及交易行为进行查阅,发现销售数据或交易行为中存在任何问题或怀疑,均有权向乙方发出询问及要求改正的通知等处理。

4.1.9甲方须保证在速卖通网络平台上独家授权乙方进行运营，未经乙方同意的情况下，不得再另外授权其他任何第三方在进行运营或销售其品牌产品。

5 技术服务费、佣金收益及结算方式

5.1技术服务费

自本合同生效之日起，合同期内甲方必须一次性向乙方支付技术服务费(运营及客服)人民币 万元 .

5.2甲方必须在服务到期的前十天,支付超额完成的销售佣金，作为乙方的佣金收益。

5.2.1用户选择在线支付的，按照实际销售额进行计算;

6 销售目标与营销推广费

6.1甲乙双方所约定的销售额目标如下(行业不同,销售目标不同)：最低销售额 万美金/年或达到最低利润 万元/年.如超额,超额部分按销售额5%,结算佣金.如未完成双方协商的销售额,则乙的违约责任为 .

营销推广费:每月预支1000元推广费用至直通车帐号，根据其它条文规定执行.

违约责任

6.1协议一方不履行协议义务或者履行义务不符合协议约定而给另一方造成损失的，应承担损害赔偿责任。

6.2甲方因故延迟或拒绝支付相应的技术服务费、佣金收益、营销推广费用的(节假日/特殊原因除外)，乙方有权暂停提供甲方的运营服务，在甲方支付后再重新提供服务;如暂停服务1月后甲方仍未支付，则乙方有权立即终止与甲方的合作协议，要求甲方立即支付应付未付金额，并有权按照应付未付金额要求甲方按照日千分之五的标准支付滞纳金。

6.3若乙方无法达成当年度的销售额目标，则甲方有权单方终止本合作协议。乙方必须退还承诺退回的代运费费用.若在乙方已完成当年度销售额目标的情况下甲方单方面终止本合作协议，则乙方有权要求甲方支付违约金，违约金的金额按终止合作当日往前推算半年的实际销售额剩以该年度的佣金提取比例计算。

6.4若甲方在与乙方合作期间擅自再另外授权任何其他第三方在速卖通平台上运营或销售其品牌产品，则乙方有权要求甲方立即停止该违约行为，并赔偿乙方的销售额损失。若甲方不予停止、改正该违约行为的，则乙方有权单方终止本合作协议，并要求甲方支付人民币三万元的违约金。

6.5甲、乙双方之代理人、受任人之一切行为均代表该方，其一方违反合同之行为视为该方之行为，该方应对此承担连带法律责任。

7 有限责任

不论在何种情况下，甲、乙双方均不对由于Internet连接故障，电脑，通讯或其他系统的故障，罢工，劳动争议，暴乱，起义，骚乱、电力故障，生产力或生产资料不足，火灾，洪水，风暴，爆炸，不可抗力，战争，政府行为，国际、国内法院的命令或第三方的不作为而造成的不能服务或延迟服务承担责任。

8 协议的终止

8.1协议期限届满，本协议终止。若双方继续合作，须重新签署新的合作协议，本协议不具有延续性。

8.2任何一方均不可在正常运作情况下单方提出解除本协议。除非一方违约，另一方有权解除协议，否则必须经过双方协商并同意后方能解除本协议。

8.3因任何一方与任何第三方之间存在争议,另一方认为其合法权益受到影响时,可以向另一方提出解除本协议。

9 不可抗力

9.1协议双方中的任何一方，由于战争或严重的水灾、火灾，台风和地震等自然灾害，以及双方同意的可作为不可抗力的其他事故而影响协议执行时，则延长履行协议的期限，延长的期限相当于不可抗力事件所影响的时间。

9.2受不可抗力影响的一方应尽快将发生不可抗力事件的情况以传真方式通知对方，并于七天内以航空挂号信件或中国特快专递()将有关当局出具的证明文件提交给另一方进行确认。

10 争议的解决

10.1执行本协议所发生的或与本协议有关的一切争议，双方应通过友好协商解决。

10.2如双方通过协商不能达成一致时，则应提交乙方所在地的人民法院予以裁决。

10.3在争议的处理过程中，除正在进行诉讼的部分外，协议的其他部分将继续执行。

10.4本协议终止不影响本条款的效力。

11 协议的生效及其他

11.1本协议只限中国境内有效。

11.2本协议的执行中，除另有规定外，对本协议条款的任何变更、修改和增减或者增加相关附件，都须经双方协商同意并签署书面文件，作为本协议的组成部分，与本协议具有同等效力。

11.3本协议签订生效后，协议内容即在甲方和乙方之间产生法律效力。甲方确认在本协议签订前已认真阅读本协议及附件所有内容，对本协议及附件载明的全部内容全部了解并完全接受。无论甲方事实上是否在签订前认真阅读了本协议及所有附件内容，只要甲方按照乙方合作流程成功开通网上销售平台并上线，甲方的行为仍然表示其同意并签署了本协议及所有附件。

11.4本协议自甲、乙双方签字盖章后正式生效。正本一式两份，甲、乙双方各执壹份，具有同等法律效力。

11.5本协议由双方于20__年 月 日在当地签订。

2017年4月英语专业大学生实习报告

实习目的：到所学专业所应用的相关单位如外资企业、翻译公司、旅行社等部门对所学专业应用范围有一个初步了解从而明确学习目的、方向。以下是我的实习工作总结：

时间：XX年2月14日-2月20日

报告内容：今年寒假我有幸到我们市一中实习，也就是我的高中，我的母校。虽然这个假期没有好好的休息，但是就业的压力使我知道这个寒假也是一个很好的接触社会，检验自己所学知识的机会。通过这7天的实习，我深深体会到了将理论与实践结合起来的不易，也通过这7天的努力，使我熟悉了从事教师行业的不易，这7 天的代班老师工作，为我今后真正踏入工作岗位积累了一定的实践经验。对于自己的母校可以说是再熟悉不过。来自己的母校实习，也是别有一番意义的。回学校实习,亲切万分,亲爱的老师们还在,接受教育的学生们却是一张张全新的面孔,想想自己离开学校2年来的进进出出，看到学校的操场，体育馆甚至教室，过去的记忆就不断在脑海里回旋。

第一天的时候，我跟着班主任李老师熟悉了一下学校目前的情况，以及实习期间需要注意的一些事项。我们原来的英语老师王老师，教学经验十分丰富，目前担任高二组的组长，因为她是我原来的老师，所以我有幸在她所带的班级实习，王老师向我简单介绍了一下所带班级的基本情况。第二天正式到班级,当时想到就要面对 60多个学生,不免还是有点担心和紧张。

听课实习的必经阶段，听课不仅能够学习拥有教学经验的老师的教学方法，也能熟悉如果以后能的成为英语教师所要面对的情况。高中阶段的英语课程与大学里大不相同，现在的课本经过了改革，所以现在的教学要求也有新的变化，教学方法上有很大差异。王老师教学状态相当严谨，备课很充分，又开始听她讲课，很有亲切感，再次听她的课就觉得整节课规划的很好，让学生知道这节课要完成的内容，就算有突发状况的发生，也能自行控制好时间等等。我听了整整一个章节课的完整过程，每个部分都有不同的上课形式，都是值得学习的地方。因为我不是学师范专业的学生，所以并不是很懂得英语教学法，真正坐在教室后面听课的感觉很不一样，教学的内容就算一样，方式也有很多种，可以老师自己授课，可以让学生回答问题，可以结合练习加深印象。对于学生的回答,老师要根据学生的特质进行分析，然后加以适当的引导。经过几天的实习，我觉得作为英语专业的学生，虽然在成为英语教师方面不比专业的师范生有优势，但是我们有很强的英语功底，很精准的英语专业知识，很流畅的口语技能。而作为我们外国语学院的学生，在老师们的带领下，都与一种遇到困难勇于解决的勇气，在这方面来讲，还是很适合英语教学工作的。另外我们外国语学院一直有着严谨的学风，走出去的学生一般都作风严谨，肯与吃苦耐劳，具有办事认真的品质，这么说来也在英语教学方面拥有一定的优势。

做任何事都要有一定的积累，拥有了5天的听课的经历，我也是积累了一些小小的经验。由于也是刚离开高中不久，年龄和那些学生们也没有差多少，我很快和他们打成了一片，于是老师终于同意我讲一节课。说到讲课，我还真是有点紧张，因为长这么大，一直都是听别人讲课给我听，唯一的讲课经历还是在上精读课的时候得到的任务，但是也只有短短的10分钟而已，而且面对的还只是自己的同学和老师，还真是一下子有点摸不着头脑。但是要拥有勤学好问的精神吗!于是我在讲课的前一天和老师进行了认真的讨论，老师给了我很多的指导。我还打电话给我学师范的同学，向他们咨询了一些在课堂上应该注意的事项。做完了这些，我还在晚上的时候反复的备了备课，把我所能想到的问题都写在本子上，并且一一找到了解决方法。第二天上台讲课的时候，还是很紧张，我深深地吸了口气，走上了讲台。为了放松我的紧张情绪，我先借用小沈阳的经典台词，“大家好，我的中文名叫~~~，我的英文名叫~~~，为了给大家讲课，我啪啪的就来了，能给大家讲课，我啪啪的老高兴了。”惹得同学们都开心的大笑，也集中了同学们的注意力，同时也放松了我的情绪。正式讲课的时候克服了自己平时很多小毛病，可能是准备的比较充分的原因吧，无论从讲课的节奏，内容安排，还是对学生们问题的回答，我都做得还可以。一堂课讲下来，发现自己真的喜欢上了当老师的感觉。走下讲台，老师对我的表现做了充分的肯定，并指出了我在口语上，还存在一定的问题，要我多加练习，我都好好的记下了。而学生对我的课也有很好的反映。对于自己第一次当老师的经历，真的是很高兴的!

以上是我的实习报告，通过在寒假的这段实习生活，让我得到了很多感触。首先让我实践了教师这个职业的工作，锻炼了我的表达能力，交往能力以及口语表达。这些收获将影响我以后的学习生活，并对以后的工作产生积极影响，我相信这些实践中的收获是在课堂上学习不到的，而且会让我受用一生.。7天的实习，说长不长，说短也短，而学到的东西却很多。也充分检验了自己的学习成果，认识到自己的不足，比如口语表达还有待提高，让我认识到自己要是工作了，所存在的差距，并在以后的学习中，完善自己，学以致用!
