第二种是有最低销售额及利润要求的技术服务费,该种合作模式为合作伙伴式代运营服务.此合作技术服务费必须按年度付费.一年服务费九万八千元.具体销售额度,销售利润及超额完成提成及如未完成销售额对乙方的责任要求,可在附加协议了写明.

4.1 甲方的权利与义务

4.1.1甲方保证其已通过或取得所销售商品需要的各项审批或许可，对其所售商品享有唯一的合法的所有权，且商品销售和交付未侵犯任何第三方的权利。如因产品侵权造成的损失，乙方不负责任.

4.1.2 甲方负责创建专供电子商务销售的产品仓库，并配置适用的电子商务仓库管理系统与设备;制定电子商务发货管理办法，合理安排该仓库的管理人员，保证满足日常发货需求。如因甲方发货不及时、漏发货、发错货等所产生的客户纠纷与损失均由甲方承担;

4.1.3甲方每周需核对仓库产品库存量，并把核对正确的数据发给乙方的项目负责人进行网店库存的核对与修改。甲方缺货的，应自缺货之日起24小时内告知乙方，并尽快补足，无法补足的，应及时告知乙方，以便乙方及时更正网上发布产品供应信息。甲方需为其未及时的通知或更新供货信息和库存信息承担全部责任，如因此给第三方(包括顾客、其合作伙伴、代理人、职员等)造成损失的，甲方同意自行赔偿其全部损失。

4.1.4甲方需为乙方提供产品图片，乙方为甲方提供产品拍摄与包装的建议。甲方需向乙方提供包括：____________产品样品、产品使用说明书及其相关属性资料，提供产品卖点及亮点说明等。甲方需对产品的说明书、资料的真实性、完整性、合法性负责。

4.1.6甲方在协议期间应尽力配合乙方的各项营销工作，根据营销的实际情况投入相应的营销推广费用，与乙方共同努力创造销售佳绩。乙方将根据每个月的运营目标以及投产比数据提交一份推广费用预算申请给甲方，甲方确认后将把该笔款项打入速卖通直通车帐户或其它的推广平台，乙方将根据实际运营情况支配该推广费用于该项目内，乙方保证该笔款项仅投入于该项目中，每月根据使用情况提交财务报表予甲方审核。如乙方建议的推广方案基本能保持成本及赢利的情况下，因甲方拒绝配合运营需求给予推广费用而导致乙方无法达成销售目标时，乙方不承担销售不达标的违约责任。

4.1.7 甲方需指定一人专门负责与乙方对接各项电子商务营销工作，并协助乙方处理好售后问题，如退换货、退款、处理卖家的投诉维权等工作。

4.1.8甲方有权随时对乙方的销售数据及交易行为进行查阅,发现销售数据或交易行为中存在任何问题或怀疑,均有权向乙方发出询问及要求改正的通知等处理。

4.1.9甲方须保证在速卖通网络平台上独家授权乙方进行运营，未经乙方同意的情况下，不得再另外授权其他任何第三方在进行运营或销售其品牌产品。

5 技术服务费、佣金收益及结算方式

5.1技术服务费

自本合同生效之日起，合同期内甲方必须一次性向乙方支付技术服务费(运营及客服)人民币 _________万元 .

5.2甲方必须在服务到期的前十天,支付超额完成的销售佣金，作为乙方的佣金收益。

5.2.1用户选择在线支付的，按照实际销售额进行计算;

6 销售目标与营销推广费

6.3若乙方无法达成当年度的销售额目标，则甲方有权单方终止本合作协议。乙方必须退还承诺退回的代运费费用.若在乙方已完成当年度销售额目标的情况下甲方单方面终止本合作协议，则乙方有权要求甲方支付违约金，违约金的金额按终止合作当日往前推算半年的实际销售额剩以该年度的佣金提取比例计算。

6.4若甲方在与乙方合作期间擅自再另外授权任何其他第三方在速卖通平台上运营或销售其品牌产品，则乙方有权要求甲方立即停止该违约行为，并赔偿乙方的销售额损失。若甲方不予停止、改正该违约行为的，则乙方有权单方终止本合作协议，并要求甲方支付人民币三万元的违约金。

6.5甲、乙双方之代理人、受任人之一切行为均代表该方，其一方违反合同之行为视为该方之行为，该方应对此承担连带法律责任。

7 有限责任

不论在何种情况下，甲、乙双方均不对由于Internet连接故障，电脑，通讯或其他系统的故障，罢工，劳动争议，暴乱，起义，骚乱、电力故障，生产力或生产资料不足，火灾，洪水，风暴，爆炸，不可抗力，战争，政府行为，国际、国内法院的命令或第三方的不作为而造成的不能服务或延迟服务承担责任。

8 协议的终止

8.1协议期限届满，本协议终止。若双方继续合作，须重新签署新的合作协议，本协议不具有延续性。

8.2任何一方均不可在正常运作情况下单方提出解除本协议。除非一方违约，另一方有权解除协议，否则必须经过双方协商并同意后方能解除本协议。

8.3因任何一方与任何第三方之间存在争议,另一方认为其合法权益受到影响时,可以向另一方提出解除本协议。

9 不可抗力

9.1协议双方中的任何一方，由于战争或严重的水灾、火灾，台风和地震等自然灾害，以及双方同意的可作为不可抗力的其他事故而影响协议执行时，则延长履行协议的期限，延长的期限相当于不可抗力事件所影响的时间。

9.2受不可抗力影响的一方应尽快将发生不可抗力事件的情况以传真方式通知对方，并于七天内以航空挂号信件或中国特快专递()将有关当局出具的证明文件提交给另一方进行确认。

10 争议的解决

10.1执行本协议所发生的或与本协议有关的一切争议，双方应通过友好协商解决。

10.2如双方通过协商不能达成一致时，则应提交乙方所在地的人民法院予以裁决。

10.3在争议的处理过程中，除正在进行诉讼的部分外，协议的其他部分将继续执行。

10.4本协议终止不影响本条款的效力。

11 协议的生效及其他

11.1本协议只限中国境内有效。

11.2本协议的执行中，除另有规定外，对本协议条款的任何变更、修改和增减或者增加相关附件，都须经双方协商同意并签署书面文件，作为本协议的组成部分，与本协议具有同等效力。

11.3本协议签订生效后，协议内容即在甲方和乙方之间产生法律效力。甲方确认在本协议签订前已认真阅读本协议及附件所有内容，对本协议及附件载明的全部内容全部了解并完全接受。无论甲方事实上是否在签订前认真阅读了本协议及所有附件内容，只要甲方按照乙方合作流程成功开通网上销售平台并上线，甲方的行为仍然表示其同意并签署了本协议及所有附件。

2.乙方为甲方提供互联网上电子商务活动的基础服务和推广加强服务，统称为托管服务。 服务内容包含：

(二)服务费用

1.甲方须向乙方支付如下费用作为享受本合同第一条第(一)款约定的乙方服务的服务费：全年店铺SKU小于等于200个支付服务费36万/年 ;全年店铺SKU大于200小于等于400支付服务费48万/年;全年店铺SKU大于400个支付服务费60万/年。

2.甲乙双方在合同期内，乙方帮甲方销售商品，将按销售额的15%抽取提成作为甲方支付乙方的提成。

3.经营过程中进行广告宣传、促销活动等所产生的相关策划推广费用，乙方需要给予甲方提供一份准确的ROI(收益/投入)分析报告，并在得到甲方知情及许可的情况下，由甲方承担策划推广费用。推广费用以不超过营业额12%为标准。

5.店铺装修：全权由乙方负责，乙方根据实际情况，不定期为甲方托管店铺进行装修、美化;如甲方对乙方装修有异议，甲方有权独自装修，乙方不得干扰。

第二条 服务期限

本协议履行期限从本协议签订之日起到----年----月-----日为止。协议履行期间，甲方未经乙方同意，不能单独或委托其它第三方服务商在淘宝网上开展相关的电子商务活动。

第三条 甲方权利和义务

(一)在买家支付货款的前提下，甲方负责保证足够的货源，并按要求按时发货(发货时间可根据现实店铺所在地与购买者所在地距离长短，经双方合理界定)。甲方缺货的，应自缺货之日起 日内告知乙方，应在15日内补足，未能补足的，应3日内告知乙方，以便乙方及时更正网上发布产品供应信息;

(二)甲方必须向乙方提供真实有效的企业资料复印件、税务登记证、个人身份证复印件、品牌商家授权书及产品商标注册证等有效证件及资料;

(三)甲方对所销售的产品需提供使用说明书及其相关资料，甲方需对产品的说明书、资料的真实性、完整性、合法性负责; (四)乙方网上销售的产品必须是甲方合法获得，甲方须提供真实有效、详细的进价单、进货凭证及进货渠道; (五)甲方负责产品的进货、向购买者发货;

(六)甲方除新产品的发布、推广、进货、发货等问题外，不再参与该托管店铺的任何操作;

(七)甲方在托管期间，不得私自修改店铺登陆密码，如需修改店铺登陆密码，须以书面形式通知乙方，经乙方同意后方可修改，如遇店铺被冻结或被盗用，乙方电话通知甲方修改密码，修改后甲方一小时内告诉乙方新密码; (八)甲方为乙方提供详细有效的企业资料复印件、个人身份证复印件;

(九)本协议签定前，甲方店铺违反所在平台的相关规则造成甲方店铺被封号，冻结等一切损失的，乙方不负任何责任; (十)甲方在签收合同快递后，须在签收合同快递日起后10天内签好字并寄 其中一份于乙方存档。 (十一)服务期间，甲方不能对乙方客服进行辱骂、人身攻击.如有问题双方应友好协商解决。

第四条 乙方权利和义务

(一)乙方尊重甲方对产品所拥有的知识产权;

(二)除非为达成本合同服务所需目的，乙方保证不对甲方产品复制、拷贝;

(三)乙方所使用甲方提供的资料和物品不得用于与提供服务无关的事务;

(四)乙方确保服务期间不单方使用甲方任何产品、支付宝资金、资料、帐户做与托管服务无关的事宜;

(五)乙方在服务期间，除本合同第三条第(六)款约定的内容外，甲方不可以干扰乙方的操作;

(六)如甲方的产品在托管后一个月内出现产品销量过低等影响利润的情况，如经双方协商一致同意，可更换托管店铺所销售的产品，因更换产品所需搬迁费、运费等由甲方负责;

(七)鉴于计算机及互联网的特殊性，乙方为甲方提供网上电子商务服务时，对于：因存在服务器配置、维护需中断本项服务在壹个工作日以内的;或者由于非乙方原因造成的网络阻塞造成乙方服务器访问速度下降或不能访问的;或者因黑客、病毒、电信部门技术调整等引起的事件，乙方不承担由上述情况而引起的责任。但当上述情况自发生起持续延续的时间长达壹个工作日以上的，乙方应通知甲方，并采取积极措施，尽量避免由此造成的损失;

(八)合同期间，甲方被托管的店铺产生的所有销售额利润都算乙方所销售出的销售额利润。

第五条 违约责任

(一)甲方存在下列行为，甲方应自行承担由此造成的一切损失：

1.甲方所提供的产品没有正当合法来源的;

2.甲方提供的产品存在品质缺陷致使购买者人身权和财产权受到损害的;

3.甲方提供或故意编造虚假的进货凭证或进货渠道说明，致使乙方据此在网上发布的相关产品信息不符法定产品质量要求的;

4.甲方未能按时足额发货的;

5.甲方提供的产品存在侵犯第三方人身权、财产权、知识产权等其他行为。

6.甲方未能按照本协议第一条第(二)款第2项的规定支付销售佣金的;

7.甲方未经乙方同意，在本协议履行期内，又擅自与与第三方服务商在网上开展相同电子商务活动的;

8.甲方未经乙方同意，私自修改店铺登陆密码的;

9.在本协议约定的服务期间，甲方干扰乙方正常操作的;

10.甲方以虚假的企业工商登记资料或个人身份证明与乙方签订本协议，意图通过签订本合同方式非法获取乙方或他人利益的;

11.甲方在签收合同快递后，未在签收合同快递日起后10天内签好字并寄其中一份于乙方存档的;

12、托管期间，甲方无故、特意对乙方客服进行辱骂、人身攻击，乙方有权停止操作，乙方在收到甲方书面形式保证后方可继续操作，如甲方拒绝书面形式保证，乙方有权终止合同，不再退还任何服务费用。

因甲方存在前款第1项至第5项行为致使相关行政司法机构裁定乙方承担责任的，并不视为乙方承担因甲方上述行为引起的责任，乙方可在赔偿受损的第三方利益之后，向甲方提出索赔请求，赔偿的范围包括乙方向第三方支出的直接费用及由此造成的一切损失。

(二)乙方存在下列行为，则乙方按以下方式承担由此对甲方造成的损失：

1.在服务期间内，甲方通过乙方提供的服务实际销售额的利润低于乙方所收的服务费用，乙方则按比例退还甲方服务费用，即：乙方收取甲方的服务费数额减去乙方为甲方实际销售额的利润，之外的部分一个月内予以退还。

2.乙方服务方式被认定为非法的，乙方自行承担责任;

3.并非为达成本合同条款的目的，利用甲方提供的产品、支付宝资金、资料、帐户做与托管服务无关的事宜，致甲方相关利益受到损害的，乙方须赔偿甲方因此而造成的损失;

4.除第四条第(七)款所述原因不能提供正常服务外，无故中断托管服务的，乙方须赔偿甲方因此而造成的损失。 第六条 不可抗力

(一)如果任何一方在本协议签署之后因任何不可抗力的发生而不能履行本协议的条款和条件，受不可抗力影响的一方应在不可抗力发生之日起的壹个工作日之内通知另一方，该通知应说明不可抗力的发生并声明该事件为不可抗力。同时，遭受不可抗力一方应尽力采取措施，减少不可抗力造成的损失，努力保护另一方当事人的合法权益。

(二)不可抗力事件的应对

在发生不可抗力的情况下，双方应进行磋商以确定是否继续履行本协议、或者延期履行、或者终止履行。不可抗力消除后，如本协议仍可以继续履行的，双方仍有义务采取合理可行的措施履行本协议。受不可抗力影响的一方应尽快向其他方发出不可抗力消除的通知，而另一方收到该通知后应予以确认。

(三) 免责

如发生不可抗力致使本协议的履行成为不可能，本协议终止，遭受不可抗力的一方无须为前述因不可抗力导致的本协议终止承担责任。由于不可抗力而导致的本协议部分不能履行、或者延迟履行不应构成受不可抗力影响的一方的违约，并且不应就部分不能履行或者延迟履行承担任何违约责任。

第七条 协议终止

(一)本协议于以下情形之一发生时终止：

1. 双方协议一致终止本协议的;

2. 根据本协议第六条的约定终止的;

3.由于本协议一方严重违反本协议，致使本协议的履行和完成成为不可能，在此情形下，另一方有权单方以书面通知方式终止本协议。

(二)终止后果

1.如果本协议根据第七条第(一)款第1、2项规定终止的，双方均无需承担任何违约责任。在此情形下，双方应本着恢复原状的原则，签署一切文件及采取一切必需的行动，协助对方恢复至签署日前的状态。

2. 如果本协议根据第七条第(一)款第3项的规定而终止，违约方应当就其因此而给守约方造成的损失向守约方做出足额补偿。

第八条 争议解决

本协议在履行过程中若发生争议或纠纷，双方当事人应通过友好协商，尽力解决争议或纠纷。协商不成的，任何一方均可向仲裁委员会提起仲裁。

第九条 协议生效

本协议生效以甲方一次性支付乙方本协议第一条第(二)款第1项约定的服务费数额，即 元(人民币大写 )后方能生效。

第十条 其他

英语专业大学生实习报告

紧张、美好的实习生活结束了，在这短短的一个月里，我和同学们以及带课老师建立了深厚的感情。临走之前，确实有些依依不舍，但是我知道，人生中这样的分离还会有很多次。以下仅对我实习期间做个简单的实习总结。

来到学校的第一天确实很兴奋，必定这是我们第一次实习，必定这是我们第一次以老师的身份走在校园里。第一天并没有什么实质性的工作，只是分别听了一下主任的讲话，与指导老师互相认识一下，并看了看学校的环境，算是对学校的初步了解吧。

我们的教育实习主要分为两部分，一部分是班主任工作，另一部分是教学工作，说白了就是既要带班又要教课。无论是带班还是教课，作为实习老师，都会有一个该校的正式老师带我们。前段时间实习的主要任务就是听课，看其他老师是怎样讲课的。这种听课和我们上学时听课是不一样的，因为这种听课的重点是观察老师怎样讲课，学习如何传授知识，如何驾驭课堂，如何控制授课时间，而并不是学习老师所讲的知识。熟悉老师的教学流程后，我开始着手备课，写完教案给指导老师查看，

我第一次上讲台时，自我感觉并不紧张，只是课讲得有点快，各个环节之间的过渡性词语不够明确和流畅，课堂驾驭能力不够强，但总体感觉还可以。后来在指导老师的细心指导和建议下，我不断改进，后来的课，同学们对我讲授的知识都能吸收。不仅达到了预期的教学目的和要求，而且课堂纪律很好，同学们也非常配合。有了前几次讲课的经验，我认为自己的课堂驾驭能力有了很大提高，不但可以良好地控制授课时间，也能够适时地调动起学生的积极性，使课堂气氛活跃起来。最后得到老师的好评。

比教学工作更重要的就是班主任工作。在学校里，班主任就是学生的第一监护人，所以班主任的工作非常琐碎。一名真正尽职尽责的班主任，在学生身上下的功夫比学生的父母还要多。实习第一周，我就开始记住每个学生的名字和样子，了解他们的基本情况，配合班主任做好常规工作，看早，晚读，监督卫生情况和自习课，晚自修的纪律，接下来每天都会做好着写常规工作。除此之外，我根据每周的年级重点工作安排和学生动态开展不同的主题班会，如第一周，因有部分同学对学校补课制度不满而暴动，导致学生思想情绪激动，因此我开展了以不再抱怨生活为主题的班会，以其平伏学生的情绪;接下来两周学校要进行月考和期中考试，我就开展了以考试心理调试和考后反思与总结为主题的班会课。期中考试过后，为了放松同学们的心情，丰富同学们的课外生活，增强同学们之间合作沟通与克服困难的团队精神。我于11月15号下午第二节课进行了一次以团体拓展游戏为主的第二课堂活动，期间，坐地起身，抢凳子，人椅等游戏不仅使活动气氛活跃高涨，而且锻炼了学生的团队沟通能力和合作精神。

作为实习班主任，我也在工作中不断总结经验。在对个别生教育过程中，我收到了深刻的心得与体会。他其实学习的潜力很大，只是自觉性和自制力不够强，因为经过多次努力但英语成绩仍然跟不上而泄气，失去学习兴趣和动力，导致文理偏科。经过多次面谈，我不断鼓励和支持他。帮助他明确目标和找到适合自己的学习动力和方法，后来在期中考试中取得了很大的进步，这是我对自己也感到很有成就感。作为班主任，同时也应作为一个朋友的角色去和学生相处，在课后消除师生之间的距离感，是学生能坦白自己的真实想法，将心比心的理解学生的心理与情绪，更多的是感化教育而不是教训。

在这次实习中，我的各方面能力都得到了锻炼和提高，当更珍贵的是和高二1班的同学建立了一份亦师亦友的深厚情感，这也会对我今后的学习、生活和工作产生深远的影响。我会不断努力，攀登人生的最高峰。
