第五条、甲方的权利和义务

1、甲方享有营运车辆的经营权和所有权;

2、甲方应负责办理营运车辆所需的发票;

3、甲方应按时办理与营运车辆的营运相关的全部行政审批手续;甲方应按照有关国家和地方的法律法规、政策及行业管理的规定，制定人员、车辆、服务质量等管理制度，组织并督促乙方认真执行;

4、甲方应按国家法律法规成立其单位的工会组织;

5、甲方工会组织应积极开展精神文明创建活动，对乙方有见义勇为、拾金不昧、助人为乐等突出事迹的，按照事迹大小予以表彰或奖励;

6、甲方负责营运车辆的消防、治安等应急事件的处理，在乙方发生交通事故后及时办理出险、索赔及善后处理事宜;

7、乙方营运期间发生交通事故，造成人身和财产损害，保险赔付不足的部分，甲方垫付有关费用的，有权向乙方追偿;乙方造成甲方车辆和其它财产损失的，甲方有权要求乙方赔偿;

8、监督乙方使用、保养及维修营运车辆的情况，甲方有权对乙方违规使用车辆的行为提出整改意见及处罚决定;

9、监督乙方的服务质量，受理消费者的投诉并对乙方违规的行为给予相应的处理;

10、依法代缴乙方个人所得税和社保款额;

11、据《中华人民共和国保险法》及《中华人民共和国道路交通安全法》等相关法律法规和行业管理部门的要求，办理营运车辆的投保手续，包括车辆损失险、第三者责任险、车上责任险等相应险种;

12、本合同订立时，甲方已经制定的有关制度如下：

3、乙方应遵守行业管理规定和甲方的管理制度，做到车容整洁，证照齐全，标识清晰，规范文明服务，设备完好，行车安全，按时交费;

4、乙方拒绝交纳甲方收取本合同约定以外或甲方未能出具财务签章收据的费用，并有权向有关管理部门投诉;

5、乙方要求甲方提供营运所需的车费发票;

6、在运营车辆发生交通事故后，乙方应及时通知、协助甲方做好出险、索赔及善后处理事宜，并承担相应责任;

7、乙方应爱护使用、妥善保管营运车辆，不得将营运车辆交给他人或无从业资格的人员营运;

8、乙方应按照营运车辆的说明书及甲方规定对车辆进行维护保养;

9、乙方配合甲方完成行业管理部门和甲方开展的质量信誉考核活动。

第七条、合同的变更

订立本合同所依据的客观情况发生重大变化，致使本合同无法履行的，经双方协商一致，可以变更本合同相关内容，但不得违反有关国家法律法规、政策和行业管理的规定。

第八条合同的解除

1、发生下列情形之一的，甲方有权单方解除本合同：

(1)乙方逾期15日未交纳月承包费的;

(2)乙方严重违反城市客运出租汽车管理津法规和行业管理制度，导致甲方或乙方因此遭受了严重的行政处罚的;

(3)乙方发生行业管理部门认定的重大服务质量事件，对甲方名誉造成恶劣影响的;

(4)乙方被有关部门吊销《机动车驾驶证》或《从业资格证》的;

(5)乙方被依法劳动教养或追究刑事责任的。

甲方依照以上约定行使单方解除权解除本合同时，乙方应向甲方交纳相当于3个月承包金的违约金。

2、发生下列情形之一的，乙方有权单方解除本合同：

(1)乙方丧失劳动能力或部分丧失劳动能力致使无法继续履行本合同的;

(2)甲方被有关行政管理部门责令停业的。

乙方依照以上第(2)款约定行使单方解除权解除本合同时，甲方应向乙方交纳相当于3个月承包金的违约金。

3、一方单方解除本合同的，应书面通知对方。

第九条、合同终止及续约

1、甲方或乙方按第八条约定解除本合同的，合同终止。

2、本合同期满，合同终止。

3、本合同期满前，甲乙双方可协商是否续签承包合同。乙方遵守城市出租汽车管理法律、行业管理制度、无重大安全事故和重大服务质量事故的，有优先续签权。

4、本合同终止之日起3天内，甲乙双方根据车辆验收表(本合同附件一)办理车辆交接手续，乙方交回营运证照、车辆及附属设备，甲方对其进行验收。达到验收标准的，甲方向向乙方全额返还履约保证金;未达到验收标准的，乙方须在15日内修复合格，乙方不愿修复或修复仍达不到验收标准的，由甲方按附件二的标准修复合格，由此产生的全部费用自乙方交纳的履约保证金中扣除。

第十条、违约责任

1、甲乙双方必须严格履行本合同。除本合同第八条约定的情形外，任何一方不得单方解除合同。否则解除合同的一方，必须向另一方支付车辆3个月承包金的款额作为违约金。

2、乙方未按约定向甲方交纳月承包金的，从应交费之日起，每日应按拖欠费用总额的千分之二向甲方支付违约金。

第十一条、其他

1、甲乙双方因履行本合同而相互发出或者提供的所有通知、文件、资料等，均应按照本合同所列明的通讯地址、传真以邮寄或传真方式送达;一方如果迁址或者变更电话，应当书面通知对方。通过传真方式的，在发出传真时视为送达;以邮寄方式的，挂号寄出或者投邮当日视为送达。

2、未经甲乙双方签署书面文件，不得对本合同进行更改;未尽事宜，由双方当事人另行协商确定。

3、事先未经对方书面同意，一方不得将其在本合同中的权利或义务全部或部分转让给任何第三方。

4、双方因合同发生的全部争议，由双方协商解决，协商不成时，双方按以下第____项约定解决：

1 合作形式

本协议所称合作，指由甲方提供品牌和商品，乙方负责该品牌和商品在速卖通平台架构搭建、营销推广、双方联合经营的运营模式。

2 合作期限及目标

本合同期限自 年 月 日起至 年 月 日止。

3 双方的权利与义务

3.1 乙方权利与义务

3.1.1 乙方依据甲方实际情况搭建速卖通销售平台并提供相应的运营团队支持，保证其正常运行，使甲方在网上交易活动得以顺利进行。

3.1.2乙方组建并管理该项目的运营团队，并负责产品上传,产品信息优化、营销推广、数据分析等工作。该团队提供服务岗位包括：(运营)产品上传,活动管理，推广管理,数据分析反馈给企业开发新产品,客服服务等。

3.1.3乙方负责做好店铺产品的各项整体营销方案，如店铺内实施的大型促销活动或参加平台内的活动，产品的促销价格与优惠条款在与甲方协商达成一致后实施，并在实施过程中根据实际情况与甲方协商达成一致后进行调整。

3.1.4 乙方在使用付费推广时，需提前做好计划，并把相关计划提交给甲方审批，甲方同意并拨款后方能实施。

3.1.5乙方保证不对甲方经营的商品做出任何侵权行为。在商品销售过程中，乙方如发现有针对甲方商品的侵权行为的，应在24小时内通知甲方并提供相应援助。

3.1.6乙方应为甲方做网店托管服务的保密工作，未经允许的情况下，不得将甲方的保密信息资料外泄。若因此造成甲方利益受损乙方愿意赔偿甲方的全部损失。

3.1.7鉴于计算机及互联网的特殊性，乙方为甲方提供网上电子商务服务时，对于：因存在服务器维护需中断本项服务在两个小时以上的;或者由于网络阻塞原因造成服务器访问速度下降或不能访问的;或者因黑客、病毒、电信部门技术调整等引起的事件，或因电子商务平台漏洞等类似安全问题引起的事件，乙方应尽快采取积极措施，恢复网店的正常运营。而在乙方网络中断时，乙方应及时通知甲方安排人手暂时接管，避免流失客户。

3.1.8 乙方有权按照本协议约定向甲方收取技术服务费和佣金收益。技术服务费分两种.

一种是无最终销售任务要求的技术服务费.该种技术服务费第一月八千以上,具体根据客人的需要上传的产品定.第二月至第十二月分别为三千元/月.可按月,按季度支付.这一合作模式类似兼职运营及客服外包服务.

第二种是有最低销售额及利润要求的技术服务费,该种合作模式为合作伙伴式代运营服务.此合作技术服务费必须按年度付费.一年服务费九万八千元.具体销售额度,销售利润及超额完成提成及如未完成销售额对乙方的责任要求,可在附加协议了写明.

4.1 甲方的权利与义务

4.1.1甲方保证其已通过或取得所销售商品需要的各项审批或许可，对其所售商品享有唯一的合法的所有权，且商品销售和交付未侵犯任何第三方的权利。如因产品侵权造成的损失，乙方不负责任.

4.1.2 甲方负责创建专供电子商务销售的产品仓库，并配置适用的电子商务仓库管理系统与设备;制定电子商务发货管理办法，合理安排该仓库的管理人员，保证满足日常发货需求。如因甲方发货不及时、漏发货、发错货等所产生的客户纠纷与损失均由甲方承担;

4.1.3甲方每周需核对仓库产品库存量，并把核对正确的数据发给乙方的项目负责人进行网店库存的核对与修改。甲方缺货的，应自缺货之日起24小时内告知乙方，并尽快补足，无法补足的，应及时告知乙方，以便乙方及时更正网上发布产品供应信息。甲方需为其未及时的通知或更新供货信息和库存信息承担全部责任，如因此给第三方(包括顾客、其合作伙伴、代理人、职员等)造成损失的，甲方同意自行赔偿其全部损失。

4.1.4甲方需为乙方提供产品图片，乙方为甲方提供产品拍摄与包装的建议。甲方需向乙方提供包括：产品样品、产品使用说明书及其相关属性资料，提供产品卖点及亮点说明等。甲方需对产品的说明书、资料的真实性、完整性、合法性负责。

4.1.5甲方应当根据速卖通网络服务平台的要求，在相应服务平台保持足够金额，以便使该平台自动续费而不影响店铺正常运营。甲方店铺相关密码或重要资料更改时，如未通知乙方造成损失，乙方不负任何责任。

4.1.6甲方在协议期间应尽力配合乙方的各项营销工作，根据营销的实际情况投入相应的营销推广费用，与乙方共同努力创造销售佳绩。乙方将根据每个月的运营目标以及投产比数据提交一份推广费用预算申请给甲方，甲方确认后将把该笔款项打入速卖通直通车帐户或其它的推广平台，乙方将根据实际运营情况支配该推广费用于该项目内，乙方保证该笔款项仅投入于该项目中，每月根据使用情况提交财务报表予甲方审核。如乙方建议的推广方案基本能保持成本及赢利的情况下，因甲方拒绝配合运营需求给予推广费用而导致乙方无法达成销售目标时，乙方不承担销售不达标的违约责任。

4.1.7 甲方需指定一人专门负责与乙方对接各项电子商务营销工作，并协助乙方处理好售后问题，如退换货、退款、处理卖家的投诉维权等工作。

4.1.8甲方有权随时对乙方的销售数据及交易行为进行查阅,发现销售数据或交易行为中存在任何问题或怀疑,均有权向乙方发出询问及要求改正的通知等处理。

4.1.9甲方须保证在速卖通网络平台上独家授权乙方进行运营，未经乙方同意的情况下，不得再另外授权其他任何第三方在进行运营或销售其品牌产品。

5 技术服务费、佣金收益及结算方式

5.1技术服务费

自本合同生效之日起，合同期内甲方必须一次性向乙方支付技术服务费(运营及客服)人民币 万元 .

5.2甲方必须在服务到期的前十天,支付超额完成的销售佣金，作为乙方的佣金收益。

5.2.1用户选择在线支付的，按照实际销售额进行计算;

6 销售目标与营销推广费

6.1甲乙双方所约定的销售额目标如下(行业不同,销售目标不同)：最低销售额 万美金/年或达到最低利润 万元/年.如超额,超额部分按销售额5%,结算佣金.如未完成双方协商的销售额,则乙的违约责任为 .

营销推广费:每月预支1000元推广费用至直通车帐号，根据其它条文规定执行.

违约责任

6.1协议一方不履行协议义务或者履行义务不符合协议约定而给另一方造成损失的，应承担损害赔偿责任。

6.2甲方因故延迟或拒绝支付相应的技术服务费、佣金收益、营销推广费用的(节假日/特殊原因除外)，乙方有权暂停提供甲方的运营服务，在甲方支付后再重新提供服务;如暂停服务1月后甲方仍未支付，则乙方有权立即终止与甲方的合作协议，要求甲方立即支付应付未付金额，并有权按照应付未付金额要求甲方按照日千分之五的标准支付滞纳金。

6.3若乙方无法达成当年度的销售额目标，则甲方有权单方终止本合作协议。乙方必须退还承诺退回的代运费费用.若在乙方已完成当年度销售额目标的情况下甲方单方面终止本合作协议，则乙方有权要求甲方支付违约金，违约金的金额按终止合作当日往前推算半年的实际销售额剩以该年度的佣金提取比例计算。

6.4若甲方在与乙方合作期间擅自再另外授权任何其他第三方在速卖通平台上运营或销售其品牌产品，则乙方有权要求甲方立即停止该违约行为，并赔偿乙方的销售额损失。若甲方不予停止、改正该违约行为的，则乙方有权单方终止本合作协议，并要求甲方支付人民币三万元的违约金。

6.5甲、乙双方之代理人、受任人之一切行为均代表该方，其一方违反合同之行为视为该方之行为，该方应对此承担连带法律责任。

7 有限责任

不论在何种情况下，甲、乙双方均不对由于Internet连接故障，电脑，通讯或其他系统的故障，罢工，劳动争议，暴乱，起义，骚乱、电力故障，生产力或生产资料不足，火灾，洪水，风暴，爆炸，不可抗力，战争，政府行为，国际、国内法院的命令或第三方的不作为而造成的不能服务或延迟服务承担责任。

8 协议的终止

8.1协议期限届满，本协议终止。若双方继续合作，须重新签署新的合作协议，本协议不具有延续性。

8.2任何一方均不可在正常运作情况下单方提出解除本协议。除非一方违约，另一方有权解除协议，否则必须经过双方协商并同意后方能解除本协议。

8.3因任何一方与任何第三方之间存在争议,另一方认为其合法权益受到影响时,可以向另一方提出解除本协议。

9 不可抗力

9.1协议双方中的任何一方，由于战争或严重的水灾、火灾，台风和地震等自然灾害，以及双方同意的可作为不可抗力的其他事故而影响协议执行时，则延长履行协议的期限，延长的期限相当于不可抗力事件所影响的时间。

9.2受不可抗力影响的一方应尽快将发生不可抗力事件的情况以传真方式通知对方，并于七天内以航空挂号信件或中国特快专递()将有关当局出具的证明文件提交给另一方进行确认。

10 争议的解决

10.1执行本协议所发生的或与本协议有关的一切争议，双方应通过友好协商解决。

10.2如双方通过协商不能达成一致时，则应提交乙方所在地的人民法院予以裁决。

10.3在争议的处理过程中，除正在进行诉讼的部分外，协议的其他部分将继续执行。

10.4本协议终止不影响本条款的效力。

11 协议的生效及其他

11.1本协议只限中国境内有效。

11.2本协议的执行中，除另有规定外，对本协议条款的任何变更、修改和增减或者增加相关附件，都须经双方协商同意并签署书面文件，作为本协议的组成部分，与本协议具有同等效力。

11.3本协议签订生效后，协议内容即在甲方和乙方之间产生法律效力。甲方确认在本协议签订前已认真阅读本协议及附件所有内容，对本协议及附件载明的全部内容全部了解并完全接受。无论甲方事实上是否在签订前认真阅读了本协议及所有附件内容，只要甲方按照乙方合作流程成功开通网上销售平台并上线，甲方的行为仍然表示其同意并签署了本协议及所有附件。

11.4本协议自甲、乙双方签字盖章后正式生效。正本一式两份，甲、乙双方各执壹份，具有同等法律效力。

11.5本协议由双方于20__年 月 日在当地签订。

2016年5月商务英语实习报告

在开始实习之前，我多少有些心虚。因为我的许多朋友都有过假期打工的经历。而作为一名英语专业的大二学生，这次的实习却是我的第一次工作经历。我很担心自己会在工作的过程中出现差错。但现在回想这实习的两个星期在工作和生活上出现的困难，其实都不算什么。就像著名主持人鲁豫曾经说过的话，如果一个困难没有将你，你一定会变的比以前更坚强。我相信如果再有一次实习的机会，我一定会比这次做的更好。 在这里我要感谢学校安排了这次实习，也要感谢公司给我这次机会，虽然只有短短的两个星期时间，但是我所学到的将使我受益一生。因为这次实习的经历让我原本枯燥的暑假变的充实起来。

一、实习过程 这次实习我主要负责的是办公室文秘的工作。第一次走进办公室，一切都是那么陌生，所有的工作人员都各自忙着，仿佛没有人注意到我，这让我本来激动的心情多了一些慌乱。这个时候我想起了在学校时老师对我我们说的一句话，人的适应能力是无穷的。于是我深深的吸了一口气准备迎接接下来的一个个挑战。 说是文秘，其实我主要负责的就是打打文件，接接电话。多亏以前的练习，我的打字技术和质量足以应付领导交给我的任务。虽然只是坐了一天，但我还是感觉挺累的，再加上宿舍的简陋条件，生活真是给我上了意义非凡的一课，以前家长跟我们说一千遍挣钱多不容易，不如我亲身经历一天的感悟。

刚开始的几天就这么不咸不淡的过去了。在学校学到的东西并没用到多少，同事们也因为彼此工作没有交集依然十分陌生。只是见面打招呼的交情。看着他们整天忙碌着，闲暇之余彼此开开玩笑，觉得他们真的是一个集体，而我却像个局外人般悠闲。我想我不能再这样下去，于是，在办公室，有闲的时候就会看一些计算机方面的书，虽然自己所学的专业在此时没有派上什么用场，但我觉得应该多学点，以丰富自己的能力。

但这样下去也不是办法，复印、传真、等文秘工作我都还没有掌握。终于有一天我鼓起勇气向一名看起来很面善的年轻女同事请教了这方面的内容。没想到她不仅告诉了我发传真的方法还跟我说理很多文秘需要注意的事项。她告诉我文秘必须态度认真，细心，不能疏忽大意，不能马虎潦草。比如说办理公文，就要保证文件的质量，用词要准确，材料要真实，抄写要认真，校对要仔细，力求每一个环节都不发生差错。否则就会耽误工作，甚至酿成难以弥补的损失。最后为了让我掌握发传真的方法她又交给我一份需要发的传真让我练习。回到自己的座位上我一边体会着同事跟我说的话，一边发传真，当听到传真发送成功后的“嘟嘟”声，我便又小小地得意一番，虽然很傻，但至少又学会了一项办公器材的用法。

在这里我要特别感谢这位前辈，她不仅教给了我很多有用的东西，还把我介绍给其它的同事认识，以帮助我提高工作方面的能力。慢慢的我也不在只是闷着头做，遇到疑难的问题就请教这些前辈们，我觉得自己开始融入这个集体了。 在做打字发传真等枯燥工作的时候，我不止一次的幻想着公司忽然有英文的文件需要翻译，在大家焦头烂额，手足无措的时候，我镇定的走出来然后利用在学校学到的知识解决这个棘手的问题。但当幻想成为现实的时候，我却慌了阵脚。因为文件涉及的化学产品，金属元素等专有名词我连读都有困难更不用说翻译了。我只有达开电脑利用金山词霸一个个的查。即使这样还经常是单词的意思查到了却连不成句。仅仅四页纸我翻译了一天半。
