4、存在的问题

（1）要多吸取同行的先进经验，持续改善仓库管理、质控管理工作；多寻找专线物流公司、开拓多渠道的服务，争取把发货运输工作再上一个台阶。

（2）随着公司的业务范围的扩大，开始经营多种品牌产品。我们还缺乏这类产品管理的经验，要多多学习产品知识，不断积累经验。

以下阐述个人存在的问题与不足：

1、自己存在的问题

通过一年来的工作，我也清醒的看到自己还存在很多不足，主要是：

甲、乙双方基于各自拥有的独特优势和能力，本着平等合作、互惠互利的原则，就甲方全权授权委托乙方运作电子商务事宜达成以下协议：

1 合作形式

本协议所称合作，指由甲方提供品牌和商品，乙方负责该品牌和商品在速卖通平台架构搭建、营销推广、双方联合经营的运营模式。

3 双方的权利与义务

3.1 乙方权利与义务

3.1.4 乙方在使用付费推广时，需提前做好计划，并把相关计划提交给甲方审批，甲方同意并拨款后方能实施。

3.1.5乙方保证不对甲方经营的商品做出任何侵权行为。在商品销售过程中，乙方如发现有针对甲方商品的侵权行为的，应在24小时内通知甲方并提供相应援助。

3.1.7鉴于计算机及互联网的特殊性，乙方为甲方提供网上电子商务服务时，对于：因存在服务器维护需中断本项服务在两个小时以上的;或者由于网络阻塞原因造成服务器访问速度下降或不能访问的;或者因黑客、病毒、电信部门技术调整等引起的事件，或因电子商务平台漏洞等类似安全问题引起的事件，乙方应尽快采取积极措施，恢复网店的正常运营。而在乙方网络中断时，乙方应及时通知甲方安排人手暂时接管，避免流失客户。

3.1.8 乙方有权按照本协议约定向甲方收取技术服务费和佣金收益。技术服务费分两种.

一种是无最终销售任务要求的技术服务费.该种技术服务费第一月八千以上,具体根据客人的需要上传的产品定.第二月至第十二月分别为三千元/月.可按月,按季度支付.这一合作模式类似兼职运营及客服外包服务.

第二种是有最低销售额及利润要求的技术服务费,该种合作模式为合作伙伴式代运营服务.此合作技术服务费必须按年度付费.一年服务费九万八千元.具体销售额度,销售利润及超额完成提成及如未完成销售额对乙方的责任要求,可在附加协议了写明.

4.1 甲方的权利与义务

4.1.1甲方保证其已通过或取得所销售商品需要的各项审批或许可，对其所售商品享有唯一的合法的所有权，且商品销售和交付未侵犯任何第三方的权利。如因产品侵权造成的损失，乙方不负责任.

4.1.2 甲方负责创建专供电子商务销售的产品仓库，并配置适用的电子商务仓库管理系统与设备;制定电子商务发货管理办法，合理安排该仓库的管理人员，保证满足日常发货需求。如因甲方发货不及时、漏发货、发错货等所产生的客户纠纷与损失均由甲方承担;

4.1.3甲方每周需核对仓库产品库存量，并把核对正确的数据发给乙方的项目负责人进行网店库存的核对与修改。甲方缺货的，应自缺货之日起24小时内告知乙方，并尽快补足，无法补足的，应及时告知乙方，以便乙方及时更正网上发布产品供应信息。甲方需为其未及时的通知或更新供货信息和库存信息承担全部责任，如因此给第三方(包括顾客、其合作伙伴、代理人、职员等)造成损失的，甲方同意自行赔偿其全部损失。

4.1.4甲方需为乙方提供产品图片，乙方为甲方提供产品拍摄与包装的建议。甲方需向乙方提供包括：产品样品、产品使用说明书及其相关属性资料，提供产品卖点及亮点说明等。甲方需对产品的说明书、资料的真实性、完整性、合法性负责。

4.1.5甲方应当根据速卖通网络服务平台的要求，在相应服务平台保持足够金额，以便使该平台自动续费而不影响店铺正常运营。甲方店铺相关密码或重要资料更改时，如未通知乙方造成损失，乙方不负任何责任。

4.1.6甲方在协议期间应尽力配合乙方的各项营销工作，根据营销的实际情况投入相应的营销推广费用，与乙方共同努力创造销售佳绩。乙方将根据每个月的运营目标以及投产比数据提交一份推广费用预算申请给甲方，甲方确认后将把该笔款项打入速卖通直通车帐户或其它的推广平台，乙方将根据实际运营情况支配该推广费用于该项目内，乙方保证该笔款项仅投入于该项目中，每月根据使用情况提交财务报表予甲方审核。如乙方建议的推广方案基本能保持成本及赢利的情况下，因甲方拒绝配合运营需求给予推广费用而导致乙方无法达成销售目标时，乙方不承担销售不达标的违约责任。

4.1.7 甲方需指定一人专门负责与乙方对接各项电子商务营销工作，并协助乙方处理好售后问题，如退换货、退款、处理卖家的投诉维权等工作。

4.1.8甲方有权随时对乙方的销售数据及交易行为进行查阅,发现销售数据或交易行为中存在任何问题或怀疑,均有权向乙方发出询问及要求改正的通知等处理。

4.1.9甲方须保证在速卖通网络平台上独家授权乙方进行运营，未经乙方同意的情况下，不得再另外授权其他任何第三方在进行运营或销售其品牌产品。

5 技术服务费、佣金收益及结算方式

5.1技术服务费

自本合同生效之日起，合同期内甲方必须一次性向乙方支付技术服务费(运营及客服)人民币 万元 .

5.2甲方必须在服务到期的前十天,支付超额完成的销售佣金，作为乙方的佣金收益。

5.2.1用户选择在线支付的，按照实际销售额进行计算;

6 销售目标与营销推广费

6.1甲乙双方所约定的销售额目标如下(行业不同,销售目标不同)：最低销售额 万美金/年或达到最低利润 万元/年.如超额,超额部分按销售额5%,结算佣金.如未完成双方协商的销售额,则乙的违约责任为 .

营销推广费:每月预支1000元推广费用至直通车帐号，根据其它条文规定执行.

违约责任

6.1协议一方不履行协议义务或者履行义务不符合协议约定而给另一方造成损失的，应承担损害赔偿责任。

6.2甲方因故延迟或拒绝支付相应的技术服务费、佣金收益、营销推广费用的(节假日/特殊原因除外)，乙方有权暂停提供甲方的运营服务，在甲方支付后再重新提供服务;如暂停服务1月后甲方仍未支付，则乙方有权立即终止与甲方的合作协议，要求甲方立即支付应付未付金额，并有权按照应付未付金额要求甲方按照日千分之五的标准支付滞纳金。

6.3若乙方无法达成当年度的销售额目标，则甲方有权单方终止本合作协议。乙方必须退还承诺退回的代运费费用.若在乙方已完成当年度销售额目标的情况下甲方单方面终止本合作协议，则乙方有权要求甲方支付违约金，违约金的金额按终止合作当日往前推算半年的实际销售额剩以该年度的佣金提取比例计算。

6.4若甲方在与乙方合作期间擅自再另外授权任何其他第三方在速卖通平台上运营或销售其品牌产品，则乙方有权要求甲方立即停止该违约行为，并赔偿乙方的销售额损失。若甲方不予停止、改正该违约行为的，则乙方有权单方终止本合作协议，并要求甲方支付人民币三万元的违约金。

6.5甲、乙双方之代理人、受任人之一切行为均代表该方，其一方违反合同之行为视为该方之行为，该方应对此承担连带法律责任。

7 有限责任

不论在何种情况下，甲、乙双方均不对由于Internet连接故障，电脑，通讯或其他系统的故障，罢工，劳动争议，暴乱，起义，骚乱、电力故障，生产力或生产资料不足，火灾，洪水，风暴，爆炸，不可抗力，战争，政府行为，国际、国内法院的命令或第三方的不作为而造成的不能服务或延迟服务承担责任。

8 协议的终止

8.1协议期限届满，本协议终止。若双方继续合作，须重新签署新的合作协议，本协议不具有延续性。

8.2任何一方均不可在正常运作情况下单方提出解除本协议。除非一方违约，另一方有权解除协议，否则必须经过双方协商并同意后方能解除本协议。

8.3因任何一方与任何第三方之间存在争议,另一方认为其合法权益受到影响时,可以向另一方提出解除本协议。

9 不可抗力

9.1协议双方中的任何一方，由于战争或严重的水灾、火灾，台风和地震等自然灾害，以及双方同意的可作为不可抗力的其他事故而影响协议执行时，则延长履行协议的期限，延长的期限相当于不可抗力事件所影响的时间。

9.2受不可抗力影响的一方应尽快将发生不可抗力事件的情况以传真方式通知对方，并于七天内以航空挂号信件或中国特快专递()将有关当局出具的证明文件提交给另一方进行确认。

10 争议的解决

10.1执行本协议所发生的或与本协议有关的一切争议，双方应通过友好协商解决。

10.2如双方通过协商不能达成一致时，则应提交乙方所在地的人民法院予以裁决。

10.3在争议的处理过程中，除正在进行诉讼的部分外，协议的其他部分将继续执行。

10.4本协议终止不影响本条款的效力。

11 协议的生效及其他

11.1本协议只限中国境内有效。

11.2本协议的执行中，除另有规定外，对本协议条款的任何变更、修改和增减或者增加相关附件，都须经双方协商同意并签署书面文件，作为本协议的组成部分，与本协议具有同等效力。

11.3本协议签订生效后，协议内容即在甲方和乙方之间产生法律效力。甲方确认在本协议签订前已认真阅读本协议及附件所有内容，对本协议及附件载明的全部内容全部了解并完全接受。无论甲方事实上是否在签订前认真阅读了本协议及所有附件内容，只要甲方按照乙方合作流程成功开通网上销售平台并上线，甲方的行为仍然表示其同意并签署了本协议及所有附件。

11.4本协议自甲、乙双方签字盖章后正式生效。正本一式两份，甲、乙双方各执壹份，具有同等法律效力。

一、实习目的：

实习网店：

店铺介绍：创店时间是XX年9月30日。经过5年的努力，现在的卖家信用已经达到四个皇冠。该网店主要经营：服装/化妆品/香水/护肤品/彩妆/化妆包/韩国饰品。

二、实习内容：

1、实习岗位：网店客服

2、实习工作职责：

(1)日常网店管理：负责宝贝的上架和宝贝卖完之后的下架、每天上班第一件事情就是把电脑打开，登陆旺旺、处理旺旺上的留言。

(2)买卖沟通：使用淘宝旺旺和顾客进行交流，回答顾客咨询的问题，帮助他们成功购买商品。如果买家没有确定商品的属性，买家又不在线，给买家留言和打电话让他确定商品的属性。

(3) 使用系统接受处理网店订单，打包发货，物流跟踪

(4) 货物进出管理：没有库存的商品马上联系卖家送货，买出去的商品检查商品的质量、数量。核对卖出去的商品与订单上的是否一致。

(5)盘点库存：对货架上的商品进行清理，了解那些是热卖商品，那些卖得不是很好的，尽可能使库存数量做到最少、最有效。

三、实习结果：

经过这一段时间的实习，清楚地了解了网店客服的工作流程和日常事务。每天在网络上与人沟通交流，使自己的口才也得到了很大的锻炼。

在工作中学到了很多技巧，同时也学到了很多与人沟通和交流的手段，主要表现在以下几个方面：

(一)上架技巧

搜索结果排名规律影响商品排名的关键因素有两个，分别是“剩余时间”和“是否推荐商品”。其中的剩余时间=宝贝有效期-(当前时间-发布时间))

淘宝会根据商品上架时间来排序的，也就是说剩余时间越短，商品就越靠前，因此，商品剩余时间越少，商品就越容易让买家就越容易看到。同时还要考虑到买家在什么时候上网人数最多，据统计上网人数最多的时候是10：00-11：30、15：30-17：30和19：30-21：30。基于以上两点考虑，为了使获得更好的宣传效果，赢得更多更有利的商品推荐机会，在以后新品上架过程中建议按照如下方法上架商品。

a、选择上架时间为七天。这样就比选择14天多了一次下架的机会，当然可以获得更多的宣传机会

b、商品一定选择在黄金时段内上架。在具体操作中，可以从11：00-16：00、19：00-23：00，每隔半小时左右发布一个新商品。为什么不同时发布呢?原因很简单啊，同时发布，也就容易同时消失。如果分隔开来发布，那么在整个黄金时段内，都有即将下架的商品可以获得很靠前的搜索排名，带来的流量也更高(这个是否半小时发布一件得根据具体情况、时间、新品在黄金时段上架，这一点很重要)

c、所有的橱窗推荐位都用在即将下架的商品上.(多关注.放在一些比较热门的.快要下架的商品上面.这个要求随时关注产品的下架时间.)

(二)买卖沟通

核心关键词：诚信、专业、热情、耐心、服务……(另外开心与幽默对做好生意也非常有帮助)

认识：店长与客户沟通一般以淘宝旺旺为主，多数用文字交流。旺旺沟通的优点是显得更从容坦然，表达得更充分。可以掩饰语言交流上的弱点，给对方好的第一印象。缺点是不直接，有虚拟成分，需要建立信任感的时间较长。

1、学会尊重，要从内心深处尊重客户。多用“您”，多写短句，多按回车键，别让客户久等。不管客户以哪种姿态和你交流，傲慢也好，怀疑也罢，要像大侠郭靖一样，以真诚对待所有的人，不管你善意敌意。不以顾客出手阔气而谄媚，真心尊重顾客，因为不了解你，现在她可能是小气的.，但是将来她可能就是大气的。

2、学会赞美，用真诚赞美赢得客户的心。通过聊天交流，发现客户的优点，用最美好的语言赞美对方。

3、多使用旺旺表情。旺旺的表情是所有的交流工具中最美的表情。初步接触多用微笑、握手，熟悉了用憨笑、大笑、干杯，再后来就可以用飞吻、拥抱了。表情是使用旺旺的优势，是沟通的润滑剂。

4、学会耐心。这一点说的轻松，做起来还真难。

5、换位思考，诚恳待人。这也是人人知道的技巧.但是请您自问：“我真的做到了吗?”如果真能站在顾客角度，您就会发现有很多不能理解的都理解了，有很多不能接受的要求也接受了。

6、实事求是，不隐瞒缺点。网购的很多纠纷缘起于卖家的隐瞒。

7、热情如火，持之以恒。卖家真正的热情不是在成交前，而是成交之后。买家购买之前，卖家对买家热情，购买之后，还能保持原有的热情.把每个淘友当成朋友，那么您的热情是不会先多后少的。

8、区别对待不同的客户.是否研究过客户的类型?

一是交际型，有的客户很喜欢聊天，先和您聊了很久，聊得愉快了就到您的店里购买东东，成交了也成了朋友，至少很熟悉了。二是购买型，有的顾客直接买下您的东东，很快付款，收到东东后也不和您联系，直接给您好评，对您的热情很冷淡。三是礼貌型，本来因为一件拍卖的东东和您发生了联系，如果您热情如火，在聊天过程中运用恰当的技巧，她会直接到您的店里再购买一些东东，售后热情做好了，她或许因为不好意思还会到您的店里来。四是讲价型，讲了还讲，永不知足。四是拍下不买型。对待这5种客户，都要热情如火，要把重点放心第1、3种，对于第2种类型的，不要浪费太多的经历，如果执着地和她保持联系，他会认为这是一种骚扰。对待第4种要咬紧牙关，坚持始终如一，保持您的微笑。对待第5种，可以投诉、警告。也可以全当什么都没发生，因各自性格决定采取的方式，不能说哪个好，哪个不好。

9、倾听为主，顺着顾客的思路走，适当引导。真正的语言艺术不是说的天花乱坠，而是默默的倾听.顾客既然关注您的东东，一般是研究过了，您只需要回答她提出的问题就行了。如果顾客真的很外行，哪里不明白自然会逐个问您的，您可以根据顾客的问题，适当引导到交易上来，不要过分急于求成。

(三)应对买家的讨价还价

1.较小单位报价法.(根据我们店的情况..一般强调数量.)

2.证明价格是合理的

无论出于什么原因，任何买家都会对价格产生异议，大都认为产品价格比他想象的要高得多。这时，必须证明产品的定价是合理的。证明的办法就是多讲产品在设计、质量、功能等方面的优点。通常，产品的价格与这些优点有相当紧密的关系，正是所谓的“一分钱一分货”。可以应用说服技巧，透彻地分析、讲解产品的各种优点，指明买家购买产品后的利益所得远远大于支付货款的代价。

当然，不要以为价格低了买家一定会买。大幅度降价往往容易使买家对产品产生怀疑，认为它是有缺陷的，或是滞销品。有些时候，产品的价格要稍微提高一些才能打开销路。
