一、双方概述

(一)甲方为主营__________的公司/个人，为发展__________业务，目前

已经注册和申请了________个抖音账号以及配套的电话号码和手机。

(二)乙方为专业抖音短视频代运营公司。已为多家企业提供抖音短视频账

号打造、代运营业务。

二、合作方式

(一)甲方将自有的________个抖音账户和_________部手机号码交由乙方代为运营，账号以及账号全部内容及手机号码的所有权归乙方所有。

(二)甲方交给乙方的抖音账号中，应由乙方在签订本协议后30日内协助开通商品橱窗以及卖货链接、落地页面、付费跳转页面、小程序、链接淘宝网店页面等，所需要开通的链接、页面、小程序等需要单独额外付费的，乙方应该在签订本协议之前一次性明确付费金额和付费频率，不得随意设置额外付费项目。

甲方账号开通的商品橱窗以及卖货链接、落地页面、付费跳转页面、小程序、链接淘宝网店页面等的所有权归甲方所有。

(三)因业务发展需要，甲方所提供的账号和手机号码不足以支撑业务发展的，由乙方及时向甲方报量，甲方及时采购交由乙方。因业务发展增量较多的，双方另行协商或者签订补充协议加以补充。

(四)乙方为甲方提供整体宣传营销构思策略、创意、设计、预算等，提供视频创作、策划、拍摄、剪辑、后期制作、文案、视频上传等。本协议中甲方提供的账号全部由乙方自行运营和管理。

(五)本协议有效期内，乙方独家代理本合同约定的抖音账号的商业活动代理权，包括抖音账号内容的策划、宣传、制作、出版、发行等相关事项的代理权。

(六)乙方有权安排甲方抖音账号的所有演艺工作并作为甲方抖音账号的委托代理公司签署有关演艺合同，以保障甲方获得相应的收益，但演艺内容及时间安排，应取得甲方同意。

(七)甲方账号进行直播帶货时，雷要甲方提供熟练的售卖人员以及合适的演员交由乙方进行培训后进行直播，甲乙双方之间关于甲方账号直播带货的收益单独计算，收费标准根据甲方产品类目不同而不同，根据甲方账号带货的不同种类产品，乙方抽取甲方抖音账户销售额的15%-50%不等。

(八)乙方提供的基础代运营服务为：抖音短视频类创意制作和拍摄制作，抖音号官方挑战的发起参与;抖音合拍创意策划与实施。乙方根据视频的热度和价值建议适当投放抖+广告，甲方可根据自身经济预算决定是否投放，抖+投放为抖音官方收费项目，所收费用由甲方直接交抖音官方，乙方不负贵收款。

三、服务程序

(一)甲乙双方每周定期召开项目例会，可通过微信工作群开会。乙方应按

甲方要求，随时召开项目会，建立确认、信息沟通反馈等工作程序，并严格按照

工作程序进行。每次例会乙方需安排专人参加。

(二)甲乙双方共同根据传播策略确定宣传推广的工作计划，制定每项工作

阶段完成时间。如双方存在争议，甲方有最终决策权。

(三)其他服务程序___________________

四、合作期限

委托期限自______年______月______日至______年______月______日。

委托期满，甲方按月度收费标准向乙方续费的，本合同继续履行。

五、代运营费用收取

(一) 基本服务费

1。 本合同按月收费，每月为人民币￥____________元(大写：____________元整)。该费用已包含乙方人工费、策划费、设计费、发布费、维护费。

2、甲方可选择按月续费。未付费的月度，乙方不提供服务。

(二)甲方IP人设树立后的酬劳分配

甲方同意抖音账号从事商业、非商业演出活动、重要场合合演及有关工作之

酬劳(限于货币、实物等)，全部由乙方代为收取，并由乙方代为办理相关个人

所得税缴纳手续。甲方可自行收取，甲乙双方如实入账和核对。乙方收取税后酬

劳的49%，剩余51%由甲方收取。

(三)直播带货收益

甲乙双方之间关于甲方账号直播帶货的收益单独计算，收费标准根据甲方产

品类目不同而不同，根据甲方账号带货的不同种类产品，乙方抽取甲方抖音账户

销售额的15%-50%不等。

(四)甲方IP人设树立后的酬劳分配、直播带货收益等其他非基础费用，应及时结算，费用周期不得超过30日。超过30日未结算的，终止本协议的履行。

六、权利义务

(一)甲方向乙方提供资料及整体宣传营销构思，并保证所提供材料之真实

性、合法性。甲方有权就策略、创意、设计等重大问题提供专业建议和决策。

(二)甲方须及时与乙方就传播效果监测进行沟通。

(三)甲方应按期、按时向乙方支付费用，以保证服务工作之顺利进行。

(四)甲方拥有所有视频创意设计方案实施的最终签发权。乙方为甲方发布

任何的抖音视频内容须经甲方提前确认。

(五)甲方有权及时对乙方提交的策划方案、视频创意和其他书面工作文件

提出修改意见和建议，乙方须据此进行修改、调整，直至甲方签字认可方可定稿。

(六)甲方享有代运营之抖音号的电商及广告业务优先合作权。

(七)双方各自拥有的抖音账户和手机号码，归各自所有。

(八)乙方有权自行或转授权其他方对甲方合同存续期间的直播活动进行现场直播、录音录像、复制，并发行录有甲方或者甲方员工或者甲方指定人员表演的录音录像制品，或通过信息网络向公众传播，该等权利、授权为合作期限内。

(九) 合同存续期间甲 方账号以及甲方运营、管理的抖音账号输出的作品版权均归甲方所有。

(十)甲方抖音账号参与任何个人或机构参安排的商业活动，须提前通知乙方报备，以免产生档期冲突。

风险告知：在合作初期，创业合作者要明确合作伙伴的各自职责，不能模糊，要能拿出书面的职责分析，因为是长期的合作，明晰责任最重要，这样可以在后期的经营中不至于互相扯皮，反目成仇，好多的创业合作中会有问题，就是因为责任明细不够。

七、知识产权

乙方应保证其抖音短视频营销服务的内容与形式不会侵犯第三方的知识产权、肖像权及名誉权等权利。

八、不可抗力

(一)任何一方遇有 不可抗力而全部或部分不能履行本合同或迟延履行本合同，应自不可抗力事件发生之日起五日内，将事件情况以双方认可的书面形式通知另一方。

(二)遭受不可抗力的一方应采取一切必要措施减少损失，并在事件消除后立即恢复本合同的履行，除非此等履行已不可能或者不必要。

(三)“不可抗力”是指不能预见、不能避免或不能克服的客观事件。包括但不限于自然灾害如洪水、火灾、台风、爆炸、雷电、地震风暴以及社会事件如战争、动乱、政府管制、国家政策的突然变动、罢工等。

九、保密条款

任何一方对于因签署或履行本合同从而了解或接触到的涉及对方的业务、技术、财务及其他方面的未公开的资料和信息(下称“保密信息")均应保守秘密;非经对方书面同意，任何一方不得向任何第三方透露该等保密信息。

十、违约责任

(一) 双方皆应按照本协议约定的全部内容履行各自的权利义务，否则视为

违约，违约方应向守约方承担违约责任。违约方承担违约责任时应赔偿守约方的

预期损失和实际损失。

(二)双方均须承担保密义务，确保合作内容以及各自的商业秘密、客户信

息、运营模式等不以任何形式、向任何渠道公布，保密期限为长期。

(三)甲方应按时付费，逾期付款给乙方超过10日的，乙方有权终止服务并解除合同，并要求甲方支付逾期付款的_____%作为违约金。

风险告知：明确违约责任，在签订合同时，双方就要想到可能出现的所有违约情形，并在合同中规定相应的惩罚措施，通过明确违约时需要承担的违约责任，来督促各方真正的履行应当承担的义务，一旦违约情况发生，也有据可依。

十一、本合同的变更和终止

双方协商一致，可以变更或终止本合同。委托期满后，甲方未向乙方续费的，

乙方停止服务，本协议终止。

十二、其他

(一)因履行本合同发生的争议，由争议双方协商解决，协商不成的，提交

乙方所在地的__________仲裁委员会裁决。

(二)如有未尽事宜，双方须以附件形式订立。其附件具有同等法律效力。

(三)本协议一式二份，双方各执一份，具同等法律效力。
