鉴于：

甲方为X省XX市“X幼儿园”所有人，乙方为从事学前教育、幼儿园办学、幼教产品开发、教育培训的专业机构。

甲方将幼儿园委托乙方代为运营管理。

甲、乙双方根据《中华人民共和国民法典》等相关法律规定及行业惯例，本着平等互利、诚实信用的原则，就有关幼儿园的经营、管理等合作事项达成如下协议，供各方共同遵照执行。

合作模式

甲方委托乙方代为运营管理幼儿园，甲方负责幼儿园的日常教学管理成本支出，乙方负责幼儿园的日常运营管理，保证幼儿园的利润收益，同时实现幼儿园的运营及教学管理质量提升;甲方按本协议约定支付乙方运营管理费用。

合作期限

委托运营管理期限5年，自本协议签约之日起计。委托营期管理限结束后，在同等条件下，乙方有优先续约权。

在本协议生效前，甲方应保证幼儿园办学手续齐全，正常运营，否则，本协议合作期限顺延至幼儿园可以正常运营之日起计，但本协议签订后内，幼儿园仍不能正常运营的，乙方有权解除本协议。

委托营费管理用(具体费用双方另行协商)

以乙方前一年度(代管协议签订之日起计算)利润值为基准，甲方一次性收取该值20%(具体比例可另行协商)作为本年度代管费押金，之后每年代管费按前一年度利润值按比例由乙方支付给甲方。例如20__年乙方经审计利润值为200万元整，甲方和乙方签订代管协议为20__年1月1号，即乙方一次性支付20__年代管费为30万元整。

如果乙方第一年开园或者前一年度利润值为负值，则本年度乙方支付给甲方的代管费为30万元整。例如20__年乙方经审计利润值为-200万元整，甲方和乙方签订代管协议为20__年1月1号，即乙方20__年支付给甲方代管费为30万元整。

经甲方代管后，乙方当年度利润值增长迅速，代管费用按每增加一倍对应比例值增加10%，但上限不得超过40%。例如20__年乙方经审计利润值为200万元整，甲方代管后，20__年乙方经审计利润值为400万整，则甲方20__年度代管费为200万*(20%+10%)=60万整。幼儿园净利润为600万元或以上，则甲方支付乙方运营管理费用为净利润*40%。

为保障幼儿园正常运营，甲方在签订本合同时，应向乙方一次性支付代管合同保证金人民币 50万元整(具体数额可另行协商)。上述保证金逐年退还，乙方每年1月1日之前退还甲方10万元，共计5年 。

在代管期限内，由于甲方经营重大失误导致幼儿园出现重大事故或者经甲方代管后，乙方当年度利润值减少一倍以上，则乙方有权结束本合同，同时扣除所有保证金。

幼儿园运营管理

甲方同意幼儿园成立董事会，董事会的成员为3名，幼儿园管理实行董事会领导下的园长负责制。乙方可以向甲方推荐2名董事人选。甲方保证股东会关于选举董事的决议中同意乙方推荐的人选担任董事，幼儿园董事长由乙方推荐的董事担任，董事会的具体职责由幼儿园章程规定。

幼儿园根据章程制定董事会议事规则;幼儿园的管理层人员由乙方向董事会推荐，经董事会批准后任命。

甲方和乙方各委派一名会计或出纳;财务负责人由乙方推荐，经董事会批准后任命。

幼儿园的设计装修工程方案由乙方提出，经董事会全体通过后实施。

特别约定

在本协议履行期内，乙方有权对幼儿园输出己方品牌，幼儿园可免费使用乙方指定的品牌;幼儿园所需网站平台、课本、软件、课程、一体机、点读笔、区角材料、家庭材料包及市场咨询、装修方案、园长论坛、微信公众号运营指导、人才培训等产品或服务均由乙方提供，但产品价格不得高于市场价。

幼儿园宣传及主要标志需要加入品牌，即为“·”幼儿园。

保密义务

各方承诺对执行本协议、在具体项目执行过程中所获得任何信息，均予严格保密，未经各方书面认可或同意，任何一方不得向签约方以外的其他方泄露。各方采取一切必要措施，以防止其雇员、代理人或任何其他人员非法使用或者披露任何信息，否则，守约方有权要违反保密义务的一方赔偿因此造成的一切损失。

保密期限：根据本协议各方应当履行保密义务的期限：自本协议生效之日起一直有效，各方另有约定的从其约定。

违约责任

本协议所约定的合作内容，具有强制的约束力，各方均有权就具体合作方式提出进行磋商和修改，届时签署的具体的文件或补充协议与本协议具有同等法律效力。任何一方违反本协议的规定，经守约方催告后仍不改正的，守约方有权以书面通知的方式解除本协议，违约方应按照法律的规定承担相应的法律责任和赔偿责任(包括但不限于赔偿守约方因履行本协议投入的资金)。

各方之间的一切通知均由专人送达、挂号邮递、特快专递等方式传送，传真与电子邮件可作为辅助送达方式。

通知在下列日期视为送达：

专人递送的通知，在专人递送之交付日为有效送达。

以挂号信(付清邮资)发出的通知，在寄出(以邮戳为凭)后的第5日为有效送达。

以特快专递(付清邮资)发出的通知，在寄出(以邮戳为凭)后的第3日为有效送达。

传真与电子邮件：发送成功后即视为送达被通知方。

各方在本协议首部中填写的联系方式即为其有效的联系方式。

除本协议另有规定外，各方均有权在任何时候更改其通讯地址，但应按本条约定的送达方式在变更后7日内向对方送达通知。

法律适用与争议解决

本协议的订立、生效、履行、解释、修改和终止等事项均适用中华人民共和国(不含香港、澳门特别行政区和中国台湾地区)法律、法规及规章。

本协议引致之争议，各方应友好协商;协商不成的，各方均可将争议提交至深圳仲裁委员会，根据该委规则在深圳市仲裁。

其他

对本协议之变更、补充、解除应以书面形式进行。

本协议未尽事宜，各方可以另行协商签署补充协议，补充协议作为本协议的附件与本协议具有同等法律效力，补充协议与本协议不一致的以补充协议为准。

4、智能性原则：设计的机器人应能反映出机器人的本质特性，即体现出机器人的智能性(如感知、规划、动作和协同等能力)。应是按照周围环境的输入信息来做出判断、基于传感器控制、独立地根据程序指令、而决定自己的行动的具有一定自主能力的机器人。这是中小学机器人创新活动的魅力。

5、趣味性原则：设计的机器人活动，应当具有一定的趣味性，能够引起相关学龄段学生参与的积极性和兴趣;还要具有一定的可观赏性，能使参与者和观众都能对该活动引起相应的兴趣和关注。这是中小学机器人创新活动的活力。

6、竞技性原则：机器人竞赛活动应具有一定的竞技性，在规定的活动时间内，可以评价出参与者的思维能力、技术水平等。还应具有一定的挑战性，综合能力不同的参与者，可能达到不同的活动结果，使参与者对机器人活动总有新的追求欲望。同时要注意公平性，只要学生设计的机器人可以完成本项活动，就允许参加，制定的评价方案也要是不产生歧义、可操作的。应当以参与者活动过程体验为出发点。这是中小学机器人创新活动的动力。

在机器人“功能创新项目”评价中，要重点把握创新性原则、智能性原则、可应用性和可靠性原则。可应用性主要指是为解决某个实际问题而设计(尽管当前可能是不理想的);可靠性是指机器人运行时，系统是可靠、稳定的。

在“现场指定项目”评价中，主办方要注意提出活动的方式方法和评价标准，活动方式通常是规定了某项特定的任务，参赛者运用自己的综合能力完成项目要求，评价标准是可量化、可操作的，竞赛时参赛者需要遵照执行。
