19. 索赔(claim)：

22. 争议的解决 (arbitration)：

关于乙方接受甲方委托，进行资料翻译事宜，经甲乙双方同意，签订以下翻译合同。

12. 乙方权利与义务

13. 原稿修改与补充：

如甲方原稿修改，而需乙方对译文作相应修改，根据修改程度酌量收取改稿费，或在收取原稿翻译费后，对修改稿按单价重新计费。如补充翻译，则另行收费。中止翻译：如甲方在乙方翻译过程中，要求中止翻译，甲方须根据乙方的翻译进度，按乙方已经翻译的字数，以协定的单价计算翻译费给乙方

15. 版权问题：

违约责任

1、甲乙任何一方不按本合同书履行其职责和义务，则视为违约，另一方可以提出质疑并要求对方纠正，若对方不纠正，另一方可以提出经济赔偿或中止合同，赔偿金额不少于实际损失额，但在翻译总费用二倍之内。

2、本合同书中如有其它未尽事宜，双方协商解决。协商不成，据《中华人民共和国民法典》处理。本合同书与现行法律抵触之处，按现行法律规定处理。

3、如果因为不可抗拒的原因而不能执行本合同的全部或部分条款，甲乙双方无需负任何责任。

笔译：中译法，每千字中文原稿的翻译费为税后300元(不含标点符号)。法译中，翻译费按中文译稿的字数计费(不含标点符号)，每千字同样为税后300元。

3. 付款方式：

乙方在每个研修班结束后与甲方签署“译员口译工作时间及文字翻译数量确认单”作为结款依据，在甲方客户认可乙方工作的基

础上，甲方将于会议结束后5个工作日内全额支付上述款项，以银行转帐的形式将翻译费用打入译员帐户中或现金支付。乙方收到翻译费时，按甲方要求签署领款单和个人所得税明细表。

4. 工作条件：

译员在工作地点有一间单独客房作为休息及翻译工作准备地点。 口译工作，甲方应在适当时间内提前向乙方提供相关资料，以供乙方做好准备。

笔译工作，甲方应提前向乙方提供需要翻译的文稿，以使乙方有合理充分的时间完成翻译任务。

5. 乙方职责：

乙方负责承担甲方组织的研修班期间翻译工作。乙方在会议召开前认真阅读会议相关材料，做好翻译前期准备工作，确保准确、及时、清晰，为甲方提供高质量的同声翻译服务。乙方应在上课前10分钟到达教室，进行设备调试和翻译准备。如有译员届时因不可抗力原因无法到场，乙方负责找到同等资历的译员予以替代，并在事前征得甲方的同意，此种情况不可超过总口译工作量的10%。译员需严格遵守职业道德，对非公开的会议内容予以保密。

6.甲、乙双方任何一方的过失，造成协议不能履行或给对方造成损失，违约方需赔偿对方的损失。如甲方在签署协议后无故取消本次工作，应向乙方赔偿约定翻译费的一半金额作为补偿。如乙方译员由于各人原因不出席此次活动，或在会议活动中出2

现重大翻译失误影响会议的正常进行，应同样向甲方赔偿约定翻译费的一半金额，或未完成翻译量的翻译费的一半金额作为补偿。

7. 未尽事宜，甲、乙双方友好协商解决。

8. 本合同一式两份，双方各执一份，具有同等效力，自签字盖章之日起生效，至双方履行完义务后终止。

委托方：（以下简称甲方） 服务方：（以下简称乙方） 甲、乙双方本着发挥各自优势、互惠互利、共同发展的原则,就翻译合作的有关事项,经双方友好协商,就半年度乙方为甲方提供翻译和制作服务之事宜,现特订立本协议。具体条款如下：

第一条定义 项目内容：甲方所委托的的翻译作业业务,分为笔译、口译和综译,还包含双方同意的其它业务合作。 翻译：乙方按照甲方交付的原文内容,结合相关专业词准确地将原文的内容表达清楚。 文档的制作：乙方按甲方要求,在计算机上按原文件图文并排的格式进行录入和排版,用印刷本（或者传真件）和e-a（或者存储介质提交的文本,包括软盘、光盘和其它移动存储介质）,如为口译,则用录音带、录像带和摄像带等介质提交,在保证翻译质量的前提下用计算机移动存储介质提交,但必须配合甲方的制作工作；乙方还应该负责有关的后续服务。

第二条协议期限

2.1本协议有效期为________年,自双方签订之日起至________年____月____日止；

2.2如有特殊原因,在不影响翻译和制作工作的前提下,提前一个月通知甲方,在乙方处理好应该负责的后续服务后,可以解除此合同；但是如果由于乙方的过错给甲方及其翻译原始委托方造成损失,甲方将依然拥有根据本协议及有关管理条例追究赔偿的权利。

第三条服务费用标准及支付

3.1甲方付给乙方的工作酬金为甲方所得费用的60％,其它40％作为甲方的广告、管理、较审、翻译作品制作、技术创新、工商管理和税务费用、通讯费用等条项的开支。

3.2笔译工作酬金支付：在客户取稿后一星期支付工作酬金的50％,如无意外,在两星期后支付工作酬金剩余的50％。口译工作酬金支付：在工作完后二个工作日后的星期二或者星期六支付。

3.3本中心对于在我处连续工作________年的兼职翻译采取年终奖励的办法,予以奖励；奖励额度为完成翻译金额的39;2％。兼职翻译介绍的业务可以参照兼职业务员的管理条例获得业务费用。

3.4本中心对于在我处连续从事兼职翻译________年以上的人士,采取优先参股或者赠送股份的办法,予以鼓励。

第四条甲方义务、权利

4.1甲方负责提供完整无缺的原文内容（书面及电子版本）。

4.2甲方负责提供资料的相关版权事宜,承担与之有关的各类权利义务。

4.3甲方负责提供必要的工具书、通信工具和办公设备,协助乙方和专业人士取得联系,顺利完成翻译任务。

第五条乙方义务、权利

5.1乙方应按甲方要求完成委托工作,按时、保质、保量交稿；

5.2乙方按甲方要求的格式提交文件；

5.3乙方应对甲方提供的原文件资料保密；

5.4乙方在本中心指定的时间内完成翻译任务,承担因为翻译质量引起的责任。工作积极主动,能以高度的责任心完成本中心分派的翻译任务。

第六条保密条款 乙方为了对甲方提供的资料保密,但对于因其它不可确定的原因造成的外漏,乙方不承担相关或连带责任。甲方提供的资料保密期自每项业务开始之日起计算：时间为七个月；有关本协议的保密条款详见本协议之附件《保密协议》。

第七条协议的变更和解除 本协议经双方书面同意,可以予以变更或解除。

7.1本协议期间,任何一方违反本协议的相关规定,且经另一方书面通知其改正之日起一周内仍未改正的,另一方有权终止本协议。

7.2甲乙双方中任何一方未履行本协议条款,导致协议不能履行、不能完全履行或者协议履行成为不必要,未违约的另一方有权变更、解除本协议。

7.5除非另有规定,合同变解除后,依照合同规定和有关条例规定甲乙双方为履行完毕的责任应该继续履行完毕。

第八条译者的职业道德

8.1乙方不得利用为甲方提供委托翻译服务的机会和客户联系,并率开甲方为客户提供翻译业务,否则甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

8.2除非乙方告知甲方主要负责人,并经得甲方许可,否则乙方不得利用为甲方提供委托翻译服务的机会接受或者索要的小费和酬金。

8.3乙方不得利用为甲方提供委托翻译服务的机会和客户发生不得体或者违反中心、政府有关法律法规的行为,否则甲方拥有扣除质量保障金和酬金、并进一步追究损失的权利。

8.4在甲方没有过错的情况下乙方不得利用甲方管理上的漏洞和业务的特殊性中途违反合同或施加压力,否则甲方拥有扣除质量保证金和酬金、并进一步追究损失的权利。

第九条译者对翻译作品质量的保证

9.1乙方应该自觉地尽自己最大的努力保证翻译件的质量,必须严格遵守甲方提供的有关规定、国家公布的质量保证规定。主要文件有：

（1）《翻译作业流程和质量控制》、《客户须知》、《翻译资费标准》和《确认单》；

（2）国家制定的《中华人民共和国行业标准翻译服务规范》和翻译成品的质量标准-10

9.2乙方从甲方领取的标准和规范资料必须签字表示以接受

9.1条的管制,其领取材料清单和签字将成为本协议的附件,具有法律证明作用。

9.3由于乙方的责任导致翻译件质量的问题导致客户不满或者造成损失,甲方可以采取扣除质量保障金和酬金、并进一步追究损失的权利。

9.4兼职翻译必须向本中心交纳质量保证金以杜绝以下情况：

（1）兼职翻译取走原稿件不译,甚至不再归还原稿和不再联系：

（2）兼职翻译冒用本中心名义在外承接业务；

（3）利用由于兼职翻译管理上的漏洞而对甲方的声誉造成影响和损失；

（4）剽取所知识产权归委托方的翻译稿件中的资料发表文章或者因知识成果而获得利益。质量保证金金额为X元人民币,甲方可以在此款中扣除因为乙方工作失误给甲方造成的损失；在执行完

2.2条、不可抗力条款、或者合同正常解除后,甲方财务归还保证金给乙方,并付给乙方相应的利息,利息按人民银行规定的同期利率计算。

第十条不可抗力 由于地震、台风、洪水、火灾、战争、罢工、政府禁令、法律要求或变化以及其他不可预见并且对其发生和后果不能防止或避免的不可抗力,致使影响协议有关条款的履行,双方应按照不可抗力对影响履行本协议的程度协商决定是否解除本协议,免除履行本协议的部分义务,或者延期履行本协议。

第十一条知识产权和署名权 甲方所提供的相关资料的知识产权不归乙方所有,并且其署名权共同所有；署名规定为,不得再署有其它的文字。

第十二条管辖法律和争议解决 1

2.1因本协议而产生的或与本协议有关的任何争议,双方应通过友好协商解决。不能通过协商解决的争议,就提交仲裁机构（如劳动部门）按其仲裁程序在仲裁。仲裁裁决是终局的,对双方均具有约束力； 1

2.2本协议受中华人民共和国法律管辖。

第十三条其它 1

3.1协议经甲乙双方的签字并加盖公章（乙方可以免此项）之日起生效； 1
