TIMBER SALE CONTRACT - SAMPLE

The following document offers excellent guidelines when preparing a timber sale contract. Separate articles may be added to suit specific circumstances. It is advised that the Seller and Purchaser employ legal counsel to review the contract prior to its endorsement.

Contract entered into this ______ day of _____, 20___., by and between __________ of _________ Illinois, hereinafter called the Seller, and _____________, of ____________(city), ___________(state), Illinois Timber Buyer License Number _______, hereinafter called the Purchaser, WITNESSETH:

1. The Seller agrees to sell and the Purchaser agrees to buy for the total sum of ________dollars ($_______) under the conditions set forth in this contract all of the live standing timber marked or designated for cutting and all of the dead or down timber marked or designated upon an area of approximately _____ acres, situated in the _________ of Section ________, Twp._______ R._______, ____________ County, Illinois, on land owned and recorded in the name of _______________________.

The Purchaser further agrees to pay to the Seller as an initial payment under this contract the sum of _________________ dollars ($_________), receipt of which is hereby acknowledged, and a final payment in the sum of ________________ dollars ($_______), prior to any cutting or removal of timber under this contract.

2. The Seller further agrees to mark and dispose of the timber conveyed in this contract in strict accordance with the following conditions:

(a) All trees to be included in this sale will be marked with a distinctive mark on the bole and stump of each tree.

(b) No trees under _____ inches in diameter at a point 4 1/2 feet from the ground will be marked for cutting.

(c) No concurrent contract involving the area or period covered in this contract has been or will be entered into by the Seller without the written consent of the Purchaser

(d) The Purchaser and his employees shall have access to the area at all reasonable times and seasons for the purpose of carrying out the terms of this contract.

(e) Unless otherwise specified, all material contained in the marked or designated trees is included in this sale

3. The Purchaser further agrees to cut and remove all of the timber conveyed in this contract in strict accordance with the following conditions:

(a) Unless an extension of time is agreed upon in writing between the Seller and Purchaser, all timber shall be paid for, cut, and removed on or before and none after the _____ day of _______, 20___, and any material not so removed shall revert to the Seller.

(b) Unmarked trees and young timber shall be protected against unnecessary injury from felling and logging operations. If, however, unmarked trees are cut, damages shall be paid the Seller at the rate of $1 per tree per M bd. ft. for all other species, and in the event that any such trees are cut, said trees shall remain upon the premises and shall be the property of the Seller.

(c) Necessary logging roads shall be cleared by the Purchaser only after their locations have been definitely agreed upon with the Seller or his representative, and any trees to be removed in the clearing operations shall first be marked by the Seller.

(d) During the life of this contract and on the area covered, care shall be exercised by the Purchaser and his employees against the starting and spread of fire, and they shall do all in their power to prevent and control fires.

(e) Any liability for damage, destruction, or restoration of private or public improvements or personal damages occasioned by or in the exercise of this contract shall be the sole responsibility of the Purchaser, and the Purchaser shall save harmless the Seller on account of such damages.

(f) The risk if loss or damage to the trees herein purchased, from any and all causes whatever, shall be borne by purchasers from the date hereof.

(g) The Purchaser will not assign this agreement without the written consent of the Seller.

4. The Seller and Purchaser mutually agree as follows:

(a) All modifications of the contract will be reduced to writing, dated, signed, and witnessed and attached to this contract.

(b) Any need for reassignment of interest of either party may be changed within 10 days following written consent by both parties. All terms of this contract legally bind the named representatives to excuse this document as written.

(c) The total number of trees conveyed is _____ (having a volume of approximately _____bd. ft.) composed as follows:

In the event that damages are awarded to the Seller by the Board of Arbitration and are not paid on the date that the award is made, then all operations of the Purchaser shall immediately cease, and if the award is not paid or satisfied within 30 days after the date of award, the Seller may take immediate possession of the premises upon which the timber is located, shall retain as liquidated damages all money paid by the Purchaser, and the title to all timber shall revert to and become the property of the seller.

许多年前，张桂梅过的是一种和现在完全不同的生活。那时，她在大理有丈夫，有一个家。

她是黑龙江人。母亲在近50岁时才生下她，在她年少时去世，她跟着哥哥姐姐们长大、生活，一直有寄人篱下的滋味，她渴望有一个自己的家。1974年，17岁的她跟着三姐来到云南支边，在中甸林业局当过播音员、宣传队队员，80年代，经人介绍，她认识了一个男人，是中甸林业局子弟学校的校长，"为了他，我也申请去当了老师"。很快，他们结婚了。

她跟着丈夫回了他的老家大理喜洲，在喜洲一中任教。在她的回忆里，丈夫多才多艺，兼职给别人修家具、讲微积分课，赚来的钱给她花，给她买她爱吃的杨梅罐头。她不愁衣食，不用自己做饭，两人常常去洱海边上散步，想去哪儿玩就买车票。丈夫对她好，去大理市里开会，只要当天能够赶回去，一定会和她一块吃饭。

她是极其外放的性格。在东北，她有过一段不安生的少女时期，在家排行第五，跟着哥姐长大，没有严厉的管束，人送她外号五猴子，总是上蹿下跳，后来在文工团里当舞蹈演员，调皮捣蛋，会哄骗邻居家的小女孩，把人家的长发剪掉，还会抓毛毛虫吓别的孩子，老师一巴掌拍死毛毛虫，手就肿起来，她挨了一顿骂，往外跑，在野外遇到了狼，最后被老乡送回家。

等结了婚，她喜欢去歌舞厅，不想去开学校例会，作为校长的丈夫就包庇她去唱歌跳舞……有时候喝醉了，丈夫就把她背回家。那时候她是一个美丽的老师，说一口动听的普通话，化妆，穿紫色皮鞋、蓝色裤子、红色上衣，她和丈夫的宿舍里，挂着一个手编的门帘，小个小个的珠子挂起一串，美极了。

一位喜洲一中的女老师回忆，到了午休的大课间，在桃子树下的草坪上，张桂梅会带着孩子们围着圈圈唱歌、跳舞，"裙子穿起多漂亮多飘逸"，学校里关系好的老师给她取了个外号：老妖精，简称老妖，她也回嘴，小妖，"生活有滋有味的"。

1993年12月，张桂梅的丈夫被查出胃癌晚期。后来，她形容那段岁月，"我看那山和水都是灰蒙蒙的一片，这意味着我有家的生活即将终止，爱与被爱的生活即将结束。"

她尽了最大努力留住丈夫，把房子卖掉，家里所有能卖的东西也全部卖了，总共筹了二十多万。她到处跟亲戚朋友们借钱，后来丈夫的家人劝她别治了，她不愿意。丈夫自己也想放弃，她劝他，我们能活一天算一天呗，就等于你陪我一天就行呗。不管多贵的治疗方案，她都试，7千多一天的进口药也用上，二十多万，半年就见底了。

1995年2月，丈夫还是走了。她不想埋葬他，也不想火化他。她走到昆明的大街上，万念俱灰，往行驶的车上撞，驾驶员踩了刹车躲开，让她寻死别连累别人。回去以后，她和停尸房的人说：请您把他从冰箱里头搬出来。她最后一次抱着丈夫痛哭。爱与被爱的生活，结束了。

抱着丈夫的骨灰盒回到大理，处理完后事，她失去了生命力，头也不洗，只是躺着，什么都不想干。只要一出门，她就看到丈夫活在小草里，活在洱海中。

这样的日子过了一年，她想，她必须离开。她申请调动，填了许多地方，只有华坪接收了她。对于这个小县城来说，大理是个大城市，她是个来自大城市的老师。1996年，她把裙子和门帘都留给了同事们，带着一件丈夫留下的毛背心，来到华坪。

起初，这更接近于一种放逐和逃避。她先是在中心中学当老师，一年之后，申请调动到新建的民族中学。但到了华坪，她看到的事物有些不一样了：有学生冬天穿着一两块钱的塑料凉鞋，有学生买不起饭，晚上抓一把米放进热水瓶，作为第二天的早餐。她常带学生下馆子，帮他们交学费、添置衣服和被子，把丈夫的毛背心给一位小男孩。这里的孩子需要她，"为了能让他们走出大山，我做了一点小事，我感到快乐"。她的心里有了一些轻松的感觉。

她清楚地记得，一个带着女儿前来交书本费的父亲，走了五六个小时，把卖桃子的收入、一大包的钱塞给了她，"他很朴实地告诉我，就这些了啊，我有钱还给你送来。"她动员了几个学生一块数钱，一分钱、五分钱、两毛钱的纸币，零星的几个硬币，脏兮兮的，总共不到50块钱。但她把纸币捆成了一捆，留作纪念，"你看看人家这日子过的，还满高兴满高兴的，然后把孩子还送给你。人家没有一句怨恨的，一句都没有的。我们还怨天怨地在这儿怨的。"

"但不幸再次降临在了她的头上"，用华坪县前教育局局长，如今是张桂梅宣讲小组一员的杨文华的话说。1997年4月，张桂梅被诊断出患有子宫肌瘤。从医院到学校10分钟的路程，她走了40分钟。回到了宿舍，她哭一会儿，站一会儿，一夜未眠。

当时她是四个初中毕业班的政治老师，第二天，铃声一响，她本能地走进教室。她想陪孩子们走完这关键的几个月，他们来不及适应新的老师了，那是他们考学的机会。她还能怎么办呢?当年患癌的丈夫撑了一年多，是因为自己百般筹钱，在他身边照顾，如今轮到了自己，没有医药费，也没有人安慰。

吃止痛药，再疼就捂着肚子上课，就这样，她送走了四个班的毕业生。后来，她借了几千块钱，坐上了夜班车，到昆明做手术。她的肿瘤拿下来，肠子粘连到了后背，每次摸的时候就感觉到非常硬，肚子像一块石头一样，疼的时候是一阵阵的，人也变成黑瘦黑瘦的了。

万幸的是，这个从外地来的、埋头苦干、带病上课的女人被看见了。当时华坪县正大力发展开采煤矿，学校里的老师工资低，就干着第二份职业，或者辞职出来做煤矿生意，县里正需要一个正能量的老师作为宣传典型。一个政协委员告诉她，我们绝不能捧着骨灰盒来宣传您。她的事迹开始在小县城里传遍，两次手术期间，一天晚上她喘气困难，学校里的几位老师冒着大雨去医院，给她取氧气袋，一晚上跑了五六次，整夜在身边照顾她。还有一位山里的女人，把五块钱的路费也捐给她治病，自己走了六个小时的山路回家。

她形容，那是一种"爱的支撑"。

后来，她有过几次成家的机会。她的名声传出了县城以外的地方，有人慕名而来。有一次，王秀丽接到了她的电话，说北京来了一个作家，你过来看一下嘛。王秀丽想，跑上门跟人家说自己是作家的人，通常都是不厉害的，便没去。第二天才知道，那是张桂梅的追求者，见面的时候，张桂梅还涂了口红，穿了高跟鞋。王秀丽立刻叫个摩的就去了儿童之家，但那人已经走了。

14.3.仲裁的裁决是终局的，对双方均具有约束力。

甲乙双方本着友好协商、共同发展的原则签订本翻译服务合同，其条款如下：

Both parties of Party A and Party B have signed the Translation Service Contract based on the principle of friendly cooperation and mutual development* The articles are as follows:

一、甲方委托乙方为其提供翻译服务，及时向乙方提交清晰、易于辨认的待译资料，提出明确要求，并对乙方的翻译质量进行监督。

1.Party A entrusts Party B with the translation service. Party A shall provide legible documents in time and give clear requirements and control the translation quality of Party B.

二、乙方按时完成翻译任务(如发生不可抗力的因素除外)，向甲方提供已翻译好的打印件及电子文件各一份。具体交稿日期由双方商定。对于加急稿件，交稿期限由双方临时商议。

2. Party B shall complete the translation work in time and deliver the translation by printed hard copy and a relevant disk within the agreed date (with the exception of the delay caused by Force Majeure). Details about the delivery time will be discussed between the two parties. For the urgent request, the delivery time will be discussed accordingly between the two parties.

三、乙方对甲方提供的任何资料必须严格保密，不得透露给第三方。

3.Party B shall keep confidentiality of any documents provided by Party A and can not disclose to the third party.

四、翻译工作量统计：电子译稿：按电脑统计的中文版字符数计算（中文版Word20__ 中 “不计空格的字符数”）; 打印译稿：按中文原稿行数×列数统计计算（行×列）。

4.Calculation of the load of translation: For electronic documents, the translation load shall be based on the statistics of the computer (Chinese Version Word20__ “Chinese characters not including blank spaces ”). For printed documents, the translation load shall be calculated according to lines of Chinese characters (the original printed copy), i.e. lines × rows.

五、乙方按优惠价格向甲方收取翻译费用：英*汉为 元/千字符（十万字以上）。

Ⅰ Party A ___________wishes to engage the service of Party B______________ as______________. The two parties, in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill conscientiously all the obligations stipulated in it.

3. Party A shall provide Party B with necessary working and living conditions.

5. Party A shall pay Party Bs salary regularly by the month.

Ⅵ Party Bs obligations

1. Party B shall observe the laws, decrees and relevant regulations enacted by the Chinese government and shall not interfere in Chinas internal affairs.

2. Party B shall observe Party As work system and regulations concerning administration of foreign experts and shall accept Party As arrangement, direction, supervision and evaluation in regard to his/her work. Without Party As consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A.

3. Party B shall complete the tasks agreed on schedule and guarantee the quality of work.

4. Party B shall respect Chinas religious policy, and shall not conduct religious activities incompatible with the status of an expert.

5. Party B shall respect the Chinese peoples moral standards and customs.

Ⅶ Revision, Cancellation and Termination of the Contract

1. Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent.

2. The contract can be revised, canceled, or terminated with mutual consent. Before both parties have reached an agreement, the contract should be strictly observed.

3. Party A has the right to cancel the contract with a written notice to Party B under the following conditions;

(1) Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.

(2) According to the doctors diagnosis, Party B cannot resume normal work after a continued 30 day sick leave.

4. Party B has the right to cancel the contract with a written notice to party A under the following conditions:

(1) Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.

(2) Party A has not paid Party B as scheduled.

Ⅷ Breach Penalty

When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of US$500 to 2,000 (or the equivalent in RMB).

If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party As consent, and pay its own return expenses; If Party B cancels the contract without valid reason, it should pay its own return expenses and pay breach penalty to Party A. If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party Bs return expenses; if Party A cancels the contract without valid reason, it should pay Party Bs return expenses and pay a breach penalty to Party B.

Ⅸ The appendix of this contract is an inseparable part of the contract and has equal effect

Ⅹ This contract takes effect on the date signed by both parties and will automatically expire when the contract ends. If either of the two parties asks for a new contract, it should forward its request to another party 90 days prior to the expiration of the contract, and sign the new contract with mutual consent. Party B shall bear all expenses incurred when staying on after the contract expires.

Ⅺ Arbitration

The two parties shall consult with each other and mediate any disputes which may arise about the contract. If all attempts fail, the two parties can appeal to the organization of arbitration for foreign experts affairs in the State Administration of Foreign Experts Affairs and ask for a final arbitration.

项目立项申请报告定义

定义：项目立项申请报告，是企业投资建设应报政府核准的项目时，为获得项目核准机关对拟建项目的行政许可，按核准要求报送的项目论证报告。《国务院关于投资体制改革的决定》规定对于企业不使用政府投资建设的项目，一律不再实行审批制，区别不同情况实行核准制和备案制。其中，政府仅对重大项目和限制类项目从维护社会公共利益角度进行核准，其他项目无论规模大小，均改为备案制。

企业投资项目分类总结

投资无偿补助：指政府对符合条件的企业投资项目和下一级地方政府投资项目给予的投资资金补助，一般政府给予的投资补助不高于总投资额度的30%。

贷款贴息：指政府部门对符合条件、使用了中长期银行贷款的投资项目给予的贷款利息贴息。

奖励：指政府部门对表现突出，业绩优秀、具有重大创新贡献企业的一种鼓励政策，奖励额度视具体情况而定。

政府对项目立项申请报告的核准内容

《国务院关于投资体制改革的决定》中明确，政府对企业提交的项目申请报告，主要从维护经济安全、合理开发利用资源、保护生态环境、优化重大布局、保障公共利益、防止出现垄断等方面进行核准。对于外商投资项目，政府还要从市场准入、资本项目管理等方面进行核准。

国家发展改革委第19号令《企业投资项目核准暂行办法》中规定，项目核准机关主要根据以下条件对项目进行核准审查：符合国家法律、法规;符合国民经济和社会发展规划、行业规划、产业政策、行业准入标准和土地利用总体规划;符合国家宏观调控政策;地区布局合理;主要产品未对国内市场形成垄断;未影响我国经济安全;合理开发并有效利用了资源;生态环境和自然文化遗产得到有效保护;未对公众利益，特别是项目建设地的公众利益产生重大不利影响。

核准制与审批制的区别

1、适用范围不同。审批制只适用于政府投资项目和适用政府性资金的企业投资项目;核准制则适用于企业不使用政府性资金投资建设重大项目或者限制类项目。

2、审核的内容不同。过去审批制情况下，政府既要从社会管理者角度又要从投资者角度审核企业的投资项目;在核准制情况下，政府只是从公共管理的角度审核企业的投资项目，审核内容只要是“维护经济安全、合理开发利用资源、保护生态环境、优化重大布局、保障公共利益、防止出现垄断”等方面，而不在代替投资者对项目的市场前景、经济效益、资金来源和产品技术方案进行审核。

3、审核的程序不同。过去的审批制情况下，政府对企业投资项目，一般要经过批准“项目建议书”、“可行性研究报告”和“开工报告”等审批环节，而在核准制情况下，政府仅审核企业投资“项目申请报告”一个环节。

担任领导几年来，在市局和局党组的领导下，勤于工作，甘于奉献，廉洁奉公，视党务工作为天职，工作创新，开拓进取，使全局的党务工作一年一个新变化，一年一个新台阶，受到当地党委的好评和广大党员干部的认可。

他认为，要把自己的本职工作做好，就要不断学习，更新新观念，增强新意识，建立新机制，把握新动向，在创新中求得工作的进取和发展。在此基础上，他不断学习，首先用政策理论武装自己，用“三个代表”的重要思想指导自己的工作实践。为了提高全局广大干部知识水平，今年年初，他向党组提议：邀请组织部、纪委等领导同志来局讲课，利用两天时间为全体干部讲解党风廉政方面的知识，使参学人员开阔了视野，更新了观念。

常说：严是做人和干工作的基本，说千道万，不如实干，要严要求，严管理。早在2017年，那时他主持全局工作，他首先从制度建设着手，建立和健全规章制度，并身体力行，率行垂范，带头遵守各项工作纪律和规章制度。对自己的严，还体现在忘我工作上，去年局里配备了几台电脑，他为了引导大家学好电脑，自己利用晚上和早晨时间加压练习，不到一个礼拜就掌握了电脑基础知识，且亲自完成自己的述职报告打印。在担任局长期间，正值体制改革关键时期，一方面要做好人员稳定工作，另一方面要加大监管和收费到位工作。他总是感觉到有做不完的事，一件件工作犹如一座座大山压得他喘不过气来。而在这节骨眼上，妻子由于身体原因在企业提前病退，有时一病就是躺几天，女儿初三关键一年。而此时的他，根本没有时间照顾家里，只能看在眼里，疼在心上。工作家庭难两全，他毫无怨无悔地说：“肩上挑着这么一副重担，如果工作上不去，一则喜负了领导和群众的信赖;二则有负于党的事业，我怎能有丝毫懈怠”。

在头脑中时刻绷着“过紧日子”这根弦，他说：过紧日子可以防止腐败，何况我们这个小局，经费本来就紧，尽量把资金用于执法办案中去。他不管是在当局长时，还是当分管财务的副局长，他总要求各部门要勒紧裤带，控制开支。在局里，他严格控制经费支出，压缩一切不必要的开支，从不乱花公家一分钱，尽量把工作管细。他分管财务工作以来，仅招待费就节约了数万元。作为局里的领导，亲朋好友提出帮帮忙、照顾等经常发生，他总是坚持原则，婉言拒绝。在局里，他经常教育职工，有为才有位，引导他们积极努力工作，将精力放在搞好工作，干出成绩上。他就是这样一位在家里过紧日子，在单位上也过紧日子的人。有人说：“常在河边走，哪有不湿鞋”。而他却做到了“拒腐蚀，永不沾”，用自己的实际行动过好了权力关，金钱关，名利关。

时刻把对党员的先进性教育放在首位，在党员的分类教育管理、党员培训、干部提拔、发展新党员等工作中都有新举措。平时，他经常和党员谈心，及时掌握党员的工作情况，思想动态，引导他们发挥先锋模范作用。在发展新党员工作中，他注重培养年纪轻、有文化的一线人员，全面考察，严格把关。2017年全局发展新党员2名，重点培养入党积极分子4 名， 使我局党员人数占全局人数的75%。

在党建工作中，把对党员干部的廉洁自律教育、遵纪守法教育放在首位，使每名党员做到自警、自省、自立，在工作中发挥先进带头作用。通过他的工作，全局党员干部没有违法违纪现象，都以崭新的姿态，饱满的热情，投入到地方的三个文明建设中。
