项目进行翻译(笔译、口译)服务工作，并支付相应的翻译服务报酬。双方经过平等协商，在真实、充分地表达各自意愿的基础上，根据《中华人民共和国民法典》的规定，达成如下协议，并由双方共同恪守。

5.译文中不应出现技术性错误，不能与原文意思相悖，专业词语表述应准确一致;文字表述符合相关专业的表达习惯与要求，目标语言与源语言在行文风格上一致;符号、量和单位、公式和等式需按照译文的通常惯例或国家有关规定进行翻译或表达，译者的注释使用恰当;

6.对于笔译项目，乙方在向甲方交付工作成果后，若存在以下三类错误，乙方应对工作成果进行必要修改，并不得另行收费：

(1)语法与单词拼写错误;

(2)同一或同批稿件中前后用词或表达法不统一;

(3)由于专业或背景知识不足发生的错误。

第三条为保证乙方有效进行翻译服务工作，甲方应当向乙方提供下列工作条件和协作事项：

1.甲方委托乙方翻译或进行其它方式处理的文件或资料中不得有违反国家法律或社会公德的内容，如果出现此种情形，甲方应承担相关责任并保证乙方不会因此而蒙受任何损失。否则乙方有权拒绝接受委托或要求甲方改正或有权随时单方解除本协议，并由甲方承担违约责任;

2.甲方同意把技术资料电子稿或复印资料作为乙方的工作件提供翻译使用，保证提供待译资料图文清晰、内容完整，乙方应保证维持甲方提供资料的原始完整性;

3.为保证翻译质量，甲方应尽可能协助乙方，包括但不限于向乙方提供翻译项目所需的参考资料，专业的固有、惯用译法，解答相关技术问题，必要时提供相关背景知识培训。

第四条甲方向乙方支付翻译服务报酬及支付方式为：

1.翻译服务费：_

(1)笔译项目为外文译成中文的，下订单时计算的费用为估算，最终以甲方采用的译文版本中文字符数为依据计算实际费用。

(2)以甲方最后采用的译文版本为最终确定稿计算字符数，以电脑统计的中文字符数计算[Word工具字数统计字符数(不计空格)]。如果中文稿为纸件，则以经双方确认的不计空格的中文字符数为准。翻译项目不涉及中文的，统计方式双方另行约定。

(3)本合同服务费用按以上单价标准，以甲方订单要求的服务工作量计算。如翻译项目有特殊情况需要调整价格的，经甲乙双方协商一致后在订单中明确。

(4)乙方因履行本合同而产生的加急费、特殊排版费、差旅费、交通费、食宿费等费用经甲乙双方协商一致后在订单中明确。

2.翻译服务费由甲方选择以下B方式支付乙方。(根据协商确定的交易方式)

方式A.在双方签订本合同及订单后二个工作日内，甲方应当支付乙方费用总额的5%作为预付款，余款在乙方完成翻译服务后五个工作日内支付。支付可采用现金、支票或银行转账等方式。

方式B.甲方提交翻译服务订单的次月，向乙方全额支付上月的文件翻译服务费。

第五条双方确定因履行本合同应遵守的保密义务如下：

1.保密内容：

(1)乙方不得向第三方公开或传播(包括复制、影印和使用)甲方的任何文件资料、软件、档案、协议、技术和服务项目(口头的或文字的)以及其他任何形式的信息;

(2)乙方同意所有甲方披露的资料都归甲方专有。乙方正在翻译的和已译好的文稿的专利权、版权、商业秘密，或其他知识产权项下的权利属于甲方所有，乙方无权处置;

(3)乙方对甲方向第三方承诺的所有保密义务负有连带责任，即如果甲方因乙方泄密而被第三方追究责任，甲方将追究乙方责任。

(4)乙方需执行甲方相关规定并积极配合，采取必要的防范措施来防止保密信息的泄露。

2.涉密人员范围：项目管理员、翻译人员及其他接触此项目资料的所有工作人员。

3.泄密责任：对违反本协议造成的后果，守约方有通过法律手段解决的权利，违约方应向守约方支付合同总额的1%作为违约金。

第六条本合同的变更必须由双方协商一致，并以书面形式确定。

第七条双方确定以下列标准和方式对乙方的翻译服务工作成果进行验收：

1.乙方完成翻译服务工作的形式：笔译项目乙方可通过电子信箱、传真、邮寄、或当面交付的方式提交译文稿件;

2.翻译服务工作成果的验收标准：依照本合同第二条第4款执行。

3.翻译服务工作成果的验收方法：由甲方验收。

第八条双方确定，在本合同有效期内，乙方利用甲方提供的技术资料和工作条件所完成的新的技术成果，归甲方所有。

第九条双方确定，按以下约定承担各自的违约责任：

1.乙方未能在工作期限内完成翻译项目，或虽已完成翻译项目，但需要重新修改而导致延期交稿，每迟延一日应按该翻译项目费用的3‰向甲方支付违约金，但工作期限延长征得甲方同意的除外。违约金总额不超过合同总额的1%。

2.甲方应依本合同规定，按时支付乙方翻译费用，每迟延一日应按应支付而未支付金额的3‰向乙方支付违约金，但延期付款是由于乙方在先义务迟延履行导致的除外。违约金总额不超过合同总额的1%。

3.出现以下情况可免除乙方责任且不影响本合同履行：

(1)乙方在翻译过程中，因执行甲方的意见而产生的错误。

(2)因甲方提供的翻译原件错误而产生的译文内容错误。

(3)甲方未能按合同约定的时间交付原文件材料，以致乙方延期交付译稿的。

(4)因甲方计算机原因引起的资料损坏或资料丢失。

(5)甲方或第三方使用译文过程中，产生的任何特殊性的、意外性的、滋生性内容损失。

第十条双方确定，在本合同有效期内，甲方指定为甲方项目联系人，乙方指定为乙方项目联系人。项目联系人承担以下责任：

1.及时、定时沟通情况、协调处理有关问题;

2.及时、定时向各自部门传递相关信息，保证信息的完整与准确;

3.本合同第五条约定的保密责任;

一方变更项目联系人的，应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的，应承担相应的责任。

第十一条双方确定，出现下列情形，致使本合同的履行成为不必要或不可能，可以解除本合同：发生不可抗力。不可抗拒力因素主要指战争因素;地震、洪水等不可抗拒的自然灾害;非合同方责任而产生的影响合同方工作正常进行的火灾;国家公共强制性原因引起的合同方不能正常工作产生的延时。

第十二条双方因履行本合同而发生的争议，应协商、调解解决。协商、调解不成的，依法向甲方所在地的人民法院起诉。

关于乙方接受甲方委托，进行资料翻译事宜，经甲乙双方同意，签订以下翻译合同。

1. 翻译服务范围:乙方负责甲方xx项目的所有宣传，产品资料的翻译工作，乙方负责安排专业翻译人员和外籍校对人员保障翻译质量。

11.甲方权利与义务

11.3、甲方如对乙方译稿有异议，甲方有权在取稿之日起5日内向乙方提出修改意见，乙方应按甲方要求在规定的时间内免费进行修改、校对，直至甲方满意为止。稿件满意度以措辞准确，文句调理清楚，无官方翻译错误为准。

11.4、乙方应尽量避免翻译的偏差。因乙方翻译失误而引起损失，甲方有权追究其责任。因甲方提供材料失当导致的翻译错误应有甲方全权承担，因由乙方自身翻译失误所带来的经济损失由乙方承担印刷部分经济责任，并且甲方应当提供与印刷商合作的相关价目详表。

12. 乙方权利与义务

12.1、乙方有权要求甲方无偿提供相关背景资料。

12.2、乙方出于保密起见只负责保存原文和译文至发生款项付清为止,此后不得保留译稿和磁盘。

12.3、不管甲方的商业利润如何，乙方均有权获得翻译费。

12.4、乙方应该根据甲方要求，以下面的任何方式提供交稿文件：打印稿、电脑光盘、移动硬盘、E-mail。乙方翻译样稿所花费的纸质消费应由甲方承担。

12.5、乙方应按甲方要求的时间(不排除法定假日)提供翻译稿件，如乙方未能在指定时间完成翻译任务，甲方有权不支付任何价款，并有权追究因翻译延误给甲方造成的损失。

13. 原稿修改与补充：

如甲方原稿修改，而需乙方对译文作相应修改，根据修改程度酌量收取改稿费，或在收取原稿翻译费后，对修改稿按单价重新计费。如补充翻译，则另行收费。中止翻译：如甲方在乙方翻译过程中，要求中止翻译，甲方须根据乙方的翻译进度，按乙方已经翻译的字数，以协定的单价计算翻译费给乙方

14. 交稿方式:

乙方可根据具体需要，采取以下交稿方式中的任一种来交稿：打印稿、电脑软盘、传真、电子邮件。

15. 版权问题：

乙方对于甲方委托文件内容的版权问题不负责，由甲方负全责. 保密性:乙方遵守翻译职业道德，对其译文的保密性负责。

违约责任

1、甲乙任何一方不按本合同书履行其职责和义务，则视为违约，另一方可以提出质疑并要求对方纠正，若对方不纠正，另一方可以提出经济赔偿或中止合同，赔偿金额不少于实际损失额，但在翻译总费用二倍之内。

2、本合同书中如有其它未尽事宜，双方协商解决。协商不成，据《中华人民共和国民法典》处理。本合同书与现行法律抵触之处，按现行法律规定处理。

3、如果因为不可抗拒的原因而不能执行本合同的全部或部分条款，甲乙双方无需负任何责任。

4、如甲方在乙方翻译过程中，要求中止翻译，甲方须根据乙方的翻译进度，按乙方已经翻译的字数，以协定的单价计算翻译费给乙方。

5、因乙方原因中止翻译，乙方必须按已消耗的时间占双方协定完成翻译时间的比例，乘以双方协定完成翻译总费用的金额作为对甲方时间损失的赔偿。

争议解决方式

合同执行过程中如发生争议，双方应及时友好协商解决;协商不成时，双方可以向当地人民法院申诉。

二.翻译过程的基本环节与具体要求

(一)实际翻译程序可以归纳如下：

1.快速翻译，侧重文体。有些译者认为口述的译文更新颖、更流畅。但无论译者是口述、打字、还是手写，重要的是要使译文节奏流畅;

2.初稿应该保留约一周左右。这样，修订译稿时就可以获得全新的感受，排除翻译初稿时留在耳边的余音，更加客观地评估译文;

3.认真检查译文内容，特别着重译文的准确性和连贯性。删除不必要的增补词语和补充初稿中的疏漏。特别要注意关键概念在翻译上的一致性，理顺拗口的词句;

4.从文体上检查译文。其实，这一步骤应该反复进行多次。朗读译文是一个非常重要的办法，因为听觉对连贯性和节奏感方面的问题比视觉要敏锐得多;

翻译的三个基本要求是“信”、“达”、“雅”。“信”要求忠实原文的内容和每个句子的含义，用现代汉语字字落实、句句落实直译出来，不得随意地增减内容。“达”要求翻译出的现代文要表意明确、语言通顺、语气不走样。“雅”要求用简明、优美、富有文采的现代汉语把原文的内容、形式及风格准确地表达出来。

(三)在翻译中遇到的困难及其分析：

基于翻译的具体要求，我还不能完全达到这种水平，虽然可以句句落实直译出来，做到不随意增减内容，但却做不到“达”的要求，翻译出的材料表意不明确，译不出原材料的那种语气，“雅”的要求更是离的太远，还有涉及到专业性的材料就会觉得一头雾水，不知从何下手，此翻彼翻都觉得不太贴切。

在中国青年报上看到这样一则消息：把“保税仓库”译为“保证税收的仓库”，“五四运动”成了“五四体育运动”……译文中国人看不懂外国人不明白——

“一个英语专业8级的大学毕业生，语法结构错误百出，认为‘小康’就是‘富有’，译文做成中英文字符的简单对应……”说起前两天来应聘翻译职位的一位大学毕业生的表现，北京一家翻译公司的负责人直摇头。其实，考试的题目并不是很难——一段关于“我国实行按劳分配制度，允许和支持一部分人通过诚实劳动先富起来”的100字左右的中译英试题。这家翻译公司的负责人说，像这样拿着英语专业8级证书，却当不了合格翻译的大学毕业生，并非极端个别的例子。现在合格的翻译太少了。

伴随着中国加入世贸组织，对外交流的日益频繁，翻译人才的缺口越来越大。业内专家表示，翻译市场巨大，合格翻译人才紧缺，学了外语就能当翻译的老观念该改一改了。

这则消息正说明了一个现实问题，我深有体会，我们在工作中翻译用词不准确，专业领域背景知识缺乏，写作水平又差，真觉得不能胜任翻译工作。把“数控发电机”译成“数字化发电机”，把“保税仓库”译为“保证税收的仓库”，这样的例子比比皆是。由于历史背景和专有名词的缺乏，单纯从字面意思出发，把“五四运动”中的“运动”直译为“Sport”(即体育运动)，这样的笑话也出了不少。由于自己的中文基础不扎实，词汇变化少，语言贫乏，翻译出来的东西语言不通顺。外语的学习则是从认知语言学起，我们掌握了大量的词汇、语法后，再串成句子连成段落。老师在讲述外语的过程中不可能一篇文章或一段话地讲解，学习效果很不地道。学完外语专业只能表示具备翻译行为，而并不具备职业翻译能力。换句话说，学完外语专业不是就能做翻译了。本科生在大学学习阶段，大多没有接触过系统的翻译课程训练，即使有翻译课程也是在大三下学期或大四才开课。没有平时的训练怎么能成为合格的翻译呢?由于高等教育的日益普及，本科教育已不是终端教育。学生在本科阶段主要打好语言基础，在研究生阶段进行集中翻译学习培训。专家普遍认为，要成为一名合格的翻译，需要在本科毕业后，用2至3年进行专门的翻译课程学习，在工作中磨练若干年，并学习相关的专业知识和术语等。

三.那么在以后的学习和工作中怎样才能做一名合格翻译呢，具体有一下几点需要注意：
