15. 装运条款(terms of shipment)：

(1) fob交货方式

19. 索赔(claim)：

买方凭其委托的检验机构出具的检验证明书向卖方提出索赔(包括换货)，由此引起的全部费用应由卖方负担。若卖方收到上述索赔后______天未予答复，则认为卖方已接受买方索赔。

20. 迟交货与罚款(late delivery and penalty)：

除合同第21条不可抗力原因外，如卖方不能按合同规定的时间交货，买方应同意在卖方支付罚款的条件下延期交货。罚款可由议付银行在议付货款时扣除，罚款率按每__天收__%，不足__天时以__天计算。但罚款不得超过迟交 货物总价的____ %.如卖方延期交货超过合同规定__天时，买方有权撤销合同，此时，卖方仍应不迟延地按上述规定向买方支付罚款。

本合同有关用语的含义如下：

第2条 业务内容及价格

第3条 提供译文

（1）乙方同意按甲方书面要求之日期完成其委托翻译之任务。

（3）乙方按照乙方制定的质量翻译标准进行翻译作业，此质量翻译标准为鉴定译文品质之唯一标准。

（4）乙方有义务在甲方书面或电子邮件通知后对译文所出现的错误进行及时免费修改。

（5）乙方将提供甲方一份电子翻译文件和书面翻译文件，并盖乙方翻译章。

第4条 许可使用译文

乙方许可甲方利用译文制作成各式文档公开登载和展示。

乙方与甲方协商后决定是否标注译文的作者。

第5条 免责

甲方的用户可以免费使用译文，并可对译文进行复制或修改编译。用户或第三方以任何方式对译文进行使用、修改、演绎、下载或转载，乙方的所有者均不对包括许可方在内的任何人承担任何责任。

第6条 陈述与保证

双方保证其具有签订和履行本合同的权利和能力。

甲方保证译文由甲方的用户使用。

甲方保证译文的著作权人（如甲方不是信息的著作权人）同意其签订和履行本合同并不要求乙方的所有者支付任何费用，乙方可要求许可方就此提供译文的著作权人签署的文件。

乙方保证其向甲方提供的译文的及时性、完整性、合法性、真实性和准确性。

甲方保证乙方使用其译文的信息不构成对第三方任何权利的侵犯，同时甲方保证其签订，履行本合同不构成对第三方的违约或对第三方任何权利的侵犯，亦不会使乙方的所有者对任何第三方承担任何责任。

因甲方提供译文造成的对任何第三方的侵权，包括但不限于侵犯第三方的著作权，由甲方负责解决。

第7条 期限

本合同有效期为_________，即自_______年______月______日起至_______年______月______日止。合同到期后自行终止。

第8条 违约责任

任何一方不履行，不完全履行，不适当，不及时履行本合同，另外一方有权要求对方按约定履行本合同或解除本合同，并要求对方赔偿相应的损失。

任何一方由于不可抗力导致不能履行，不能完全履行本合同，就受不可抗力影响部分不承担违约责任，但法律另有规定的除外，受不可抗力影响的一方应及时通知对方，以减轻可能给对方造成的损失，并应当在合理期限内提供相关证明。

第9条 保密

未经甲方许可，乙方不得向第三方泄露本合同的条款的任何内容以及本合同的签订和履行情况，以及通过签订和履行本合同而获知的对方及对方关联公司的任何信息。

乙方按照甲方的要求提供保密措施。

一、甲方委托乙方为其提供翻译服务，及时向乙方提交清晰、易于辨认的待译资料，提出明确要求，并对乙方的翻译质量进行监督。

二、乙方按时完成翻译任务（如发生不可抗力的因素除外），向甲方提供已翻译好的打印件及电子文件各一份。具体交稿日期由双方商定。对于加急稿件，交稿期限由双方临时商议。

三、乙方对甲方提供的任何资料必须严格保密，不得透露给第三方。

四、翻译工作量统计：电子译稿：按电脑统计的中文版字符数计算（中文版d中“不计空格的字符数”）；打印译稿：按中文原稿行数215;列数统计计算（行215;列）。

五、乙方按优惠价格向甲方收取翻译费用：英为_________元千字符（_________字以上）。

六、乙方可以在翻译开始前为甲方预估翻译费，甲方付款时则按实际发生的工作量支付给乙方翻译费用（工作量统计方法见本合同第四条）。

七、乙方承诺，交稿后，对翻译稿进行必要修改，不另行收取费用。

八、付款方式：甲方在收到乙方译稿的当日按实际费用先支付乙方翻译总费用的50％，余款应在交稿后的____日内付清，如第____日余款还未付清，则甲方每延误一天需要向乙方交纳翻译总费用_________‰的滞纳金。
