七、资料必须在规定时间内完成，若在规定时间内无法完成任务的人员，超过三天每天扣50元，超过五天每天扣100元，超过十天我们将不给剩余的工资。(这点规定望翻译人员特别注意!)

八、薪资结算以甲方编辑部审核出的正确录入文字量为基数，错误录入字数不计算在薪资之内。工资每万字1500元，做满一个月者升为1600元(为了保证双方的利益每一万字可以结账一次)，甲方于乙方提交一万字录入当日将款项汇入乙方所指定的银行账户。

九、罚责：甲方应按照议定价格付款，若有超逾应付款项，经乙方发现时，甲方除应予更正外，且愿处以该笔溢请款项之壹百倍罚款。

十、保密责任：乙方对甲方所委托之翻译文稿内容，应负保密之法律责任，非经甲方书面同意，不得私自利用或对外发表或揭露。

十一、本合约所涉及文稿的知识产权或相关权利归甲方所有，乙方完成翻译经甲方验收后，应将相关文稿一并返还甲方，不得私自留存。

十二、违约：除另行约定外，任一方若有违反本合约任一条款，另一方有权解除本合约，并有权要求违约方赔偿相关损失及费用(含律师费)。

十三、在未发稿之前，我们将附带简单的合约书，一式两份，乙方在其中一份合约书上签字后与甲方联系以确认其身份、地址及签约合同后应预付给乙方50%的工资即7500元。(注明：需将先完成翻译的一万字的Word文档上交甲方后可预领百分之五十的工资即7500元。)

十四、在乙方录入第一份手稿工作完毕后，应将其中一份合约书尽快邮回给甲方(可使用普通挂号信)以取得身份证明、管理档案，保障任务和工资发放的作用。

十五、译后署名权：乙方完成书稿翻译后，甲方会在出版时加入乙方署名，即所谓的译后署名权。(经署名将在甲方发行出版物时加入书中!)

十六、乙方必须申请加入甲方会员，并支付200元押金，此押金将在乙方接到手稿后返还乙方。

十七、近期甲主录入资料多为商务文稿和贵重手稿。安全起见，甲方将对乙方暂时性收取500元人民币作为版权保密金。等乙方工作完毕时，甲方将退还乙方该保密金。

十八、乙方要对甲方所委托翻译文稿内容担负保密的法律责任，非经甲方书面同意，不得私自利用或对外发表或泄露，否则500元保密金将不退还。

十九、 关于本合约产生争议，双方同意以__________________________为第一审管辖法院。

2、 乙方应按甲方的要求提供及时、准确、规范的服务。

3、 乙方对已经翻译完成的译稿，在一个月内仍有修改的义务。

4、 乙方有义务对甲方的所有翻译稿件或资料有保密责任，因乙方的泄密对甲方造成损失的，乙方应负赔偿责任。

5、 在涉及本地化和全球化业务时，乙方必须保证符合本地化和企业全球化的相关要求，因乙方工作失误，达不到相应的要求对甲方造成损失的，乙方应负赔偿责任。

六、本协议有效期内基于业务运作需要，双方协商共同定制的其他相关制度和书面文件，其效力等同于本协议。

七、本协议未尽事项，经双方协商一致签订补充协议，补充协议与本协议具有同等效力。本协议一式两份，甲乙双方各执一份。本合同协议经签字盖章后生效。

第五条乙方责任

3、乙方要做好商铺的安全、防火、防盗工作，不得在商铺内(包括二楼)使用明火的炊具，不能占用公共场地作经营或堆放货物杂物之用。因乙方责任发生的失火、失窃等事故并因此导致商业小区的损失均由乙方负责赔偿。

4、未经甲方同意，乙方不得擅自改动，拆除铺位内的建筑结构和装修设备。

5、乙方负责保管，维护商铺内的设备、设施，如有损坏，要及时维修，费用由乙方负担。

6、乙方应积极协助配合甲方对商铺、设备、公共设施的检修工作，不得妨碍检查和施工，更不得以此作为不交、少交或拖欠各项应交费用的理由。

7、乙方如需对所承租的商铺进行内部装饰、装修，应将装修设计方案报知甲方，批准后方能施工。乙方迁出时，商铺内所增设的一切的嵌装在建筑物结构内的附属设施不得拆除，甲方也不予补偿。乙方在小区内张贴宣传品或设置广告，应按小区的有关规定办理手续，并服从甲方统一规划。

第七条违约责任

2、乙方在租赁期内违约或人为损坏小区建筑物、设施的，先以保证金赔偿，保证金如不足以赔偿时应补足差额;扣除保证金后，乙方应在____天内补足原保证金数额，如不按期缴纳或补足保证金，甲方有权单方解除本合同，乙方应承担全部违约责任。

5、乙方如擅自改动、拆除铺位的建筑结构、装修，除必须恢复原状外，并赔偿由此而造成的一切损失。

6、乙方不得擅自改变商铺使用性质和经营项目;不得擅自转租、分租;不得连续停业、空置、歇业超过____天;不得将商铺作经济担保、抵押;更不得利用商铺进行非法活动。如乙方有上述行为之一的，甲方有权提前单方解除合同，保证金不再退还，并由乙方承担全部违约责任。

第八条其它

1、租赁期内，如遇不可抗力的自然灾害造成的损失，由双方协商减免停业期间的租金(须致使乙方连续停业达_____天以上，方计入甲方减免收乙方租金的范围，否则乙方应正常缴交租金给甲方)，若因灾害影响连续两个月还不能使用该商铺的，则作本合同自动终止，互不承担责任。

一、合同内容

1.翻译服务范围： 乙方负责甲方__________项目的所有宣传，产品资料的翻译工作，乙方负责安排专业翻译人员和外籍校对人员保障翻译质量。

5.字数计算： 无论是英文翻译成中文，还是中文译成英文，均按电脑工具栏字数统计的“字符数(不计空格)“为准。

6.小件翻译： 不足1000字超过500字按1000字计算，不足500字按1000字费用的50%计算。

7.笔译价格(单位：_______________RMB/千字)中译英

8.校正费用： 甲方提供基本合乎翻译标准的资料，乙方的校正费用为(单位：_______________RMB/千字正后所导致的翻译纠纷由双方承担。

9.翻译文件至少达到3000字可由乙方免费排版，低于3000字请由甲方自行排版。

10.付款方式： 每月月底根据交稿单的内容来统一核算乙方的翻译费用，每月号汇款到账。

11.甲方权利与义务

11.1、甲方向乙方提供翻译资料，作为乙方翻译的工作内容。

11.2、甲方向乙方保证所提供的文稿已取得版权或许可，文稿中没有任何容易引起刑事或民事纠纷的内容。文稿中对于不合理或违反中华人民共和国法律法规或国际法或国际惯例的服务要求，乙方有权予以拒绝。

11.3、甲方如对乙方译稿有异议，甲方有权在取稿之日起5日内向乙方提出修改意见，乙方应按甲方要求在规定的时间内免费进行修改、校对，直至甲方满意为止。稿件满意度以措辞准确，文句调理清楚，无官方翻译错误为准。

11.4、乙方应尽量避免翻译的偏差。因乙方翻译失误而引起损失，甲方有权追究其责任。因甲方提供材料失当导致的翻译错误应有甲方全权承担，因由乙方自身翻译失误所带来的经济损失由乙方承担印刷部分经济责任，并且甲方应当提供与印刷商合作的相关价目详表。

11.5、甲方有权在任何时间要求乙方提供已累积翻译字数，并给予核实。

12.乙方权利与义务

12.1、乙方有权要求甲方无偿提供相关背景资料。

12.2、乙方出于保密起见只负责保存原文和译文至发生款项付清为止,此后不得保留译稿和磁盘。

12.3、不管甲方的商业利润如何，乙方均有权获得翻译费。

12.4、乙方应该根据甲方要求，以下面的任何方式提供交稿文件： 打印稿、电脑光盘、移动硬盘、E-mail。乙方翻译样稿所花费的纸质消费应由甲方承担。

12.5、乙方应按甲方要求的时间(不排除法定假日)提供翻译稿件，如乙方未能在指定时间完成翻译任务，甲方有权不支付任何价款，并有权追究因翻译延误给甲方造成的损失。

13.原稿修改与补充： 如甲方原稿修改，而需乙方对译文作相应修改，根据修改程度酌量收取改稿费，或在收取原稿翻译费后，对修改稿按单价重新计费。如补充翻译，则另行收费。

14.交稿方式： 乙方可根据具体需要，采取以下交稿方式中的任一种来交稿： 打印稿、电脑软盘、传真、电子邮件。

15.版权问题： 乙方对于甲方委托文件内容的版权问题不负责，由甲方负全责.保密性：_______________乙方遵守翻译职业道德，对其译文的保密性负责。
