鉴于：

1、甲方是依法注册成立并取得合法从事电影片制作资格的电影制作单位，甲方计划摄制电影片《_________》(下称电影片);乙方是依法注册成立的经纪公司，_________为乙方签约演员，乙方有权代表该演员签订本聘用合同;

2、乙方的签约演员是具有完全民事行为能力的自然人并且该演员是具有一定表演经验的影视演员，在多部影视剧中出演过重要角色;因此甲方决定聘用该演员在其计划摄制的电影片中担任_________(角色)，乙方表示同意。

第一条 出演角色

第二条 工作期限

第三条 定金

第四条 报酬及支付

第六条 参与筹备工作

在电影片开机之前，甲方有权要求演员参加拍摄筹备会、试装、试拍等拍摄筹备期内需要演员参与的工作，无需另行向乙方支付酬金。乙方应协调演员的档期，确保演员能够参加上述筹备期工作。

第七条 参加其他摄制工作

在电影片停机之后，甲方有权要求演员参加配音、补拍、重拍等不超出演员专业职责范围的电影片的其他摄制工作，但累计不得超过_________天，否则，每超过一天应向乙方支付_________(税前税后)酬金￥_________元。乙方应协调演员的档期，确保演员能够参加上述摄制工作。

第八条 工作要求

演员在工作过程中应接受甲方的指导和管理，遵守甲方制定的规章、制度。但甲方不得干预演员的正当权限或违反行业惯例。甲方有权随时检查演员的工作，但不得影响演员的正常工作，演员应予以配合。

演员工作正式开始之日至演员工作结束之日，演员应专职为甲方工作，不得参演与该电影片内容相类似的其他影视作品。演员如违反此规定，应向甲方支付_________元的违约金。

演员应于其工作结束之日起_________日内将甲方向其提供的文学剧本及相关资料全部归还甲方或按照甲方的要求将其销毁。

第九条 著作权及署名权

甲方依法享有电影片的著作权。

若电影片得以拍摄并成功发行，演员依法享有在电影片及相关衍生产品中的署名权。演员署名的格式、具体位置及字体大小由甲乙双方根据国家的相关规定协商决定。

第十条 姓名、肖像的使用

甲方有权无偿使用或许可播放者、发行者在电影片、电影片的衍生产品、电影片的宣传片或预告片使用演员的姓名和肖像。但仅限于电影片推广、宣传之目的。

第十一条 参加宣传活动

甲方有权要求演员参加电影片的开机仪式、首映式以及其他宣传活动，无需就此向乙方支付酬金。乙方应当积极参加并配合甲方的有关宣传活动。

甲方要求演员参加的宣传活动最多不超过_________次;否则，每超过一次应向乙方支付_________(税前税后)酬金￥_________元，乙方亦有权拒绝甲方要求。

第十二条 其他费用承担

从演员工作正式开始之日起至演员工作结束之日止，甲方应负责安排演员工作所需的住宿、饮食和交通，费用由甲方承担。若甲方要求演员到国内其他拍摄场地工作，甲方应承担往返交通费用。若甲方要求演员到国外的拍摄场地工作，甲方应负责办理相关证件和手续并承担一切费用。

甲方要求演员参加本合同规定的工作以及电影片的宣传活动，应承担演员食宿及往返交通费用。

第十三条 提供剧装

演员在电影片中的服装、道具、化装造型等均由甲方负责提供。

第十四条 保险

为确保演员在表演过程中的人身、财产安全，甲方应为演员办理商业保险，具体包括：_________。

第十五条 双方保证

甲方：

1、保证其为取得《摄制电影许可证》并经依法注册和合法存续的电影制片单位;

2、保证已就计划拍摄的电影片取得《摄制电影片许可证(单片)》并经依法注册和合法存续的法人单位;

3、保证电影片不会包含任何侵害乙方、演员合法权益或者违反国家法律禁止性规定的内容;

4、在签署本合同时，任何法院、仲裁机构、行政机关或监管机构均未作出任何足以对甲方履行本合同产生重大不利影响的判决、裁定、裁决或具体行政行为;

5、甲方为签署本合同所需的内部授权程序均已完成，本合同的签署人是甲方法定代表人或授权代表人。本合同生效后即对合同双方具有法律约束力。

乙方：

1、乙方保证其为依法注册成立并合法存续的具有文化经纪资格的经纪公司;

2、乙方与演员依据《中华人民共和国劳动法》的规定建立了劳动关系并订立了劳动合同，演员在本合同中的工作结束之前，其与演员之间的劳动合同持续有效(或者：乙方与导演依据《中华人民共和国民法典》的规定订立了委托代理合同，导演在本合同中的工作结束之前，其与导演之间的委托代理合同持续有效);

3、保证在本合同签署之前，不存在任何针对演员的权利纠纷、索赔或者诉讼;

4、在本合同规定的演员的工作期限内，乙方不会使演员受聘于与该电影片内容类似的影视作品的拍摄;

5、保证演员有能力履行本合同下的所有义务;

6、保证演员履行本合同下的所有义务，皆不存在任何法律上的障碍。

第十六条 甲方的除外责任

若乙方与演员之间为劳动关系，乙方作为演员的用人单位，应为演员办理养老、失业、医疗等社会保险，依法履行《中华人民共和国劳动法》及其与演员订立的劳动合同规定的由用人单位承担的其他义务。若乙方未依法履行其作为演员用人单位的相关义务，由此引起的一切后果由乙方自行承担;乙方与演员之间的劳动关系纠纷一概与甲方无关。

若乙方与演员之间为委托代理关系，乙方与演员因委托代理合同所产生的纠纷亦与甲方无关。

第十七条 乙方与演员的连带责任

在本合同生效期间内，不论因乙方或演员任何一方的原因导致乙方与演员订立的劳动合同(或委托代理合同)终止，演员仍应继续履行本合同;若演员因其与乙方订立的劳动合同(或委托代理合同)终止而拒绝继续履行本合同，由此给甲方造成的一切损失，乙方与演员应承担连带赔偿责任。

第十八条 合同的解除

发生下列情形之一，甲乙双方可以通过书面形式解除本合同：

1、演员因自身原因不能履行本合同规定的义务，累计或连续超过_________天;

2、甲乙双方在本合同中所作保证不真实或为实现的;

3、演员部分或完全丧失民事行为能力致使其不能继续履行本合同;

4、甲方拖欠乙方酬金累计达到乙方全部应得酬金的百分之_________，经乙方催告后，仍不履行支付义务的;

5、甲乙双方破产、解散或被依法吊销企业法人营业执照;

6、甲方被依法吊销《摄制电影许可证》或《摄制电影片许可证(单片)》。

第十九条 合同的终止

1、电影片后期制作完毕，甲乙双方另有约定的除外;

2、甲乙双方通过书面协议解除本合同;

3、因不可抗力致使合同目的不能实现的;

4、在委托期限届满之前，当事人一方明确表示或以自己的行为表明不履行合同主要义务的;

5、当事人一方迟延履行合同主要义务，经催告后在合理期限内仍未履行;

6、当事人有其他违约或违法行为致使合同目的不能实现的;

7、_________。

第二十条 保密

未经甲方同意，乙方或演员均不得在电影片公映之前向任何第三方泄漏剧情、演员、拍摄进度等与电影片相关的一切信息。若本合同未生效，乙方或演员均不得泄露在签约过程中知悉的甲方的商业秘密。

乙方或演员保证对在讨论、签订、执行本协议过程中所获悉的属于甲方的且无法自公开渠道获得的文件及资料(包括商业秘密、公司计划、运营活动、财务信息、技术信息、经营信息及其他商业秘密)予以保密。未经甲方同意，乙方或演员不得向任何第三方泄露该商业秘密的全部或部分内容。但法律、法规另有规定或双方另有约定的除外。保密期限为_________年。

乙方或演员若违反上述保密义务，乙方和演员应对甲方因此而遭受的损失承担连带赔偿责任。

第二十一条 通知

第二十二条 合同的变更

第二十三条 合同的转让

除合同中另有规定外或经双方协商同意外，本合同所规定双方的任何权利和义务，任何一方在未经征得另一方书面同意之前，不得转让给第三者。任何转让，未经另一方书面明确同意，均属无效。

第二十四条 争议的处理

1、本合同受中华人民共和国法律管辖并按其进行解释。

2、本合同在履行过程中发生的争议，由双方当事人协商解决，也可由有关部门调解;协商或调解不成的，按下列第_________种方式解决：

第二十五条 不可抗力及意外事件

不可抗力：

2、声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后_________日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方，有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响。

3、不可抗力事件发生时，双方应立即通过友好协商决定如何执行本合同。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本合同项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。

4、本合同所称不可抗力是指受影响一方不能合理控制的，无法预料或即使可预料到也不可避免且无法克服，并于本合同签订日之后出现的，使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震，以及社会事件如战争(不论曾否宣战)、动乱、罢工，政府行为或法律规定等。

意外事件：

1、非因双方当事人过错，出现本条第一款规定的不可抗力事件以外的甲乙双方不能控制的情况，包括但不限于天气反常以及电影片导演或其他主要演员生病、受到意外伤害或死亡等，致使电影片的拍摄迟延，甲方应立即采取补救措施，并将拍摄计划顺延的时间书面通知乙方;因此而未能按原拍摄计划完成电影片的拍摄，乙方无需承担违约责任。

2、若本条规定的情况致使电影片的拍摄迟延超过_________天，任何一方皆可通过书面形式通知对方而解除本合同。

第二十六条 合同的解释

本合同的理解与解释应依据合同目的和文本原义进行，本合同的标题仅是为了阅读方便而设，不应影响本合同的解释

第二十七条 补充与附件

本合同未尽事宜，依照有关法律、法规执行，法律、法规未作规定的，甲乙双方可以达成书面补充合同。本合同的附件和补充合同均为本合同不可分割的组成部分，与本合同具有同等的法律效力。

第二十八条 合同的效力

本合同自双方或双方法定代表人或其授权代表人签字并加盖单位公章或合同专用章之日起生效。
