2.4本合同产品不包括乙方外购件的专利技术，但乙方必须问甲方提供外购件的样本和技术说明资料与制造厂商的名称。

第三条 合同价格

3.3提成费按当年度合同产口销售后的净销售价格计算，提成率为%，合同产品未销售出去的不应计算提成费。

3.4在提成费结算日后10天之内甲方应以书面通知的形式向乙方提交上一年度合同产品的销售数量、净销售额和应支付的提成费，净销售额和提成费的具体计算方法详见本合同附件三。

3.5甲方依据本合同的专利许可，销售的合同产品一经付款则视为货已售出。

3.6若在交付专利权使用费后，已售合同产品被退回或折价，甲方有权在以后支付的专利权使用费中扣除因此而多支付的专利权使用费。

3.7乙方如需查核甲方的帐目时，应在接到甲方依上述第3.4款规定开出的书面通知后10天内通知甲方、其具体的查帐内容和程序详见本合同附件四。

第四条 支付条件

4.1本合同第三条中规定的提成费，甲方将通过x银行（此处为甲方的业务银行)和x银行（此处为乙方的业务银行）支付给乙方，支付中使用的货币为＿＿＿＿。

4.2乙方在收到甲方按第3.4条的规定发出的书面通知后应立即开具有关的单据，甲方在收到乙方出具的下列单据后三十天内。经审核无误，即支付提成费给乙方：

a.提成费计算单一式四份；

b.商业发票一式四份；

c.即期汇票一式一份。

4.3按本合同规定，如乙方需要向甲方支付罚款或赔偿时，甲方有权从上述支付中直接扣除。

第五条 技术服务和培训

5.1技术服务

5.1乙方在合同有效期内派遣一名技术专家到甲方，对合同产品的图纸和技术资料进行解释，并就产品设计、制造、调试和检验，以及维修等方面进行技术指导，以使甲方在保证合同产品性能的情况下，能尽快采用国产的材料和元器件，实现合同产品的生产。

5.1.2.乙方在合同有效期内分两次派遣技术人员赴甲方进行技术服务，共30人日。

5.1.3.第一次技术服务在合同生效后第六个月，乙方派遣技术人员1人赴甲方工厂，提供技术指导12日。

5.1.4.第二次技术服务在合同产品验收期间。乙方派技术人员1人赴甲方工厂，提供技术服务，时间为18日。

5.1.5.乙方负担其人员的旅差费。甲方负担由驻地到工厂的交通工具和膳宿费。

1、 乙方负责广告镜购买及安装的全部费用，并按规定做好广告镜安装及维护工作。

2、 双方就此合作建立以乙方名义的帐务，并设立独立帐户，广告费收入汇入该帐户。

3、 甲方负责广告位与电源的支持。

4、 其他有关广告管理事务的处理均由乙方负责并支付有关的审批、管理、及发布费用。

9、 甲方如有其它业务与乙方合作，乙方将予以甲方最大的优惠政策。

9、 在广告镜广告位空置期间，可用于发布公益广告或为双方进行自我宣传。

四、 责任和义务：

1、 乙方所承接发布的广告应遵守《广告法》的有关规定，办理有关政府审批手续。

2、 乙方所发布的广告位，其结构设计、维护保养、安全使用等均由乙方负责。合同期内由于广告镜面安装、使用及维护不当给第三方造成伤害及影响的，由乙方负责。

3、 乙方在代理期间，无权将代理之位置全部或部分转让与第三方法人或自然人从事广告代理或广告发布之用。而此种转让应认为是无论何种方式。

4、 如其他商家有合作意向，并向甲方咨询魔镜广告位事宜，甲方可向商家建议与乙方联系。

5、 甲方在经营政策或经营范围发生重大改变时，应及时通知乙方以便乙方做出调整。如甲方经营政策或经营范围发生的重大变更对乙方的经营造成重大影响的，乙方有权提出更改协议。

6、 协议范围内的所有广告位的制作形式，由乙方根据情况及现实技术进行设置，但应保持良好的外观形象。

7、 乙方进行广告镜安装及后期维护期间，甲方应予以积极配合(如水电、人员进出等各方面)。

五、 合同续期：

1、 在一期合同期满后，甲乙双方应根据实际情况进行合同续期，进行合作条件的重新协商。

2、 乙方须于协议期满前60天内同甲方商定有关续期事宜，并在协议到期前30天内签订续期协议。如乙方为履行原广告客户合同而必须延期续约时，甲方可考虑单独适当延续本协议中部分位置至乙方与其客户合同期满为止。

六、 违约责任：

1、 甲乙双方如有违约，应承担5万元的违约赔偿金。

2、 如因一方违约而造成另一方无法履行协议时，本协议可即时中止，由违约方承担全部责任，并做出赔偿。

七、 终止协议：

在协议履行期间，如发生下述任何一种情况，双方有权终止协议，不需承担违约责任。

1、 国家政策、法令而至协议无法履行的。

2、 因城市规划等公众利益而至本协议无法履行的。

3、 发生不可抗力事件，事后无法恢复的。

八、 其他事项：

1、 甲乙双方公司资料如有更改，须在更改前及时通知对方。

2、 声称发生不可抗力的一方应及时通知对方，并提供发生该不可抗力事件和持续时间的适当证明。

3、 一旦发生不可抗力事件，本协议约定的各方义务在不可抗力引起的延误期内暂时终止，协议期限应自动延长，延长时间与该终止期相同，双方无须为此付出任何罚款。

4、 在发生不可抗力事件时，各方应立即互相协商以寻求一项公平的解决方法，并尽一切合理的努力来尽量减少这种不可抗力事件引起的后果。

九、 在合约期间，如双方就本协议的解释或履行发生争议时，首先应争取通过协商方式来解决，如协商无法解决，则交由廊坊市人民法院起诉。

本协议一式俩份，甲乙双方各执一份，自双方签字盖章之日起生效。

数字电影连锁加盟合同

1.特许授权

（1）甲方特许乙方在_______省_______市_______县（区/镇）开设数字电影项目连锁店，专门经营甲方统一提供的数字电影项目

（2）甲方将其所有的数字电影商标、产品及相关的经营模式以本特许经营合同的形式授予乙方使用，乙方须按本合同的规定，在甲方统一的业务模式下从事数字电影放映点的经营活动。

（3）甲方将特许经营权以直接许可的形式授予乙方，乙方不得再行向任何第三方转让特许权。

2.加盟费用

乙方在本合同签订后一个星期内，一次性以现金或汇票形式向甲方指定帐户支付加盟费用________元；一套设备购置费_______元；乙方加盟的第一年，为支持乙方的运营，甲方特许乙方可以先期只支付设备费，加盟费用延至当年的年末支付；从第二年起，乙方应付给甲方的加盟费，合同续签之日一次性交付给甲方；凡甲方提供设备及影片的放映点，由乙方经营，甲方不再向乙方收取加盟费，但乙方保证该放映点每月票房收入不低于_________元，甲乙双方按三七分账，甲方得票房的70％，乙方得票房的30％，由当地代理机构负责每月结算一次。

3.经营方式

（1）乙方必须在合同签订之日起_________天内，以其名义在当地工商局、税务局办理相关的工商税务登记手续，自筹资金设立数字电影连锁店，并以此作为最终获得数字电影特许经营权的前提。

（2）连锁店内的投影机、幕布等专业相关器材，乙方须从甲方或甲方在当地的代理方处购置。

（3）乙方在经营期间必须自我投入、自主经营、自负盈亏。即乙方合法享有连锁店的全部经营权利和义务，并承担经营期间内所发生的一切债权、债务。甲方对此无需承担任何责任。

（4）乙方在经营期间只能经营甲方提供并许可其经营的数字电影项目，和后续的音像连锁、市场调查等项目；不能经营其它任何形式的非甲方许可业务或产品。

（5）乙方在经营连锁店时，由乙方提议的电影票价及增减幅度，必须经甲方认可。

4.甲方权利和义务

（1）甲方权利：

a.甲方及其指定的代理机构有权根据市场情况和项目运行情况对乙方播放的电影类型进行适当的调配；

b.甲方有权对乙方的经营管理、营业状况、财务情况、电影放映等情况进行检查、核对；

c.在本合同履行期间，如因乙方的违约造成甲方或其指定的代理机构经济损失和企业形象的损坏，甲方有权视情况予以处罚，并有权要求乙方赔偿经济损失；

d.乙方如果违反本合同的基本权利和义务或造成企业形象重大破坏，甲方有权单方面终止合同。

（2）甲方义务：

a.负责数字电影项目所需要的设备、技术、片源等，并负责依约向乙方提供上述产品及售后服务；

b.提供乙方成立连锁店时所需由甲方出具的有关证明文件；

c.甲方或其指定的代理机构向乙方提供经营数字电影项目的专业技术培训，包括运营管理、店务管理、陈列推广、设备操作等；

d.负责向乙方提供店面形象设计；

e.负责制定和修改连锁店的经营手册、经营守则；

5.乙方权利和义务
