1.        同意免除自20__年1月1日起至20__年12月31日的授权使用费81,666美金；减免之后，Camsing应付的款项为163,334美金（计算方式：245,000 -81,666=163,334）。同意，按本协议约定支付减免后的授权使用费163,334美金后，不再向主张任何费用，包括但不限于授权使用费、违约金等。

4.       应严格按照分期付款计划执行，如有一期逾期支付则视为违约，届时剩余应付款项的支付期限立即到期，并且原先减免的20__年度81,666美金的授权使用费不再减免，将一同并入应付款项由立即一次性全额支付，同时，还应按未付款项总金额每日万分之五的标准向支付逾期付款违约金。

5.        法律适用及争议解决：本协议适用中国法律。凡因本协议引起的或与本协议有关的任何争议，均应提交至深圳国际仲裁院（SCIA）按照其仲裁规则进行仲裁，届时败诉方应承担对方为解决本争议而产生的一切合理费用，包括但不限于仲裁费、律师费、差旅费、评估费、调查费、鉴定费等相关费用。

Applicable Law and Dispute Resolution: This Agreement shall be governed by the laws of China. Any dispute arising from or in connection with this Agreement shall be submitted to Shenzhen Court of International Arbitration (SCIA) for arbitration according to SCIA’s Arbitration Rules, and the losing party shall bear all reasonable ges of the other party concerning dispute resolution, including but not limited to arbitration fees, lawyer’s fees, business trips costs, evaluatioges, investigation fees, appraisal costs, etc.);

6.        本协议生效后，即成为原协议不可分割的组成部分，与原协议具有同等法律效力。除本协议对于剩余应付款项的约定外，原协议的其余部分应完全继续有效。如本协议与原协议发生冲突时，以本协议为准。

This Agreement, after its entry into force, becomes an integral part of the Initial Agreement and has the same legal effect. Except for the provisions about the remaining unpaid payment stipulated herein, other provisions of the original agreement shall remain in full effect. 英文补充协议变更的起草

一般来说对于合同的小修改，没有必要重新签订合同，重新签订都是费时费力，也没有必要，所以都用补充协议对原合同进行修改。如果对合同改变重大的话，比如对方想换个姊妹公司来签合同，或者合同条款有多处重大变更，可以说从根本上改变了合同的内容，都可以重新签订合同的。重新签订合同有两种方式。一种是交出所有原合同的原件，然后废除，撕毁都可以，然后再签订新合同；如果对合同原件到底有多少份不清楚的话，保险起见可以先起草一个对原合同的终止协议，然后再签新合同。当然如果为了做到天衣无缝，两个合同之间权责无缝转移的话，我自己使用过这种模式，不用撕毁原合同或者起草终止协议，先在新合同中写终止原合同，一般写新合同生效后原合同立即终止，在新合同未生效前原合同保持有效。然后在新合同上盖上三种章，第一种是原合同的对方的章，第二种是新合同的对方的章，第三种是我方的章，这样操作有个缺点是财务看见合同上有三个章，如果她们不看合同内容的话，有时候容易混淆合同内容。

言归正传，给大家分享一个我起草的比较简单的补充协议。

忘了给大家说了，之前跟一位做国际工程的朋友讨论补充协议和变更怎么翻译，我倾向于合同变更翻译为amendment, 补充协议翻译为addendum.不知道大家什麽意见？不过我自己一般都是不加区分的用amendment的。

EXPLOSIVES SALE AGREEMENT

WHEREAS: The Explosives Sale Agreement with Contract No: for the construction of XYZ Motorway Road Project has been signed on 11 March 20xx between Company(hereinafter called "the Buyer") and the MULTI BIZ FZE(hereinafter called "the Seller").

WHEREAS: The Buyer and the Seller have a meeting about the L/C and the Contract Agreement in the afternoon of 25 March 20xx, the Seller suggested that the volume of the goods is excessive and deliver them in one time would be hard; the Seller further suggested that the transshipment would not affect the goods quality since the goods are loaded with containers in the whole shipping period, it is very normal for cargoes to be transshipped in international shipment.

In order to ensure the smooth execution of the said Contract Agreement, it is agreed that the goods should be allow to transshipped and partial shipped; accordingly, delete the word "not" from second line, first paragraph of Clause 14 shipment of the Contract agreement (Contract No. CCCAAA-MBIZ-01-20xx).

The Seller further agreed that the goods would all be delivered within two shipments.

For any discrepancy between this amendment and any of the Contract Agreement, both parties agreed that this amendment to the Contract Agreement shall prevail.

上周，被戏称为“东莞女侠”的石龙女子徒手拆掉柜员机的图文被网友疯狂转评。经媒体报道后，更是登上各大门户网站的显眼位置，成为热点话题。监控录像显示，女子反复取钱不成，对着电脑显示屏狂拍，又徒手将取款设备的塑料胶框掰下，并将电脑显示屏用力拽了下来。警方称，女子疑似患有精神病，后由东莞市精神病院关押治疗。

虽然疑似精神病病人所为，由此或可解释光天化日拆卸ATM机或是其头脑不理智的举动。但事件的主角并不是这位女子，而是那个被拆得七零八落的ATM机。舆论热切关注的重点在于，印象中本该固若金汤的ATM机，却被一名女子徒手大卸八块，这与他们的认知相去甚远。

从铺天盖地的转评来看，不少网友对女子不可思议的动手能力表示“惊呆了”，纷纷调侃其是“武当传人”、“民间高手”。在调侃背后，更让他们担心的是，供大家存取现金的ATM机为何如此容易就被拆卸?他的使用年限以及日常保养情况如何?还有网友担心，“即使拆了ATM不能获得现金，也不排除有不法之徒去效仿，如果出现大规模人为破坏，无论是对银行还是对储户，都会带来损失和不便。”也有网友提醒，徒手拆ATM机一定程度上说明了这台机器的“脆弱”，银行方面应该提高警醒，加强对设备检修和管理。

然而面对舆论的热烈反应，涉事方的回应却显得不够积极。在此事发生后，这台ATM机的主人—东莞银行方面书面回复媒体称，“因取款未果，涉事女子行为失常，进而反复拉扯、恶意破坏ATM机具，导致机具操作台模块脱落。事件并未造成ATM内现金损失。”面对舆论持续的质疑，10月23日，东莞银行办公室负责人解释称，经过现场检查，被拆的ATM机只是机身上半部分用于操作模块脱落，而内部线路完好无损且ATM里的现金并未丢失，实际情况并不是网友图片中显示的那么“恐怖”。

不过，东莞银行方面并未就这台ATM机的使用年限以及日常保养维护的相关情况给予回复。有说，“我们关心的是为什么ATM机如此脆弱，但得到的回答是，虽然被拆但是资金安全。”目前能看到关于这个问题的的答案，只有该商场一名负责人的推论—有可能是该ATM机使用时间太长，周边的塑料配件老化脱胶，从而被轻易损坏。这或多或少都暴露出银行方面在日常设备维护、安全保卫上的不足，及公众公共责任意识的欠缺。

众所周知，东莞凭借其巨额的金融存款与不良贷率，一直被誉为“广东金融绿洲”。但就是这样的金融绿洲，却出现最基本的硬件系统却如此不堪一击。为什么ATM机如此容易被拆卸，日常的维护又如何进行?脆弱的ATM机是不是普遍现象?如何保证市民的使用安全?我们期待着答案。

20xx年双桥乡政务公开工作在区委、区政府的坚强领导下，坚持以党的xx大精神以及科学发展观为指导，紧紧围绕增强工作的透明度，加强民主监督，密切与人民群众的联系，推行依法行政、优质行政、链接行政，进一步巩固政务公开成果，规范政务公开内容，创新政务公开形式，突出政务公开重点，提高政务公开水平，有力地促进了我乡各项工作的开展，取得了明显的效果。

一、加强领导，进一步健全政务公开组织体系

为进一步做好政务公开工作，切实推进政府信息公开，促进行政权力公开透明运行，营造率先发展、科学发展、又好又快发展的良好环境，我乡着眼于建立政务信息公开长效机制，切实加强领导，精心组织实施，使政务公开成为了一种自觉的意识和行为。为有力有效推进政务公开工作，我乡成立了由乡长任组长，党委副书记、纪委书记任副组长，相关办公室负责人为成员的政务信息公开领导小组。明确了有关职责，做到了领导、机构、人员“三到位”。领导小组下设办公室，负责政务公开的具体事务。在工作中，强化工作机制，形成纵到底、横到边、上下联动、整体推动的工作体系。

二、规范内容，进一步提高政务公开工作水平

(一)公开的形式更加完善。全面贯彻《政府信息公开条例》，按照县上的统一要求，我乡进一步完善了政府信息公开的内容和填报标准，完善了公开形式。今年我乡利用政务信息网、政府宣传栏及时公布了双桥乡20xx年党委、政务工作重点，奋斗目标，以及为民办实事事项。同时结合村一级的党务、政务、村务公开，充分利用政务公开栏及时公布了国家的各种方针政策、惠民政策、特别是群众关心的村务、财务等难点热点问题。

(二)公开的时间更加及时。针对公开项目的不同情况，确定公开时间，做到常规性工作定期公开，临时性工作随时公开，固定性工作长期公开。通过政府门户网，及时上传部门最新工作动态。

(三)公开的服务更加优质。进一步抓好便民服务中心标准化建设，推进办公无纸化，提高服务质量，争创一流的政务服务平台。今年我乡便民服务中心进一步实行规范化操作，涉及党政、经济发展、计生、民政、残联、劳动保障、国土规划、老龄、城乡环境综合整治等。便民桌椅、群众意见、投诉电话等便民设施一应俱全，方便了群众办事，真正把“惠民行动”落到实处。

(四)公开重点更加突出。坚持把群众最关心、最需要了解的事项公开作为政务信息公开的重点，提高政务服务实效，促进投资软环境改善;围绕新农村建设，从信息公开、电子政务和便民服务三个方面入手，加大推行政务公开的力度。

三、运用载体，进一步完善政务信息公开形式

依托乡政府网站，推进电子政务建设和网上政务公开，将领导班子成员及分工、各办公室人员岗位职责、工作动向栏、办事流程等逐一公示，为办事的群众和部门提供了极大的方便;设置举报咨询电话和监督电话，公开接受监督。

四、狠抓监督进一步确保政务信息公开落到实处

我乡在狠抓内部制约机制的同时强抓外部监督制约机制的完善建立健全长效管理机制形成用制度规范行为、按制度办事、靠制度管人的机制。采取多种形式强化监督检查工作实行定期检查与不定期检查、集中专项检查与人大检查相结合。同时鼓励广大干部、群众积极参与监督积极反映公开过程中存在的突出问题使公开工作更加扎实、有序开展。

五、存在的不足和问题

20xx年我乡政务信息公开工作取得了一定成效但在肯定成绩的同时我们也看到了我乡政务信息公开工作中存在的一些不足和问题主要表现在: 一是思想认识不到位。个别村对推行政务信息公开的重要性认识不足认为信息公开可有可无觉得信息公开更新很麻烦。 二是工作开展落实不够。工作进展迟缓更新不及时成效不明显。三是监督机制还有待于进一步健全、监督力度还有待进一步加强。监督被动接受上级检查的多自觉进行自查和抽查的少对查出的问题整改不够及时。

六、20xx年政务公开工作任务及打算

乡20xx年政务公开工作将继续紧紧围绕市、区、乡党委政府的中心工作有计划、分步骤地围绕群众普遍关心的热点难点问题作为公开的重点在深化完善和巩固提高上下功夫根据效能建有关要求进一步公开办事程序、办事标准、办事结果并在工作质量、态度、时效等方面作出承诺不断增强工作透明度。

一切实加强对政务公开工作的领导。积极鼓励乡村干部、大学生村官及通讯员多写信息写出高质量信息切实抓紧抓好政务信息公开工作。

二进一步健全和完善政务信息公开制度规范公开内容提高公开质量。重点抓好公开形式、公开实效等规范化建设和建立健全四项制度即定期公开和临时公开制度政务公开评议和考核制度政务信息公开责任追究制度政府信息公开情况统计报告制度促进我镇政务信息公开工作朝规范化、制度化方向发展。

三完善监督机制不断提高政务公开工作的水平和质量。进一步加大监督检查力度自觉接受镇人大及群众的监督特别是要充分发挥新闻舆论等社会监督的作用。在以完善投诉信箱、监督投诉电话等形式主动接受社会监督的基础上进一步完善电子政务建设通过政府网站拓宽便民的监督形式和方法。

四抓重点深化政务公开工作。在深化完善和巩固提高上下功夫加大乡务公开的力度。同时要求按照有关规定根据效能建有关要求进一步公开办事程序、办事标准、办事结果并在工作质量、态度、时效等方面作出承诺不断增强工作透明度注重突出政务信息公开的重点环节继续优化办事服务对各项信息公开进行进一步细化使我乡的政务信息公开工作得到进一步深化。
