10.2 若上述技术资料由乙方或任何第三方部分或全部公开，则甲方对已公开的技术不再承担保密义务。

10.3 本合同终止后，甲方有权使用乙方所提供的专利，即甲方可以继续设计、制造、使用、销售和出口合同产品。

第十一条 侵权

11.1 乙方保证，它是依本合同条款转让给甲方的专利权的合法所有人，在法律上享有向甲方转让专利权的权利。若发生侵犯任何第三者权利的事件，则乙方应对侵权事件负责，并承担由此而产生的全部法律和经济责任。

11.2 本合同附件一列明乙方关于合同产品的专利和专利申清。合同生效后一个月内，乙方将向甲方提供2份专利证书和专利申请的影印本。

第十二条 税费

12.1 凡因履行本合同而发生在甲方国家以外的一切税费，均由乙方负担。

12.2 乙方因履行本合同而在中国境内获得的收入，必须按中国税法纳税。

第十三条 不可抗力

13.1 签约的任何一方，由于战争、严重水灾、火灾、台风、地震以及双方同意的其他不可抗力事故而无法按期执行合同时，则可延长合同的期限，延长期相当于事故所影响的时间。

13.2 受影响的一方应尽快将发生不可抗力事故的情况以电传或电报通知对方，并于此天内以航空挂号邮件将有关当局出具的证明文件提交另一方确认。

13.3 如不可抗力事故延续到120天以上，双方应通过友好协商尽快解决合同继续执行的问题。

第十四条 仲裁

14.1 因执行本合同所发生的或与本合同有的一切争议，双方应通过友好协商解决。如经协商仍达不成协议时，则应提交仲裁解决。

14.2 仲裁将在_________进行，由_________仲裁院根据该院的章程进行仲裁。

14.3 仲裁的裁决是终局的，对双方均具有约束力。

14.4 仲裁费用由败诉方负担。

14.5 若仲裁的内容是合同的部分条款，合同的其他条款在仲裁期间应继续执行。

第十五条 适用法律

本合同的解释和执行以中华人民共和国的法律为依据。

第十六条 合同有效期

四、公开的主要形式及公开时间

(一)公开的方式

本局本着简明易懂、因地制宜、灵活多样、务实高效的原则，以方便群众知情，便于监督为主要目的。

推行政务公开要本着“真实、方便、快捷”的原则，严格按程序进行。

2、指派专人广泛收集干部、群众对公开项目的意见、建议。

3、对收集到的意见、建议及时研究并进行整改处理，并将处理结果向群众公布。

五、监督保障制度

推行政务公开制度，核心是加强监督。要建立健全内容监督制度，以保证公开内容的真实性。同时要把办事结果公开与事前、事中民主决策和民主监督结合起来，把内部监督与外部监督结合起来，建立起一套便利、高校、有约束力的监督制约机制。

(一)建立健全政务公开的相关制度。重点建立健全政务公开制度、服务承诺制度、政务公开监督检查制度、政务公开民主评议制度、政务公开“五个一”制度等有关制度。

(二)实行重大事项集体讨论决策制度。重大决策、重要项目安排、大额度资金的使用、干部内部交流及其他重大事项，必须在广泛征求意见的基础上，经单位领导集体讨论作出决定后公开。

(三)实行预公开制度。在决定或办理与群众利益密切相关的重要事项时，应当在正式决定或办理之前将方案公布，在充分听取群众意见并进行调整、修改后，再予以正式公布。

六、组织领导

3、推行“阳光收费”。认真落实收费公示制度，推行“阳光收费”，及时向社会公布收费政策，凡涉及学生的学校收费项目和标准必须向社会公示，没有公示的收费，学生可以拒绝交纳，切实维护群众的知情权、监督权。

4、拓宽公开内容。要根据教育系统的特点不断拓宽校务公开的内容，切实做到“五个结合”。即把校务公开工作与党风廉政建设和领导班子建设结合起来，与学校中心工作结合起来，与规范教育行政和学校管理结合起来，与行风建设结合起来，与教代会、工会的作用结合起来，为办好让人民满意的教育创造有利条件。

5、创新工作方法。要创新校务公开的形式，做好会议公开与校务公开栏公示相结合，加强校务公开的针对性和时效性。要全面推开校务公开评估工作，通过评估和督促检查，促进校务公开工作规范化、制度化、程序化和经常化。要充分利用信息技术和现代化手段做好校务公开工作，提高校务公开的效果。

6、加强监督检查。加大监督检查的力度，认真查找校务公开工作存在的问题和薄弱环节，提出整改意见，跟踪督查，确保校务公开工作的深入扎实开展。

二、主要措施

1、抓学习，提高认识

深入学习上级有关事务公开的会议精神，把校务公开工作作为发展社会主义民主政治、保障人民群众民主权力的重要内容，依法有序推进。规范公开的内容和形式，完善工作机制，健全公开监督保障措施，提高公开的针对性和实效性。校务公开工作要与落实党风廉政建设责任制相结合，使之更加充满生机和活力。

2、抓宣传，培育典型

学校要营造氛围，利用公开宣传栏、黑板报，宣传校务公开活动的重要性、必要性和工作成效，使广大教职员工感受到开展校务公开工作是体现了代表和维护最广大人民群众利益，依靠人民群众办好教育的一项重要制度;是形成了民主参与、民主决策、民主管理、民主监督的浓厚氛围;是起到了聚民心、聚民智、聚民力的作用。不断地巩固校务公开工作的成果，总结推广好的做法和经验，把校务公开工作推上新台阶。

3、抓责任，健全机制

校务公开领导小组成员，特别是主要负责人，要加强对校务公开工作的领导，进一步健全和完善组织机构，充实人员。完善与健全制度，即确保校务公开的不断深化、巩固和发展。

三、公开内容

(1) 学校各项工作计划和干部分工，责任目标等情况。

(2) 收费和捐资助学的情况，包括收费项目标准和使用情况。

(3) 财务收支情况，每月年清帐公布预算内外经费收入和使用情况。

(4) 学校基建维修管理有关情况。

(5) 教师职称评审情况。

(6) 各类评选、评优情况。

(7) 学校年度考核情况。

(8) 食堂收支情况。

四、张贴公开说明

1、撰稿人交校长室加盖公章，交校务公开工作人员张贴，一周后收回存档。

2、上级文件不必加盖公章，各大室下设部门公开内容由分管领导签字后张贴，避免失误。

3、坚持公正、公平、公开原则，定时与不定时将有关内容公布。
