甲、乙双方本着长期合作、共同发展的原则，为了拓展双方的业务领域，实现优势互补、共同发展，甲、乙双方根据国家有关的法律、法规，经友好协商，就数据专线业务合作事宜达成如下协议：

第一条：合作内容

1.1 甲方租用乙方数据专线用于甲方内部信息化应用需求。

1.2 乙方收取甲方数据专线相关费用，并根据协议约定内容维护相关线路并提供客户服务工作。

1.3 如甲方另有其他种类的业务需求，双方可签订补充协议，并具同等法律效力。

第二条：甲方的权利与义务

2.1 甲方负责建设自有内部网络，维护内部网络所有相关设备及线路，负责自身内部网络、信息安全保证工作，同时保证不损害乙方的系统安全、不影响乙方系统的正常运行。

2.2 甲方应对乙方布放在甲方办公区域的设备履行日常实物管理及保全职责，并配合乙方开展日常巡检。甲方在未经过乙方授权同意的情况下，不得替换乙方设备或更改相应设备参数配置。在业务注销后，产权属于乙方的设备，乙方将进行设备回收，甲方应给予相应配合。

2.3 乙方不负责甲方楼宇的综合布线工作。甲方自建机房环境配备需达到乙方建议标准，若由于甲方机房达不到该标准所导致的一切损失(包括但不限于乙方设备损坏导致业务无法正常使用等)，均与乙方及业务平台无关，由甲方自行承担因此造成的一切后果。

2.4 甲方租用乙方的数据专线，仅限于甲方相关应用系统通过乙方数据专线为甲方内部提供信息化服务。未经乙方书面同意，甲方不得将该数据专线线路提供给第三方使用，不得全部或部分借用、转租、转售。如经过查实甲方存在上述行为且能证实甲方利用乙方提供的数据专线服务开始向第三方提供接入(无论有偿还是无偿)具体时间的，甲方应根据本合同资费标准，从开始向第三方提供接入起按照甲方向乙方支付费用的三倍向乙方支付违约金，并且乙方有权决定是否终止本合同，如乙方终止本合同的，则甲方还应当承担相应的违约赔偿责任。不能证实甲方利用乙方提供的数据专线服务开始向第三方提供接入(无论是有偿还是无偿)具体时间的，甲方应将根据本合同资费标准，按照从本合同生效起甲方应向乙方支付费用的三倍向乙方支付违约金，并且乙方有权决定是否终止本合同，如乙方终止本合同的，则甲方还应当承担相应的违约赔偿责任。

2.5 如甲方使用后认为现有电信服务不能满足其需求，可以书面形式向乙方申请调整电信接入服务的项目和功能，所涉及到的使用费按乙方的相关资费标准调整。

2.6 甲方必须遵守国家有关法律、行政法规和管理规章，严格执行信息安全管理规定。不得利用乙方的专线线路从事危害国家安全、泄露国家机密等违法犯罪活动，不得通过集团专线复制、发布、传播含有下列信息的内容：

(一)违反国家法律法规的。

(二)危害国家安全，泄露国家秘密，颠覆国家政权，破坏国家统一的。

(三)煽动抗拒、破坏宪法和法律、行政法规实施的。

(四)煽动民族仇恨、民族歧视，破坏民族团结的。

(五)捏造或者歪曲事实，散布谣言，扰乱社会秩序，破坏社会稳定的。

(六)宣扬封建迷信、淫秽、色情、赌博、暴力、凶杀、恐怖，教唆犯罪的。

(七)侮辱或者诽谤他人，侵害他人合法权益的。

(八)损害国家荣誉、利益和国家机关信誉的。

如果发现属于以上所列内容之一的，乙方有权立即停止本协议约定的所有业务，保存有关记录，并向国家有关机关报告。

2.7 随着甲方业务的不断发展，当带宽需求加大时，应优先采用乙方的数据专线接入，与乙方签署补充协议，并且依据实际需要，提供机房和相应的协助。

2.8 甲方违反上述规定，乙方有权终止和甲方的业务合作，同时有权追究甲方的法律责任，可能引起的一切法律后果及赔偿责任均由甲方承担，并且乙方有权向公安机关提供相关证据。

第三条：乙方的权利与义务

3.1 乙方应在协议签署后的【 】个工作日内完成到相关接入点的数据专线安装、开通工作，同时双方另行签署集团专线开通/计费确认单。

3.2 乙方应统一受理甲方的售后服务要求和投诉，售后服务和投诉热线为：【10086-8】。

3.3 乙方为甲方提供良好的通信传输服务和故障维护服务，同时负责配合甲方进行接入设备的维护和调试。乙方因线路测试、设备维护、光缆切割、软硬件升级等因素需中断甲方的电信接入服务的，必须提前24小时通过网站公告、邮件、短信中的任意一种形式通知甲方。

3.4 引入光缆、光纤收发器、PTN/GPN/ONU设备及电缆等设备的产权归乙方所有，乙方只负责局端到接入端(光纤、光纤收发器、PTN/GPN/ONU设备、电缆等)的维护工作。甲方的路由器或服务器、内部局域网、程控交换机等由甲方自行维护。

3.5 乙方提供的数据专线服务只包括线路及相关接入设备，同时保证甲方的终端设备可正常连接至网络中。乙方对甲方在网上传送数据的安全性、完整性、合法性不承担责任，对不可抗拒因素造成网络堵塞、设备受损导致网络系统服务质量下降的情况不作保证，但乙方有责任按照《中华人民共和国电信条例》的要求对线路及设备尽快修复。

3.6 因乙方责任造成网络接入连续阻断一天以上的，乙方给予甲方补偿阻断天数的相等使用时间，乙方不承担因网络中断引起的其他责任。

3.7 因甲方原因造成乙方设备损坏、丢失或影响其他客户业务使用的，乙方有权要求甲方赔偿实际损失。对因甲方原因造成的网络故障或维护迟延，乙方不承担责任。

3.8 合同执行过程中，当乙方的主管部门出台新的电信资费标准，乙方可以对资费作相应调整，但要提前1周通过书面形式通知甲方。

3.9 乙方根据甲方的故障恢复时限要求明确线路的SLA服务等级。故障主要包括业务中断和一般故障：业务中断指线路完全无法使用;一般故障指线路可使用情况下的其他故障，如线路性能劣化等。SLA服务等级区别具体如下：

4.2 安装调试费：甲方需向乙方一次性支付安装调试费，标准资费为1000元/条，可按照乙方规定进行优惠，具体费用以附件1中明确的资费为准。

4.3 专线月租费：甲方需向乙方支付专线使用费用，费用标准按照乙方规定执行。

4.4 SLA服务费：乙方根据甲方SLA服务的需求，按月收取相应的服务费用。标准资费为普通级专线不收取服务费，A级专线服务费为月租(含税单价)的10%，AA级专线为月租(含税单价)的20%，AAA级专线为月租(含税单价)的30%，可按照乙方规定进行优惠，具体费用以附件1中明确的资费为准。

4.5 专线以乙方业务开通和关停为依据按月计费，首月和末月按实际使用天数计费。

4.6 若由于专线施工进度问题导致专线分批开通且甲方要求立即使用的，则分批开通使用的部分专线，立即开始计费。

4.7 在本协议有效期内，如乙方的资费标准依据中国工业与信息化部及国家其他相关部门的相关政策规定进行调整，乙方应及时通知甲方，经双方协商一致后签订补充协议。经认可的补充协议为本协议不可分割的一部分，具备相同的法律效力，双方应遵循履行。

4.9 预付费方式：甲方应提前预存专线月租费用，若甲方当月末付费账户中预存款不足以抵扣次月的月租费时，乙方有权即刻执行业务暂停。

4.10 后付费方式：甲方的缴费周期为【□月/□季度/□半年】。甲方应在每个缴费周期(业务开通当月即为缴费周期开始计算的第一个月)结束后的第一个月内缴清上期费用，第二个月为账款催缴期，由乙方客户经理或10086向甲方进行催缴费和逾期停机的通知，第三个月1日若甲方仍未结清账款，乙方有权即刻执行业务暂停。

4.11 当业务暂停达到3个月，乙方有权即刻执行业务注销。

4.12 甲方保证乙方为唯一的收款人，否则不能免除其对乙方的付款责任。甲方应严格按照协议确定之金额按期向乙方交纳应付的费用。

第五条：发票信息

5.1 根据电信业“营改增”相关法规要求，乙方可对20__年6月1日后与甲方业务合作产生的费用提供电信业增值税专用发票，增值税专用发票项目及对应税率：

5.1.1 基础电信服务(税率10%)

5.1.2 增值电信服务(税率6%)

具体发票项目名称、税率以双方合作的具体内容确定。

5.2 若甲方需乙方提供增值税专用发票时，需按照电信行业营改增管理要求，联系乙方集团客户经理进行相关信息登记，并配合提供下列文件的复印件并加盖公章：

B、组织机构代码证

C、税务登记证副本

D、银行开户许可证

E、 增值税一般纳税人的证明文件(以下任意一份即可)：●增值税一般纳税人认定书 ●加盖增值税一般纳税人字样的税务登记证副本

5.3 增值税专用发票开具要求：

5.3.1 甲方如是一般纳税人资质，可以向乙方申请开具增值税专用发票;

5.3.2 甲方如果需要乙方开具增值税专用发票时，需以集团单位名义发起申请;乙方不向个人手机号码客户开具增值税专用发票;

5.3.4 甲方如有特殊要求，预存时要求开具发票的，乙方只开具增值税电子普通发票，不提供增值税专用发票。

5.3.5 必须先付款，方能开具增值税专用发票。

5.3.6 已向甲方开具增值税电子普通发票的，甲方不得另行要求乙方开具增值税专用发票。
